取消合同协议书英文范本CancellationAgreementI.PartiesThisCancellationAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[FulllegalnameofPartyA]Address:[CompleteaddressofPartyA]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]PartyB:Name:[FulllegalnameofPartyB]Address:[CompleteaddressofPartyB]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]II.BackgroundPartyAandPartyBenteredintoa[describethetypeofcontract,e.g.,salescontract,servicecontract](the“OriginalContract”)on[dateoftheoriginalcontract].ThedetailsoftheOriginalContractareasfollows:A.DescriptionoftheSubjectMatterorService1.SubjectMatter(ifapplicable)IftheOriginalContractwasasalescontract,thesubjectmatterwas[describethegoodsindetail,includingbrand,model,quantity,specifications].Forexample,ifitwasacontractforthesaleofelectronicdevices,itcouldbe“50unitsofModelXYZsmartphones,manufacturedbyABCCompany,withascreensizeof6.5inches,128GBstorage,andrunningthelatestAndroidoperatingsystem.”2.Service(ifapplicable)IftheOriginalContractwasaservicecontract,theservicewas[describetheservicecomprehensively].Forinstance,ifitwasamarketingservicecontract,itcouldbe“PartyBshallprovidePartyAwithacomprehensivemarketingcampaign,includingsocialmediamarketing,emailmarketing,andeventpromotion.ThesocialmediamarketingshallcoverplatformssuchasFacebook,Instagram,andTwitter,withatargetofincreasingbrandawarenessby30%withinsixmonths.TheemailmarketingshallinvolvesendingmonthlynewsletterstoPartyA'scustomerdatabaseof[number]contacts,andtheeventpromotionshallincludeorganizingandmanagingatleasttwoindustryrelatedeventsperyear.”III.ReasonsforCancellationBothpartiesherebyagreetocanceltheOriginalContractforthefollowingreasons:1.[Listthespecificreasons.Forexample,“Duetounforeseenmarketchanges,thedemandforthegoods/servicesundertheOriginalContracthassignificantlydecreased,makingitcommerciallyunviableforbothpartiestocontinuewiththecontract.”]2.[Iftherearemultiplereasons,listthemseparately.Forexample,“PartyBhasencounteredunexpectedfinancialdifficultiesthatpreventitfromfulfillingitsobligationsundertheOriginalContractinatimelyandsatisfactorymanner.”]IV.RightsandObligationsafterCancellationA.PartyA'sRightsandObligations1.RightsPartyAhastherighttoreceiveafullrefundofanypaymentsmadetoPartyBundertheOriginalContract,ifapplicable.PartyAhastherighttoretainanyintellectualpropertyrightsthatitownedpriortotheexecutionoftheOriginalContractandthatwerenottransferredtoPartyBunderthetermsoftheOriginalContract.2.ObligationsPartyAshallreturnanygoodsreceivedfromPartyBundertheOriginalContractintheiroriginalcondition,exceptfornormalwearandtear,within[numberofdays]daysaftertheexecutionofthisAgreement.PartyAshallnotmakeanyfurtherclaimsagainstPartyBfornonperformanceoftheOriginalContract,exceptasotherwiseprovidedinthisAgreement.B.PartyB'sRightsandObligations1.RightsPartyBhastherighttorecoveranygoodsdeliveredtoPartyAundertheOriginalContract,ifapplicable.PartyBhastherighttobereleasedfromanyfurtherobligationstoprovideservicesordelivergoodsundertheOriginalContract.2.ObligationsPartyBshallrefundallpaymentsreceivedfromPartyAundertheOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.PartyBshalldestroyorreturnanyconfidentialinformationofPartyAthatithasinitspossession,custody,orcontrolwithin[numberofdays]daysaftertheexecutionofthisAgreement.V.SettlementofOutstandingMattersA.FinancialSettlement1.IfPartyAhasmadeanypaymentstoPartyBundertheOriginalContract,PartyBshallrefundthefullamountofsuchpayments,includinganyapplicabletaxesandfees,within[numberofdays]daysaftertheexecutionofthisAgreement.Therefundshallbemadetothesameaccountfromwhichthepaymentwasoriginallymade,unlessotherwiseagreedinwritingbybothparties.2.IfthereareanyoutstandinginvoicesorpaymentsduefromPartyAtoPartyBforservicesorgoodsprovidedpriortothecancellation,PartyAshallpaytheoutstandingamountwithin[numberofdays]daysaftertheexecutionofthisAgreement.B.ReturnofGoodsandProperty1.PartyAshallreturnallgoodsreceivedfromPartyBundertheOriginalContracttotheaddressspecifiedbyPartyBwithin[numberofdays]daysaftertheexecutionofthisAgreement.PartyAshallberesponsiblefortheshippingcostsassociatedwiththereturnofthegoods.2.PartyBshallreturnanypropertyofPartyAthatithasinitspossession,suchasequipment,samples,orprototypes,within[numberofdays]daysaftertheexecutionofthisAgreement.PartyBshallberesponsiblefortheshippingcostsassociatedwiththereturnofPartyA'sproperty.VI.ConfidentialityBothpartiesshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContract,ifany.Inaddition,bothpartiesshallkeepthetermsandconditionsofthisAgreementconfidentialandshallnotdisclosesuchinformationtoanythirdparty,exceptasrequiredbylaworwiththepriorwrittenconsentoftheotherparty.VII.RepresentationsandWarranties1.EachpartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtocanceltheOriginalContract.2.EachpartyrepresentsandwarrantsthatithasnotmadeanyfalseormisleadingstatementsinconnectionwiththisAgreementorthecancellationoftheOriginalContract.VIII.Indemnification1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwith:AnybreachofthisAgreementbytheindemnifyingparty.Anyclaim,action,orproceedingbroughtbyathirdpartyagainsttheindemnifiedpartyasaresultofthecancellationoftheOriginalContractortheperformanceofthisAgreementbytheindemnifyingparty.IX.GoverningLawandJurisdictionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthe[nameofthecourt]locatedin[location].X.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.XI.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunle
