2025年全球贸易跨境电商英文商品购销协议范本ThisAgreement("Agreement")ismadeandenteredintoasof[Date],andbetweenthefollowingparties:PartyA:[FullLegalNameofPartyA][RegisteredAddressofPartyA][CountryofPartyA]PartyB:[FullLegalNameofPartyB][RegisteredAddressofPartyB][CountryofPartyB]Whereas,Andwhereas,PartyBisengagedinthebusinessofmanufacturingandexportingEnglishgoods;Now,therefore,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:1.ScopeofAgreementThisAgreementshallgovernthepurchaseandsaleofEnglishgoodsbetweenPartyAandPartyB,asspecifiedinScheduleAattachedhereto.2.ProductDescriptionTheproductstobepurchasedandsoldunderthisAgreementaredescribedinScheduleAattachedhereto.Thespecifications,quality,andquantityoftheproductsshallbeasspecifiedinScheduleA.3.PurchasePriceThepurchasepricefortheproductsshallbeasspecifiedinScheduleAattachedhereto.Thepurchasepriceshallbepaidin[Currency]andshallbesubjecttothefollowingterms:a.Paymentshallbemadewithin[Number]daysofthedateoftheinvoiceissuedPartyB.b.Paymentshallbemade[PaymentMethod](e.g.,wiretransfer,creditcard,etc.).4.DeliveryTheproductsshallbedeliveredtoPartyAattheaddressspecifiedinScheduleAattachedhereto.Deliveryshallbemadewithin[Number]daysofthedateoftheinvoiceissuedPartyB.5.InspectionandAcceptanceUponreceiptoftheproducts,PartyAshallinspecttheproductstoensurethattheyconformtothespecifications,quality,andquantityasspecifiedinScheduleAattachedhereto.Iftheproductsdonotconformtothespecifications,quality,orquantity,PartyAshallnotifyPartyBwithin[Number]daysofreceiptoftheproducts.6.WarrantiesPartyBwarrantsthattheproductsshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecifications,quality,andquantityasspecifiedinScheduleAattachedhereto.Thewarrantyperiodshallbe[Number]daysfromthedateofdelivery.7.IntellectualPropertyPartyAacknowledgesthatallintellectualpropertyrightsintheproductsshallremainwithPartyB.PartyAshallnotusetheproductsinanymannerthatinfringesupontheintellectualpropertyrightsofPartyB.8.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentactions.9.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country].10.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesareunabletoresolvethedisputeamicably,thedisputeshallbesubmittedtoarbitrationin[City],[Country],inaccordancewiththerulesofthe[ArbitrationInstitution].11.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.12.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:_________________________[SignatureofAuthorizedRepresentative][PrintedNameofAuthorizedRepresen
