ys],PartyBhastherighttoterminatethisAgreementandclaimcompensationforalllossescausedbythedelay.2.Ifthesubjectmatterdoesnotmeetthequalitystandardsandspecificationsasagreed,PartyAshallberesponsibleforallcostsrelatedtotherepair,replacementorrefund,andshallalsocompensatePartyBforanylossescausedbythenonconformity.B.BreachbyPartyB1.IfPartyBfailstopaythepriceontime,PartyBshallpayPartyAaliquidateddamagesof[Percentage]%oftheoverdueamountforeachdayofdelay.Ifthedelayexceeds[Numberofdays],PartyAhastherighttosuspendtheperformanceofthisAgreementandclaimcompensationforalllossescausedbythedelay.2.IfPartyBfailstoprovidethenecessaryassistanceandcooperationasrequired,PartyBshallbeliableforanylossescausedtoPartyAduetosuchfailure.VIII.ConfidentialityA.ConfidentialInformationEachPartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstotheotherParty'sconfidentialinformation,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerinformation,andfinancialinformation.B.ObligationsofConfidentialityEachPartyshallkeeptheotherParty'sconfidentialinformationstrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[Numberofyears].IX.DisputeResolutionA.NegotiationIncaseofanydisputesarisingoutoforinconnectionwiththisAgreement,thePartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiationwithin[Numberofdays]daysafteronePartynotifiestheotherPartyofthedispute.B.ArbitrationorLitigationIfthenegotiationfails,thePartiesagreetoresolvethedisputesthrough[Arbitration/Litigation].1.ArbitrationIfarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththerulesof[Arbitrationinstitution]at[Arbitrationlocation].ThearbitrationawardshallbefinalandbindingonbothParties.2.LitigationIflitigationischosen,thecaseshallbeunderthejurisdictionofthe[Courtname]locatedat[Courtlocation].X.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].XI.EntireAgreementThisAgreement,togetherwiththeOriginalContract,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.XII.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.XIII.SeverabilityIfanyprovisionofthisAgr
