外贸销售合同（SALESCONTRACT）合同编号（ContractNo.）：[CT-20XX-XXX]签订日期（Date）：20XX年07月16日签订地点（Place）：中国上海（Shanghai,China）卖方（Seller）：名称（Name）：[中国XX贸易有限公司]地址（Address）：[中国上海市XX区XX路XX号]电话（Tel）：[+86-21-XXXXXXXX]传真（Fax）：[+86-21-XXXXXXXX]法定代表人（LegalRepresentative）：[XXX]买方（Buyer）：名称（Name）：[XX国际贸易公司]地址（Address）：[XX国家XX城市XX街道XX号]电话（Tel）：[+XX-XXXXXXXX]传真（Fax）：[+XX-XXXXXXXX]法定代表人（LegalRepresentative）：[XXX]鉴于卖方愿意出售、买方愿意购买下述商品，双方根据《中华人民共和国涉外经济合同法》及其他相关法律法规，经友好协商，达成如下协议，以兹共同遵守：WhereastheSelleriswillingtosellandtheBuyeriswillingtobuytheundermentionedgoods,bothparties,inaccordancewiththe"ForeignEconomicContractLawofthePeople'sRepublicofChina"andotherrelevantlawsandregulations,havereachedthefollowingagreementthroughfriendlyconsultation,whichshallbeabidedbybothparties:一、商品信息（CommodityInformation）1.商品名称及规格（NameandSpecificationofGoods）：商品1（Product1）：[具体名称]，规格[具体参数]，品牌[具体品牌]商品2（Product2）：[具体名称]，规格[具体参数]，品牌[具体品牌]（注：如商品数量较多，可另附清单作为本合同附件，附件与本合同具有同等法律效力。）(Note:Iftherearemanygoods,anadditionallistcanbeattachedasanannextothiscontract,whichhasthesamelegaleffectasthiscontract.)2.数量（Quantity）：商品1：[X]件（pieces）商品2：[X]箱（cartons）（数量允许有±[X]%的误差，误差部分按本合同约定单价结算。）(Thequantityallowsanerrorof±[X]%,andtheerrorpartshallbesettledattheunitpriceagreedinthiscontract.)3.单价及总价（UnitPriceandTotalPrice）：商品名称（ProductName）单价（UnitPrice）数量（Quantity）总价（TotalPrice）（上述价格为FOB上海价格，已包含商品成本、包装费，不包含运费、保险费、关税等其他费用。）(TheabovepriceisFOBShanghaiprice,whichincludesthecostofgoodsandpackaging,butdoesnotincludefreight,insurance,tariffsandotherexpenses.)二、价格条款（PriceTerms）1.本合同项下商品的价格以美元（USD）为计价货币。ThepriceofthegoodsunderthiscontractisdenominatedinUSdollars(USD).2.若在合同履行期间，因汇率波动导致买方或卖方产生额外费用，双方约定按[签订合同时中国银行公布的美元兑人民币汇率中间价]作为基准汇率，汇率波动超过±[X]%时，双方应协商调整价格或采取其他补救措施。Ifduringtheperformanceofthecontract,thebuyerorsellerincursadditionalexpensesduetoexchangeratefluctuations,bothpartiesagreetouse[thecentralparityrateofUSDagainstRMBannouncedbytheBankofChinaatthetimeofsigningthecontract]asthebenchmarkexchangerate.Whentheexchangeratefluctuationexceeds±[X]%,bothpartiesshallnegotiatetoadjustthepriceortakeotherremedialmeasures.三、交货条款（DeliveryTerms）1.交货时间（TimeofDelivery）：卖方应在收到买方预付款后[X]日内完成备货，并安排发货。TimeofDelivery:TheSellershallcompletethepreparationofgoodsandarrangeforshipmentwithin[X]daysafterreceivingthebuyer'sadvancepayment.2.交货地点（PlaceofDelivery）：中国上海港（PortofShanghai,China）。PlaceofDelivery:PortofShanghai,China.3.运输方式（ModeofTransport）：由买方指定承运人，运输方式为[海运/空运]。卖方应在货物装船/装机后[X]小时内将提单（或空运单）、商业发票、装箱单等单据副本通过电子邮件发送给买方。ModeofTransport:Thebuyerdesignatesthecarrier,andthemodeoftransportis[sea/airtransport].Thesellershallsendcopiesofdocumentssuchasbilloflading(orairwaybill),commercialinvoiceandpackinglisttothebuyerbyemailwithin[X]hoursafterthegoodsareloadedonboard/aircraft.4.运输责任（TransportationResponsibility）：货物在装运港越过船舷（或空运时货物交付给承运人）前的一切风险和费用由卖方承担；之后的一切风险和费用由买方承担。TransportationResponsibility:Allrisksandexpensesofthegoodsbeforetheycrosstheship'srailattheportofshipment(orwhenthegoodsaredeliveredtothecarrierincaseofairtransport)shallbebornebytheseller;allsubsequentrisksandexpensesshallbebornebythebuyer.四、质量保证条款（QualityAssuranceTerms）1.卖方所提供的商品质量应符合[国际通用标准/双方约定的具体标准]，并随货提供质量检验合格证书。Thequalityofthegoodsprovidedbythesellershallcomplywith[internationalgeneralstandards/specificstandardsagreedbybothparties],andacertificateofqualifiedqualityinspectionshallbeprovidedwiththegoods.2.买方在收到货物后[X]日内有权对货物质量进行检验，如发现货物质量不符合约定标准，应在检验发现问题后[X]日内向卖方提出书面异议，并提供相关检验报告。卖方应在收到异议后[X]日内予以答复，并根据情况采取更换、退货或赔偿等措施。Thebuyerhastherighttoinspectthequalityofthegoodswithin[X]daysafterreceivingthegoods.Ifitisfoundthatthequalityofthegoodsdoesnotmeettheagreedstandards,itshallputforwardawrittenobjectiontothesellerwithin[X]daysaftertheproblemisfoundintheinspection,andproviderelevantinspectionreports.Thesellershallreplywithin[X]daysafterreceivingtheobjectionandtakemeasuressuchasreplacement,returnorcompensationaccordingtothesituation.3.商品的质量保证期为自买方收到货物之日起[X]个月。在质量保证期内，如因商品本身质量问题导致无法正常使用，卖方应免费提供维修或更换服务。Thequalityguaranteeperiodofthegoodsis[X]monthsfromthedatethebuyerreceivesthegoods.Duringthequalityguaranteeperiod,ifthegoodscannotbeusednormallyduetotheirownqualityproblems,thesellershallprovidefreerepairorreplacementservices.五、支付条款（PaymentTerms）1.本合同采用[信用证/电汇]方式支付。Thiscontractispaidby[letterofcredit/telegraphictransfer].2.若采用信用证支付：Ifpaymentismadebyletterofcredit:（1）买方应在本合同签订后[X]日内，通过其开户银行开立以卖方为受益人的不可撤销即期信用证，信用证金额为合同总金额的[100]%，信用证有效期应至货物装运后[X]天。(1)Thebuyershall,within[X]daysafterthesigningofthiscontract,openanirrevocablesightletterofcreditinfavorofthesellerthroughitsbank,withtheamountoftheletterofcreditbeing[100]%ofthetotalcontractamount,andthevalidityperiodoftheletterofcreditshallbe[X]daysaftertheshipmentofthegoods.（2）卖方在货物装运后，应凭提单、商业发票、装箱单等单据向议付银行议付货款。(2)Aftertheshipmentofthegoods,thesellershallnegotiatethepaymentwiththenegotiatingbankagainstdocumentssuchasbilloflading,commercialinvoiceandpackinglist.3.若采用电汇支付：Ifpaymentismadebytelegraphictransfer:（1）买方应在本合同签订后[X]日内，向卖方支付合同总金额的[X]%作为预付款，即[XXX]美元。(1)Thebuyershallpay[X]%ofthetotalcontractamount,i.e.,[XXX]USD,tothesellerasanadvancepaymentwithin[X]daysafterthesigningofthiscontract.（2）卖方在货物装船/装机并向买方提供提单（或空运单）等单据副本后[X]日内，买方应向卖方支付合同总金额的[X]%，即[XXX]美元。(2)Thebuyershallpay[X]%ofthetotalcontractamount,i.e.,[XXX]USD,tothesellerwithin[X]daysafterthesellerloadsthegoodsonboard/aircraftandprovidesthebuyerwithcopiesofdocumentssuchasbilloflading(orairwaybill).（3）剩余[X]%的货款，即[XXX]美元，应在买方收到货物并确认质量合格后[X]日内支付给卖方。(3)Theremaining[X]%ofthepayment,i.e.,[XXX]USD,shallbepaidtothesellerwithin[X]daysafterthebuyerreceivesthegoodsandconfirmsthatthequalityisqualified.六、包装条款（PackagingTerms）1.卖方应对商品进行妥善包装，包装材料应符合国际运输标准，能有效防止货物在运输过程中受损、受潮、生锈等。Thesellershallproperlypackthegoods,andthepackagingmaterialsshallcomplywithinternationaltransportationstandards,whichcaneffectivelypreventthegoodsfrombeingdamaged,damp,rusted,etc.duringtransportation.2.每个包装单元外部应标明商品名称、规格、数量、合同编号、毛重、净重、唛头（[具体唛头]）等信息。Theoutsideofeachpackagingunitshallbemarkedwithproductname,specification,quantity,contractnumber,grossweight,netweight,shippingmark([specificshippingmark])andotherinformation.七、保险条款（InsuranceTerms）1.若买方要求投保，保险由买方负责办理，保险费用由买方承担。买方应自行选择保险公司，并在货物运输前办理好保险手续。Ifthebuyerrequiresinsurance,theinsuranceshallbehandledbythebuyer,andtheinsurancepremiumshallbebornebythebuyer.Thebuyershallchoosetheinsurancecompanybyitselfandgothroughtheinsuranceformalitiesbeforethetransportationofthegoods.2.若因买方未及时办理保险或保险coverage不足导致货物在运输过程中发生损失，卖方不承担责任。Thesellershallnotbeliableforanylossofthegoodsduringtransportationduetothebuyer'sfailuretohandletheinsuranceintimeorinsufficientinsurancecoverage.八、违约责任条款（LiabilityforBreachofContractTerms）1.若卖方未能按合同约定的时间交货，每逾期一天，应向买方支付合同总金额[X]‰的违约金，但违约金总额不得超过合同总金额的[X]%。逾期超过[X]天，买方有权解除合同并要求卖方赔偿损失。Ifthesellerfailstodeliverthegoodsonthetimeagreedinthecontract,itshallpaythebuyerapenaltyof[X]‰ofthetotalcontractamountforeachdayofdelay,butthetotalpenaltyshallnotexceed[X]%ofthetotalcontractamount.Ifthedelayexceeds[X]days,thebuyerhastherighttoterminatethecontractandrequirethesellertocompensatefortheloss.2.若买方未能按合同约定的时间支付货款，每逾期一天，应向卖方支付逾期付款金额[X]‰的违约金。逾期超过[X]天，卖方有权暂停交货或解除合同，并要求买方赔偿损失。Ifthebuyerfailstopaythepurchasepriceonthetimeagreedinthecontract,itshallpaythesellerapenaltyof[X]‰oftheoverduepaymentamountforeachdayofdelay.Ifthedelayexceeds[X]days,thesellerhastherighttosuspenddeliveryorterminatethecontractandrequirethebuyertocompensatefortheloss.3.若卖方提供的商品质量不符合合同约定，卖方应在收到买方异议后[X]日内负责更换合格商品或退还相应货款，并承担由此给买方造成的损失。Ifthequalityofthegoodsprovidedbythesellerdoesnotconformtothecontract,thesellershallberesponsibleforreplacingthequalifiedgoodsorrefundingthecorrespondingpaymentwithin[X]daysafterreceivingthebuyer'sobjection,andbearthelossescausedtothebuyer.九、不可抗力条款（ForceMajeureTerms）1.若任何一方因不可抗力事件（如战争、地震、台风、洪水、政府行为等）导致无法履行或延迟履行本合同项下的义务，该方应在不可抗力事件发生后[X]日内书面通知对方，并提供相关证明文件。Ifeitherpartyisunabletoperformordelaysinperformingitsobligationsunderthiscontractduetoaforcemajeureevent(suchaswar,earthquake,typhoon,flood,governmentaction,etc.),thatpartyshallnotifytheotherpartyinwritingwithin[X]daysaftertheoccurrenceoftheforcemajeureeventandproviderelevantsupportingdocuments.2.根据不可抗力事件对合同履行的影响，双方可协商决定暂停履行、部分履行或解除合同，并可根据情况免除或减轻责任。Accordingtotheimpactoftheforcemajeureeventontheperformanceofthecontract,bothpartiesmaynegotiatetosuspendperformance,partiallyperformorterminatethecontract,andmaybeexemptedormitigatedfromliabilityaccordingtothecircumstances.十、争议解决条款（DisputeResolutionTerms）1.因本合同引起的或与本合同有关的任何争议，双方应首先通过友好协商解决。Anydisputearisingoutoforinconnectionwiththiscontractshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties.2.若协商不成，任何一方均有权将争议提交[中国国际经济贸易仲裁委员会/对方所在国仲裁机构/其他约定仲裁机构]按照其届时有效的仲裁规则进行仲裁。Iftheconsultationfails,eitherpartyshallhavetherighttosubmitthedisputeto[ChinaInternationalEconomicandTradeArbitrationCommission/arbitrationinstitutionintheotherparty'scountry/otheragreedarbitrationinstitution]forarbitrationinaccordancewithitstheneffectivearbitrationrules.3.仲裁裁决是终局的，对双方均有约束力。Thearbitrationawardisfinalandbindingonbothparties.十一、合同的生效、变更与解除（Effectiveness,ModificationandTerminationoftheContract）1.本合同自双方签字盖章之日起生效，有效期至双方履行完毕本合同项下的全部义务之日止。Thiscontractshallcomeintoeffectonthedateofsignatureandsealbybothpartiesandshallremainvaliduntilbothpartieshavefulfilledalltheirobligationsunderthiscontract.2.对本合同的任何修改或补充，均须经双方协商一致并签订书面协议，该书面协议与本合同具有同等法律效力。Anymodificationorsupplementtothiscontractmustbeagreeduponbybothpartiesthroughconsultationandawrittenagreementmustbesigned,whichhasthesamelegaleffectasthiscontract.3.除本合同另有约定或法律规定外，任何一方不得单方面解除本合同。如需解除合同，应提前[X]日书面通知对方，并经双方协商一致。Exceptasother
