标准英文借款合同范本---标准英文借款合同范本PROMISSORYNOTEANDLOANAGREEMENT(Thisdocumentisalegallybindingcontract.Pleasereadcarefullybeforesigning.)---THISLOANAGREEMENT(the"Agreement")ismadeandenteredintoasofthe[Day]dayof[Month],[Year](the"EffectiveDate"),byandbetween:Collectively,theLenderandtheBorrowermaybereferredtohereinasthe"Parties."**WHEREAS**,theBorrowerhasrequestedfinancialassistancefromtheLender;andWHEREAS,theLenderiswillingtoprovidesuchassistanceuponthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesagreeasfollows:---**1.DEFINITIONSANDINTERPRETATIONS**1.1Definitions:InthisAgreement,unlessthecontextotherwiserequires:*"Agreement"meansthisLoanAgreement,includingallschedules,annexes,andamendmentshereto.*"Borrower"hasthemeaningascribedtoitinthepreamble.*"BusinessDay"meansadayonwhichbanksaregenerallyopenforbusinessin[Jurisdiction,e.g.,theStateofNewYork,USA],excludingSaturdays,Sundays,andpublicholidays.*"Default"meanstheoccurrenceofanyeventspecifiedinClause10(EventsofDefault).*"EffectiveDate"hasthemeaningascribedtoitinthepreamble.*"Interest"meanstheinterestpayableontheLoanAmountattheInterestRate,calculatedinaccordancewithClause4.*"InterestRate"means[e.g.,fivepercent(5%)perannum]orasotherwisespecifiedinClause4.1.*"Lender"hasthemeaningascribedtoitinthepreamble.*"Loan"meansthesumadvancedbytheLendertotheBorrowerpursuanttothisAgreement.*"LoanAmount"meanstheprincipalamountof[AmountinWords]UnitedStatesDollars(US$[AmountinNumbers]),orsuchothersumasmaybeagreedinwritingbytheParties.*"RepaymentDate"meansthedateonwhichtheLoanAmountplusallaccruedandunpaidInterestisdueandpayableinfullbytheBorrowertotheLender,being[Day]dayof[Month],[Year],orsuchotherdateasmaybeagreedinwritingbythePartiesorasacceleratedpursuanttoClause10.2.*"RepresentationsandWarranties"meanstherepresentationsandwarrantiesmadebytheBorrowerinClause7.1.2Interpretation:InthisAgreement,unlessthecontextotherwiserequires:(a)wordsimportingthesingularincludethepluralandviceversa;(b)wordsimportinggenderincludeallgenders;(c)referencestoclausesaretotheclausesofthisAgreement;(d)referencestoanystatuteorstatutoryprovisionincludeanymodification,amendment,re-enactment,orsubstitutionthereof;and(e)"including"and"include"shallbeconstruedasbeingfollowedby"withoutlimitation."---**2.ADVANCEOFLOAN**2.1SubjecttothetermsandconditionsofthisAgreement,anduponsatisfactionoftheconditionsprecedentsetforthinClause8(ifany),theLendershalladvancetheLoanAmounttotheBorrowerontheEffectiveDate,orsuchotherdateasthePartiesmayagreeinwriting("DisbursementDate").2.2TheLoanshallbeadvancedbytheLendervia[e.g.,wiretransfertotheBorrower'sdesignatedbankaccount:AccountName:[Borrower'sAccountName],BankName:[BankName],AccountNumber:[AccountNumber],RoutingNumber/SWIFTCode:[Routing/SWIFTCode]]orbysuchothermethodasmutuallyagreedinwriting.---**3.PURPOSEOFLOAN**3.1TheBorroweracknowledgesandagreesthattheLoanshallbeusedsolelyforthefollowingpurpose:[Brieflydescribethepurpose,e.g.,"financingthepurchaseofequipmentfortheBorrower'sbusinessoperations"or"personalinvestmentpurposes"].3.2TheBorrowershallnotusetheLoanAmountforanypurposeotherthanthatspecifiedinClause3.1withoutthepriorwrittenconsentoftheLender.---**4.INTEREST**4.1TheLoanAmountshallbearinterestfromtheDisbursementDateuntilthedateoffullrepaymentattheInterestRate.4.2InterestshallbecalculatedontheoutstandingprincipalbalanceoftheLoan,onthebasisofa[e.g.,360-dayor365-day]year,andfortheactualnumberofdayselapsed.---**5.REPAYMENT**5.1TheBorrowershallrepaytheentireoutstandingprincipalamountoftheLoan,togetherwithallaccruedandunpaidInterestthereon,totheLenderontheRepaymentDate.5.2AllrepaymentsunderthisAgreementshallbemadein[e.g.,UnitedStatesDollars]andshallbemadetotheLender'sdesignatedbankaccount:[AccountName:Lender'sAccountName,BankName:Lender'sBankName,AccountNumber:Lender'sAccountNumber,RoutingNumber/SWIFTCode:Lender'sRouting/SWIFTCode]orsuchotheraccountastheLendermaynotifytheBorrowerinwritingfromtimetotime.5.3Repaymentsshallbemadewithoutdeduction,set-off,orcounterclaimandfreeandclearofanytaxesorwithholdings,unlessrequiredbylaw.5.4TheBorrowermay,atanytimepriortotheRepaymentDate,prepaytheentireoutstandingLoanAmounttogetherwithallaccruedandunpaidInterest,withoutpenaltyorpremium,unlessotherwiseagreedinwriting.[Optional:or"subjecttoaprepaymentfeeof[X]%oftheamountprepaid"].---**6.REPRESENTATIONSANDWARRANTIES**6.1TheBorrowerrepresentsandwarrantstotheLenderasoftheEffectiveDateandasoftheDisbursementDatethat:(a)Itisdulyorganized/incorporatedandvalidlyexistingunderthelawsofitsjurisdictionoforganization/incorporation.(b)IthasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement.(c)Theexecution,delivery,andperformanceofthisAgreementbytheBorrowerhavebeendulyauthorizedbyallnecessarycorporateorotheraction.(d)ThisAgreementconstitutesalegal,valid,andbindingobligationoftheBorrower,enforceableagainstitinaccordancewithitsterms.(e)TheBorrowerhasnoknowledgeofanypendingorthreatenedlitigation,arbitration,oradministrativeproceedingthatcouldreasonablybeexpectedtohaveamaterialadverseeffectonitsabilitytoperformitsobligationsunderthisAgreement.(g)TheBorrowerwillusetheLoanAmountsolelyforthepurposespecifiedinClause3.1.6.2TheLenderrepresentsandwarrantstotheBorrowerasoftheEffectiveDatethat:(a)IthasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement.(b)Theexecution,delivery,andperformanceofthisAgreementbytheLenderhavebeendulyauthorizedbyallnecessaryaction.(c)ThisAgreementconstitutesalegal,valid,andbindingobligationoftheLender,enforceableagainstitinaccordancewithitsterms.---**7.CONDITIONSPRECEDENT(Optional)**7.1TheobligationoftheLendertomaketheLoanadvanceissubjecttothesatisfaction(orwaiverinwritingbytheLender)ofthefollowingconditionsprecedentonorbeforetheDisbursementDate:(a)TheLenderhavingreceivedadulyexecutedcopyofthisAgreement.(b)TheLenderhavingreceivedsuchotherdocuments,certificates,orinformationasitmayreasonablyrequest.(c)[Anyotherspecificconditions,e.g.,proofofinsurance,satisfactoryduediligence.]---**8.EVENTSOFDEFAULT**8.1Theoccurrenceofanyofthefollowingeventsshallconstitutean"EventofDefault":(a)TheBorrowerfailstopayanyamountdueunderthisAgreement(includingprincipalorInterest)ontheduedateandsuchfailurecontinuesforaperiodof[e.g.,five(5)]BusinessDays.(b)TheBorrowerbreachesanyoftherepresentations,warranties,orcovenantscontainedinthisAgreement(includingbutnotlimitedtothepurposeoftheLoanassetforthinClause3).(d)TheBorrowerissubjecttoanyattachment,garnishment,orsimilarproceedingaffectingitsassets,whichisnotdischargedwithin[e.g.,fifteen(15)]BusinessDays.(e)AnymaterialadversechangeoccursinthefinancialconditionorbusinessoftheBorrowerthat,inthereasonableopinionoftheLender,impairstheBorrower'sabilitytorepaytheLoan.---**9.REMEDIES**9.1TherightsandremediesoftheLenderunderthisAgreementarecumulativeandnotexclusiveofanyrightsorremediesprovidedbylaw.TheexercisebytheLenderofanyonerightorremedyshallnotprecludetheexerciseofanyotherrightorremedy.9.2Withoutprejudicetoanyotherrightshereunder,theBorrowershallindemnifytheLenderagainstallcosts,losses,damages,andexpenses(includingreasonablelegalfees)incurredbytheLenderasaresultoforinconnectionwithanybreachofthisAgreementbytheBorrowerortheenforcementoftheLender'srightshereunder.---**10.GOVERNINGLAWANDDISPUTERESOLUTION**10.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[e.g.,Delaware](withoutregardtoitsconflictoflawsprinciples).---**11.ASSIGNMENT**11.1TheBorrowershallnotassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLender.11.2TheLendermayassignortransferalloranypartofitsrightsunderthisAgreement(includingtherighttoreceivepayment)toanythirdpartyuponwrittennoticetotheBorrower.---**12.ENTIREAGREEMENT**12.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriordiscussions,negotiations,agreements,andunderstandings,whetheroralorwritten,relatingthereto.---**13.AMENDMENTS**13.1Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbydulyauthorizedrepresentativesofbothParties.---**14.NOTICES**---**15.SEVERABILITY**15.1IfanyprovisionofthisAgreementisheldtobeinva
