2025年关于合同的英语常用口语表达CONTRACTFOR2025ThisContract(the"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"Client")and(the"ServiceProvider").BoththeClientandtheServiceProvidershallbereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties".1.PURPOSEANDSCOPE1.1ThepurposeofthisAgreementistoestablishthetermsandconditionsunderwhichtheServiceProvidershallprovideservicestotheClient,asmoreparticularlydescribedinExhibitA,attachedheretoandincorporatedhereinbyreference.1.2TheservicestobeprovidedbytheServiceProvider(the"Services")aredesignedtomeettheClient’sneedsasoutlinedintheScopeofWork(Appendix1),whichformsanintegralpartofthisAgreement.1.3ThePartiesagreethattheServicesshallbeprovidedinaccordancewiththehigheststandardsofprofessionalism,integrity,andexcellence.2.OBLIGATIONSOFTHEPARTIES2.1ServiceProvider’sObligations:TheServiceProvideragreesto:a)RendertheServicesinaprofessionalandworkmanlikemanner,inaccordancewiththetermsofthisAgreementandtheScopeofWork.b)EnsurethatallpersonnelprovidingtheServicesarequalified,licensed,andinsured,whereapplicable,andcomplywithallrelevantlaws,regulations,andindustrystandards.c)CompletetheServiceswithintheagreedtimelinessetforthintheScopeofWork.d)MaintaintheconfidentialityofallinformationprovidedbytheClientinconnectionwiththeServices,inaccordancewiththeprovisionsofthisAgreement.2.2Client’sObligations:TheClientagreesto:a)ProvidetheServiceProviderwithallnecessaryinformation,resources,andaccessrequiredtoperformtheServices.b)CooperatewiththeServiceProviderandprovidereasonableassistancetoensurethetimelyandsuccessfulcompletionoftheServices.c)PaythefeesandchargesfortheServicesasoutlinedinthisAgreement.d)InformtheServiceProviderofanychangesincircumstancesorrequirementsthatmayimpacttheperformanceoftheServices.3.PAYMENTTERMS3.1TheClientshallpaytheServiceProviderthefeesfortheServicesasdetailedinExhibitB,attachedheretoandincorporatedhereinbyreference.3.2AllpaymentsshallbemadewithindaysofthedateoftheinvoiceissuedbytheServiceProvider.3.3Latepaymentsshallincurapenaltyof%permonth,calculatedontheoutstandingamount.3.4TheServiceProviderreservestherighttosuspendtheServicesuntilfullpaymentismadeifanyinvoiceremainsunpaidformorethandays.4.TIMELINEANDDELIVERY4.1TheServicesshallbecompletedbytheServiceProviderwithinthetimeframesspecifiedintheScopeofWork.4.2AnydelayscausedbytheClient’sfailuretoprovidetimelyinformation,resources,oraccessshallbeexcused,andtheServiceProvidershallbeentitledtoanextensionofthetimelinesaccordingly.4.3TheServiceProvidershallprovidetheClientwithprogressupdatesonabasis,unlessotherwiseagreedinwriting.4.4TheServicesshallbedeemedcompleteandacceptedbytheClientupontheClient’swrittenconfirmation,whichshallbeprovidedwithindaysoftheServiceProvider’scompletionoftheServices.5.TERMANDTERMINATION5.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntiltheServicesarecompletedandacceptedbytheClient,unlessterminatedearlierinaccordancewiththetermsofthisAgreement.5.2EitherPartymayterminatethisAgreementwithimmediateeffectiftheotherPartycommitsamaterialbreachofitsobligationsunderthisAgreementandfailstocuresuchbreachwithindaysofreceivingwrittennoticethereof.5.3TheServiceProvidermayterminatethisAgreementiftheClientfailstopayanyinvoicewithindaysoftheduedate,subjecttotheServiceProvider’spriorwrittennoticeandtheClient’sfailuretoremedysuchdefaultwithinthespecifiedperiod.5.4Upontermination,theServiceProvidershallpromptlyreturnordestroyallConfidentialInformation(asdefinedbelow)initspossessionorcontrol,asinstructedbytheClient.6.CONFIDENTIALITY6.1DuringandafterthetermofthisAgreement,neitherPartyshalldiscloseanyconfidentialorproprietaryinformation("ConfidentialInformation")obtainedfromtheotherPartytoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.6.2TheobligationsunderthisSection6shallsurvivetheterminationofthisAgreement.7.INTELLECTUALPROPERTY7.1AllintellectualpropertyrightsintheServices,includingbutnotlimitedto,designs,reports,data,andsoftware,shallvestsolelyintheServiceProvider,unlessotherwiseagreedinwriting.7.2TheClientshallhaveanon-exclusive,royalty-freelicensetousetheServicessolelyforthepurposessetforthinthisAgreement.7.3TheServiceProvideragreestoassignanyandallintellectualpropertyrightsintheServicestotheClientuponreceiptofpaymentinfullandwithindaysoftheClient’swrittenrequest.8.DEFAULTANDREMEDIES8.1IfeitherPartydefaultsintheperformanceofanyobligationunderthisAgreement,thenon-defaultingPartyshallhavetherighttoseekallavailableremediesunderlaworinequity,includingbutnotlimitedto,specificperformance,injunctiverelief,andmonetarydamages.8.2IntheeventofabreachbytheServiceProvider,theClientshallhavetherighttoretainanypaymentsmadeuntiltheServicesarefullyperformedtotheClient’ssatisfaction.9.DISPUTERESOLUTION9.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmutualagreement,failingwhich,thePartiesagreetosubmitthedisputetomediationinbeforeproceedingtoarbitrationorlitigation.9.2Ifthemattercannotberesolvedthroughmediationwithindaysofthemediationrequest,thePartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesoftheArbitrationAssociation.9.3Thearbitrationshalltakeplacein,andtheawardshallbefinalandbindingonbothParties.10.MISCELLANEOUS10.1Amendments:AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothPartiestobevalid.10.2EntireAgreement:ThisAgreement,togetherwiththeExhibits,constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal.10.3Governin
