PartyAshalloffer24/7technicalsupporttoPartyB.Thisincludesansweringtechnicalinquiriesviaphone,email,oronlinechat.PartyA'stechnicalsupportteamshallhavearesponsetimeofnomorethan[X]hoursforurgentissuesand[X]businessdaysfornonurgentissues.

MaintenanceandRepair

PartyAshallberesponsiblefortheregularmaintenanceandrepairoftheproducts.Regularmaintenanceshallbecarriedoutatintervalsof[Intervalperiod,e.g.,everysixmonths].Incaseofproductbreakdown,PartyAshalldispatchtechnicianstothelocationofPartyBwithin[X]hours(forlocalareas)or[X]businessdays(forremoteareas)uponreceivingarepairrequestfromPartyB.

Iftheproductsinvolvesoftwarecomponents,PartyAshallprovidefreesoftwareupdatestoensuretheproducts'optimalperformanceandsecurity.PartyAshallnotifyPartyBinadvanceofanymajorsoftwareupdatesandprovidenecessarytrainingonthenewfeatures.

ReplacementofDefectiveParts

Intheeventthatanypartsoftheproductsarefoundtobedefectivewithinthewarrantyperiod,PartyAshallreplacethedefectivepartswithneworrefurbishedpartsofequivalentqualityatnoadditionalcosttoPartyB.

III.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.Rights

PartyAhastherighttorequestPartyBtoprovidenecessaryinformationandaccesstotheproductsforthepurposeofprovidingaftersalesservices.

PartyAhastherighttochargePartyBforservicesoutsidethescopeofthiscontract,providedthatPartyAnotifiesPartyBinadvanceoftheservicecontentandthecorrespondingfees.

2.Obligations

PartyAshallabidebyallrelevantlawsandregulationsinprovidingaftersalesservices.

PartyAshallensurethatitstechniciansarequalifiedandexperiencedinprovidingservicesfortheproducts.

PartyAshallkeepPartyBinformedoftheprogressofserviceprovision,especiallyincaseofanydelaysordifficulties.

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttoreceivehighqualityaftersalesservicesasspecifiedinthiscontract.

PartyBhastherighttorequestPartyAtoprovidedetailedreportsonthemaintenanceandrepairworkcarriedoutontheproducts.

2.Obligations

PartyBshallprovidePartyAwithaccurateinformationabouttheproductsandtheproblemsencountered.

PartyBshallcooperatewithPartyA'stechniciansduringtheserviceprocess,includingprovidingnecessaryaccesstotheproductsandrelevantfacilities.

PartyBshallpayanyfeesasagreedinthiscontractinatimelymanner.

IV.WarrantyPeriod

Thewarrantyperiodfortheaftersalesservicesshallcommencefromthedateofproductdeliveryandshalllastfor[Warrantyperiod,e.g.,oneyear].Duringthewarrantyperiod,PartyAshallprovideallservicesasspecifiedinthiscontractfreeofcharge,exceptfordamagescausedbyPartyB'simproperuseornegligence.

V.FeesandPaymentTerms

1.Fees

PartyBshallpayPartyAatotalservicefeeof[Amountinfiguresandwords]fortheaftersalesservicesprovidedunderthiscontract.Thisfeeincludesallcostsrelatedtotechnicalsupport,maintenance,repair,softwareupdates,andreplacementofdefectivepartswithinthewarrantyperiod.

VI.Confidentiality

2.Neitherpartyshalldisclosetheconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

VII.LiabilityforBreachofContract

1.LiabilityofPartyA

IfPartyAfailstoprovideaftersalesservicesinaccordancewiththetermsofthiscontract,PartyAshallbeliableforanylossessufferedbyPartyBasaresultofsuchbreach.PartyAshall,atitsownexpense,takecorrectivemeasurestomakeupforthenonperformanceorimproperperformanceofservices.Incaseofseriousbreach,PartyBhastherighttoterminatethiscontractandclaimcompensationforalllosses.

2.LiabilityofPartyB

IfPartyBfailstopaytheservicefeesinatimelymanner,PartyBshallpayPartyAalatepaymentpenaltyof[Penaltyrate]perdayfortheoverdueamount.Incaseofcontinuousnonpaymentformorethan[X]days,PartyAhastherighttosuspendtheprovisionofaftersalesservicesuntilfullpaymentisreceived.

VIII.ForceMajeure

1.Ifeitherpartyisunabletoperformitsobligationsunderthiscontractduetoforcemajeureeventssuchasnaturaldisasters,wars,strikes,orgovernmentregulations,theaffectedpartyshallnotifytheotherpartyinwritingwithin[X]daysoftheoccurrenceoftheforcemajeureeventandproviderelevantproof.

2.Theaffectedpartyshalltakeallreasonablemeasurestominimizetheimpactoftheforcemajeureevent.Duringtheperiodofforcemajeure,theperformanceoftheaffectedparty'sobligationsunderthiscontractshallbesuspended,andthetimelimitforperformanceshallbeextendedaccordingly.

IX.DisputeResolution

1.Anydisputesarisingfromtheperformanceofthiscontractshallbefirstresolvedthroughfriendlyconsultationsbetweenthetwoparties.

2.Iftheconsultationsfail,thedisputesshallbesubmittedto[Arbitrationinstitutionorcourt]forresolutioninaccordancewiththelawsof[Jurisdiction].Thearbitrationawardorcourtjudgmentshallbefinalandbindingonbothparties.

X.TerminationoftheContract
