船舶配件产品包装合同英文版范本2025ThisContract("Contract")ismadeandenteredintoasof[Date]byandbetween[Supplier'sCompanyName]("Supplier"),havingitsprincipalplaceofbusinessat[Supplier'sAddress],and[Buyer'sCompanyName]("Buyer"),havingitsprincipalplaceofbusinessat[Buyer'sAddress].WHEREAS,theSupplierisengagedinthebusinessofmanufacturingandsupplyingshipbuildingspareparts;andWHEREAS,theBuyerdesirestopurchasecertainshipbuildingsparepartsfromtheSupplier;andWHEREAS,theBuyerdesirestheSuppliertoprovidepackagingforthesparepartsinaccordancewiththetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ScopeofWorkTheSuppliershallprovidepackagingfortheshipbuildingsparepartsspecifiedinExhibitA(ListofProducts)attachedhereto,whicharemanufacturedbytheSupplierandsuppliedtotheBuyerunderaseparatesalescontract.ThepackagingshallmeetthespecificationssetforthinExhibitB(PackagingSpecifications),whichshallincludematerialdetails,designrequirements,functionalitystandards,andenvironmentalconsiderations.2.ResponsibilitiesoftheSupplierTheSuppliershalldesignthepackaginginaccordancewithExhibitB,subjecttotheBuyer'sapproval.TheSuppliershallprovidetheBuyerwithsamplesforapprovalbeforemassproduction.TheSuppliershallmanufacturethepackagingusingmaterialsandprocessesthatmeetthespecificationsinExhibitBandapplicableindustrystandards.TheSuppliershallconductqualitycontrolchecksateachstageofthepackagingproductionprocess.TheSuppliershallpackagethesparepartsaccordingtotheagreed-uponspecificationsandlabeleachpackagewiththenecessaryinformation,includingproductname,model,quantity,serialnumber(ifapplicable),Supplier'sandBuyer'scontactinformation,shippingmarks,handlinginstructions,andrelevanthazardlabels.TheSuppliershalldeliverthepackagedproductstotheBuyer'sdesignatedlocationwithintheagreed-upontimeframespecifiedintheseparatesalescontract.3.ResponsibilitiesoftheBuyerTheBuyershallreviewthepackagingdesignsamplesprovidedbytheSupplierandprovidewrittenapprovalwithin[Number]daysofreceipt.IftheBuyerdoesnotprovideapprovalwithinthespecifiedtimeframe,theSuppliershallassumethatthedesignisapproved.TheBuyershallprovidetheSupplierwithaccurateandcompletepackagingspecificationsinExhibitB.TheBuyershallpaytheSupplierforthepackagingservicesaccordingtothetermsspecifiedintheseparatesalescontract.TheBuyershallinspectthepackagedproductsuponreceiptandreportanydefectsorissuestotheSupplierwithin[Number]days.4.QualityStandardsandTestingThepackagingshallcomplywithallapplicableinternationalandnationalstandardsrelatedtopackagingandshippingofshipbuildingspareparts.TheSuppliershallconductteststoensurethatthepackagingmeetstherequiredstandardsforprotectionagainsthumidity,temperaturefluctuations,vibration,impact,andmoisture.TheSuppliershallprovidetheBuyerwithcopiesofanyrelevantcertificationsortestreportsuponrequest.5.IntellectualPropertyTheintellectualpropertyrightstothepackagingdesignshallremainwiththeSupplierunlessotherwiseagreeduponinwriting.Bothpartiesshallkeepthepackagingdesignandotherconfidentialinformationsharedduringthetermofthiscontractconfidential.6.LiabilityTheSupplier'sliabilityunderthiscontractshallbelimitedtothevalueofthepackagingprovided.Ifthepackagingisfoundtobedefective,theSuppliershallberesponsibleforreplacingorrepairingthedefectivepackagingatitsownexpense,subjecttothetermsandconditionsspecifiedinthiscontract.7.GoverningLawandDisputeResolutionThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthedisputescannotberesolvedthroughnegotiation,theyshallbesubmittedto[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.8.TermandTerminationThiscontractshallcommenceontheeffectivedateandshallcontinueuntilthecompletionofthepackagingservices,unlessterminatedearlierinaccordancewiththeprovisionsofthiscontract.Thiscontractmaybeterminatedbyeitherpartyupon[Number]days'writtennoticetotheotherpartyincaseofbreachofcontractthatisnotcuredwithin[Number]daysofwrittennotice,insolvencyorbankruptcyofeitherparty,orforcemajeureevents.9.MiscellaneousThiscontractmayonlybeamendedinwritingandsignedbybothparties.Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.AllnoticesunderthiscontractshallbeinwritingandshallbedeliveredtotheaddressesspecifiedinthePartiessectionortosuchotheraddressaseitherpartymaydesignateinwriting.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasoftheda
