WHEREAS,theSelleristheowneroftheVehicleanddesirestosellittotheBuyer;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesagreeasfollows:

2.SaleandPurchaseoftheVehicle

TheSelleragreestosell,andtheBuyeragreestobuy,thefollowingvehicle(the"Vehicle"):

3.PurchasePrice

4.PaymentTerms

5.DeliveryoftheVehicle

6.TitleandTransfer

UponthefullpaymentofthePurchasePricebytheBuyer,theSellershalltransferthetitleoftheVehicletotheBuyer.TheBuyeragreestotakeallnecessarystepstoregistertheVehicleintheirnameandtoobtainanewtitleintheirjurisdiction.

7.RepresentationsandWarranties

TheSellerrepresentsandwarrantstotheBuyerthat:

TheSellerhasgoodandmarketabletitletotheVehicle,freeandclearofanyliens,securityinterests,orotherencumbrances.

TheVehicleisbeingsoldincompliancewithallapplicablelawsandregulations.

TheVehicle'sodometerreadingisaccurateandhasnotbeentamperedwith.

TheBuyerrepresentsandwarrantstotheSellerthat:

TheBuyerhasthefullauthorityandcapacitytoenterintothisContract.

TheBuyerwillcomplywithallapplicablelawsandregulationsregardingtheownershipandoperationoftheVehicle.

8.CancellationandReturn

TheBuyermaycancelthisContractwithin[CancellationPeriod]fromthedateofexecutionofthisContract.Insuchanevent,theSellershallreturntheDeposittotheBuyer,lessanyreasonableexpensesincurredbytheSeller.

9.RiskofLoss

TheriskoflossordamagetotheVehicleshallpasstotheBuyerupondeliveryoftheVehicletotheBuyer.

10.Indemnification

TheBuyeragreestoindemnifyandholdtheSellerharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses,includingreasonableattorney'sfees,arisingoutoforinconnectionwiththeownership,use,oroperationoftheVehicle.

11.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbybindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

12.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

13.Notices

AnynoticeorothercommunicationrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedeffectiveuponpersonaldeliveryorupondepositinthemail,registeredorcertified,postageprepaid,totheaddressessetforthbelow:

14.Amendments

ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

15.Survival

TheprovisionsofthisContractthatbytheirnatureareintendedtosurviveterminationorexpirationofthisContractshallsosurvive.

16.Severability

Ifanyterm,provision,covenant,orconditionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,void,orunenforceable,theremainderoftheprovisionsshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.

17.Headings

TheheadingsinthisContractareforconvenienceonlyandshallnotaffecttheconstructionorinterpretationofthisContract.
