2025年解除合同协议书英文版TERMINATIONAGREEMENTOFCONTRACT2025ThisTerminationAgreementofContract("Agreement")isenteredintoasof,2025,byandbetween,acompanyincorporatedunderthelawsof(hereinafterreferredtoas"PartyA"),and,acompanyincorporatedunderthelawsof(hereinafterreferredtoas"PartyB").PartyAandPartyBmaybecollectivelyreferredtoasthe"Parties"orindividuallyasa"Party."RECITALSThePartieshavebeenboundbyacontractdated,20,hereinreferredtoasthe"OriginalContract,"governingtheirmutualrightsandobligationsinconnectionwith(the"SubjectMatter").TheOriginalContractwasenteredintoforatermofyears,effectivefromto,unlessterminatedearlierinaccordancewithitsterms.ThePartieshaveagreedtoterminatetheOriginalContractasof,2025,uponmutualagreementandaftercarefulconsiderationofallrelevantfactors.ARTICLE1:TERMINATIONOFTHEORIGINALCONTRACT1.1EffectiveDateTheOriginalContractshallbedeemedterminatedasof,2025(the"TerminationDate").FromtheTerminationDateonwards,neitherPartyshallhaveanyobligationorliabilityundertheOriginalContract.1.2FinalityThisAgreementconstitutesafullandfinalresolutionofallmattersarisingoutoforrelatingtotheOriginalContract,includingbutnotlimitedtoanyclaims,disputes,orobligationsthatmayhavearisenthereunder.ARTICLE2:MUTUALRELEASE2.1ReleasebyPartyAPartyAherebyreleasesanddischargesPartyB,itsaffiliates,officers,directors,employees,agents,andassigns(collectivelythe"BRelatedPersons")fromanyandallclaims,demands,causesofaction,orliabilitiesofanynaturewhatsoever,whetherknownorunknown,arisingoutoforrelatingtotheOriginalContract.2.2ReleasebyPartyBSimilarly,PartyBherebyreleasesanddischargesPartyA,itsaffiliates,officers,directors,employees,agents,andassigns(collectivelythe"ARelatedPersons")fromanyandallclaims,demands,causesofaction,orliabilitiesofanynaturewhatsoever,whetherknownorunknown,arisingoutoforrelatingtotheOriginalContract.2.3NoFurtherObligationsThePartiesagreethatupontheterminationoftheOriginalContract,neitherPartyshallbeobligatedtoperformanyfurtheractsorobligationsundertheOriginalContract,exceptasspecificallyprovidedinthisAgreement.ARTICLE3:ASSETSANDPROPERTY3.1ReturnofPropertyAllproperty,documents,materials,anditems(whethertangibleorintangible)exchangedorusedundertheOriginalContractshallbereturnedtotheirrespectiveownerswithindaysfromthedateofthisAgreement.ThePartiesshallcooperateingoodfaithtoensurethesmoothtransferofanysuchproperty.3.2AccesstoRecordsThePartiesacknowledgethattheymayrequireaccesstorecordsanddocumentsrelatedtotheOriginalContractforlegitimatebusinesspurposes.Accordingly,thePartiesagreetomakeavailabletoeachother,uponreasonablenotice,copiesofanysuchrecordsasarereasonablynecessaryfortheirrespectivebusinesses.ARTICLE4:CONFIDENTIALITY4.1ObligationtoMaintainConfidentialityBothPartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseofnegotiatingandexecutingthisAgreement,exceptasrequiredbyapplicablelawsorregulations.4.2NoUnauthorizedDisclosureNeitherPartyshalldiscloseanysuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld.ARTICLE5:NON-DISPARAGEMENT5.1AgreementNottoDisparageBothPartiesagreethattheywillnotmakeanystatementsortakeanyactionsthatcouldreasonablybeconstruedasdisparagingthebusiness,reputation,orgoodwilloftheotherParty,whetherduringorafterthetermofthisAgreement.ARTICLE6:GOVERNINGLAW6.1ApplicableLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionof,withoutregardtoitsconflictoflawsprinciples.6.2JurisdictionandVenueAnylegalproceedingsarisingoutoforrelatingtothisAgreementshallbebroughtexclusivelyinthecourtsof(the"Jurisdiction").ThePartiessubmittotheexclusivejurisdictionofsuchcourtsandwaiveanyobjectionbasedonvenueorforumnonconveniens.ARTICLE7:MISCELLANEOUS7.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,ordiscussions,whetheroralorwritten,betweenthemrelatingthereto.7.2AmendmentsNoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothParties.7.3SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceableunderapplicablelaw,suchprovisionshallbedeemedseveredfromthisAgreement,buttheremainingprovisionsshallremaininfullforceandeffect.7.4NoticesAllnotices,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredpersonally,byregisteredorcertifiedmail(returnreceiptrequested),orbyovernightcourierservicetotheaddressessetforthbelow:ForPartyA:,ForPartyB:,7.5CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanor
