2025外贸函电之-合同与执行ContractandImplementationContractandImplementationThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetween:Seller:,incorporatedunderthelawsof,withitsprincipalplaceofbusinessat.(Hereinafterreferredtoasthe"Seller".)Buyer:,incorporatedunderthelawsof,withitsprincipalplaceofbusinessat.(Hereinafterreferredtoasthe"Buyer".)WHEREAS,theSellerandtheBuyerwishtoestablishamutuallybeneficialtraderelationshipthroughthesupplyofcertaingoodsorservicesasdescribedherein;ANDWHEREAS,bothpartiesdesiretodefinetheirrespectiverightsandobligationsinaclearandprecisemanner;NOW,THEREFORE,theSellerandtheBuyeragreeasfollows:1.ScopeofSupplyTheSelleragreestosupplythefollowinggoods/services:(hereinafterreferredtoasthe"Goods").Thedetailedspecifications,quantities,andotherrelevanttermsareoutlinedinExhibitAattachedhereto.2.PriceandPaymentTerms2.1ThetotalpricefortheGoodsis.Thispriceissubjecttoadjustmentundertheconditionsspecifiedherein.2.2TheBuyershallmakepaymentasfollows:Initialdepositof%ofthetotalamountuponsigningthisAgreement.Remainingbalanceduedayspriortothescheduleddeliverydate.2.3Allpaymentsshallbemadein,transferredtotheSeller'sdesignatedaccount:.3.DeliveryandTransportation3.1TheGoodsshallbedeliveredtotheBuyeratthelocationspecifiedasfollows:DeliveryAddress:DeliveryDate:3.2TheGoodsshallbeshippedunderthetermsof.(E.g.,FOB,CIF,etc.)3.3TheSellershallprovideallnecessarydocuments,includingbutnotlimitedto,commercialinvoices,certificatesoforigin,andshippingmanifests.4.QualityAssurance4.1TheSellerwarrantsthattheGoodsshallconformtothespecificationsoutlinedinExhibitAandbefreefromdefectsforaperiodof.AnydiscrepanciesordefectsmustbenotifiedtotheSellerwithindaysafterdelivery.4.2Intheeventofnon-conformity,theBuyermayrequestreplacementorrepairattheSeller'sexpense,providedthatsuchclaimsarejustifiedandsupportedbyrelevantdocumentation.5.IntellectualPropertyRights5.1AllintellectualpropertyrightsrelatedtotheGoodsshallremainthesolepropertyofthe.Theotherpartyshallnotclaimanyrightstheretounlessotherwiseagreeduponinwriting.5.2TheBuyeragreesnottoreverse-engineer,copy,orotherwiseexploitanyproprietaryinformationcontainedwithintheGoodswithoutpriorwrittenconsentfromtheSeller.6.ForceMajeure6.1Neitherpartyshallbeheldliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics.6.2Uponoccurrenceofaforcemajeureevent,theaffectedpartyshallpromptlynotifytheotherandmakereasonableeffortstomitigateitseffects.7.DisputeResolution7.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheparties.7.2Ifnegotiationsfail,thedisputeshallbesubmittedtothejurisdictionofforresolutioninaccordancewiththelawsofthatjurisdiction.7.3Thepartiesagreetocooperatefullyandprovideallnecessarydocumentationtofacilitateapromptandamicableresolution.8.AmendmentsandTermination8.1AnyamendmentsormodificationstothisAgreementmustbemadeinwritingandsignedbybothparties.8.2EitherpartymayterminatethisAgreementuponwrittennoticeiftheotherpartybreachesanymaterialtermandfailstocuresuchbreachwithindaysofreceivingnoticethereof.9.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,excludingitsconflictoflawsprinciples.10.Miscellaneous10.1ThisAgreementconstitutestheentireunderstandingbetweenthepartiesregardingthesubjectmatterhereofandsupersedesallprioragreementsorunderstandings.10.2AnynoticesrequiredunderthisAgreementshallbeinwritinganddeliveredpersonally,byregisteredmail,orbyemail(ifagreeduponinwriting).10.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotconstituteawaiverthereoforpreventthesubsequentenforcementofsuchprovisionoranyotherprovision.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefi
