2025年船舶配件维修合同英文版模板ThisContractismadeandenteredintoasof[InsertDate],byandbetween[Owner'sFullNameandAddress],hereinafterreferredtoasthe"Owner,"and[Repairer'sFullNameandAddress],hereinafterreferredtoasthe"Repairer."1.PartiesThisContractisenteredintobetweentheOwner,theownerofthevesseldescribedherein,andtheRepairer,acompanyengagedinprovidingmarinerepairservices.2.DescriptionofVesselThevesselsubjectmatterofthisContractisthe[VesselName],registeredundertheflagof[FlagCountry],withIMONumber[IMONumber],vesselnumber[VesselNumber],andgrosstonnage[GrossTonnage].Thevesseliscurrentlyberthedat[PortName],[Country].3.ScopeofWorkTheRepairershallperformthefollowingrepairservicesonthevessel:*[DetailedDescriptionofComponent1,includingname,model,quantity,location,faultdescription,andrepairrequirements].*[DetailedDescriptionofComponent2,includingname,model,quantity,location,faultdescription,andrepairrequirements].*[Continuetolistallcomponentstoberepaired].Therepairsshallbeconductedinaccordancewiththemanufacturer'sinstructions,applicableinternationalstandards,andrelevantclassificationsocietyrules,asmaybespecifiedbytheOwnerorapplicablelaw.4.DurationofWorkTheestimateddurationforcompletingtherepairsshallbe[Number]daysfromtheCommencementDate,unlessextendedduetounforeseencircumstancesbeyondthecontroloftheRepairer,forcemajeure,oruponmutualagreementbetweentheOwnerandtheRepairer.5.LocationofWorkTherepairsshallbeperformedatthevessel'scurrentberthinglocationat[PortName],[Country],oratsuchotherlocationastheOwnermaydesignateinwriting.6.PaymentTermsThetotalcontractpricefortherepairsis[ContractPrice][Currency],payableasfollows:*[Percentage]percent,or[Amount],shallbepaidbytheOwneruponsigningthisContract.*[Percentage]percent,or[Amount],shallbepaidbytheOwneruponcompletionof[SpecificStageofWork].*Theremaining[Percentage]percent,or[Amount],shallbepaidbytheOwneruponsuccessfulacceptanceoftherepairsbytheOwner.*Allpaymentsshallbemadewithoutdeductionorset-offexceptasprovidedbylaw.Allpaymentsshallbemadewithin[Number]daysofthedateonwhichtherelevantinvoiceisreceivedbytheOwner.Thecurrencyofpaymentshallbe[Currency].AllinvoicesshallbeinEnglishandshallbeissuedbytheRepairer.7.InspectionandAcceptanceTheOwnershallhavetherighttoinspecttherepairsatanyreasonabletimeduringtherepairperiod.TherepairsshallbedeemedtohavebeenaccepteduponthewrittencertificationoftheOwner,oritsauthorizedrepresentative,indicatingsatisfactorycompletionoftheworkinaccordancewiththisContract.Iftherepairsarenotacceptedwithin[Number]daysaftercompletion,theRepairershallbedeemedtohavesatisfieditsobligationsunderthisContract.8.LiabilityandIndemnityTheRepairershallberesponsibleforalldamagesresultingfromitsnegligenceordefaultintheperformanceofthisContract.TheOwnershallindemnifyandholdharmlesstheRepaireragainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeOwner'suseoftherepairedcomponentsorthevessel,providedthatsuchclaims,losses,ordamagesareattributabletotheOwner'sfaultornegligence.NeitherpartyshallbeliableforanydelayorfailureinperformingitsobligationsunderthisContractduetoforcemajeureevents,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,civilcommotion,orgovernmentactions.9.ConfidentialityBothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisContract,includingbutnotlimitedtothespecificationsofthevessel,thedetailsoftherepairs,andthepriceterms.ThisconfidentialityobligationshallsurvivetheterminationofthisContractforaperiodof[Number]yearsaftertheendoftherepairwork.10.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry].AnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationsbetweentheparties.Ifthedisputecannotbesettledthroughnegotiationwithin[Number]days,thepartiesshallsubmitthedisputeto[ArbitrationInstitution]forarbitrationinaccordancewiththearbitrationrulesof[ArbitrationInstitution].Theplaceofarbitrationshallbe[City],[Country].ThelanguageofarbitrationshallbeEnglish.11.TerminationThisContractmaybeterminatedbyeitherpartyupon[Number]days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstoremedysuchbreachwithin[Number]daysofreceivingwrittennotice.Upontermination,theOwnershallpaytheRepairerallamountsdueunderthisContract,andtheRepairershallreturnallmaterialsandequipmentbelongingtotheOwner.12.MiscellaneousThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiationsbetweenthepartiesregardingthesubjectmatterofthisContract.ThisContractmayonlybeamendedinwritingandsignedbybothparties.AllnoticesunderthisContractshallbeinwritingandshallbedeemedtohavebeendeliveredwhensentbyregisteredpostoremailtotheaddressessetforthinthisContract.ThisContractshallbe
