跨境电商2025年翻译服务协议PartiesThisTranslationServiceAgreement(the"Agreement")isenteredintoandeffectiveasof[StartDate],2025(the"EffectiveDate"),byandbetween[ServiceProviderCompanyName],acompanyincorporatedin[ServiceProviderCountry]withitsprincipalplaceofbusinessat[ServiceProviderAddress]("ServiceProvider"),and[ClientCompanyName],acompanyincorporatedin[ClientCountry]withitsprincipalplaceofbusinessat[ClientAddress]("Client").DefinitionandExplanationInthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothem:1."TranslationService"meansthetranslationoftext,documents,audio,video,andothermaterialsfromasourcelanguagetoatargetlanguageasagreeduponinthisAgreement,includingtheuseoftranslationmemory,terminologydatabases,andmachinetranslationtools,aswellashumantranslationandproofreadingservices.2."SourceLanguage"meansthelanguageinwhichtheoriginaltextorcontentiswritten.3."TargetLanguage"meansthelanguageintowhichthetextorcontentistobetranslated.4."TerminologyDatabase"meansastructuredcollectionofspecializedtermsandtheirtranslationsusedtoensureconsistencyintranslations.5."MachineTranslation"meanstheuseofcomputersoftwaretoautomaticallytranslatetextfromasourcelanguagetoatargetlanguage.6."HumanTranslation"meansthetranslationoftextorcontentbyaqualifiedhumantranslator.7."Proofreading"meansthereviewofatranslatedtextbyahumantranslatororaspecialisttocorrecterrorsandimprovequality.8."Project"meansaspecifictranslationjoborsetofjobsidentifiedbyClientandagreeduponwithServiceProvider.ScopeofWork1.ServicesProvided:ServiceProvidershallprovidethefollowingtranslationservicestoClient:a.Translationofproductinformation,includingproducttitles,descriptions,specifications,packaging,andlabels.b.Translationofwebsitecontent,includingcompanyintroductions,productpages,blogposts,andmarketingmaterials.c.Translationofmarketingcopy,includingadvertisements,socialmediacontent,andemailmarketingmaterials.d.Translationofcustomerservicecommunications,includingonlinechats,emailcorrespondence,andproductinquiries.e.[Addanyotherspecificservicesasagreeduponbybothparties].2.Languages:Thetranslationservicesshallbeprovidedfrom[ListofSourceLanguages]to[ListofTargetLanguages].3.TranslationTools:ServiceProvidershallutilizemachinetranslationtools,translationmemorysoftware,andterminologydatabasestoprovideefficientandconsistenttranslations.HumantranslationandproofreadingshallbeprovidedasspecifiedinthisAgreement.4.FileFormats:ServiceProvidershallacceptfilesinthefollowingformats:[Listofacceptedfileformats].ThetranslatedfilesshallbeprovidedintheformatspecifiedbyClientorinacommonlyusedformatifnotspecified.5.TerminologyManagement:ServiceProvidershallcreateandmaintainaterminologydatabaseforClient'sprojectstoensureconsistencyintheuseofspecializedterms.6.StyleGuide:ServiceProvidershalladheretothestyleguideandtonespecifiedbyClientintheprojectbrieforotheragreed-upondocumentation.FeesandPaymentTerms1.Pricing:ThefeesforTranslationServicesshallbebasedon[Specifypricingmodel,e.g.,perword,perdocument,perhour]atarateof[Specifyrate][Specifycurrency].Pricesmayvarybasedonthecomplexityoftheproject,urgency,andspecificrequirements.2.Quotations:ServiceProvidershallprovideClientwithaquotationwithin[Number]businessdaysofreceivingaprojectbrieforrequestfromClient.3.PaymentMethod:Paymentsshallbemadevia[Specifypaymentmethod,e.g.,banktransfer,creditcard]tothefollowingaccountinformation:a.AccountName:[AccountName]b.BankName:[BankName]c.AccountNumber:[AccountNumber]d.RoutingNumber:[RoutingNumber]4.PaymentSchedule:Clientshallpaythefollowing:a.[Specifypercentage]ofthetotalprojectcostasanupfrontpaymentuponsigningthisAgreement.b.[Specifypercentage]oftheremainingbalanceuponcompletionoftheproject.c.Thefinal[Specifypercentage]ofthebalanceshallbepaidwithin[Number]daysofreceiptofthefinalinvoice.5.Invoices:ServiceProvidershallissueaninvoicewithin[Number]daysofcompletionofeachprojectoruponpaymentrequestbyClient.Invoicesshallincludedetailsoftheproject,feescharged,andpaymentterms.6.Taxes:AllfeesspecifiedinthisAgreementare[Specifyiftaxesareincludedorexcluded].Clientshallberesponsibleforanytaxesapplicabletotheservicesreceived.DeliveryTimeline1.StandardTranslationTurnaround:ServiceProvidershallcompletestandardtranslationswithin[Number]businessdaysofreceivingthesourcefilesfromClient.2.UrgentTranslationTurnaround:Forurgenttranslations,ServiceProvidershallprovideaquotedturnaroundtimebasedontheurgencyspecifiedbyClient.Additionalfeesmayapplyforurgentprojects.3.ProjectDeadlines:SpecificdeadlinesforeachprojectshallbeagreeduponinwritingbetweenServiceProviderandClientandshallbeincludedintheprojectbrief.4.Delays:IfServiceProvideranticipatesadelayincompletingaproject,ServiceProvidershallnotifyClientimmediatelyandprovideanupdatedestimatedcompletiondate.IfthedelayisduetothefaultofServiceProvider,ServiceProvidershall[Specifyconsequences,e.g.,provideadiscountontheprojectcost].QualityAssurance1.QualityStandards:ServiceProvidershallensurethatalltranslationsmeetthefollowingqualitystandards:a.Accuracy:Thetranslationsshallaccuratelyconveythemeaningofthesourcetext.b.Fluency:Thetranslationsshallreadnaturallyinthetargetlanguage.c.Consistency:Terminologyandstyleshallbeconsistentthroughoutthetranslation.2.ProofreadingProcess:Alltranslationsshallundergoaproofreadingprocessbyaqualifiedhumantranslatororspecialisttocorrecterrorsandimprovequality.3.ErrorCorrection:Clientshallhavetherighttoreviewthetranslatedcontentandprovidefeedbackwithin[Number]daysofreceipt.ServiceProvidershallcorrectanyidentifiederrorswithin[Number]daysofreceivingthefeedback.4.QualityGuaranteePeriod:ServiceProvidershallguaranteethequalityofitstranslationsforaperiodof[Number]daysfromthedateofdelivery.Duringthisperiod,ServiceProvidershallrectifyanyerrorsorissuesidentifiedbyClient.Confidentiality1.ConfidentialInformation:"ConfidentialInformation"meansanynon-publicinformationdisclosedbyeitherPartytotheotherPartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,clientinformation,productinformation,financialdata,andtechnicalinformation.2.ObligationsofConfidentiality:EachPartyshallholdtheConfidentialInformationoftheotherPartyinthestrictestconfidenceandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.EachPartyshallusetheConfidentialInformationsolelyforthepurposesofthisAgreementandshallnotuseitforanyotherpurpose.3.TermofConfidentiality:TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[Number]yearsfollowingtheterminationdate.4.LiabilityforBreach:EachPartyshallbeliableforanydamagesresultingfromabreachoftheconfidentialityobligationssetforthinthisAgreement.IntellectualPropertyRights1.OwnershipofTranslations:UponfullpaymentofallfeesdueunderthisAgreement,theintellectualpropertyrightsinthetranslationscreatedbyServiceProviderforClientshallbetransferredtoClient.Clientshallhavetherighttouse,reproduce,anddistributethetranslationsforthepurposesspecifiedinthisAgreement.2.ServiceProviderRights:ServiceProvidershallretaintherighttousetranslationscreatedforClientforinternaltraining,qualityassurance,andpromotionalpurposes,providedthatServiceProviderdoesnotdiscloseClient'sConfidentialInformationandobtainsClient'spriorwrittenconsentifitintendstousethetranslationsforpromotionalpurposes.Liability1.LimitationofLiability:ServiceProvider'stotalliabilityunderthisAgreementshallbelimitedtothetotalfeespaidbyClientfortheservicesprovidedunderthisAgreementinthetwelve(12)monthsprecedingthedateoftheclaim.ServiceProvidershallnotbeliableforanyindirect,incidental,consequential,orpunitivedamages.2.Exclusions:ServiceProvidershallnotbeliableforanydamagesresultingfrom:a.TheuseoftranslationsbyClientinamannerthatisnotauthorizedbythisAgreement.b.ErrorsoromissionsinthesourcematerialprovidedbyClient.c.ActsofGod,war,terrorism,orothereventsbeyondServiceProvider'sreasonablecontrol.3.MaximumLiability:TheliabilityofServiceProviderunderthisAgreementshallnotexceed[Specifymaximumliabilityamountorstatethatthereisnomaximumliability].TermandTermination1.Term:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodofone(1)year,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement(the"Term").2.Termination:ThisAgreementmaybeterminatedbyeitherPartyupon[Number]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysofreceivingwrittennoticeofthebreach.Upontermination,Clientshallpayalloutstandingfeesforservicesrendereduptothedateoftermination.3.ConsequencesofTermination:UponterminationorexpirationofthisAgreement,bothPartiesshall:a.ReturnallConfidentialInformationbelongingtotheotherParty.b.CeasealluseofthetranslationscreatedunderthisAgreement.c.FulfillanyoutstandingobligationsunderthisAgreement.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State],withoutregardtoitsconflictoflawprinciples.2.DisputeResolution:AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[Specifyarbitrationinstitution,e.g.,AmericanArbitrationAssociation]("AAA").Thearbitrationshallbeconductedin[Specifylocation]andshallbeconductedintheEnglishlanguage.ThedecisionofthearbitratorshallbefinalandbindingonbothParties.Miscellaneous1.Notices:AllnoticesunderthisAgreementshallbeinwritingandsh
