跨境电商物流服务协议（2025年国际）PartiesThisCross-BorderE-commerceLogisticsServiceAgreement(hereinafterreferredtoasthe"Agreement")isenteredintoandmadeeffectiveasof[EffectiveDate],byandbetween:[LogisticsServiceProviderName](hereinafterreferredtoasthe"Logistiker"),havingitsregisteredofficeat[Logistiker'sAddress],and[Shipper/ConsignorName](hereinafterreferredtoasthe"Shipper"),havingitsregisteredofficeorprincipalplaceofbusinessat[Shipper'sAddress].DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothemunlessthecontextotherwiserequires:1."Agreement"meansthisCross-BorderE-commerceLogisticsServiceAgreement,includingallamendmentsandmodificationstheretowhichhavebeendulyexecutedbybothParties.2."Logistiker"means[LogisticsServiceProviderName]anditsrespectiveaffiliates.3."Shipper"means[ShipperName]anditsrespectiveaffiliates.4."Cross-BorderE-commerceLogisticsService"referstotheservicesprovidedbytheLogistikertotheShipper,includingbutnotlimitedtointernationaltransportation(byair,sea,rail,road,orcombinationthereof),customsclearancebrokerage,warehousing(ifapplicable),finaldistribution(ifapplicable),andreturnlogisticsservicesrelatedtogoodssoldthroughe-commerceplatformscrossingatleastonenationalborder.5."Goods"meansallcommoditiesanditemsbeingtransportedunderthisAgreement,includingsamplesandreturnedgoods,unlessotherwisespecified.6."ServiceTerm"meanstheperiodcommencingontheEffectiveDateandendingon[EndDate,ifapplicable,otherwisestate"untilterminatedaspertheprovisionsofthisAgreement"].7."Incoterms®2020"shallbeapplicable,andreferencesaretothe2020versionpublishedbytheInternationalChamberofCommerce.8."Carrier"meanstheairline,shippingline,railwaycompany,orcarrieractuallyperformingallorpartofthetransportationunderthisAgreement.9."BillofLading/AirWaybill/RailWaybill/TransportDocument"meansthecontractofcarriageandreceiptfortheGoodsissuedbytheCarrieroritsagent.10."CustomsDeclaration"meansthedeclarationmadetothecustomsauthoritiesfortheimportorexportofGoods.11."CustomsDutiesandTaxes"meansallduties,taxes,fees,andchargesimposedbyanygovernmentalauthorityrelatedtotheimportorexportofGoods,includingbutnotlimitedtoimportduties,value-addedtax,andconsumptiontax.12."Warehouse"meansanyplacedesignatedbytheLogistikerforthestorageofGoods.13."Loss"meansthetotallossoftheGoods.14."Damage"meansanyimpairmentoftheGoods.15."Delay"meansanydeviationfromtheagreed-upontransittimesorservicestandards,asspecifiedinthisAgreement.ServiceScopeTheLogistikershallprovidethefollowingCross-BorderE-commerceLogisticsServicestotheShipper(the"Services"),subjecttothestandardsandtermssetforthinthisAgreement:1.InternationalTransportation:ArrangingandbookingtransportationfortheGoodsbetween[OriginLocation]and[DestinationLocation]via[PreferredMode(s)ofTransport,e.g.,air,sea].ThespecificmodemaybeadjustedbytheLogistikerbasedonfeasibilityandagreement,unlessotherwisespecifiedforaparticularshipment.2.Documentation:Issuingtheapplicabletransportdocuments(e.g.,AirWaybill,BillofLading,RailWaybill)asrequired.3.CustomsClearance:ActingastheShipper'sagent,performingorassistingtheShipperinperformingallnecessarycustomsdeclarations,inspections(ifrequired),andpaymentofapplicableCustomsDutiesandTaxesfortheimportand/orexportofGoods,providedallnecessarydocumentationandinformationareprovidedbytheShipperinatimelyandaccuratemanner.4.Warehousing(ifapplicable):StoringtheGoodsattheLogistiker'sdesignatedWarehouse(s)uponarrival,subjecttothetermsofaseparateWarehousingAgreementorthesetermsasapplicable.Thisincludesreceiving,inventorying,storing,anddispatchingGoodsaccordingtotheShipper'sinstructions.5.FinalDistribution(ifapplicable):DeliveringtheGoodstotheendconsumerattheDestinationLocationusingtheLogistiker'snetworkordesignatedlocalpartners,includingobtainingdeliveryconfirmation.6.ReturnLogistics(ifapplicable):ManagingtheprocessofreturningGoodsfromtheDestinationLocationbacktotheOriginLocationoranotherdesignatedlocation,asagreedupon.ServiceStandardsTheLogistikershallstrivetoprovidetheServicesinaccordancewiththefollowingstandards:1.TransitTimes:Theestimatedtransittimesfordifferentservicelevels(e.g.,Standard,Express)shallbeasfollows:[Detailestimatedtimesfromorigintodestinationforrelevantservices,includingcustomsprocessingestimates].Theseareestimatesandmaybesubjecttounforeseendelays.2.SafetyandSecurity:TheLogistikershallexerciseduecaretoensurethesafetyandsecurityoftheGoodsduringhandlingandtransportation,employingreasonablesecuritymeasurestopreventloss,theft,ordamage.3.Accuracy:TheLogistikershallensuretheaccuracyofalldocumentationpreparedonbehalfoftheShipper,basedontheinformationprovided.4.TrackingandVisibility:TheLogistikershallprovidetheShipperwithauniquetrackingnumber(s)andaccesstoaweb-basedtrackingsystemenablingreal-timevisibilityoftheGoods'locationandstatusduringtransit.Logistiker'sObligations1.ProvidetheServicesasdescribedinthisAgreementwithduecareandprofessionalism.2.Complywithallapplicableinternationalandlocallaws,regulations,andcustomsproceduresrelatedtothetransportationandcustomsclearanceoftheGoods.3.ExercisereasonablecaretopreventlossordamagetotheGoodswhileintheLogistiker'scustodyorunderitscontrol.4.IssueallrequiredtransportdocumentsandprovidetheShipperwithtimelyandaccurateupdatesontheGoods'status.5.ActasanagentfortheShipperincustomsclearancematters,usingreasonableeffortstoensurecomplianceandtimelyclearance.6.Maintaintheconfidentialityofallnon-publicinformationreceivedfromtheShipper.7.CooperatewiththeShipperandtheCarrierintheeventofanyclaims,losses,ordamages.8.NottransferanyrightsorobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheShipper.Shipper'sObligations1.Provideallnecessaryandaccurateinformation,includingbutnotlimitedtodescriptionsoftheGoods,quantities,values,weights,dimensions,origincountry,destinationcountry,andrequiredcustomsinformation(HScodes,origincertificates,etc.),andcertifythatallsuchinformationistrueandcorrect.2.PayallfeesandchargesdueunderthisAgreement,includingtransportationcosts,customsduties,taxes,andanyotherexpensesincurredbytheLogistikeronbehalfoftheShipper,withinthepaymenttermsspecifiedherein.3.Properlypackage,mark,andlabeltheGoodsforinternationaltransportandstorage,ensuringtheyaresuitableforthechosenmode(s)oftransport.4.CooperatefullywiththeLogistikeranditsagentsinloading,handling,andunloadingtheGoods.5.PromptlyrespondtoanyreasonablerequestsfromtheLogistikerforadditionalinformation,documents,orinstructionsnecessarytoperformitsobligationsunderthisAgreement.6.IndemnifytheLogistikeragainstanylosses,damages,claims,orliabilitiesarisingfromtheShipper'sincorrectstatements,misrepresentations,ornon-compliancewithapplicablelawsorthisAgreement.7.NottransferanyrightsorobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheLogistiker.Fees,Payment,andSettlement1.FeeStructure:ThefeesfortheServicesshallbeasfollows:*Basictransportationchargesforinternationalmovementbasedon[Unit,e.g.,perkg,perCBM,perpiece,perorder].*Customsclearancefees,includingbrokeragefeesandagentfees,coveringthepreparationandfilingofdocumentsandpaymentofdutiesandtaxes,ifapplicable.*Warehousingfees,ifapplicable,basedon[Method,e.g.,perunitstoragespaceperday,perpalletpermonth].*Finaldistributionfees,ifapplicable,basedon[Method,e.g.,perdelivery,perorder].*Surchargesmayapplyforadditionalservices(e.g.,expresshandling,dangerousgoods,customsinspectionfees)orextraordinarycircumstances(e.g.,fuelsurcharges,securityfees)asoutlinedintheLogistiker'spublishedtariff,providedtheyarereasonablyanticipatedanddisclosedinadvance.*PaymentforanyapplicabletaxesanddutiesistheresponsibilityoftheShipperunlessotherwiseagreedinwriting.2.PaymentTerms:Allpaymentsshallbemadeby[Method,e.g.,wiretransfer]totheBankAccountoftheLogistikerspecifiedbelowwithin[Number,e.g.,30]daysaftertheinvoicedate.Thecurrencyofpaymentshallbe[Currency,e.g.,USD].Allpaymentsshallbenetofallcharges.*BankName:[Logistiker'sBankName]*BankAddress:[Logistiker'sBankAddress]*AccountName:[Logistiker'sAccountName]*AccountNumber:[Logistiker'sAccountNumber]*SWIFT/BICCode:[Logistiker'sSWIFTCode]3.Settlement:Settlementcyclesshallbe[e.g.,monthly],withstatementsprovided[e.g.,onthe5thofeachmonth]andpaymentsdue[e.g.,bythe25thofeachmonth].Disputesregardinginvoicesshallberesolvedpriortopayment.RiskAllocationandLiability1.RiskTransfer:TheriskoflossordamagetotheGoodsshallpassfromtheShippertotheLogistikerupon[SpecifyPointofRiskTransfer,e.g.,theGoodsbeingplacedonboardthefirstcarrierattheorigin,theGoodsbeingdeliveredtothecustomsauthoritiesattheorigin,theGoodsbeingplacedatthedisposalofthecarrieratthedestination,theGoodsbeingsuccessfullyclearedthroughcustomsatthedestinationanddeliveredtothedesignatedwarehouse/finalconsignee].2.LiabilityofLogistiker:TheLogistiker'sliabilitytotheShipperforanyloss,damage,ordelayintheGoodsshallbelimitedto[SpecifyLimitation,e.g.,thevalueoftheGoods,afixedamountpershipment,asdefinedbyapplicableinternationalconventions(e.g.,Hague-VisbyRulesforsea,WarsawConventionforair)andmodifiedbythisAgreement].ThislimitationdoesnotapplytoliabilityarisingfromtheLogistiker'sgrossnegligenceorwillfulmisconduct.TheLogistikershallbeindemnifiedbytheShipperforanyclaimsmadebythirdpartiesagainsttheLogistiker.3.LiabilityofShipper:TheShippershallbeliableforanylossordamagecausedbythenatureorqualityoftheGoods,orbyanyincorrectstatementsorinformationprovidedtotheLogistiker.4.ForceMajeure:NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,insurrection,civilcommotion,governmentactionsorregulations,strikes,lockouts,fire,flood,orepidemic.TheaffectedPartyshallpromptlynotifytheotherPartyofsucheventandusereasonableeffortstomitigateitseffects.ConfidentialityEachPartyacknowledgesthatduringthetermofthisAgreementandforaperiodof[Number,e.g.,five]yearsthereafter,itmayhaveaccesstotheotherParty'sConfidentialInformation,whichincludesbutisnotlimitedtobusinessplans,financialdata,customerlists,pricingstrategies,logisticalmethods,andothernon-publicinformation.EachPartyagreestoholdsuchConfidentialInformationinstrictconfidenceandnottouseitforanypurposeotherthanperformingitsobligationsunderthisAgreement,andnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder.Term,Amendments,andTermination1.Term:ThisAgreementshallcommenceontheEffectiveDateandcontinueineffectfor[Duration,e.g.,oneyear]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.Ifnodurationisspecified,theAgreementshallcontinueindefinitelyuntilterminated.2.Amendments:ThisAgreementmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofbothParties.3.Termination:ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,thirty]days'writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenotifiedperiod.Upontermination,theShippershallpayalloutstandingfeesandchargesowedtotheLogistiker.TheLogistikershallreturntotheShipperanyundeliveredGoodsandallshippingdocumentsbelongingtotheShipper,subjecttoitsrightsandobligationsunderthisAgreement.Theconfidentialityandnon-transferprovisionsshallsurvivetermination.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction,e.g.,Switzerland]withoutregardtoitsconflictoflawsprinciples.2.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledby[ArbitrationorLitigation].IfArbitrationischosen:*The仲裁shallbeconductedbeforethe[ArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]InstituteofArbitration.*Theseatofthearbitrationshallbe[City,e.g.,Geneva,Switzerland].*TheRulesofArbitrationapplicableshallbethe[RuleVersion,e.g.,2020]Rulesofthe[ArbitrationInstitution].*Thedecisionofthe仲裁shallbefinalandbindingonbothParties.IfLitigationischosen:*ThePartiesagreetosubmittotheexclusivejurisdictionofthecourtslocatedin[City/County,e.g.,Zurich,Switzerland]fortheresolutionofanydisputearisingunderthisAgreement.Thecourtproceedingsshallbeconductedinthe[Language,e.g.,German/French/English]language.NotifiablePartiesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyreputableovernightcourier,sentbyregisteredorcertifiedmail(returnreceiptrequested),orsentbyemail(withconfirmationofreceipt)totheaddressessetforthbelowortosuchotheraddressaseitherPartymaydesignateinwriting.*ToLogistiker:At[Logistiker'sAddress]or[Logistiker'sEmailAddress]*ToShipper:At[Shipper'sAddress]or[Shipper'sEmailAddress]EntireAgreementThisAgreement,includingtheattachments[ifany,thoughnoneareattachedasperinstruction],constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtosuchsubjectmatter.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchinvalidity,illegality,orunenforceabilityshallnotaffectanyotherprovi
