顾问保密协议（中文版）甲方（委托方）：________________________统一社会信用代码：________________________地址：________________________联系方式：________________________乙方（顾问）：________________________身份证号码：________________________住址：________________________联系方式：________________________鉴于甲方因________________________事项（以下简称“委托事项”）需要聘请乙方作为顾问，为甲方提供专业咨询服务。在服务过程中，乙方将接触、知悉甲方的大量保密信息。为保护甲方的商业秘密和合法权益，根据《中华人民共和国民法典》等相关法律法规，甲乙双方本着平等自愿、诚实信用的原则，达成如下保密协议，以资共同遵守：一、保密信息的定义及范围1.1本协议所称“保密信息”，是指甲方在委托事项服务过程中向乙方披露的，或乙方在提供服务过程中自行接触、知悉的，甲方未公开的，能够为甲方带来经济利益或具有其他保密价值的所有信息，包括但不限于书面文件、电子数据、口头信息、实物资料等各种形式。1.2具体范围包括：（1）技术信息：技术方案、技术图纸、技术参数、研发成果、实验数据、软件程序、技术诀窍等；（2）经营信息：商业计划、经营策略、客户名单、供应商信息、销售数据、财务报表、定价方案、招投标文件等；（3）委托事项相关信息：委托事项的具体要求、工作方案、进展情况、成果文件、甲方内部对委托事项的讨论记录等；（4）其他：甲方的内部管理制度、人员信息、未公开的重大决策等。二、保密义务2.1乙方承诺，对其接触、知悉的所有保密信息严格保密，不得向任何第三方泄露、披露、传播，不得为任何目的（除履行本协议约定的顾问服务义务外）使用该保密信息。2.2乙方应采取合理的保密措施保护保密信息，包括但不限于妥善保管涉及保密信息的文件、资料，不擅自复制、摘抄、传播，不在非工作场合谈论保密信息等。2.3乙方不得利用保密信息为自己或任何第三方谋取利益，不得将保密信息用于与委托事项无关的其他项目或活动。2.4乙方在提供顾问服务过程中，应仅将保密信息披露给其为完成委托事项而必须知悉的辅助人员，且应确保该等辅助人员遵守本协议约定的保密义务，并对该等辅助人员的行为承担连带责任。2.5委托事项结束后，乙方应立即停止使用甲方的保密信息，并在甲方要求的期限内，将所有涉及保密信息的文件、资料、电子数据等原件及复印件返还给甲方，或按照甲方的要求予以销毁，并出具书面销毁证明。三、保密信息的例外情形3.1法律法规或司法机关、行政机关的强制性规定要求乙方披露保密信息的，乙方应在披露前及时通知甲方，并在甲方许可的范围内披露，或按照法定程序披露。3.2已为公众所知悉的信息，且该信息的公开并非因乙方的违约行为导致。3.3乙方在甲方披露之前已合法拥有或独立开发的信息。3.4从第三方合法获取的信息，且第三方对该信息无保密义务。四、违约责任4.1如乙方违反本协议约定，泄露、披露或不当使用甲方的保密信息，应立即停止违约行为，并向甲方支付违约金人民币______元。4.2如乙方的违约行为给甲方造成损失的，违约金不足以弥补损失的，乙方还应赔偿甲方的实际损失，包括但不限于直接经济损失、间接经济损失、律师费、诉讼费、调查取证费等。4.3如因乙方违约导致甲方的商业秘密被侵犯，甲方有权解除与乙方的顾问服务协议，并要求乙方承担由此造成的一切损失。五、协议的生效与期限5.1本协议自双方签字或盖章之日起生效。5.2本协议约定的保密义务期限为自本协议生效之日起至保密信息成为公开信息之日止；即使顾问服务协议终止，本协议约定的保密义务仍然有效。六、争议解决因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。七、其他7.1本协议是顾问服务协议的组成部分，与顾问服务协议具有同等法律效力。7.2本协议未尽事宜，双方可另行签订补充协议，补充协议与本协议具有同等法律效力。7.3本协议一式两份，甲乙双方各执一份，具有同等法律效力。（以下无正文）甲方（盖章）：________________________法定代表人或授权代表人（签字）：________________________日期：______年______月______日乙方（签字）：________________________日期：______年______月______日

EnglishVersionPartyA(EntrustingParty):________________________UnifiedSocialCreditCode:________________________Address:________________________ContactInformation:________________________PartyB(Consultant):________________________IDCardNumber:________________________ResidenceAddress:________________________ContactInformation:________________________WhereasPartyAneedstoengagePartyBasaconsultanttoprovideprofessionalconsultingservicesforPartyAinconnectionwiththe________________________matter(hereinafterreferredtoasthe"EntrustedMatter").Inthecourseofprovidingservices,PartyBwillaccesstoandbecomeawareofalargeamountofconfidentialinformationofPartyA.ToprotectPartyA'stradesecretsandlegitimaterightsandinterests,inaccordancewiththeCivilCodeofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,bothparties,ontheprincipleofequality,voluntarinessandgoodfaith,reachthefollowingconfidentialityagreementtobejointlyobserved:1.DefinitionandScopeofConfidentialInformation1.1"ConfidentialInformation"asusedinthisAgreementreferstoallinformationdisclosedbyPartyAtoPartyBinthecourseofservicesfortheEntrustedMatter,orindependentlyaccessedtoandbecomeawareofbyPartyBinthecourseofprovidingservices,whichisnotmadepublicbyPartyAandcanbringeconomicbenefitstoPartyAorhasotherconfidentialvalue,includingbutnotlimitedtovariousformssuchaswrittendocuments,electronicdata,oralinformation,physicalmaterials,etc.1.2Thespecificscopeincludes:(1)Technicalinformation:technicalschemes,technicaldrawings,technicalparameters,R&Dachievements,experimentaldata,softwareprograms,technicalknow-how,etc.;(2)Businessinformation:businessplans,businessstrategies,customerlists,supplierinformation,salesdata,financialstatements,pricingschemes,biddingdocuments,etc.;(3)InformationrelatedtotheEntrustedMatter:specificrequirements,workplans,progress,achievementdocumentsoftheEntrustedMatter,internaldiscussionrecordsofPartyAontheEntrustedMatter,etc.;(4)Others:PartyA'sinternalmanagementsystems,personnelinformation,undisclosedmajordecisions,etc.2.ConfidentialityObligations2.1PartyBundertakestostrictlykeepconfidentialallconfidentialinformationithasaccessedtoorbecomeawareof,andshallnotdisclose,reveal,disseminatetoanythirdparty,orusetheconfidentialinformationforanypurpose(exceptforperformingtheconsultingserviceobligationsagreedinthisAgreement).2.2PartyBshalltakereasonableconfidentialmeasurestoprotecttheconfidentialinformation,includingbutnotlimitedtoproperlykeepingdocumentsandmaterialsinvolvingconfidentialinformation,notarbitrarilycopying,extracting,disseminating,andnotdiscussingconfidentialinformationinnon-workoccasions,etc.2.3PartyBshallnotusetheconfidentialinformationtoseekbenefitsforitselforanythirdparty,andshallnotusetheconfidentialinformationforotherprojectsoractivitiesunrelatedtotheEntrustedMatter.2.4Inthecourseofprovidingconsultingservices,PartyBmayonlydisclosetheconfidentialinformationtoitsauxiliarypersonnelwhomustknowtheinformationtocompletetheEntrustedMatter,andshallensurethatsuchauxiliarypersonnelcomplywiththeconfidentialityobligationsagreedinthisAgreement,andshallbejointlyandseverallyliablefortheactsofsuchauxiliarypersonnel.2.5AfterthecompletionoftheEntrustedMatter,PartyBshallimmediatelystopusingPartyA'sconfidentialinformation,andwithinthetimelimitrequiredbyPartyA,returnalloriginalandcopieddocuments,materials,electronicdata,etc.involvingconfidentialinformationtoPartyA,ordestroytheminaccordancewithPartyA'srequirements,andissueawrittendestructioncertificate.3.ExceptionstoConfidentialInformation3.1IflawsandregulationsormandatoryprovisionsofjudicialorgansoradministrativeorgansrequirePartyBtodiscloseconfidentialinformation,PartyBshallnotifyPartyAinatimelymannerbeforedisclosure,anddisclosewithinthescopepermittedbyPartyAorinaccordancewithlegalprocedures.3.2Informationthatisalreadyknowntothepublic,andthedisclosureofsuchinformationisnotcausedbyPartyB'sbreachofcontract.3.3InformationthatPartyBlegallyownedorindependentlydevelopedbeforethedisclosurebyPartyA.3.4Informationlegallyobtainedfromathirdparty,andthethirdpartyhasnoconfidentialityobligationfortheinformation.4.LiabilityforBreachofContract4.1IfPartyBviolatestheprovisionsofthisAgreementbydisclosing,revealingorimproperlyusingPartyA'sconfidentialinformation,itshallimmediatelystopthebreachofcontractandpayPartyAaliquidateddamagesofRMB______.4.2IfthebreachofcontractbyPartyBcauseslossestoPartyA,andtheliquidateddamagesareinsufficienttocoverthelosses,PartyBshallalsocompensatePartyAfortheactuallosses,includingbutnotlimitedtodirecteconomiclosses,indirecteconomiclosses,attorneyfees,litigationfees,investigationandevidencecollectionfees,etc.4.3IfPartyA'stradesecretsareinfringedduetoPartyB'sbreachofcontract,PartyAhastherighttoterminatetheconsultingserviceagreementwithPartyBandrequirePartyBtobearalllossescausedthereby.5.EffectivenessandTermoftheAgreement5.1ThisAgreementshalltakeeffectonthedateofsignatureorsealbybothparties.5.2ThetermoftheconfidentialityobligationagreedinthisAgreementshallbefromtheeffectivedateofthisAgreementuntiltheconfidentialinformationbecomespublicinformation;eveniftheconsultingserviceagreementisterminated,theconfidentialityobligationagreedinthisAgreementshallstillbevalid.6.DisputeResolutionAnydisputearisingfromorinconnectionwiththisAgreementshallfirstberesolvedthroughf
