软件著作权转让协议2025年英文版ThisSoftwareCopyrightTransferAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[Transferor'sFullLegalName]("Transferor"),withitsprincipalplaceofbusinessat[Transferor'sAddress],and[Transferee'sFullLegalName]("Transferee"),withitsprincipalplaceofbusinessat[Transferee'sAddress](collectivelyreferredtoasthe"Parties").1.PartiesThePartiesaredefinedasfollows:Transferor:[Transferor'sFullLegalName],a[CompanyType]organizedandexistingunderthelawsof[State/CountryofIncorporation].Transferee:[Transferee'sFullLegalName],a[CompanyType]organizedandexistingunderthelawsof[State/CountryofIncorporation].2.SoftwareDescriptionThesoftwaresubjectmatterofthisAgreement(the"Software")isdescribedasfollows:NameofSoftware:[SoftwareName]VersionofSoftware:[SoftwareVersion]FunctionsofSoftware:[Detaileddescriptionofthesoftware'sprimaryfunctionsandtechnicalfeatures]SoftwareCode:[Specifythescopeandmethodoftransfer,e.g.,sourcecode,objectcode,etc.]SoftwareDocumentation:[Specifythescopeandmethodoftransfer,e.g.,usermanual,designdocuments,technicaldocuments,etc.]3.GrantofLicenseSubjecttothetermsandconditionssetforthinthisAgreement,TransferorherebygrantstoTransfereea[LicenseType,e.g.,perpetual,non-exclusive,exclusive]licensetouse,copy,modify,distribute,andsublicensetheSoftwaresolelyfor[LicensePurpose,e.g.,internalbusinessuse]inaccordancewiththetermsofthisAgreement.4.ConsiderationInconsiderationfortherightsgrantedunderthisAgreement,TransfereeshallpaytoTransferorafeeof[PaymentAmount]([PaymentMethod,e.g.,cash,check,wiretransfer]),dueandpayableonorbefore[PaymentDueDate].5.RepresentationsandWarrantiesTransferorrepresentsandwarrantstoTransfereethat:(a)Transferorhasthefullright,power,andauthoritytoenterintothisAgreementandtograntthelicensegrantedherein.(b)TheSoftwareisoriginalanddoesnotinfringeuponorviolatetheintellectualpropertyrightsofanythirdparty.(c)TheSoftwarehasbeendevelopedincompliancewithallapplicablelawsandregulations.TransfereerepresentsandwarrantstoTransferorthat:(a)Transfereehasthefullright,power,andauthoritytoenterintothisAgreementandtoexercisethelicensegrantedherein.(b)TransfereeintendstousetheSoftwaresolelyforthepurposessetforthinthisAgreement.(c)TransfereewillcomplywithallapplicablelawsandregulationsinitsuseoftheSoftware.6.ObligationsTransferor'sObligations:(a)TransferorshallprovideTransfereewithallnecessarydocumentationtoexercisethelicensegrantedherein.(b)TransferorshallhavetherighttobenotifiedofanyclaimsorlitigationarisingfromtheSoftwareusedbyTransferee.(c)TransferorshallindemnifyandholdharmlessTransfereeagainstanyclaims,losses,ordamagesarisingfromtheinfringementofanythird-partyintellectualpropertyrightsinconnectionwiththeSoftware,providedthatTransfereehaspromptlynotifiedTransferorofsuchclaims.Transferee'sObligations:(a)TransfereeshallpaytheconsiderationdueunderthisAgreementwithinthespecifiedtimeframe.(b)TransfereeshallusetheSoftwaresolelyforthepurposessetforthinthisAgreementandshallnotmodify,reverseengineer,decompile,orcreatederivativeworksoftheSoftwarewithoutthepriorwrittenconsentofTransferor.(c)TransfereeshallkeeptheSoftwareconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofTransferor.7.TermandTerminationThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectuntilterminated.ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,thirty(30)]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthespecifiedperiod.Upontermination,TransfereeshallceasealluseoftheSoftwareandshallreturnallcopiesoftheSoftwareandrelateddocumentationtoTransferorordestroythem.8.ConfidentialityThePartiesagreetokeeptheinformationdisclosedbytheotherPartyunderthisAgreementconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.9.LiabilityEachPartyshallbeliablefordamagesonlyuptotheamountpaidbytheinjuredPartyunderthisAgreement.InnoeventshalleitherPartybeliableforanyindirect,incidental,special,consequential,orpunitivedamages.10.GoverningLawandDisputeResolutionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationin[City,Country]beforethe[ArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeCourt]inaccordancewithitsrules.The仲裁awardshallbefinalandbindingonbothParties.11.Miscellaneous(a)AllnoticesunderthisAgreementshallbeinwritingandshallbedeemeddeliveredwhensentbyregisteredmailorovernightcourier.(b)ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.(c)IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.(d)ThisAgreementmaybeamendedonlybyawritteninstrumentdulyexecuted
