国际货物运输合同参考

ThisInternationalFreightForwardingContract("Contract")ismadeandenteredintoasof[InsertDate],byandbetween[Shipper'sFullNameandAddress]("Shipper"),havingitsprincipalplaceofbusinessat[InsertAddress],and[Carrier'sFullNameandAddress]("Carrier"),havingitsprincipalplaceofbusinessat[InsertAddress].

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,theShipperandtheCarrieragreeasfollows:

1.GoodsDescription:

TheShipperherebyengagestheCarriertotransportthefollowinggoods,describedasfollows:[Providedetaileddescriptionofgoodsincludingname,model,grade,quantity,weight(grossandnet),measurement(volume),packagingdetails,andmarks].Thedescriptionisasummaryonlyanddoesnotpurporttobeacompletedescriptionofthegoods.TheactualconditionofthegoodsatthetimeofshipmentisrepresentedbythepackinglistandanyotherdocumentsprovidedbytheShipper.

2.ContractofCarriage:

TheCarrierundertakestotransportthegoodsfrom[InsertPort/PlaceofLoading],[Country],using[Specifymodeoftransport,e.g.,sea,air,rail,road,multimodal],to[InsertPort/PlaceofDischarge],[Country].

3.Voyage/AirWaybillNumber:

Thegoodswillbecarriedunder[Specifyvesselnameorflightnumberifknown,otherwisestate"tobearranged"],voyagenumber[InsertVoyageNumberifapplicable]/AirWaybillNumber[InsertAWBNumberifapplicable].

4.Loading/Collection:

TheCarriershallloadthegoodsontothe[Specifyvessel/aircrafttype]atthePort/PlaceofLoadingonorbefore[InsertDateorPeriodforloading/collection].TheCarriershallcollectthegoodsfrom[InsertPort/PlaceofLoading]onorbefore[InsertDateorPeriodforloading/collection],readyforshipment.

5.CompletionofShipment/Transshipment:

Theshipmentshallbecompletedasa[Specify:singlevoyage/throughvoyageallowingtransshipmentat[Specifyallowedports/regions]].

6.FreightandCharges:

TheShipperagreestopaythefreightandallchargesapplicabletothecarriageofthegoodsaspertheattachedproformainvoice/pricelistdated[InsertDate],totaling[InsertAmount][SpecifyCurrency].Paymentshallbemadewithin[InsertNumber]daysafterthedateofinvoice,payabletotheCarrier'sorderat[InsertBankNameandAddress]by[Specifymethod:T/T,L/C,etc.].

7.ShippingDocuments:

TheCarriershallissue[Specifytypeandnumber,e.g.,oneoriginalCleanOnBoardBillofLadingmarked"freightprepaid"/onenon-negotiableAirWaybill]totheShipper.ThedocumentsshallembodythetermsofthisContract.TheissuanceofthedocumentsshallbeattheShipper'srequestandexpense,unlessotherwiseagreedinwriting.

8.Carrier'sLiabilityandClaims:

TheCarrier'sliabilityforthelossordamageofthegoodsshallbegovernedbythe[Specifyapplicableconvention,e.g.,CarriageofGoodsbySeaAct1971(UK),InternationalConventionfortheUnificationofCertainRulesofLawRelatingtoBillsofLading,1924(Hague),ConventionontheInternationalCarriageofDangerousGoodsbyAir,1999(ICAO)].TheCarrier'sliabilityshallbelimitedto[Specifylimit,e.g.,[Amount]perpackage/perkilogram/advalorem,asapplicableunderthechosenconvention,orstateanyhigherlimitagreedupon].TheCarriershallbeexoneratedfromallorsuchpartofitsliabilityasmaybeprovidedforinthesaidConvention(s).NoclaimsshallbeentertainedbytheShipperifitfailstoexerciseduediligencetoobtainanydocumentsissuedbytheCarrier.

9.Shipper'sLiability:

TheShippershallbeliableforanylossordamageoccasionedtotheCarrierbyanyinaccuratestatementscontainedinthisContractorinanyshippingdocumentsdeliveredbytheShipper.

10.Insurance:

TheShippershall,atitsownexpense,procureinsuranceforthegoodsinfavouroftheCarrieragainstallrisksoflossordamageduringcarriage,withinsuranceamountingtoatleast[InsertAmount,usually110%oftheinvoicevalue][SpecifyCurrency],asperthetermsofthepolicyissuedby[SpecifyInsuranceCompany].TheCarrierisnotobligatedtodeliverthegoodstoathirdpartywithoutthepresentationofavalidinsurancecertificateissuedbytheShipper.

11.PaymentofFreight:

ThefreightshallbepaidbytheShipperbeforethegoodsareloadedontothevessel/aircraftorbeforetheCarrieracceptsthegoodsforcarriage,asarrangedbytheparties.

12.Notice:

AnynoticeorlegalproceedingunderthisContractshallbeservedinwritingtotheaddresssetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.

13.ForceMajeure:

NeitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthisContractifsuchfailureiscausedbyForceMajeure,definedaseventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,riots,strikes,epidemics,governmentalactions,oractsofcivilcommotion.

14.Severability:

IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisContract,andtheremainingprovisionsshallcontinueinfullforceandeffect.

15.EntireAgreement:

ThisContract,togetherwithanyreferencedattachments,constitutestheentireagreementbetweentheShipperandtheCar
