建筑合同fidic格式规范解读

ThisContractismadeandenteredintoon[Date]between[Owner'sFullLegalName],havingitsplaceofbusinessat[Owner'sAddress]("Owner"),and[Contractor'sFullLegalName],havingitsplaceofbusinessat[Contractor'sAddress]("Contractor").

1.GeneralConditions

1.1ThisContractshallconsistofthefollowingdocumentsreferredtohereinafterbynumberandAnnex:

1.1.1ThisAgreement;

1.1.2ConditionsofContractforConstruction(NewRedBook,1999Editionor2017Edition)(hereinafterthe"G.C."or"GeneralConditions"),comprisingAnnexesA,B,C,D,E,andF;

1.1.3SpecialConditionsofContractforthisProject(hereinafterthe"S.C."or"SpecialConditions");

1.1.4TheScheduleofQuantities(ifany);

1.1.5TheTechnicalSpecifications;

1.1.6TheDrawings,includingallrevisions;

1.1.7AnyotherdocumentsdesignatedbytheContractoraspartoftheContract.

1.2TheContractdocumentsshallbeinterpretedinthefollowingorderofprecedence:

1.2.1ThisAgreement;

1.2.2SpecialConditionsofContract;

1.2.3GeneralConditions;

1.2.4TheAnnexestotheGeneralConditions;

1.2.5TheScheduleofQuantities,TechnicalSpecifications,andDrawings.

1.3TheS.C.shallbedeemedtoformanintegralpartofthisContractandshallmodify,supplement,ordeleteanyprovisionoftheG.C.totheextentspecifiedtherein.IntheeventofanyconflictbetweentheS.C.andtheG.C.,theprovisionsoftheS.C.shallprevail.

1.4Definitions.Thefollowingdefinitionsshallhavethemeaningsstated:

1.5AgreementoftheParties.ThepartiesheretohaveenteredintothisContractforthepurposeofengagingtheContractortoexecutetheWorksandprovidetheServicesasdescribedhereininaccordancewiththetermsandconditionssetoutherein.

2.ConditionsofContractforaSpecificProject(S.C.)

2.1TheS.C.comprisesthefollowingmodificationsandadditionstotheG.C.:

2.1.1Clause67(DisputeResolution):InplaceoftheG.C.Clause67,thepartiesagreetothefollowing:

(a)TheEngineershallmakeadecisiononanydisputewithin[number]daysofbeingrequestedbyeitherparty.Thedecisionshallbefinalandbindingontheparties.

(b)IfthepartiesdisagreewiththeEngineer'sdecisionwithin[number]days,thedisputeshallbesubmittedtoarbitrationadministeredbythe[specifyarbitrationinstitution]inaccordancewiththe[specifyarbitrationrules]rules.Theplaceofarbitrationshallbe[City,Country].Thelanguageofthearbitrationshallbe[Language].

2.1.2Clause44(Payment):TheContractorshallbepaidattherateof[Amount]per[UnitofMeasure]fortheWorksexecutedduringeach[PaymentPeriod],subjecttotheprovisionsoftheG.C.Clause44andthefollowing:

(a)Paymentsshallbemadewithin[number]daysoftheContractorsubmittingavalidPaymentClaimaccompaniedbytherelevantsupportingdocuments.

(b)TheContractor'spaymentshallbemadein[Currency]withoutdeductionorset-offofanyamount.

2.1.3AnnexA(Engineer'sData):TheEngineer'snameandaddressshallbe[NameandAddress].

3.ContractAgreement

3.1ThisisaContractfortheconstructionandcompletionoftheWorkssetoutintheDrawingsandTechnicalSpecifications,attheSite,fortheContractPriceof[Amount][Currency],subjecttothetermsandconditionssetoutherein.

3.2TheOwnerengagestheContractortoexecutetheWorksandprovidetheServicesinaccordancewiththeContractdocuments.

3.3TheContractoracceptstheengagementandagreestoexecutetheWorksandprovidetheServicesinaccordancewiththeContractdocuments.

3.4TheContractdocumentsreferredtoinClause1.1include:

(a)ThisAgreement;

(b)ConditionsofContractforConstruction(NewRedBook,1999Editionor2017Edition),includingAnnexesA,B,C,D,E,andF;

(c)SpecialConditionsofContractforthisProject;

(d)TheScheduleofQuantities(ifany);

(e)TheTechnicalSpecifications;

(f)TheDrawings,includingallrevisions.

3.5TheContractPriceis[Amount][Currency].

3.6TheWorksshallbecompletedwithin[number]daysfromtheCommencementDate.

3.7TheContractorshallappoint[Name]asitsRepresentativeintheperformanceofthisContract.

3.8TheOwnershallappoint[Name]asitsRepresentativeintheperformanceofthisContract.

6.Commencement

6.1TheContractorshallcommenceexecutionoftheWorksontheCommencementDateorsuchlaterdateastheEngineermaydirectinwriting.

6.2TheContractorshallsubmittotheEngineeradetailedconstructionprogramwithin[number]daysoftheCommencementDate.

7.ExecutionoftheWorks

7.1TheContractorshallexecutetheWorksinaccordancewiththeDrawings,TechnicalSpecifications,andanyvariationsthereuntoissuedbytheEngineer.

7.2TheContractorshallberesponsibleforthedesignoftheWorkstotheextentrequiredbytheContractdocumentsandshallensurethattheWorksarefitfortheirintendedpurpose.

7.3TheContractorshallprovideallnecessaryplant,materials,andlaborfortheexecutionoftheWorks.

7.4TheContractorshallensurethesafetyofitspersonnelandthepublicduringtheexecutionoftheWorks.

8.SupervisionandInspection

8.1TheEngineershallhavetherighttosuperviseandinspecttheWorksatalltimes.

8.2TheContractorshallgivetheEngineerfullaccesstotheWorksandshallprovideallnecessaryfacilitiesfortheEngineer'ssupervisionandinspection.

8.3TheContractorshallsubmittotheEngineeratintervalsof[number]days(orasotherwisedirectedbytheEngineer)areportdetailingtheprogressoftheWorks.

9.Variation

9.1TheEngineermay,inwriting,orderanyvariationtotheWorks.

9.2TheContractorshallexecuteanyvariationasdirectedbytheEngineer.

9.3ThecostofanyvariationshallbedeterminedinaccordancewiththeprovisionsoftheG.C.Clause40.

10.MeasurementandValuation

10.1TheWorksshallbemeasuredinaccordancewiththeScheduleofQuantities.

10.2ThevalueoftheWorksshallbedeterminedinaccordancewiththeprovisionsoftheG.C.Clause40.

11.Payment

11.1TheContractorshallbeentitledtoreceivepaymentfortheWorksexecutedinaccordancewiththeprovisionsoftheG.C.Clauses44to50.

11.2TheContractorshallsubmittotheEngineerapaymentclaimaccompaniedbytherelevantsupportingdocumentsattheendofeachPaymentPeriod.

11.3TheEngineershallissueapaymentcertificatewithin[number]daysofreceiptofavalidpaymentclaim.

11.4TheOwnershallpaytheamountcertifiedbytheEngineerwithin[number]daysofreceiptofthepaymentcertificate.

12.DefectRectification

12.1TheContractorshallrectifyanydefectsintheWorkswithintheDefectRectificationPeriod.

12.2TheContractorshallbeliableforanydefectsarisingfromitsnegligenceordefault.

12.3TheDefectRectificationPeriodshallendon[Date].

13.Completion

13.1TheWorksshallbedeemedtobecompletedwhentheEngineerissuesaCertificateofCompletion.

13.2TheEngineershallissueaCertificateofCompletionwithin[number]daysafterthedateonwhichtheWorksaresubstantiallycompleted.

14.TakingOverandOccupation

14.1TheWorksshallbetakenoverbytheOwnerupontheissueoftheCertificateofCompletion.

14.2TheContractorshallhandoverallkeys,documents,andrecordsrelatingtotheWorkstotheOwner.

15.DefectLiabilityPeriod

15.1TheContractorshallbeliableforanydefectsintheWorksforaperiodof[number]yearsfromthedateoftakingovertheWorksbytheOwner.

15.2TheContractorshallrectifyanydefectsarisingduringtheDefectLiabilityPeriodatitsowncost.

16.Termination

16.1ThisContractmaybeterminatedbyeitherpartyinaccordancewiththeprovisionsoftheG.C.Clauses53to58.

17.DisputeResolution

17.1TheEngineershallmakeadecisiononanydisputewithin[number]daysofbeingrequestedbyeitherparty.Thedecisionshallbefinalandbindingontheparties.

17.2IfthepartiesdisagreewiththeEngineer'sdecisionwithin[number]days,thedisputeshallbesubmittedtoarbitrationadministeredbythe[specifyarbitrationinstitution]inaccordancewiththe[specifyarbitrationrules]rules.Theplaceofarbitrationshallbe[City,Country].Thelanguageofthearbitrationshallbe[Language].

18.GoverningLaw

18.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

19.EntireAgreement

19.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisC
