船舶配件维修服务合同英文版ThisMarinePartsRepairServiceContract("Contract")ismadeandenteredintoasof[EffectiveDate],byandbetween[ClientName],havingitsprincipalplaceofbusinessat[ClientAddress]("Client"),and[ServiceProviderName],havingitsprincipalplaceofbusinessat[ServiceProviderAddress]("ServiceProvider").WHEREAS,Clientdesirestohavecertainmarinepartsrepaired,andServiceProvideriswillingtoprovidesuchrepairservices.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:1.ScopeofWorkServiceProvidershallrepairthefollowingmarinepartsforClient,asmoreparticularlydescribedintheattachedRepairQuote(AttachmentA)andWorkOrder(AttachmentB):a.[DetailedDescriptionofPart1,includingMake,Model,SerialNumber,etc.]b.[DetailedDescriptionofPart2,includingMake,Model,SerialNumber,etc.]c.[Continueforallpartstoberepaired]Therepairservicesshallinclude,butnotbelimitedto,diagnosis,repairorreplacementofdamagedcomponents,reconditioningorfabrication,testing,anddebuggingoftheparts.Allrepairsshallbeperformedat[SpecifyLocation,e.g.,ServiceProvider'sfacilityoron-boardthevessel].2.TermofContractThisContractshallcommenceontheEffectiveDateandcontinueuntilthecompletionoftherepairservices,subjecttothetermsandconditionssetforthherein.3.PaymentTermsa.ServiceProvidershallprovideClientwithadetailedrepairquoteoutliningthecostsfortherepairservices(AttachmentA).b.ClientshallpayServiceProvideradepositof[Percentage]%ofthetotalquotedamount,within[Number,e.g.,15]daysofreceiptofthequote,via[PaymentMethod,e.g.,wiretransfertoServiceProvider'sbankaccount].c.ServiceProvidershallinvoiceClientforprogresspaymentsuponcompletionofspecificstagesoftherepairwork,asmutuallyagreed.Clientshallpaysuchprogressinvoiceswithin[Number,e.g.,30]daysofreceipt.d.Thefinalinvoiceshallbeissueduponcompletionofallrepairservices.Clientshallpaythefinalinvoicewithin[Number,e.g.,60]daysofreceipt.e.Allpaymentsshallbemadein[Currency,e.g.,USD].Allamountsaresubjectto[VAT/GST,ifapplicable]attheprevailingrate.f.Latepaymentsshallincuraninterestchargeof[InterestRate]%perannumontheoutstandingamount,calculatedfromtheduedateuntilpaymentisreceived.4.DeliveryTimeServiceProvidershallusereasonableeffortstocompletetherepairserviceswithin[Number,e.g.,30]daysfromthestartdatespecifiedintheWorkOrder(AttachmentB),subjecttotheavailabilityofpartsandunforeseencircumstances.Deliverytimemaybeextendedbymutualagreementofbothparties.5.WarrantyServiceProviderwarrantsthatallrepairservicesshallbeperformedtoagoodandworkmanlikestandard.Therepairedpartsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number,e.g.,12]monthsfromthedateofcompletionoftherepairservices.Thiswarrantydoesnotapplytonormalwearandtear,accidentaldamage,ordamageresultingfromimproperuse.ServiceProvidershall,atitsoption,repairorreplaceanydefectivepartswithinthewarrantyperiodatnoadditionalcosttoClient.6.InsuranceServiceProvidershallmaintaininsurancecoverage,includingbutnotlimitedto,[SpecifyInsuranceTypes,e.g.,GeneralLiabilityInsuranceandPropertyInsurance],withlimitsofatleast[SpecifyLimits]intherelevantjurisdiction,coveringitsemployeesandoperationsrelatedtothisContract.Clientshallbenotifiedofthedetailsofsuchinsurancecoverageuponrequest.7.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedto,actsofGod,war,terrorism,naturaldisasters,governmentactions,orstrikes.Theaffectedpartyshallnotifytheotherpartyinwritingofsucheventassoonaspossibleandshalltakereasonablestepstomitigatetheeffectsthereof.ThedurationoftheForceMajeureeventshallbeextendedaccordingly.8.ConfidentialityBothpartiesagreetokeepthetermsandconditionsofthisContract,thespecificationsofthemarineparts,andanyotherinformationexchangedduringtheperformanceofthisContractconfidential.ThisconfidentialityobligationshallsurvivetheterminationofthisContract.9.TerminationThisContractmaybeterminatedbyeitherpartyupon[Number,e.g.,30]days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithinthenoticeperiod.Upontermination,ClientshallpayServiceProviderforallservicesrenderedandcostsincurreduptothedateoftermination.10.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisContractshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thepartiesagreetosubmitthedisputeto[SpecifyArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)]forarbitrationinaccordancewithitsRules,whichshallbeheldin[City,Country].The仲裁languageshallbeEnglish.Thedecisionofthearbitrationshallbefinalandbindingonbothparties.11.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction,e.g.,English]laws.12.NoticesAllnoticesunderthisContractshallbeinwritingandshallbedeemeddeliveredwhendeliveredpersonally,sentbyregisteredpost,orsentbyemailtotheaddressessetforthabove.13.AmendmentsNoamendmentormodificationofthisContractshallbevalidunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.14.EntireAgreementThisContract,includingtheattachedattachments,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten.15.SeverabilityIfanyprovisionofthisContractisfoundtobeinvalidorunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsshallremaininfullforceandeffect.16.AssignmentNeitherpartymayassignitsrightsorobligation
