WHEREAS:

1.TheSelleristhelegalownerofthelanddescribedas[InsertFullLegalDescriptionoftheLand,includingLotNumber,PlanNumber,ifapplicable,andfulladdress].

2.TheSellerowns,orhastherighttosell,theresidentialbuilding(s)andfixtureslocatedupontheaforementionedland(the"Property").

3.TheBuyerdesirestopurchase,andtheSellerdesirestosell,thePropertytotheBuyeronthetermsandconditionssetoutinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

1.PurchasePrice

1.1TheBuyeragreestopaytotheSellerthesumof$__________(AustralianDollars)("PurchasePrice"),beingthetotalpricefortheProperty,subjecttothetermsofpaymentsetoutinthisAgreement.

2.Deposit

2.2TheDepositshallbepaidbymeansofabanktransfertothefollowingbankaccount:

2.3UponreceiptoftheDeposit,theDepositbecomesthepropertyoftheSeller,andthisAgreementshallbedeemedtobeabindingcontractbetweenthepartiesforthesaleoftheProperty(subjecttoanyapplicableCooling-offPeriod).

3.SettlementDate

3.1ThesettlementofthebalanceofthePurchasePrice(the"Balance")shalltakeplaceonorbefore______day(s)aftertheexecutionofthisAgreementbytheBuyer(the"SettlementDate").

3.2TheBuyershallberesponsibleforarranginganyfinancingrequiredtopaytheBalance,andtheSellerreservestherighttorejectanyofferconditionaluponfinancingthatisnotsecuredbyawrittencommitmentfromalendinginstitutionbeforetheSettlementDate.

3.3TheSellershallarrangeforthetransferofthelegaltitletothePropertytotheBuyerfreeandclearofallencumbrances,subjecttothepaymentoftheBalanceandthesatisfactionofallconditionsprecedent,upontheSettlementDate.

4.Cooling-offPeriod

4.1ThisAgreementissubjecttothe[e.g.,5-day]Cooling-offPeriodasmandatedbytheNationalContractLaw,commencingfromthedateoftheBuyer'sexecutionofthisAgreement.

4.2TheBuyershallhavetherighttocancelthisAgreementwithintheCooling-offPeriodbyprovidingwrittennoticetotheSeller.

4.3IftheBuyerexercisestherightofcancellation,theBuyershallbeliabletopaytheSelleracancellationfeeof$__________(AustralianDollars)[orspecifypercentageofDeposit,e.g.,10%oftheDeposit],unlesstheSellerhasmateriallybreachedthisAgreement.TheSellershallrefundanydepositpaidbytheBuyer,lessthecancellationfee,ifapplicable.

5.ConditionsPrecedent

5.1TheexecutionandsettlementofthisAgreementaresubjecttothefollowingconditionsbeingsatisfiedbytherelevantparty(s)priortotheSettlementDate:

a)TheBuyershallprovidetotheSeller,bythe______day(s)priortotheSettlementDate,writtenconfirmationfromtheirlendinginstitutionindicatingapprovaloftheloanrequiredtopaytheBalance(ifapplicable).

b)TheSellershallprovidetotheBuyer,bythe______day(s)priortotheSettlementDate,thekeysandanyothernecessaryaccessinformationfortheProperty.

c)[Addanyotherspecificconditions,e.g.,completionofasatisfactorybuildinginspectionreport,legalsearchesbeingclear].

6.PropertyInspectionandDisclosure

6.1TheBuyershallbegrantedaccesstothePropertyforinspectionpurposeswithin______daysoftheexecutionofthisAgreementbytheBuyer(the"InspectionPeriod").

6.2DuringtheInspectionPeriod,theBuyerisadvisedtoconduct,orarrangefor,athoroughinspectionofthePropertybyqualifiedprofessionals(e.g.,abuildinginspector).

6.3TheSellershallprovidetheBuyerwitha"KnownIssuesStatement"priortotheexecutionofthisAgreement,disclosinganyknownmaterialdefectsorissueswiththeProperty.

6.4TheBuyershallgivewrittennoticetotheSellerofanysignificantdefectsorissuesdiscoveredduringtheInspectionPeriodwithin______daysoftheendoftheInspectionPeriod.TheidentificationofsuchdefectsshallnotoperateasaconditionprecedenttosettlementunlessthepartiesagreeinwritingtovarythetermsofthisAgreement.

6.5TheSellerrepresentsandwarrantsthattheyhavedisclosedallmaterialfactsconcerningthePropertyasrequiredbylawandincludedintheKnownIssuesStatement.

7.OwnershipTransfer

7.1TheownershipofthePropertyshallbetransferredtotheBuyerupontheexecutionoftherelevantstatutorytransferdocument(e.g.,TransferofLand)bytheappropriateauthorityuponthesatisfactionofalltermsofthisAgreement,includingthepaymentoftheBalance.

7.2Thecostsassociatedwiththepreparationandregistrationofthetransferdocument,includingbutnotlimitedtostampduty/lawyer'sfees,shallbepaidbytheBuyer[orspecifydivision,e.g.,Buyerpaystheirshare,Sellerpaystheirshare].

7.3[Addanyspecificstate/territoryrequirementsrelatedtothetransferprocess].

8.LegalFees

8.1TheBuyershallberesponsibleforpayingtheirownlegalfeesandassociatedcostsincurredinconnectionwiththisAgreementandthepurchaseoftheProperty.

8.2TheSellershallberesponsibleforpayingtheirownlegalfeesandassociatedcostsincurredinconnectionwiththisAgreementandthesaleoftheProperty.

9.GoverningLawandDisputeResolution

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[InsertState/Territory].

9.2AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtoberesolvedbynegotiationbetweentheparties.Ifnegotiationfails,thepartiesagreetoreferthedisputetomediationundertheauspicesofthe[e.g.,AustralianDisputeResolutionCentre].Ifmediationisunsuccessful,thepartiesagreetoreferthedisputetotheexclusivejurisdictionofthecourtsoftheStateof[InsertState/Territory].

10.EntireAgreement

10.1ThisAgreement,includingtheschedulesifany,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

10.2NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingand
