航空航天工程合作合同2026年标准PartiesThisCooperationContract(“Contract”)isenteredintoandeffectiveasof[EffectiveDate],byandbetween:[PartyAName],havingitsprincipalplaceofbusinessat[PartyAAddress](“PartyA”);and[PartyBName],havingitsprincipalplaceofbusinessat[PartyBAddress](“PartyB”);collectivelyreferredtoasthe“Parties”.Background/RecitalsWHEREAS,PartyAhasexpertiseandresourcesin[PartyA’sExpertiseArea,e.g.,aerospacesystemdesignandengineering];WHEREAS,PartyBhasexpertiseandresourcesin[PartyB’sExpertiseArea,e.g.,advancedmaterialsdevelopmentandmanufacturing];WHEREAS,thePartieswishtocombinetheirrespectiveexpertiseandresourcestocooperateonthe[ProjectName,e.g.,developmentofanext-generationlightweightcompositeairframestructure];WHEREAS,theobjectiveoftheCooperationisto[Clearlystatetheprimaryobjective,e.g.,jointlydesign,develop,andtestaprototypeairframestructureincorporatingadvancedcompositematerials,andsecurenecessarytypecertification].CooperationObjectives1.1TheprimaryobjectiveoftheCooperationistoachievethefollowingspecificgoals,whichmaybeupdatedbymutualwrittenagreement:(a)Jointlycompletetheconceptualdesignandanalysisofthe[ProjectName]prototypewithin[Timeframe,e.g.,18monthsfromtheEffectiveDate].(b)DevelopandmanufacturecriticalcomponentsoftheprototypeairframestructureusingadvancedcompositematerialsasagreeduponbytheParties.(c)Performstructuraltestingandanalysisontheprototypecomponentsandassemblytovalidatedesignrequirementsandachievecertificationreadiness.(d)Obtainpreliminarytypecertificationforthedevelopedstructurefromtherelevantaviationauthority[SpecifyAuthority,e.g.,FederalAviationAdministration(FAA)orEuropeanUnionAviationSafetyAgency(EASA)].ScopeofWork2.1TheScopeofWorkforeachPartyisdetailedasfollows:(a)PartyAResponsibilities:(i)ProvideoverallsystemarchitecturedefinitionandprojectmanagementfortheCooperation.(ii)Performpreliminaryanddetailedstructuraldesignanalysisfortheairframecomponents,ensuringcompliancewithapplicableairworthinessstandards.(iii)Developstructuralfiniteelementmodels(FEM)andconductstatic,dynamic,andenvironmentalloadanalyses.(iv)Managethefabricationandtestingoftheprototypeairframestructurecomponents.(v)Leadtheefforttowardssecuringtypecertification,preparingnecessarydocumentationforthecertificationauthority.(vi)ProvidetechnicaltrainingtoPartyBpersonnelasrequired.(b)PartyBResponsibilities:(i)Provideexpertiseandtechnologyinadvancedcompositematerialsselection,manufacturingprocesses(e.g.,resintransfermolding(RTM),AutomatedFiberPlacement(AFP)),andqualitycontrol.(ii)Developandoptimizecompositematerialformulationsandlay-uppatternsfortheprototypecomponents.(iii)Fabricatetheagreed-uponcompositeairframecomponentsaccordingtodesignspecificationsandqualitystandards.(iv)Conductcomponent-levelnon-destructivetesting(NDT)andmaterialpropertyverification.(v)Participateinprototypetestingefforts,providingtechnicalsupportforNDTandstructuralanalysisinterpretation.(vi)CooperatewithPartyAinpreparingdocumentationrelatedtomaterialsandmanufacturingprocessesforthecertificationprocess.2.2Detailedworkpackages,deliverables,specifictechnicalrequirements,andperformancecriteriaforeachtaskwithintheScopeofWorkshallbemutuallyagreeduponinwritingandformpartofthisContract,referredtoasthe“WorkBreakdownStructure(WBS)”andassociated“TechnicalSpecifications”.MilestonesforthedeliveryofmajordeliverablesandtheachievementofkeyobjectivesaresetforthintheattachedProjectSchedule(AttachmentA),whichisincorporatedbyreferencehereinandformsanintegralpartofthisContract.OrganizationandCoordinationMechanism3.1AJointProjectCommittee(“JPC”)shallbeestablishedtooverseetheCooperation.TheJPCshallconsistof[Number,e.g.,three]members,onedesignatedbyPartyAandtwodesignatedbyPartyB.EachmembershallbeauthorizedtoactonbehalfoftheirrespectivePartyforcoordinationanddecision-makingpurposeswithinthescopeofthisContract.3.2TheJPCshallmeetatleast[Frequency,e.g.,quarterly]orasmutuallyagreeduponbytheParties.MeetingsshallbechairedbytheChairpersonappointedbyPartyAorPartyBalternately.DecisionsoftheJPCrequireamajorityvoteofthememberspresent.Majordecisions,includingchangestotheWBS,budgetoverrunsexceeding[Amount,e.g.,USD500,000],andsignificanttechnicaldeviations,requireunanimousconsentofallJPCmembers.3.3ThePartiesagreetomaintainregularcommunicationthroughdesignatedpointsofcontact.Progressreportsshallbeexchanged[Frequency,e.g.,monthly]inaccordancewithamutuallyagreedformat.ApplicableStandardsandCompliance4.1AllworkunderthisContractshallbeperformedandalldeliverablesshallcomplywiththefollowingminimumstandardsandregulations:(a)InternationalCivilAviationOrganization(ICAO)StandardsandStandardsoftheAnnexestotheConventiononInternationalCivilAviation.(b)ApplicableairworthinessregulationsoftheUnitedStatesFederalAviationAdministration(FAA),includingparts[Listrelevantparts,e.g.,23,25,27,29]ofTitle14,CodeofFederalRegulations(CFR).(c)ApplicableairworthinessregulationsoftheEuropeanUnionAviationSafetyAgency(EASA),includingapplicableCertificationSpecifications(CS)andModuleB/C/Dprocedures.(d)OtherrelevantnationalaviationauthorityrequirementsasmayapplytotheCooperation.(e)Relevantinternationalandnationalstandardsforcompositematerialsandmanufacturing,suchasthosepublishedbyASTMInternational,ISO,ortheSocietyofManufacturingEngineers(SME).(f)Applicableenvironmentalprotection,occupationalhealthandsafety,anddataprotectionlawsandregulationsinthejurisdictionswheretheCooperationisperformed.4.2EachPartyisresponsibleforensuringthatitscontributionstotheCooperationcomplywiththeapplicablestandardsandregulationslistedabove.EachPartyrepresentsandwarrantsthatithasthenecessarylicenses,permits,andauthorizationstoperformitsobligationsunderthisContract.IntellectualPropertyRights5.1BackgroundIP.EachPartyretainsallrights,title,andinterestinandtoitsBackgroundIP,regardlessofwhethersuchIPisusedintheCooperation.EachPartyagreesnottousetheotherParty’sBackgroundIPexceptasnecessarytoperformitsobligationsunderthisContract.5.2ForegroundIP.SubjecttothetermsandconditionsofthisContract,anynewintellectualproperty(includinginventions,designs,technicalknow-how,software,data,anddocumentation)developedjointlybybothPartiesduringthetermofthisContract(“ForegroundIP”)shallbeownedequallybyPartyAandPartyB(“CommonlyOwnedIP”).5.3LicenseRights.EachPartyshallhaveanperpetual,irrevocable,non-exclusive,worldwide,royalty-freelicensetousetheCommonlyOwnedIPsolelyforthepurposeoffulfillingitsobligationsunderthisContractandformanufacturing,using,selling,offeringforsale,andlicensingtothirdpartiesproductsortechnologyderivedfromtheCommonlyOwnedIP.5.4OwnershipAssignment.EitherPartymayassignitsinterestintheCommonlyOwnedIPsolelytoitsaffiliatesortothirdpartiesunderthefollowingconditions:(a)TheassigningPartyshallprovidetheassignedPartywithacopyoftheAgreementofAssignment.(b)Theassignmentshallnotbeforconsideration,oronlyfornominalconsideration,unlessthePartiesagreeinwriting.(c)TheassignedPartyagreesinwritingtoassumeallobligationsoftheassigningPartyunderthisContractrelatedtotheCommonlyOwnedIP.(d)ThereceivingPartyshallbeboundbythetermsofthisContractconcerningtheCommonlyOwnedIPtothesameextentastheoriginalParty.5.5SeparatelyOwnedIP.EachPartymayretainownershipofanyintellectualpropertydevelopedsolelybyitthatisnotnecessaryfortheperformanceofitsspecificobligationsunderthisContract.5.6DueDiligence.EachPartyrepresentsandwarrantsthatithasmadereasonableeffortstodeterminethatitsBackgroundIPanditscontributionstothedevelopmentoftheCommonlyOwnedIPdonotinfringeormisappropriateanyvalidintellectualpropertyrightsofanythirdparty.EachPartyshallprovidereasonablecooperationtotheotherPartyintheeventthatathird-partyclaimismaderegardingitsBackgroundIPoritscontributionstotheCommonlyOwnedIP,includingdefenseandindemnificationasprovidedinSection8.3.Confidentiality6.1EachPartyagreestoholdconfidentialanyandallnon-publicinformationdisclosedbytheotherParty(“ConfidentialInformation”)duringthetermofthisContractandforaperiodof[Duration,e.g.,five(5)]yearsfollowingterminationorexpirationthereof.6.2ConfidentialInformationincludes,withoutlimitation,technicaldata,engineeringdesigns,manufacturingprocesses,materialspecifications,costs,businessplans,customerlists,employeeinformation,andanyotherinformationfromwhichabusinessadvantagemaybederived.6.3EachPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisContractandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder(inwhichcase,thereceivingPartyshallprovidereasonablenoticetothedisclosingPartypriortodisclosure),orwhentheinformationhasbecomepubliclyknownthroughnofaultofthereceivingParty.6.4EachPartyshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheotherParty’sConfidentialInformationandshallrestrictaccesstosuchinformationtoonlythoseofitsemployees,contractors,consultants,andagentswhoneedtoknowsuchinformationfortheperformanceoftheirdutiesandwhoareboundbyconfidentialityobligationsatleastasstringentasthosesetforthinthisSection6.6.5UponterminationorexpirationofthisContract,oruponthediscloser’srequest,eachPartyshallreturnordestroyallcopiesoftheotherParty’sConfidentialInformation,includinganynotesorsummariesmadetherefrom,exceptasrequiredbylaw.FinancialArrangements7.1Funding.ThetotalestimatedcostfortheCooperationisestimatedat[Amount,e.g.,USDXX,XXX,XXX].PartyAshallcontribute[Percentage,e.g.,60%]ofthetotalcost,andPartyBshallcontribute[Percentage,e.g.,40%]ofthetotalcost.Thecontributionsshallbemadeincashorasotherwisemutuallyagreeduponinwriting.7.2PaymentTerms.PartyAshallpayitsportionoftheestimatedcostin[Number,e.g.,three]equalinstallmentsuponexecutionofthisContract,uponcompletionofthefirstmajormilestone[SpecifyMilestone],anduponfinalacceptanceofthedeliverables,respectively.PartyBshallpayitsportionsimilarly,basedonitsrespectivescheduleofworkandmilestones.Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaimunlessexpresslyauthorizedinwriting.7.3CostReimbursement.Inadditiontothefundingcontributions,PartyAshallreimbursePartyBforreasonableandallocablecostsincurredbyPartyBdirectlyattributabletoitsWorkunderthisContract,uponsubmissionofitemizedinvoicesandreceiptedproofsofpaymenttoPartyAwithin[Number,e.g.,30]daysoftherequest.Reimbursementshallnotexceedtheactualcostsincurred.7.4Taxes.EachPartyshallberesponsibleforpayingalltaxes,duties,andleviesimposedbylawonitsrespectivecontributions,payments,orothertransactionsunderthisContractunlessotherwisespecified.Insurance8.1EachPartyshall,priortothecommencementofworkunderthisContract,procureandmaintainforitsownbenefitcomprehensiveinsurancecoverage,includingbutnotlimitedto:(a)CommercialGeneralLiabilityInsurancewithlimitsofnotlessthan[Amount,e.g.,USD5,000,000]peroccurrenceand[Amount,e.g.,USD10,000,000]intheaggregate.(b)ProfessionalLiability(ErrorsandOmissions)Insurancewithlimitsofnotlessthan[Amount,e.g.,USD2,000,000]peroccurrenceand[Amount,e.g.,USD4,000,000]intheaggregate.(c)PropertyInsurancecoveringitsequipment,materials,andintellectualpropertyusedintheCooperationwithlimitssufficienttocovertheestimatedreplacementcost.(d)Workers’CompensationandEmployers’LiabilityInsuranceasrequiredbyapplicablelaw.8.2PartyAshallalsoprocureandmaintainforthebenefitofallPartiesanaviation-relatedinsurancepolicy,ifapplicable,covering[Specifycoverage,e.g.,liabilityforphysicaldamagetothirdpartiesresultingfromtheoperationofaircraftderivedfromtheCooperation],withlimitsofatleast[Amount,e.g.,USD1,000,000,000]intheaggregate.8.3EachPartyshallprovidetheotherPartywithacopyoftheinsurancepoliciestakenoutunderthisSection8within[Number,e.g.,30]daysoftheirprocurement.EachPartyshallgivepromptwrittennoticetotheotherPartyofanymaterialchangeinthepoliciesortheircancellation.IftheinsurancerequiredunderthisSection8isnotmaintainedbyaParty,thatPartyshallindemnifyandholdharmlesstheotherPartiesforanylossesresultingfromsuchfailure.Liability9.1LimitationofLiability.Tothefullestextentpermittedbyapplicablelaw,theaggregateliabilityofeachPartytotheotherPartyunderorinconnectionwiththisContract,whetherincontract,tort,orotherwise,shallbelimitedtothetotalamountofconsiderationpaidortobepaidbytheliablePartytotheotherPartyunderthisContractrelatedtothespecificprojectordeliverablegivingrisetotheclaim.EachPartyshallnotbeliableforanyindirect,special,incidental,orconsequentialdamages,includinglossofprofits,data,oruse,orforanyclaimbyathirdparty.9.2Indemnification.EachPartyshallindemnify,defend,andholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys’fees)incurredbytheindemnifiedPartyarisingoutoforresultingfrom:(a)AnybreachofthisContractbytheindemnifyingParty.(b)TheindemnifiedParty’suseoftheindemnifyingParty’sBackgroundIPoritscontributionstotheCommonlyOwnedIP.(c)TheindemnifiedParty’suseoftheotherParty’sConfidentialInformation.(d)TheindemnifiedParty’sfailuretocomplywiththetermsofthisContract,includinganyapplicablestandardsandregulations.9.3Exclusions.TheindemnificationobligationssetforthinSection9.2shallnotapplytoclaimsarisingfrom:(a)TheindemnifiedParty’sgrossnegligenceorwillfulmisconduct.(b)TheindemnifiedParty’suseoftheindemnifyingParty’sproducts,materials,orservicesinamannernotreasonablyconsistentwiththeirintendeduse.(c)ClaimsarisingfromtheindemnifiedParty’sfailuretomaketimelypaymentstotheindemnifyingParty.(d)ClaimsarisingfromtheactionsoromissionsofathirdpartyoverwhomtheindemnifyingPartyhasnocontrol.RiskManagement10.1ThePartiesshallidentify,assess,andmanagerisksassociatedwiththeCooperation,includingbutnotlimitedtotechnicalfeasibilityrisks,projectscheduledelays,costoverruns,supplychaindisruptions,regulatorychanges,andfailuretoachieveairworthinesscertification.10.2EachPartyshallimplementappropriateriskmitigationmeasuresandshallnotifytheotherPartyofanysignificantrisksorchangesinriskexposure.TheJPCshallreviewanddiscussriskmanagementplansandmitigationstrategies.10.3EachPartyshallensurethatallactivitiesunderthisContractareperformedwithduecareandskillappropriatetotherisksinvolved.PerformanceGuarantees11.1PartyAguaranteesthatithastheauthoritytoenterintothisContractandthecapacitytoperformitsobligationshereunder.11.2PartyAguaranteesthatitscontributionswillcomplywiththeapplicableairworthinessstandardsandtechnicalspecificationsagreeduponunderthisContract.11.3PartyBguaranteesthatithasthenecessarytechnicalexpertiseandfacilitiestoperformitsobligationsunderthisContractandthatitscontributionswillmeettheagreed-upontechnicalrequirements.11.4PartyBguaranteesthatitsmaterialsandmanufacturingprocesseswillconformtothespecificationsandqualitystandardsdefinedinthisContractandtheTechnicalSpecifications.11.5PartyAshallberesponsiblefortheperformanceguaranteesrelatedtoitsobligationsandPartyBshallberesponsiblefortheperformanceguaranteesrelatedtoitsobligations.TheotherPartyshallhavetherighttorequireperformanceguaranteesfromtheresponsiblePartythrough[Specifymechanism,e.g.,aperformancebondorletterofcredit],subjecttomutualagreement.Term,VariationandTermination12.1Term.ThisContractshallcommenceontheEffectiveDateandcontinueforaperiodof[Duration,e.g.,three(3)]years,oruntiltheachievementofthefinalobjectivesetforthinSection2.1,whicheveroccursfirst,unlessterminatedearlierinaccordancewiththeprovisionsofthisSection12.12.2TerminationforCause.ThisContractmaybeterminatedbyeitherPartyupon[Number,e.g.,thirty(30)]dayswrittennoticetotheotherPartyiftheotherPartycommitsanymaterialbreachofthisContractandfailstocuresuchbreachwithinthenoticeperiod.12.3TerminationforConvenience.EitherPartymayterminatethisContractatanytimeupon[Number,e.g.,sixty(60)]dayswrittennoticetotheotherPartywithoutcause.12.4TerminationConsequences.UponterminationorexpirationofthisContractforanyreason:(a)AllrightsandobligationsofthePartiesunderthisContractshallsurviveexceptasotherwiseprovidedherein.(b)PartyAshallretainownershipofallequipmentandmaterialsspecificallydesignedandbuiltfortheCooperation,subjecttopaymentofoutstandinginvoicesbyPartyB.(c)PartyBshallreturnordestroyallcopiesoftheotherParty’sConfidentialInformationanddelivertoPartyAanyremainingmaterials,components,ordocumentationbelongingtoPartyA.(d)AllpaymentsdueunderthisContractshallbecomeimmediatelypayable.(e)TheprovisionsofSections6(Confidentiality),8(Insurance),9(Liability),11(PerformanceGuarantees),and13(Miscellaneous)shallremaininfullforceandeffect.12.5Variation.Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.GoverningLawandDisputeResolution13.1GoverningLaw.ThisContractandtherelationshipbetweenthePartiesshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisContract.13.2DisputeResolution.ThePartiesagreethatanydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweenseniormanagementrepresentativesoftheParties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,60]daysfromthetimeeitherPartyservesanoticeofdisputeontheotherParty,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theInternationalChamberofCommerce(ICC)InternationalCourtofArbitration]forarbitration.Thearbitrationshallbeconductedin[City,Country]inaccordancewiththe[SpecifyArbitrationRules,e.g.,ICCArbitrationRules]ineffectatthetimeofthesubmission.The仲裁shallbeconductedin[Language,e.g.,English].TheawardofthearbitraltribunalshallbefinalandbindinguponbothParties.ThecostsofarbitrationshallbesharedequallybythePartiesunlessthearbitraltribunaldecidesotherwise.Miscellaneous14.1EntireAgreement.ThisContract,includingtheattachedAttachments,constitutestheentireagreementbetweenthePartieswithrespecttotheCooperationandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.14.2Amendments.NoamendmentormodificationofthisContractshallbevalidunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.14.3Severability.IfanyprovisionofthisContractisfoundbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.4Notices.Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)upontransmissionconfirmationifsentbyemail;(c)upondepositwithanationallyrecognizedovernightcourierservice;or(d)one(1)businessd
