2026年智能灯光控制设备安装协议PartiesThisAgreementismadeandenteredintoon[InsertDate],byandbetween[FullLegalNameofPartyA(Client)],havingitsprincipalplaceofbusinessat[AddressofPartyA],hereinafterreferredtoas"PartyA",and[FullLegalNameofPartyB(Contractor)],havingitsprincipalplaceofbusinessat[AddressofPartyB],hereinafterreferredtoas"PartyB".ScopeofWork1.PartyBagreestosupply,install,configure,test,andprovideinitialtrainingforSmartLightingControlEquipmentatthesitespecifiedbyPartyA,locatedat[InsertDetailedInstallationAddress],inaccordancewiththespecificationsoutlinedinthisAgreementandtheattachedpreliminarydesigndocument(ifany,thoughnoattachmentisrequestedperinstructions,thereferenceisnotedhereforcontext).2.Theequipmenttobesuppliedandinstalledincludes,butisnotlimitedto,[Listspecifictypesandquantitiesofsmartlights(e.g.,smartceilinglights,smartspotlights),controlpanels,keypads,networkcontrollers,wirelessaccesspointscompatiblewiththechosensystemplatform,motionsensors,occupancysensors,ambientlightsensors,andnecessarycabling],allspecifiedintheattachedequipmentlist(referenceonly,noactualattachmentprovided).ThespecificmodelsandbrandsshallbeconfirmedinwritingbyPartyAandPartyBpriortofinalequipmentordering.3.Installationworkshallencompassthephysicalmountingofallsmartlightingdevices,theconnectionofpowerandcommunicationwiringincompliancewithallapplicablelocalandnationalelectricalcodesandsafetyregulations,theintegrationofsensors,theconfigurationofthecentralcontrolsystemhardware,andtheestablishmentofnetworkconnectivityrequiredforthesmartlightingsystem.4.PartyBshallconfigurethesystemsoftware,includingsettingupuseraccounts,definingscenemodes(e.g.,"MeetingMode,""EveningMode,""EnergySavingMode"),programmingscheduledcontrolsequences,configuringsensor联动triggers(e.g.,turningonlightswhenmotionisdetected),andintegratingthesystemwithanydesignatedthird-partyplatforms(ifapplicable).5.SystemtestingshallbeconductedbyPartyBtoverifythefunctionalityofallinstalledequipment,thecorrectnessofallconfigurations,thereliabilityofsensorinputs,thesmoothoperationofallprogrammedscenesandschedules,andthesuccessfulcommunicationbetweenallcomponentsandthecentralsystemsoftware.6.PartyBshallprovidetrainingto[Number]designatedpersonnelrepresentingPartyA,coveringtheoperationalaspectsoftheuserinterface,theactivationandadjustmentofscenemodes,theuseofschedulingfeatures,andbasictroubleshootingprocedures.Trainingshallbeconductedattheinstallationsiteusingtheinstalledsystemandprovideddocumentation.7.Thefinaldeliverablesshallincludeasignedfinalacceptancecertificate,acomprehensivelistofallinstalledequipmentwithserialnumbers,andallsystemdocumentation(usermanuals,networkdiagrams,configurationguides)providedinelectronicformat.TermsandDefinitionsForthepurposesofthisAgreement:1."SmartLightingControlEquipment"referstoallhardwarecomponents,softwareplatforms,andsysteminterfacesspecifiedintheScopeofWork,includingbutnotlimitedtosmartlights,controllers,sensors,softwarelicenses,andnecessarywiringandconnectivitycomponents.2."System"meanstheintegratedsmartlightingcontrolsystemcomprisingallinstalledequipmentandconfiguredsoftware,operatingasaunifiedwholetoprovideautomatedandcontrolledlightingmanagement.3."Platform"referstothecentralsoftwareapplicationorcloud-basedserviceusedformanagingandcontrollingthesmartlightingsystem.4."Site"referstothephysicallocationwheretheinstallationistobeperformedasspecifiedintheScopeofWork.PaymentTerms1.PartyAshallpayPartyBthetotalcontractpriceof[InsertTotalContractPrice]USD(UnitedStatesDollars/orspecifycurrency)uponsigningofthisAgreement(InitialDeposit:[Percentage]%=[Amount],payablewithin[Number,e.g.,15]daysofsigning).2.PartyAshallpayPartyBanadditional[Percentage]%(ProgressPayment:[Amount])uponcompletionofthephysicalinstallationphaseandsubmissionofaprogressreportsignedbyPartyArepresentatives.3.PartyAshallpaythefinalbalanceof[Percentage]%(FinalPayment:[Amount])uponPartyA'swrittencertificationoffinalacceptanceofthecompletedwork,providedalloutstandingobligationsunderthisAgreementhavebeenfulfilledbyPartyB.4.Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim,exceptasexpresslyprovidedinthisAgreement.PartyBshallprovideadetailedinvoiceforeachpaymentrequest.PartyAshallhavetherighttowithholdthefinalpaymentuntilalldefectsnotedduringthewarrantyperiodhavebeenrectifiedbyPartyB.5.Allpaymentsaresubjectto[mentionanyapplicabletaxes,duties,orVAT,specifyingwhoisresponsible,e.g.,"allapplicabletaxestobepaidbyPartyA"].Timeline/Schedule1.Theprojectisscheduledtocommenceon[StartDate]andshallbecompletedby[EndDate].Keymilestonesare:*Finalequipmentconfirmation:[Date].*Commencementofinstallation:[Date].*Completionofinstallation:[Date].*Systemtesting:[Date].*Usertraining:[Date].*Finalacceptance:[Date].2.PartyBshallprovidePartyAwithadetailedprojectscheduleoutliningweeklytasksandprogressupdates.PartyAshallprovidePartyBwithtimelyaccesstothesiteandnecessarypermissionsforworktoproceed.3.AnyapprovedchangestothescheduleshallbemutuallyagreeduponinwritingbybothParties.DelaysinperformanceduetounforeseencircumstancesbeyondthereasonablecontrolofPartyB(asdefinedintheAgreement)shallbeexcused,providedtimelynotificationisgiven.WarrantiesandGuarantees1.EquipmentWarranty:PartyBrepresentsandwarrantsthatallSmartLightingControlEquipmentsuppliedunderthisAgreementshallbenew,unused,andconformtothespecificationsagreedupon.Theequipmentshallbewarrantedbytherespectivemanufacturersforaperiodof[Number,e.g.,2]yearsfromthedateofinstallation,subjecttothetermsandconditionsoftheoriginalmanufacturer'swarranties.PartyBshallfacilitatetheprocessingofmanufacturerwarrantiesforPartyAuponPartyA'srequestandprovisionofnecessarydocumentation.2.InstallationWarranty:PartyBwarrantsthatitsinstallationservicesshallbeperformedinaworkmanlikemannerinaccordancewithapplicablestandardsandthisAgreement.PartyBwarrantsthattheinstalledsystemshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number,e.g.,1]yearfromthedateoffinalacceptancebyPartyA.Duringthiswarrantyperiod,PartyBshallrectify,atitsownexpense,anydefectsarisingfromitsworkmanshipuponnotificationbyPartyA.PartyAshallpromptlyreportanydefectstoPartyBupondiscovery.TechnicalRequirementsandStandards1.TheinstallationandconfigurationoftheSmartLightingControlSystemshallfullycomplywithallapplicablenationalandlocalelectricalcodes,safetyregulations,andfirecodes.2.Thesystemshallbedesignedandimplementedtoensurecompatibilitywithstandardnetworkingprotocols(e.g.,TCP/IP,Zigbee,Z-Wave,Wi-Fiasapplicable).3.Thesystemshallberobust,stable,andreliable,withprovisionforfuturescalabilityandintegrationwithotherbuildingmanagementsystemswherefeasible.4.Allhardwareinstallationsshallbesecure,neat,andprofessionallyexecuted.Cablingshallbeconcealedwherepossibleandconformtoindustrybestpracticesforsignalintegrityandprotection.5.ThefinalsystemconfigurationshallbemutuallyagreeduponinwritingbybothPartiespriortofinaltesting.ProjectManagementandCommunication1.PartyAshalldesignate[Name,Title]asitsprimarycontactforthisproject.PartyBshalldesignate[Name,Title]asitsprimarycontact.2.BothPartiesagreetoholdregularweeklyorbi-weeklysitemeetings(orasneeded)todiscussprogress,addressissues,andreviewanychanges.3.PartyBshallprovideweeklyprogressreportssummarizingcompletedwork,upcomingtasks,andanychallengesencountered.4.Allsignificantchangestotheprojectscope,timeline,orcostshallrequireaformalChangeOrdersubmittedinwritingbytheproposingParty,reviewedandapprovedbytheotherPartypriortoimplementation.AcceptanceandInspection1.PartyAshallhavetherighttoinspecttheworkinprogressatanyreasonabletimeduringtheinstallationperiod.2.PartyBshallprovidePartyAwithawrittennoticerequestingfinalacceptanceoftheprojectuponcompletionofallworkandinstallationofallagreed-uponequipment.3.PartyAshallhave[Number,e.g.,10]daysfromreceiptofthefinalacceptancenoticetoconductafinalinspectionoftheinstalledsystem.4.AcceptanceshallbedeemedeffectiveuponreceiptofPartyA'ssignedfinalacceptancecertificateoritsfailuretoprovidewrittenobjectionsorinitiateproceedingsunderthewarrantyclausewithintheinspectionperiod.Ifthesystemdoesnotmeettheagreed-uponspecificationsorperformancestandards,PartyAshallprovideadetailedlistofdeficienciesinwritingtoPartyBwithintheinspectionperiod.PartyBshallhave[Number,e.g.,15]daystorectifyallnoteddeficienciesatitsexpense.PartyAshallhavetherighttorepeatthefinalinspectionprocessafterrectification.IntellectualPropertyRights1.PartyAshallownthephysicalassetsinstalledunderthisAgreement(theSmartLightingControlEquipment),providedthepurchasepricehasbeenpaidinfull.2.Thesoftwareplatform(s)providedbyPartyB(oritssuppliers)maybelicensedtoPartyAforusesolelyinconnectionwiththisAgreement.PartyAshallnotpossess,copy,modify,distribute,orsublicensethelicensedsoftwareexceptaspermittedbytheapplicablelicenseagreement(s),ifany,providedfreeofchargewiththesystem.TheunderlyingintellectualpropertyrightsinthesoftwareremaintheexclusivepropertyofPartyBoritssuppliers.3.PartyBshallnotclaimanyownershipinterestinanydatageneratedorusedbythesystemwithinPartyA'spremises,exceptasmaybenecessaryforsystemoperationandmaintenanceasexpresslyagreedinwriting.LiabilityandInsurance1.ExceptforindemnificationrelatedtopersonalinjuryorpropertydamagecausedbyPartyB'snegligence,PartyB'stotalliabilityunderthisAgreement,whetherincontract,tort,orotherwise,shallnotexceedthetotalcontractpricepaidbyPartyAunderthisAgreement.2.PartyBshallprocureandmaintainduringtheentiredurationofthisAgreementandthewarrantyperiodthereof,insurancecoverageincluding,butnotlimitedto,CommercialGeneralLiabilityinsurancewithlimitsofnotlessthan[Amount]USDperoccurrenceand[Amount]USDintheaggregate,andWorkers'CompensationandEmployers'Liabilityinsuranceasrequiredbylaw.3.PartyBshallindemnify,defend,andholdharmlessPartyAfromandagainstanyandallclaims,losses,liabilities,damages,judgments,costs,andexpensesarisingoutoforresultingfromthenegligence,misconduct,orwillfulmisconductofPartyBoritsemployees,agents,orsubcontractorsintheperformanceofthisAgreement,exceptforclaimsarisingfromtheuseofdefectiveequipmentnotcoveredunderthewarranty,orclaimsarisingfromPartyA'sviolationofapplicablelawsorregulations.Confidentiality1.EachPartyagreestoholdconfidentialanyandallnon-publicinformationdisclosedbytheotherPartyduringthetermofthisAgreementandforaperiodof[Number,e.g.,3]yearsthereafter."ConfidentialInformation"includes,butisnotlimitedto,technicaldata,businessplans,customerlists,financialinformation,andtechnicalspecifications.2.EachPartyshalluseConfidentialInformationsolelyforthepurposesoffulfillingitsobligationsunderthisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.Thisobligationshallnotapplytoinformation(a)alreadyinthepublicdomain,(b)obtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligations,(c)independentlydevelopedwithoutreferencetothedisclosingParty'sConfidentialInformation,or(d)requiredtobedisclosedbylaworcourtorder.Termination1.ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,30]dayswrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.2.PartyAmayterminatethisAgreementatanytimeforanyreasonuponwrittennoticetoPartyB,providedPartyBcompletesongoingwork,returnsallproprietarymaterialsbelongingtoPartyA,andispaidforallworkperformeduptothedateoftermination.3.PartyBmayterminatethisAgreementifPartyAfailstomakepaymentswhendue,after[Number,e.g.,30]dayswrittennotice.4.UponterminationorexpirationofthisAgreement,PartyBshall:*CompleteanyoutstandingworkrequiredbyPartyAforwhichpaymenthasbeenreceived.*ReturnallequipmentanddocumentationownedbyPartyA.*ProvidefinalprojectdocumentationtoPartyA.*CeaseanyuseofPartyA'sConfidentialInformation.*BepaidalloutstandingamountsdueunderthisAgreementaccordingtotheagreedpaymentterms.DisputeResolution1.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughgoodfaithnegotiationsbetweentheseniormanagementrepresentativesofbothParties.2.Ifthedisputecannotbesettledthroughnegotiationwithin[Number,e.g.,30]daysfromthetimeeitherPartyservesawrittennoticeofdisputeontheotherParty,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theAmericanArbitrationAssociation]forfinalandbindingarbitration.Thearbitrationshallbeheldin[City,State/Country]andconductedinaccordancewiththethen-currentrulesofthe[ArbitrationInstitution].The仲裁decisionshallbefinalandbindinguponbothPartiesandshallbeenforceableasifitwereacourtjudgment.ThecostsofarbitrationshallbesharedequallybybothPartiesunlessthearbitratordeterminesotherwise.3.Alternatively,ifpreferred:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[City,State/Country].GeneralProvisions1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapply.2.EntireAgreement:ThisAgreement,includinganyreferenceddocuments(evenifnoattachmentisprovided),constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.3.Amendments:NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.4.Severability:IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsshallremaininfullforceandeffect.5.Waiver:NofailureordelaybyeitherPartyinexercisinganyrightorremedyunderthisAgreementshallconstituteawaiverofsuchrightorremedyorofanyotherrightorremedyavailableunderthisAgreement.6.SuccessorsandAssigns:ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectiveheirs,executors,administrators,successors,andpermittedassigns.NeitherPartymayassignitsrightsordelegateitsobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty,exceptaspermittedbylaw(e.g.,inconnectionwithamergeroracquisition).7.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallb
