建筑施工fidic合同范本标准ConditionsofContractforConstructionWorks1.ScopeofWorkTheContractorshallconstruct,erect,install,andcommissiontheWorksasdescribedintheScheduletothisContractandinaccordancewiththedrawings,specifications,andotherdocumentsincludedintheContractDocuments(collectivelyreferredtoasthe"Drawings"),subjecttoanyvariationsormodificationssubsequentlyagreeduponinwriting.2.ContractDocumentsTheContractconsistsofthefollowingdocumentsintheordersetoutbelow.Ifanyofthesedocumentsconflictwithoneanother,thedocumentmentionedlaterinthislistshallprevail:(a)TheseConditionsofContract;(b)TheSchedule;(c)TheDrawings;(d)TheSpecifications;(e)TheBillofQuantities(ifapplicable);(f)TheLetterofAcceptance;(g)TheContractor'sProposal(ifapplicable);(h)SuchotherdocumentsasmayformpartoftheContractbyreferencetothemintheseConditionsoranyotherContractDocument.3.DefinitionsInthisContract,unlessthecontextotherwiserequires:(a)"Contract"meansthisContractandtheSchedule;(b)"Works"meanstheWorkstobeconstructedunderthisContract;(c)"Site"meanstheareaoflanddesignatedbytheEmployerasthesitefortheWorks;(d)"Employer"meansthepartydesignatedintheLetterofAcceptanceastheEmployer;(e)"Contractor"meansthepartydesignatedintheLetterofAcceptanceastheContractor;(f)"Engineer"meansthepersonorbodydesignatedintheLetterofAcceptanceastheEngineer,oranysuccessororsubstituteappointedinaccordancewiththeseConditions;(g)"Day"meansanydayotherthanadaydesignatedasaPublicHolidayunderArticle4.1;(h)"Week"meansaperiodofsevenconsecutivedayscommencingwiththefirstDay;(i)"Cost"meanstheestimatedcostofanyitemofWorkorofanyothermatter,asdeterminedbytheEngineer;(j)"Money"meansanycurrencyspecifiedintheContractDocuments.4.LawandDisputeResolution(a)TheContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction],withoutregardtoitsconflictoflawsprinciples.(b)AnydisputearisingoutoforinconnectionwiththisContractshallbereferredtotheInternationalChamberofCommerce(ICC)forarbitrationinaccordancewiththeRulesofArbitrationoftheICCineffectatthetimeofthesubmission.Theseatofarbitrationshallbe[SpecifyCity,Country].5.LanguageThelanguageoftheContractis[SpecifyLanguage].AllcommunicationsunderthisContractshallbeinthesaidlanguage.6.Notices(a)AnynoticeorothercommunicationrequiredorpermittedtobegivenunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(i)whendeliveredpersonally;(ii)oneDayafterdepositwitharecognizedcourierserviceorbyregisteredpost(airmailorsurface)addressedtotheaddressee;(iii)onthedayoftransmissionifsentbyfacsimileoremail,providedaconfirmationofreceiptispromptlysent.(b)NoticesshallbeaddressedtothepartiesattheaddressessetoutintheLetterofAcceptanceorassubsequentlynotifiedinwriting.AnychangeofaddressshallbenotifiedinaccordancewiththeprovisionsofArticle5.7.Contractor'sObligationsTheContractorshallperformtheWorkswithduecareandskillinaccordancewiththeDrawings,Specifications,andanyotherrequirementsoftheContractDocuments.TheContractorshall:(a)UseitsbesteffortstocompletetheWorkswithinthetimeallowed.(b)Complywithallapplicablelawsandregulations.(c)Provideandmaintainallnecessaryplant,machinery,equipment,andlabor.(d)KeeptheSitecleanandinasafecondition.(e)FurnishtheEmployerwithallrequiredprogressreports,accounts,andotherdocuments.(f)Co-operatewiththeEngineerasreasonablyrequired.(g)NotifytheEngineerimmediatelyofanydelayorlikelydelayincompletingtheWorksoranydifficultyinobtainingmaterialsorequipment.(h)AcceptanyvariationorderedbytheEngineerinaccordancewiththeseConditions.8.Employer'sObligationsTheEmployershall:(a)MakeavailabletheSitefortheContractor'suseasprovidedintheContractDocuments.(b)PaytheContractorthesumsdueundertheContractasprovidedherein.(c)AppointanEngineeranddefinehispowersanddutiesasprovidedinArticle8.(d)AuthorizetheContractortoenterandoccupypartsoftheSiteasnecessaryfortheconstructionoftheWorks.(e)Reviewand,ifsatisfied,approveanyvariationproposedbytheContractor.(f)OrganizeandconductthefinalinspectionandacceptanceoftheWorks.(g)Makepaymentofthefinalaccountwithin[SpecifyNumber,e.g.,28]Daysafterthedateofthefinalinspection.9.Engineer(a)TheEngineershallhavethefollowingpowersandduties:(i)Togiveinstructions,directions,andrecommendationstotheContractorfortheexecution,completion,andmaintenanceoftheWorks.(ii)ToexamineandinspecttheWorksandtheContractor'srecordsatanytimeandtorequiretheContractortoproduceanydocumentorrecord.(iii)TodeterminewhetheranyVariationhasbeenproperlycarriedout.(iv)ToassessclaimssubmittedbytheContractor.(v)TocertifythequantitiesofanyWorksexecutedandthevalueofanyVariation.(vi)Toissuecertificatesforpaymentuponsatisfactoryprogress.(vii)TodeclaretheWorksreadyforfinalinspectionandacceptance.(viii)TodetermineanypointorquestionarisingundertheContract,unlessitisreferredtoarbitration.(b)TheEngineershallhavetherightto:(i)OrdertheContractortorectifyany缺陷intheWorks.(ii)SuspendorterminatetheContractor'sworkiftheContractorfailstocomplywithanyprovisionoftheContract.(iii)Takepossessionofanyplant,machinery,ormaterialsiftheContractordefaultsinpayment.(c)TheEngineer'spowersmaybedelegatedbytheEmployer,butanydelegateshallbedeemedtobetheEngineerforallpurposes.10.AdjustmentoftheContractPrice(a)TheContractPricemaybeadjustedbytheEngineerinaccordancewiththeprovisionsoftheContractDocumentsifanyvariation,unforeseenevents,orchangesinlawsandregulationsaffecttheestimatedcostoftheWorks.(b)TheadjustmentshallbemadeupontheapplicationofeitherpartyandshallbedeterminedbytheEngineerafterconsideringallrelevantfactors.11.ProvisionalSums(a)TheContractmayincludeProvisionalSumsforWorkswhicharenotyetsufficientlydefined.TheEmployershallpaytheContractorforeachProvisionalSumatsuchtimeandinsuchmannerastheEngineermaycertifytobeappropriate.(b)ThebalanceofanyProvisionalSum,ifany,shallbereturnedtotheContractoraftertheWorksforwhichitwasintendedhavebeencompleted.12.PrimeCostItems(a)TheContractmayincludePrimeCostItemsforWorkswhicharenotyetsufficientlydefined.TheEmployershallpaytheContractorforeachPrimeCostItemupontheEngineercertifyingthattheitemhasbeenpurchasedorotherwiseacquired.(b)ThebalanceofanyPrimeCostItem,ifany,shallbereturnedtotheContractoraftertheWorksforwhichitwasintendedhavebeencompleted.13.Variation(a)TheEmployerortheEngineermaymakeaVariationtotheWorksbygivingwrittennoticetotheContractor.(b)TheContractorshallproceedwiththeVariationasdirectedandshallbeentitledtoadditionalcostsoravariationintheContractPriceasdeterminedbytheEngineer.(c)IftheContractorconsidersaVariationtobeoutsidethescopeoftheoriginalContract,heshallnotifytheEngineerwithin[SpecifyNumber,e.g.,7]DaysofreceivingthenoticeofVariation,andtheEngineershallconfirmwhethertheVariationiswithinoroutsidethescope.14.CostsandPayment(a)TheEmployershallpaytheContractortheContractPriceinaccordancewiththefollowingschedule:(i)Anadvancepaymentof[SpecifyPercentage,e.g.,10]%oftheContractPriceshallbemadewithin[SpecifyNumber,e.g.,28]DaysaftertheContractor'swrittennoticeofthereadinessoftheSite.(ii)Progresspaymentsshallbemadeatintervalsof[SpecifyPeriod,e.g.,monthly]upontheContractorsubmittingastatementofaccountandtheEngineerissuingacertificateofpayment.(iii)Thefinalpaymentshallbemadewithin[SpecifyNumber,e.g.,56]DaysafterthedateoftheEngineer'scertificateoffinalacceptance.(b)EachpaymentshallbesubjecttoanallowanceforRetentionMoneyasspecifiedintheContractDocuments.(c)TheContractorshallbeentitledtointerestonanyamountdueundertheContractatarateof[SpecifyRate,e.g.,5]%perannumfromtheduedateofpaymentuntilthedateofactualpayment.15.RetentionMoney(a)Anamountequalto[SpecifyPercentage,e.g.,5]%oftheContractPriceshallberetainedbytheEmployerasRetentionMoneytocoveranyclaimsarisingafterthedateoffinalacceptance.(b)TheRetentionMoneyshallbereleasedtotheContractorinequalproportionsatintervalsof[SpecifyNumber,e.g.,6]monthscommencingfromthedateoffinalacceptance,providedtheContractorhasbeeninfullcompliancewiththeContract.(c)ThefinalportionoftheRetentionMoneyshallbereleasedwithin[SpecifyNumber,e.g.,14]Daysafterthedateoffinalacceptance,providedtheContractorhassubmittedallrequireddocumentsandhasreceivedfinalpaymentfromtheEmployerforanyPrimeCostItemsorProvisionalSumsforwhichhehasreceivedpaymentfromtheEmployer.16.Completion(a)TheWorksshallbedeemedtobecompletedwhentheEngineercertifiesthattheyarereadyforfinalinspectionandacceptance.(b)TheContractorshallgivetheEngineeratleast[SpecifyNumber,e.g.,14]Days'noticeofthereadinessoftheWorksforfinalinspection.(c)TheEngineershallconductthefinalinspectionwithin[SpecifyNumber,e.g.,28]Daysafterreceivingthenotice.(d)IftheEngineerissatisfiedwiththeWorks,heshallissueacertificateoffinalacceptancewithin[SpecifyNumber,e.g.,7]Daysaftertheinspection.17.DefectsLiabilityPeriod(a)TheContractorshallberesponsibleforthecorrectionofanydefectsintheWorkswhichbecomeapparentwithintheDefectsLiabilityPeriodcommencingfromthedateoffinalacceptance.(b)TheContractorshallrectifyanydefectsupontheEngineer'snoticeandattheContractor'sownexpense.(c)TheEngineershallissueacertificateofsatisfactoryrectificationwithin[SpecifyNumber,e.g.,14]Daysaftertherectificationiscompleted.(d)TheDefectsLiabilityPeriodshallendwhentheEngineerissuesthecertificateofsatisfactoryrectificationforalloutstandingdefectsorwhenaspecifiedperiodof[SpecifyNumber,e.g.,24]monthshaselapsedfromthedateoffinalacceptance,whicheverislater.18.FinalAcceptance(a)TheEmployershallhavetherighttoinspecttheWorksandtoacceptorrejectthem.(b)IftheEmployeracceptstheWorks,theEngineershallissueacertificateoffinalacceptance.(c)IftheEmployerrejectstheWorks,theContractorshallrectifyalldefectswithinareasonabletimeasdeterminedbytheEngineer.19.Termination(a)ThisContractmaybeterminatedbyeitherpartybygiving[SpecifyNumber,e.g.,28]Days'writtennoticetotheotherpartyforanybreachoftheContractwhichisnotremediedwithinareasonabletimeafternotice.(b)Upontermination,theContractorshallbeentitledtopaymentforallWorkscompletedandforanyvariationorders,buttheEmployershallbeentitledtorecoveranylossessuffered.(c)TheEngineershallcertifytheamountsduetotheContractorandtheEmployerupontermination.20.InsuranceTheContractorshallprocureandmaintainthefollowinginsurancesforthebenefitoftheEmployer:(a)InsurancefortheWorksinprogressatanamountof[SpecifyAmount]%oftheContractPrice.(b)InsurancefortheEmployer'slossordamagetotheWorks.(c)PublicliabilityinsurancecoveringtheEmployer'sliabilitytothirdpartiesforlossordamagecausedbytheWorksortheContractor'soperations.(d)TheContractorshallprovidetheEmployerwithcertificatesofinsurancewithin[SpecifyNumber,e.g.,14]Daysoftheirissue.21.Indemnification(a)TheContractorshallindemnifyandholdharmlesstheEmployeragainstallclaims,losses,anddamagesarisingoutoforinconnectionwiththeContractor'sperformanceunderthisContract.(b)TheEmployershallindemnifyandholdharmlesstheContractoragainstallclaims,losses,anddamagesarisingoutoforinconnectionwiththeEmployer'suseoftheWorks.22.ForceMajeure(a)NeitherpartyshallbeliableforanydelayorfailureinperformingitsobligationsunderthisContractifsuchdelayorfailureiscausedbyaForceMajeureevent.(b)AForceMajeureeventmeansaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,strikes,andcivilcommotion.(c)TheaffectedpartyshallnotifytheotherpartywithoutdelayofanyForceMajeureeventandshalltakeallreasonablestepstomitigateitseffects.(d)Theaffectedpartyshallnotbeliableforanyad
