(1)AsperPartyB’semploymentneeds,PartyArecommendqualifiedtechniciansforPartyB.

(2)DispatchedtechniciansarePartyA‘sstaff,PartyAwillbethedirectonetosignlaborcontract,paysalary,coversocialinsuranceforthedispatchedtechnicians.

(3)Dispatchedtechnicianswillworkas_____;workplace_____.

Clause3.thesettlementoftechnicianscosts

A.thetechnicianscostsinclude:salaryandwages,socialinsuranceandothertechnicianscostsconcerned(visa,transportation,accomodationandotherexpenses).AlltechnicianscostsshallbebornebyPartyB.

B.standards:

(1)salaryandwages:____U.S.dollars/person/month,withrelevanttaxesalsobebornebythePartyB.

(2)socialinsurance:shallbecoveredinPRCbyPartyAinaccordancewith"LaborLawofPRC",thecostsshallbebornebyPartyB.

(3)otherrelativecosts:to-and-frotravellingexpenses,visaandaccomodationfeesshallbebornebyPartyB.NecessaryassistanceshallbeprovidedbyPartyA.

C.Settlementtimeandmethod

PartyBpaytoPartyA’sbankaccountbefore__,everymonthandshowbankreceiptandalistofthesettlementscoststoPartyA,thenPartyAshallpaythetechniciansbefore_____everymonth.

Clause4.thePartyA'sresponsibilities,rightsandobligations

1.PartyAshallpaythedispatchedtechnicianssalaryandwages,coversocialinsuranceafterPartyBpaidPartyArelevantcosts.

2.PartyBshallhelpPartyAtolearnabouttheworkingandlivingconditionsofdispatchedtechnicians.PartyAshallassistBwithmanagementofdispatchedtechnicianss,trainingdispatchedtechnicianstocomplywithlocallaws,regulations.

3.Shouldtherebeanybehaviorsunderminingdispatchedtechnicians’slegitimaterightsandinterestsbyPartyBsuchasbreachofthiscontract,delayandfailuretopaysalary,etc.PartyAshallnegotiatetorequirePartyBtocontinuetofulfilltheirobligationsandreservetherightstolodgeclaimsandcompensationagainstPartyB.

Clause5.theresponsibilities,rightsandobligationsofPartyB

(1).PartyBshallinformthedispatchedtechniciansofthepotentialdangerandrequirementsofjob

(2).PartyBshouldprovidegoodworkingconditionsandprotectionequipmentstoensuresecurityofdispatchedtechnicians.Securitytrainingshallalsobeconductedtowardsdispatchedtechnicians.PartyBshallcollaboratewithAregardinganyindustrialinjuriesandcasualtiescausedtothedispatchedtechniciansorathirdparty,inaccordancewithrelevantlawsandregulationsinPRC.

(3)PartyBshallnotdelayordeductthepaymentoftechnicianscoststoPartyA.

(4)PartyBshallnotrequestthedispatchedtechnicianstoworkovertimewithoutthedispatchedtechnicians’sprioragreementsothatthedispatchedtechnicians’shealthcanbeguaranteed.Ifdispatchedtechniciansagreetoworkovertime,heshouldgetovertimepay.

(5)thedispatchedtechniciansisentitledtoenjoypaidvacationeveryyear,thespecifctimetablewillbenegotiatedbyPartyA,PartyBandthedispatchedtechnicians.

(6)thedispatchedtechnicians,whileworkingforPartyB,shallbeofferedgoodaccomodationbyPartyB.

(7)PartyBshallfulfilltheobligationofinformingthedispatchedtechniciansofthepossibleoccupationaldiseasesinareponsibleandtruthfulmannerandcarryoutsaftyandsanitarytrainingssoastopreventandreduceaccidentsandoccupationalhazards.PartyBshallcreatgoodworkingconditionsandprovidenecessarytechniciansprotectionequipmentsforthedispatchedtechnicians.

(8)Ifthedispatchedtechnicianssufferfromindustrialinjuryoroccupationaldiseases,PartyBshalltaketheresponsibilityofgivingthedispatchedtechnicianstimelymedicaltreatment.Ifthetechnicians’shealthcannotberestoredafterbeingtreatedfortwomonthsandtechniciansrequesttobetreatedinPRC,PartyBshallgivehispermissionandpayforthefollow-uptreatmentsexpenses.

Clause6.disputes

(1)Incaseoflabordisputes,bothpartieshaverighttoresorttoarbitrationandlawsuit.ThevenueofarbtrationproceedingswillbeinHongKong.

(2).othermatters

Ifeitherpartyisprevented,hinderedordelayedfromperforminginwholeorinpartanyobligationorconditionofthiscontractbyreasonofforcemajeure(the”AffectedParty”),theaffectedPartyshallgivewrittennoticetotheotherpartywithin15days.Aftermutualnegotiation,theAffectedPartymaysuspendperformanceofitspartialobligationsunderthiscontractorbothpartiesworkoutanaditionalagreement.
