展览会参展协议范本：中英文对照ThisAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween[Organizer'sFullLegalName]("Organizer"),havingitsprincipalplaceofbusinessat[Organizer'sRegisteredAddress],and[Exhibitor'sFullLegalNameorPersonalName]("Exhibitor"),havingitsprincipalplaceofbusinessorresidingat[Exhibitor'sRegisteredAddressorBusinessAddress](collectivelyreferredtoasthe"Parties").WHEREAS,theOrganizeristheorganizeroftheexhibitiontitled"[ExhibitionChineseName]"("Exhibition"),tobeheldat[ExhibitionVenue],[ExhibitionCity],[ExhibitionCountry]from[StartDate]to[EndDate](the"ExhibitionPeriod");WHEREAS,theExhibitordesirestoparticipateintheExhibitionbyrentingaboothandprovidingexhibitmaterials;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.ExhibitionInformationThisAgreementpertainstotheparticipationoftheExhibitorintheExhibitiondescribedabove.ThedetailedrulesandregulationsoftheExhibitionareincorporatedbyreferencehereinandformpartofthisAgreement.2.BoothAllocationTheOrganizershallallocatetotheExhibitoraboothlocatedat[BoothNumber]withintheExhibitionHall(the"Booth").TheBoothisofthetype[Standard/Standalone/etc.]andmeasures[SizeinSquareMeters]squaremeters.ThelocationoftheBoothis[DescriptionofLocation/Zone].3.BoothFeesandPaymentTheExhibitorshallpaytotheOrganizerthetotalboothparticipationfeefortheBooth,whichshallinclude,butnotbelimitedto,boothrentaland[listotherincludedfees,e.g.,standardconstruction,electricityuptoXamps].Thetotalfeeis[AmountinCurrency,e.g.,USDXXXX]([AmountinLocalCurrency,ifdifferent])(the"BoothFee").TheBoothFeeshallbepayableasfollows:[Describepaymentschedule,e.g.,30%deposituponsigningthisAgreement,withthebalanceduenolaterthan[Date]priortothestartoftheExhibitionPeriod].Paymentshallbemadeby[PaymentMethod,e.g.,banktransfertotheOrganizer'sdesignatedbankaccount].4.BoothConfirmationTheOrganizer'sissuanceofaformalboothconfirmationlettertotheExhibitor,uponreceiptoftherequireddepositandcompletionoftheregistrationform,shallconstituteacceptanceoftheExhibitorandconfirmationoftheBoothallocation.TheOrganizerreservestherighttoadjustthelocationoftheBooth,providedsuchadjustmentisreasonable,andprovidedtheOrganizergivestheExhibitoratleast[Number]weeks'writtennoticepriortothestartoftheExhibitionPeriod.TheExhibitorshallbedeemedtoacceptanysuchadjustmentuponreceiptofthenotice.5.ExhibitorObligationsTheExhibitorshall:a)PaytheBoothFeetotheOrganizerinaccordancewiththetermsofthisAgreement.b)Complywithallapplicablelaws,regulations,andtheOrganizer'srulesandregulationsfortheExhibition(the"ExhibitionRules").c)Ensurethatallconstruction,modifications,anddecorationswithintheBooth(including,butnotlimitedto,powerinstallations)arecompletedpriortothestartoftheExhibitionPeriodandcomplywiththesafetystandardsandspecificationssetforthbytheOrganizerintheprovidedconstructionguidelines.PriorwrittenpermissionfromtheOrganizermustbeobtainedforanyconstructionworkcommencinglessthan[Number]weeksbeforethestartoftheExhibitionPeriod.d)UtilizetheBoothsolelyforthepurposeofpromotingandexhibitingtheExhibitor'sproducts,services,orcompanyimageinaccordancewiththeExhibitionRules.e)ProvideallnecessarypersonnelfortheoperationandmanagementoftheBoothduringtheExhibitionPeriod.f)Beresponsibleforallexhibits,materials,equipment,andpersonnelbroughtontotheOrganizer'spremisesforthepurposeoftheExhibition.g)Procureandmaintain,attheExhibitor'sownexpense,appropriateinsurancecoverageforthebenefitoftheOrganizerandthepublic,includingbutnotlimitedto,liabilityinsurancecoveringbodilyinjuryandpropertydamage.h)Removeallexhibits,materials,equipment,andwastefromtheBoothandtheOrganizer'spremisesupontheconclusionoftheExhibitionPeriodorasdirectedbytheOrganizer.i)NotinstallanysoundorlightingsystemsintheBooththatcouldinterferewiththeoperationsofotherExhibitorsortheOrganizer.j)Notstoreanygoods,materials,orequipmentwithintheBoothafterthecloseoftheExhibitionon[EndDate].6.OrganizerObligationsTheOrganizershall:a)MaketheBoothavailabletotheExhibitorforuseduringtheExhibitionPeriod,subjecttothetermsofthisAgreementandtheExhibitionRules.b)ProvidetheExhibitorwithaccesstostandardpowersupplywithintheBooth,withacapacityofupto[X]amps,subjecttothesafetyregulationsandpaymentofapplicablechargesaspertheExhibitionRules.c)EnsurethegeneralsafetyandsecurityoftheExhibitionsite.d)ProvidetheExhibitorwithacopyoftheExhibitionRulespriortothestartoftheExhibitionPeriod.e)AdministertheExhibitioninafairandorderlymannerinaccordancewiththeExhibitionRules.f)FacilitatereasonableaccesstotheExhibitor'sBoothforauthorizedpersonnelduringtheExhibitionPeriod.7.BoothConstructionandDecorationTheExhibitorshallnotcommenceanyconstruction,installation,ormodificationwithintheBoothuntiltheOrganizerhasissuedtheExhibitorwithwrittenpermission.Allworkmustbecompletedby[DateorTime]priortothestartoftheExhibitionPeriod.TheExhibitorissolelyresponsibleforthedesign,construction,installation,maintenance,andremovalofallexhibits,displays,signs,andequipmentwithintheBooth.AllsuchworkmustcomplywiththeOrganizer'sconstructionguidelines,safetyregulations,andanylocalbuildingcodesorfireregulationsapplicabletotheExhibitionVenue.TheOrganizerreservestherighttoprohibitanyconstructionorinstallationthat,initsreasonableopinion,posesahazardtopersonsorpropertyorinterfereswithotherExhibitorsorthepublic.8.ProductTransportationandInsuranceTheExhibitorissolelyresponsibleforarrangingandpayingforthetransportation,unloading,storage(ifany),andloadingofallexhibits,equipment,andmaterialstoandfromtheBooth.TheExhibitorisresponsiblefortheinsuranceofallsuchitemsthroughouttheExhibitionPeriod.9.IntellectualPropertyRightsAllintellectualpropertyrightsinconnectionwiththedesign,construction,andcontentsoftheBoothandtheExhibitsshallremainthepropertyoftheExhibitor.However,theExhibitorherebygrantstotheOrganizeranon-exclusive,royalty-freelicensetousetheBoothdesignandExhibitmaterialssolelyforthepurposeofsettingup,operating,andmanagingtheBoothandconductingtheExhibitionduringtheExhibitionPeriod.TheExhibitorwarrantsthatitsuseoftheBoothandExhibitsdoesnotinfringeupontheintellectualpropertyrightsofanythirdparty.TheExhibitorshallindemnifyandholdharmlesstheOrganizerfromanyandallclaims,losses,damages,andliabilitiesarisingfromorinconnectionwithanyinfringementofthird-partyintellectualpropertyrightsbytheExhibitororitsrepresentatives.10.ConfidentialityEachPartyagreestokeepconfidentialallnon-publicinformationdisclosedbytheotherPartyinconnectionwiththisAgreementandtheExhibition,exceptasrequiredbylaworasnecessarytoenforcethetermsofthisAgreement.Thisobligationshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortodisclosurebytheDisclosingParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheDisclosingPartytotheReceivingPartythroughnofaultoftheReceivingParty;(c)wasknowntotheReceivingPartypriortodisclosurebytheDisclosingParty;(d)isindependentlydevelopedbytheReceivingPartywithoutuseoforreferencetotheDisclosingParty'sinformation;or(e)isobtainedfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality.11.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure,definedasaneventbeyondthereasonablecontroloftheaffectedParty,including,butnotlimitedto,actsofGod,war,terrorism,riots,civilcommotion,strikes,fire,flood,epidemic,orgovernmentalactions.TheaffectedPartyshallpromptlynotifytheotherPartyofanysucheventandprovidereasonableevidencethereof.TheperformanceofobligationsunderthisAgreementshallbesuspendedduringthecontinuanceoftheForceMajeureevent.Iftheeventcontinuesformorethan[Number]weeks,eitherPartymayterminatethisAgreementwithoutfurtherliability,exceptforpaymentsincurredpriortotheterminationdate.12.LiabilityExceptasexpresslyprovidedherein,neitherPartyshallbeliabletotheotherPartyforanyindirect,incidental,special,consequential,orpunitivedamages,includinglossofprofit,lossofuse,lossofbusiness,orlossofopportunity,arisingoutoforinconnectionwiththisAgreementortheExhibition.ThetotalliabilityoftheOrganizertotheExhibitorunderthisAgreementshallnotexceedthetotalBoothFeepaidbytheExhibitor.13.DisputeResolutionAnydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledthroughfriendlynegotiationbetweentheParties.Ifthedisputecannotbesettledwithin[Number]daysfromthedateofthelastattemptatnegotiation,thedisputeshallbefinallysettledby[Arbitration:e.g.,arbitrationinaccordancewiththerulesofthe[ArbitrationInstitutionName]applicabletotheAgreement][orLitigation:e.g.,thecourtsof[City],[Country]].14.EntireAgreementThisAgreement,includingtheExhibitor'sregistrationformandtheOrganizer'sExhibitionsRules,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,negotiations,representations,andwarranties,whetheroralorwritten.15.SeverabilityIfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,suchprovisionshallbeseveredfromthisAgreement,andtheremainingprovisionsshallcontinueinfullforceandeffectasiftheinvalid,illegal,orunenforceableprovisionhadneverbeenpartofthisAgreement.16.AmendmentNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.17.AssignmentNeitherPartymayassignanyrightsorobligationsunderthisAgreement,inwholeorinpart,toanythirdpartywithoutthepriorwrittenconsentoftheotherParty.18.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygiven:a)Whendeliveredpersonally;b)Onebusinessdayafterdepositwithanationallyrecognizedovernightcourierservice;orc)ThreebusinessdaysafterdepositwiththeUnitedStatesPostalServiceorothernationallettercarrier,postageprepaid,returnreceiptrequested,addressedasfollows:[Organizer'sLegalName][Organizer'sAddress]ortotheExhibitorat:[Exhibitor'sLegalNameorPersonalName]
