代付款英文协议书

ThisPaymentDelegationAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintobyandbetween[Payer'sName],withitsregisteredofficeat[Payer'sAddress](hereinafterreferredtoas"Payer"),and[Payee'sName],withitsregisteredofficeat[Payee'sAddress](hereinafterreferredtoas"Payee"),on[Date],inaccordancewiththefollowingtermsandconditions:

I.IntroductionandDefinitions

1.1ThepurposeofthisAgreementistoestablishthetermsandconditionsunderwhichPayerwilldelegatethepaymentofcertainamountstoPayeeonbehalfofathirdparty(hereinafterreferredtoas"ThirdParty").

1.2ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

-"DelegatedPayment"referstothepaymentofthespecifiedamountsbyPayertoPayeeonbehalfoftheThirdParty.

-"PaymentInstructions"referstothewritteninstructionsprovidedbyPayertoPayeefortheDelegatedPayment.

-"PaymentSchedule"referstothescheduleofpaymentstobemadebyPayertoPayeeinaccordancewiththetermsofthisAgreement.

II.ScopeandConditionsofPaymentDelegation

2.1Payeragreestodelegatethepaymentof[specifytheamountsortypesofpayments]toPayeeonbehalfoftheThirdParty,subjecttothefollowingconditions:

2.1.1TheDelegatedPaymentsshallbemadeinaccordancewiththePaymentInstructionsprovidedbyPayer.

2.1.2PayeeshallverifytheauthenticityandaccuracyofthePaymentInstructionsbeforeprocessingtheDelegatedPayments.

2.1.3PayeeshallnotmakeanyDelegatedPaymentsunlessspecificallyauthorizedbyPayerinwriting.

III.PaymentTermsandProcedures

3.1PayershallprovidePayeewiththePaymentInstructions,whichshallincludethefollowingdetails:

3.1.1ThenameandaccountdetailsoftheThirdParty.

3.1.2TheamountofeachDelegatedPayment.

3.1.3Thedate(s)onwhicheachDelegatedPaymentistobemade.

3.1.4AnyadditionalinstructionsorrequirementsrelatedtotheDelegatedPayments.

3.2PayeeshallprocesstheDelegatedPaymentsinaccordancewiththePaymentScheduleandPaymentInstructionsprovidedbyPayer.PayeeshallensurethateachDelegatedPaymentismadetothecorrectaccountoftheThirdParty.

3.3PayershallmaketheDelegatedPaymentstoPayeeinthefollowingmanner:

3.3.1PayershalltransferthefundstoPayee'sdesignatedaccountwithin[specifythetimeframe].

3.3.2PayershallprovidePayeewithproofofpayment,suchasabanktransferreceiptorelectronicconfirmation.

IV.ResponsibilitiesandObligations

4.1Payershall:

4.1.1EnsurethatthefundstransferredtoPayeearesufficienttocovertheDelegatedPayments.

4.1.2ProvidePayeewithanynecessaryinformationordocumentationrequiredfortheDelegatedPayments.

4.1.3NotifyPayeeimmediatelyintheeventofanychangestothePaymentInstructionsorPaymentSchedule.

4.2Payeeshall:

4.2.1ProcesstheDelegatedPaymentspromptlyandaccurately.

4.2.2MaintaintheconfidentialityoftheinformationprovidedbyPayer.

4.2.3NotifyPayerofanydiscrepanciesorissueswiththeDelegatedPayments.

V.TerminationandCancellation

5.1ThisAgreementmaybeterminatedorcancelledbyeitherpartyupon[specifythenoticeperiod]days'writtennoticetotheotherparty.

5.2UponterminationorcancellationofthisAgreement,PayeeshallimmediatelyceasemakinganyDelegatedPaymentsandshallreturnanyunprocessedPaymentInstructionstoPayer.

VI.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[specifythedisputeresolutionmechanism,e.g.,mediation,arbitration,orlitigation].

VII.Miscellaneous

7.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal.

7.2AnyamendmentormodificationofthisAgreementmustbeinwritingandsignedbybothparties.

7.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

VIII.Confidentiality

8.1Bothpartiesagreetokeepallconfidentialinformationdisclosedbytheotherpartystrictlyconfidential.Thisincludes,butisnotlimitedto,anyfinancialinformation,tradesecrets,orothersensitivedata.TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

8.2Notwithstandingtheabove,informationmaybedisclosedifrequiredbylaw,courtorder,orregulatoryauthority,providedthatthedisclosingpartyshallgivetheotherpartypriornotice,iflegallypermitted,toenabletheotherpartytochallengesuchdisclosure.

IX.ForceMajeure

9.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentactions.Theaffectedpartyshallnotifytheotherpartyimmediatelyupontheoccurrenceofsuchaneventandshallusecommerciallyreasonableeffortstominimizetheimpactontheperformanceofitsobligations.

X.EntireAgreement

10.1ThisAgreement,includingallexhibits,attachments,andschedules,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

XI.Amendments

11.1AnyamendmentormodificationofthisAgreementmustbeinwritingandexecutedbybothparties.Nooralamendmentormodificationshallbebindinguponeitherparty.

XII.Notices

12.1Allnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredtothepartiesattheaddressesspecifiedinthisAgreementortosuchotheraddressasmaybesubsequentlynotifiedinwritingbythepartytowhomnoticeistobegiven.

XIII.Assignment

13.1PayermaynotassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentofPayee.PayeemayassignthisAgreementoranyofitsrightsorobligationshereunderwithouttheconsentofPayer.

XIV.Survival

14.1TheprovisionsofthisAgreementthatbytheirnatureshouldsurviveterminationorexpirationofthisAgreement,includingbutnotlimitedtoconfidentiality,indemnification,andlimitationsofliability,shallsurvivetheterminationorexpirationofthisAgreement.

XV.IndependentRelationship

15.1NothinginthisAgreementshallbeconstruedascreatingapartnership,jointventure,agency,employment,orfranchiserelationshipbetweentheparties.

XVI.Waiver

16.1ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.

XVII.Headings

17.1TheheadingsinthisAgreementareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofthisAgreement.

XVIII.Execution

18.1ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

XIX.GoverningLawandJurisdiction

19.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheintroductoryparagraphofthisAgreement.AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsofsuchjurisdiction,andeachpartyherebysubmitstothejurisdictionofsuchcourts.

XX.DisputeResolution

20.1Intheeventofanydispute,controversy,orclaimarisingoutoforinrelationtothisAgreement,thepartiesagreetoattempttoresolvesuchdisputethroughgoodfaithnegotiations.Ifthepartiesareunabletoresolvethedisputewithinareasonableperiod,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[specifythearbitrationinstitution].

20.2Thedecisionofthearbitratorshallbefinalandbindingupontheparties.ThearbitrationshallbeconductedintheEnglishlanguageandtheplaceofarbitrationshallbe[specifythelocation].

XXI.NoWaiver

21.1Thefailureofeitherpartytoexerciseanyrightprovidedforhereinshallnotbedeemedawaiverofsuchrightortherighttoexerciseanyotherrightatanyothertime.

XXII.Counterparts

22.1ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

XXIII.Amendments

23.1AnyamendmenttothisAgreementmustbeinwritingandexecutedbybothparties.NoverbalorwrittenamendmentmadeaftertheexecutionofthisAgreementshallbebindingonthepartiesunlessexecutedinaccordancewiththeprovisionsofthisAgreement.

XXIV.EntireAgreement

24.1ThisAgreementcontainstheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

XXV.Acceptance

25.1ThisAgreementshallnotbeeffectiveuntilacceptedbybothparties.TheacceptancemaybeevidencedbytheexecutionofthisAgreementorbytheperformanceofanyactbyeitherpartythatconstitutesacceptanceofthisAgreement.

XXVI.Construction

26.1IntheeventthatanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionswillremaininfullforceandeffectandwillbeinterpretedsoastogiveeffecttotheintentionofthepartiesasreflectedinsuchprovision.

XXVII.Assignment

27.1ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty,exceptthateitherpartymayassignthisAgreementtoasuccessorinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.

XXVIII.ForceMajeure

28.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingactsofGod,war,civildisturbance,governmentactions,labordisputes,oranyothereventbeyondthereasonablecontroloftheaffectedparty.

XXIX.Third-PartyBeneficiaries

29.1ThisAgreementisforthebenefitofthepartiesheretoandtheirrespectivesuccessorsandpermittedassigns.Itisnotintendedtoconferanyrightsorremediesuponanyotherpersonorentity.

XXX.AmendmentsandChanges

30.1AnyamendmentsorchangestothisAgreementmustbeinwritingandexecutedbybothparties.Noamendmentorchangemadeverballyorbyelectronicmeansshallbebindingontheparties.

XXXI.CompliancewithLaws

31.1Eachpartyagreestocomplywithallapplicablelaws,regulations,andrulesintheperformanceofitsobligationsunderthisAgreement.Anyfailuretocomplywithsuchlaws,regulations,orrulesshallnotrelievethepartyofitsobligationsunderthisAgreement,andthenon-compliantpartyshalltakeallnecessarystepstocomplyassoonaspracticable.

XXXII.Publicity

32.1NeitherpartyshallmakeanypublicstatementorannouncementregardingthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworwheresuchstatementorannouncementisnecessarytocomplywithregulatoryrequirementsortoprotectthelegitimateinterestsoftheparties.

XXXIII.Non-Solicitation

33.1DuringthetermofthisAgreementandforaperiodof[specifytheduration]followingtheterminationorexpirationofthisAgreement,neitherpartyshall,directlyorindirectly,solicit,recruit,oremployanyemployee,consultant,oragentoftheotherpartywithoutthepriorwrittenconsentofsuchotherparty.

XXXIV.IntellectualProperty

34.1ThepartiesacknowledgethatanyintellectualpropertyrightsassociatedwiththeDelegatedPaymentsandtheservicesprovidedbyPayeearesolelyownedbytherespectivepartiesandshallnotbetransferredorlicensedunderthisAgreement.

XXXV.Indemnification

35.1Payershallindemnify,defend,andholdharmlessPayeeagainstanyandallclaims,actions,demands,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromPayer'sbreachofthisAgreementorPayer'suseoftheservicesprovidedbyPayee.

35.2Payeeshallindemnify,defend,andholdharmlessPayeragainstanyandallclaims,actions,demands,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromPayee'sbreachofthisAgreementorPayee'sfailuretoperformitsobligationsunderthisAgreement.

XXXVI.LimitationofLiability

36.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,ORPUNITIVEDAMAGES,REGARDLESSOFTHEFORMOFACTION,WHETHERINCONTRACT,TORT(INCLUDINGNEGLIGENCE),OROTHERWISE,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT.

36.2THETOTALLIABILITYOFEACHPARTYTOTHEOTHERFORALLCLAIMSARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTSHALLNOTEXCEEDTHEAMOUNTOFFEESPAIDBYPAYERTOPAYEEUNDERTHISAGREEMENTDURINGTHETWELVEMONTHSPRECEDINGTHECLAIM.

XXXVII.DisputeResolutionProcedures

37.1IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputebynegotiationingoodfaith.Ifsuchnegotiationfailstoresolvethedisputewithinareasonableperiod,thepartiesmayseekresolutionthroughmediationorarbitrationasprovidedforinSectionXX.

XXXVIII.Execution

38.1ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

XXXIX.ValidityandInterpretation

39.1ThisAgreementshallbevalidandbindinguponthepartiesandtheirsuccessorsandassigns.IntheeventthatanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

39.2IntheinterpretationofthisAgreement,theheadingsareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofanyoftheprovisionsofthisAgreement.

XL.AmendmentsandModifications

40.1AnyamendmentsormodificationstothisAgreementshallbeinwritingandexecutedbybothparties.NoverbalorelectronicamendmentormodificationshallbebindingonthepartiesunlessexecutedinaccordancewiththeprovisionsofthisAgreement.

XLI.GoverningLaw

41.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheintroductoryparagraphofthisAgreement.

XLII.Notice

42.1Anynotice,demand,orothercommunicationrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredtothepartiesattheaddressesspecifiedinthisAgreementortosuchotheraddressesasmaybedesignatedbyeitherpartyinwriting.

XLIII.Counterparts

43.1ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
