Introduction

EffectiveDate:[Date]

BETWEEN:

AND

[FullLegalNameofAgent/Referrer],a[jurisdictionalentitytype,e.g.,individual,LLC]withaprincipalplaceofbusinessat[Address](hereinafterreferredtoasthe"Agent").

RECITALS

WHEREAS,thePrincipalwishestoengagetheAgenttoprovidesuchservices,andtheAgentwishestoacceptsuchengagement,onthetermsandconditionssetforthherein;

1.Definitions

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:

"Products/Services":ThespecificproductsorservicesofferedbythePrincipal,asfurtherdescribedin[ScheduleA,ifattached]orasotherwiseagreedinwritingbytheparties.

"QualifiedTransaction":AtransactionfortheProducts/Servicesthat(i)isinitiatedbyacustomerreferredbytheAgent(ordirectlyattributedtotheAgent’spromotionalefforts),(ii)resultsinthecustomer’sfullpaymenttothePrincipal,(iii)isnotsubjecttoarefund,chargeback,orcancellationwithin[X]daysofpayment,and(iv)otherwisemeetsthecriteriasetforthinSection3.2.

"Term":TheperiodduringwhichthisAgreementisineffect,asdefinedinSection5.

"Territory":[Ifapplicable]ThegeographicareaormarketsegmentinwhichtheAgentisauthorizedtopromotetheProducts/Services,asspecifiedinSection2.1.

2.AppointmentandObligations

2.1Appointment

ThePrincipalherebyappointstheAgentasa[non-exclusive/exclusive]agenttopromotetheProducts/ServicesandsecureQualifiedTransactions,[withintheTerritory/globally](the"Appointment").TheAgentacceptsthisAppointmentandagreestoactinaccordancewiththetermsofthisAgreement.

2.2Agent’sObligations

TheAgentshall:

AccuratelyrepresenttheProducts/Servicesandavoidmisleadingordeceptivestatementstopotentialcustomers;

ProvidethePrincipalwithmonthlywrittenreports(bythe[5th]dayofeachmonth)summarizingefforts,leadsgenerated,andpending/closedtransactions;

2.3Principal’sObligations

ThePrincipalshall:

ProcesscustomerordersandfulfillQualifiedTransactionsinatimelymanner,consistentwithstandardbusinesspractices;

CooperatewiththeAgenttoresolvecustomerinquiriesrelatedtotransactionsinitiatedbytheAgent.

Option2(FlatFee):Aflatfeeof[Amount]perQualifiedTransaction.

3.2QualifiedTransactionCriteria

Atransactionshallqualifyasa"QualifiedTransaction"onlyif:

Thetransactionisnotreversed,refunded,orchargedbackwithin[X]daysofpayment;

ThecustomerisnotanexistingclientofthePrincipal[unlessotherwiseagreedinwriting];and

ThetransactionisdirectlyattributabletotheAgent’spromotionalefforts(asreasonablydeterminedbythePrincipal,withwrittennoticetotheAgentofanydisputes).

EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeif:

TheotherpartyengagesinfraudulentorunethicalconductrelatedtotheperformanceofthisAgreement.

5.3EffectofTermination

Upontermination:

TheAgentshallceasepromotingtheProducts/ServicesandreturnallPrincipal-ownedmaterials(e.g.,marketingcollateral,customerdata)within[X]days;

Sections4(PaymentTerms,forundisputedamounts),6(Confidentiality),7(IntellectualProperty),and9(GoverningLaw)shallsurvivetermination.

7.IntellectualProperty

AllintellectualpropertyrightsintheProducts/Services,marketingmaterials,andbrandassets(e.g.,trademarks,logos)belongexclusivelytothePrincipal.TheAgentisgrantedalimited,non-transferablelicensetousesuchmaterialssolelytopromotetheProducts/ServicesduringtheTerm.Upontermination,theAgentshallimmediatelyceasealluseofthePrincipal’sintellectualproperty.

10.GeneralProvisions

10.1EntireAgreement

ThisAgreement,includinganyattachedschedules,constitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreements.NomodificationtothisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

10.2Notices

10.3Assignability

ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty,exceptthatthePrincipalmayassignthisAgreementtoasuccessorentityinconnectionwithamerger,acquisition,orsaleofassets.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.
