];(j)SuchotherdocumentsasmaybereasonablyrequestedbyBuyertofacilitatethetakingofdeliveryandregistrationoftheVesselinBuyer'sname.5.TaxesandFeesAlltaxes,duties,fees,andchargesofeverykindandnature,includingbutnotlimitedtocustomsduties,importtaxes,valueaddedtax(VAT),porttaxes,lightdues,pilotagefees,towagefees,surveyfees,classificationfees,andBroker'scommission(ifapplicable,amountingto[AmountorPercentage]ofthePrice),shallbethesoleresponsibilityofBuyer,unlessotherwiseexpresslystatedinthisContract.6.Seller'sObligationsandRisksSubjecttothetermsandconditionsofthisContract,Seller'sobligationsandrisksshallinclude,butnotbelimitedto:(a)TodelivertheVesseltoBuyerattheDeliveryPortintheconditiondescribedinSection2,providedthatsuchconditionisacceptabletoBuyerasevidencedbytheacceptanceproceduressetforthinSection6;(b)ToprovidealldocumentslistedinSection4withinthespecifiedtimeframe;(c)Toprocureandpayforandprocureandpayforalltaxes,duties,fees,andchargesrelatedtothesaleanddeliveryoftheVessel,exceptasstatedinSection5;(d)ToprocureandmaintainallinsurancecoveragesrequiredbytheFlagState,ClassSociety,orapplicableinternationalconventionsfortheVesselduringtheperiodofitspossessionbySellerpriortodelivery,atSeller'sownexpense;(e)ToberesponsibleforthecrewoftheVesselduringitspossessionbySellerpriortodelivery;(f)ToindemnifyandholdharmlessBuyerfromandagainstalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanytitledefects,encumbrances,orclaimsagainsttheVesselwhichwerenotdisclosedorrepresentedtobedisclosedinaccordancewithSection2.7.Buyer'sObligationsandRisksSubjecttothetermsandconditionsofthisContract,Buyer'sobligationsandrisksshallinclude,butnotbelimitedto:(a)TomakeallpaymentstoSellerunderthisContractwhendue;(b)ToaccepttheVesseluponfulfillmentoftheconditionssetforthinSection6;(c)Toprocureandpayforandprocureandpayforalltaxes,duties,fees,andchargesrelatedtotheimportationandregistrationoftheVesselinBuyer'sname,includingbutnotlimitedtocustomsduties,importtaxes,VAT,andregistrationfees,atBuyer'sownexpense;(d)ToprocureandmaintainallinsurancecoveragesrequiredbyBuyerorapplicabletotheVesselduringitspossessionbyBuyer,atBuyer'sownexpense;(e)ToberesponsibleforthecrewoftheVesselduringitspossessionbyBuyer;(f)ToindemnifyandholdharmlessSellerfromandagainstalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanyacts,omissions,ornegligenceofBuyeroritsagents,oranyclaimsarisingfromtheoperationoruseoftheVesselbyBuyer.8.DeliveryandAcceptanceDeliveryoftheVesselshallbedeemedtohavetakenplacewhentheVesselisalongsidethedesignatedquayorjettyattheDeliveryPort,readyforloadingunderthedirectionoftheBuyer,andSellerhashandedoverallnecessarykeys,controlinstruments,anddocumentationtoBuyer.BuyershallhavetherighttoinspecttheVesselanditsdocumentspriortoacceptance.AcceptanceshallbedeemedtohavebeenmadeupontheVesseldepartingfromtheDeliveryPortunderitsownpowerunderthedirectionofBuyer,oruponBuyersigningthedeliverydocumentsprovidedbySeller,whicheveroccursfirst.Uponacceptance,theriskoflossordamagetotheVesselshallpassfromSellertoBuyer.9.DefectsandClaimsSellerrepresentsandwarrantsthattheVessel,atthetimeofdelivery,isfitforthepurposeforwhichitisintended,inagoodstateofrepairandseaworthiness,andcomplieswithallapplicablelaws,regulations,andinternationalconventions.Allsurveysandinspections(includingbutnotlimitedtoClasssurveys,ISMsurveys,H&Msurveys,and熏烟报告)requiredbythisContracthavebeensuccessfullypassed.BuyershallhavetherighttoraiseclaimsagainstSelleronlyinaccordancewiththetermsofthisContract.AnyclaimbyBuyerforanydefectintheVesselshallexpireifnotassertedinwritingtoSellerwithin[Number,e.g.,90]daysfromthedateofdelivery.10.ForceMajeureThePartiesshallbeexemptfromliabilityforanyfailureordelayinperformingtheirobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedasaneventbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,hostilities,terrorism,civilcommotion,strikes,lockouts,governmentalactionsorregulations,fires,floods,storms,earthquakes,orothernaturaldisasters.IfaPartyisunabletoperformitsobligationsduetoForceMajeure,itshallpromptlynotifytheotherPartyinwriting,providingdetailsoftheeventanditsexpectedduration.TheaffectedPartyshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureevent.NeitherPartyshallbeliableforanylossesresultingfromForceMajeure.ThisSectionshallremainineffectforthedurationoftheeventandforaperiodof[Number,e.g.,60]daysthereafter.11.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country,e.g.,EnglandandWales]withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods("CISG")shallnotapplytothisContract.Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughnegotiationbetweentheParties.Ifnegotiationfails,thedisputeshallbefinallysettledby[Arbitration:specifyinstitution,e.g.,TheLondonMaritimeArbitratorsAssociation("LMAA")undertheLMAARules]or[Litigation:specifycourt,e.g.,theHighCourtofJusticeofEnglandandWales]locatedin[Place].12.EntireAgreementThisContract,includinganydocumentsreferredtotherein,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweenthePartiesrelatingtothesubjectmatterofthisContract.13.AmendmentsNoamendment,modification,orwaiverofanyprovisionofthisContractshallbevalidunlessinwritingandsignedbyauthorizedrepresentativesofbothParties.14.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)Whendeliveredpersonally;(b)One(1)businessdayafterdepositwithareputableovernightcourierservice;(c)Three(3)businessdaysafterdepositwithareputableovernightcourierservice;or(d)Upontransmissionbyemail(providedtheemailissuccessfullydeliveredtothedesignatedaddress).AllnoticesshallbeaddressedtothePartiesattheaddressessetforthinSection1oratsuchotheraddressasaPartymaydesignateinwriting.15.SeverabilityIfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeseveredfromthisContract,andtheremainingprovisionsshallcontinueinfullforceandeffectasiftheinvalid,illegal,orunenforceableprovisionhadneverbeenpartofthisContract.16.ApplicableLawTheVesselshalloperateincompliance
