货物产品出口代理合同协议书(中英文对照)甲方（委托方）：统一社会信用代码：____________________注册地址：____________________法定代表人：____________________乙方（代理方）：统一社会信用代码：____________________注册地址：____________________法定代表人：____________________鉴于甲方拟将其合法拥有的货物出口至境外指定目的地，需委托专业出口代理机构提供全流程出口服务；鉴于乙方具备合法的货物出口代理经营资质，能够为甲方提供符合国家法律法规及行业规范的出口代理服务，双方经平等自愿协商，达成如下协议：PartyA(EntrustingParty):UnifiedSocialCreditCode:____________________RegisteredAddress:____________________LegalRepresentative:____________________PartyB(AgencyParty):UnifiedSocialCreditCode:____________________RegisteredAddress:____________________LegalRepresentative:____________________WHEREASPartyAintendstoexportitslawfullyownedgoodstothedesignatedoverseasdestinationandneedstoentrustaprofessionalexportagencytoprovidefull-processexportservices;WHEREASPartyBholdsvalidqualificationsforexportagencybusinessandcanprovidePartyAwithexportagencyservicescomplyingwithnationallaws,regulationsandindustrynorms.Thetwopartieshavereachedthefollowingagreementthroughequalandvoluntaryconsultation:1.委托事项1.1甲方委托乙方作为其货物出口代理服务商，负责办理本合同项下货物的出口报关、报检（如需）、国际订舱、仓储运输、保险代办（甲方可自行投保或委托乙方投保）、外汇结算、出口退税申报（如需）及其他与出口相关的配套服务。1.2甲方应向乙方提供真实、准确、完整的出口货物相关资料，包括但不限于贸易合同、商业发票、装箱单、货物明细、原产地证明（如需）等，确保所有资料符合中国及货物目的地国家/地区的法律法规要求。1.3乙方应在收到甲方的书面委托指令及完整资料后，按照双方约定的时间节点完成对应服务，并及时向甲方反馈业务进展。1.EntrustedMatters1.1PartyAappointsPartyBasitsgoodsexportagencyserviceprovider,responsibleforhandlingtheexportcustomsdeclaration,inspection(ifrequired),internationalshippingspacebooking,warehousingandtransportation,insuranceagency(PartyAmaypurchaseinsurancebyitselforentrustPartyBtodoso),foreignexchangesettlement,exporttaxrefunddeclaration(ifrequired)andothersupportingservicesrelatedtotheexportofgoodsunderthiscontract.1.2PartyAshallprovidePartyBwithtrue,accurateandcompleterelevantinformationofexportgoods,includingbutnotlimitedtotradecontract,commercialinvoice,packinglist,goodsdetails,certificateoforigin(ifrequired),etc.,andensurethatallinformationcomplieswiththelawsandregulationsofChinaandthecountry/regionofthegoodsdestination.1.3PartyBshall,afterreceivingPartyA’swrittenentrustedinstructionsandcompletematerials,completethecorrespondingservicesaccordingtotheagreedtimenodes,andtimelyfeedbackthebusinessprogresstoPartyA.2.双方权利与义务2.1甲方的权利与义务（1）有权要求乙方按照本合同约定提供出口代理服务，监督乙方的服务质量；（2）有权知悉本合同项下货物出口的全流程进展，及时获取相关业务单证；（3）应按照本合同约定向乙方支付代理服务费用及实际产生的相关垫付费用；（4）应承担因货物质量瑕疵、知识产权侵权、资料不实等原因导致的全部损失及法律责任。2.2乙方的权利与义务（1）有权按照本合同约定收取代理服务费用及实际垫付的相关费用；（2）应严格按照甲方的书面委托指令办理出口业务，不得擅自变更货物出口目的地、运输方式等核心事项；（3）应妥善保管甲方提供的业务资料及货物单证，未经甲方书面同意不得向任何第三方泄露；（4）应及时向甲方通报出口业务中的异常情况，并协助甲方采取补救措施；（5）应按照中国及货物目的地国家/地区的法律法规办理各项出口手续，确保业务合法合规。2.RightsandObligationsofBothParties2.1RightsandObligationsofPartyA(1)HavetherighttorequirePartyBtoprovideexportagencyservicesinaccordancewiththiscontractandsupervisetheservicequalityofPartyB;(2)Havetherighttoknowtheentireprocessprogressofgoodsexportunderthiscontractandobtainrelevantbusinessdocumentsinatimelymanner;(3)ShallpaytheagencyservicefeesandactualadvancedrelevantfeestoPartyBinaccordancewiththiscontract;(4)Shallbearalllossesandlegalliabilitiescausedbygoodsqualitydefects,intellectualpropertyinfringement,inaccurateinformationandotherreasons.2.2RightsandObligationsofPartyB(1)Havetherighttocollecttheagencyservicefeesandactualadvancedrelevantfeesinaccordancewiththiscontract;(2)ShallhandletheexportbusinessstrictlyinaccordancewithPartyA’swrittenentrustedinstructions,andshallnotarbitrarilychangethecorematterssuchasthegoodsexportdestinationandtransportationmode;(3)ShallproperlykeepthebusinessmaterialsandgoodsdocumentsprovidedbyPartyA,andshallnotdisclosethemtoanythirdpartywithoutPartyA’swrittenconsent;(4)ShalltimelynotifyPartyAoftheabnormalsituationintheexportbusinessandassistPartyAtotakeremedialmeasures;(5)ShallhandleallexportproceduresinaccordancewiththelawsandregulationsofChinaandthecountry/regionofthegoodsdestination,andensurethatthebusinessislegalandcompliant.3.代理服务费用及结算方式3.1代理服务费用：双方约定，乙方收取的代理服务费用按以下第______种方式计算：①按出口货物FOB金额的______‰收取；②按每票货物固定收取人民币______元，具体以双方另行签订的补充协议为准。3.2其他费用：乙方为办理本合同项下出口业务实际垫付的报关费、报检费、仓储费、运费、保险费等相关费用，甲方应在收到乙方提供的费用明细及合法票据后10个工作日内支付。3.3结算方式：甲方应通过银行转账将相关费用支付至乙方指定的银行账户；如涉及外汇结算，乙方应按照国家外汇管理相关规定为甲方办理结汇手续。3.AgencyServiceFeesandSettlementMethod3.1AgencyServiceFees:ThetwopartiesagreethattheagencyservicefeeschargedbyPartyBshallbecalculatedinthefollowingway______:①Chargedat______‰oftheFOBamountofexportgoods;②ChargedafixedamountofRMB______pershipment,whichshallbesubjecttothesupplementaryagreementsignedbythetwopartiesseparately.3.2OtherFees:TherelevantfeesactuallyadvancedbyPartyBforhandlingtheexportbusinessunderthiscontract,includingbutnotlimitedtocustomsdeclarationfees,inspectionfees,warehousingfees,transportationfees,insurancefees,etc.,shallbepaidbyPartyAwithin10workingdaysafterreceivingthefeedetailsandlegalinvoicesprovidedbyPartyB.3.3SettlementMethod:PartyAshalltransfertherelevantfeestothebankaccountdesignatedbyPartyBthroughbanktransfer;ifforeignexchangesettlementisinvolved,PartyBshallhandlethesettlementproceduresforPartyAinaccordancewiththerelevantprovisionsoftheStateAdministrationofForeignExchange.4.违约责任4.1若甲方未按本合同约定及时提供完整业务资料或支付相关费用，导致乙方无法按时完成代理服务的，甲方应赔偿乙方因此遭受的直接损失；逾期超过15个工作日的，乙方有权解除本合同，并要求甲方支付合同总金额20%的违约金。4.2若乙方未按本合同约定及甲方委托指令办理出口业务，擅自变更服务事项导致甲方损失的，乙方应赔偿甲方的全部直接损失；逾期完成服务超过15个工作日的，甲方有权解除本合同，并要求乙方支付合同总金额20%的违约金。4.3若因乙方过错导致出口货物被海关或其他监管部门扣押、罚款或给予其他行政处罚的，乙方应承担甲方因此遭受的全部损失。4.LiabilityforBreachofContract4.1IfPartyAfailstoprovidecompletebusinessmaterialsorpayrelevantfeesinatimelymannerinaccordancewiththiscontract,resultinginPartyBbeingunabletocompletetheagencyserviceontime,PartyAshallcompensatePartyBforthedirectlossessufferedtherefrom;iftheoverdueperiodexceeds15workingdays,PartyBshallhavetherighttoterminatethiscontractandrequirePartyAtopayapenaltyequivalentto20%ofthetotalcontractamount.4.2IfPartyBfailstohandletheexportbusinessinaccordancewiththiscontractandPartyA’sentrustedinstructions,andarbitrarilychangestheserviceitemsresultinginlossestoPartyA,PartyBshallcompensatealldirectlossesofPartyA;iftheoverdueperiodforcompletingtheserviceexceeds15workingdays,PartyAshallhavetherighttoterminatethiscontractandrequirePartyBtopayapenaltyequivalentto20%ofthetotalcontractamount.4.3Iftheexportgoodsaredetained,finedorsubjecttootheradministrativepenaltiesbythecustomsorotherregulatoryauthoritiesduetothefaultofPartyB,PartyBshallbearalllossessufferedbyPartyA.5.不可抗力5.1本合同所称不可抗力，是指不能预见、不能避免且不能克服的客观情况，包括但不限于自然灾害、战争、政府管制、海关政策调整、港口罢工、公共卫生事件等。5.2若因不可抗力导致一方无法履行本合同义务的，遭受不可抗力的一方应及时通知另一方，并在15个工作日内提供相关证明文件，根据不可抗力的影响程度，部分或全部免除责任，但应尽最大努力减少给对方造成的损失。5.3遭受不可抗力的一方应在不可抗力情形消除后10个工作日内恢复履行合同义务，逾期超过30个工作日的，另一方有权解除本合同。5.ForceMajeure5.1Theforcemajeurementionedinthiscontractreferstotheobjectivesituationthatcannotbeforeseen,avoidedandovercome,includingbutnotlimitedtonaturaldisasters,wars,governmentcontrols,customspolicyadjustments,portstrikes,publichealthevents,etc.5.2Ifonepartyisunabletoperformitsobligationsunderthiscontractduetoforcemajeure,thepartyaffectedbyforcemajeureshallnotifytheotherpartyinatimelymannerandproviderelevantsupportingdocumentswithin15workingdays.Dependingonthedegreeofimpactofforcemajeure,theliabilitymaybepartiallyorfullyexempted,butbesteffortsshallbemadetoreducethelossescausedtotheotherparty.5.3Thepartyaffectedbyforcemajeureshallresumeperformingitscontractualobligationswithin10workingdaysaftertheforcemajeuresituationiseliminated.Iftheoverdueperiodexceeds30workingdays,theotherpartyshallhavetherighttoterminatethiscontract.6.争议解决6.1因本合同引起的或与本合同有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。6.2在争议解决期间，除争议事项外，双方应继续履行本合同的其他条款。6.DisputeResolution6.1Anydisputearisingfromorrelatedtothiscontractshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties;iftheconsultationfails,eitherpartyshallhavetherighttofilealawsuitwiththepeople'scourtwithjurisdictionattheplaceofPartyA.6.2Duringthedisputeresolutionperiod,thetwopartiesshallcontinuetoperformtheotherclausesofthiscontractexceptforthedisputedmatters.7.其他条款7.1本合同自双方法定代表人或授权代表签字并加盖公章（或合同专用章）之日起生效，有效期至本合同项下所有货物出口代理服务完成且全部费用结清之日止。7.2本合同未尽事宜，双方可另行签订补充协议，补充协议与本合同具有同等法律效力。7.3本合同一式四份，甲乙双方各执两份，具有同等法律效力。7.OtherClauses7.1Thiscontracts
