货物产品出口代理合同协议书(中英文对照)(范本)委托方（以下简称“甲方”）：统一社会信用代码/居民身份证号码：__________，注册/居住地址：__________，法定代表人/负责人/自然人身份人：__________，联系电话：__________。Principal(hereinafterreferredtoas"PartyA"):UnifiedSocialCreditCode/IDNumber:__________,Registered/ResidentialAddress:__________,LegalRepresentative/ResponsiblePerson/NaturalPerson:__________,ContactNumber:__________.代理方（以下简称“乙方”）：统一社会信用代码/居民身份证号码：__________，注册/居住地址：__________，法定代表人/负责人/自然人身份人：__________，联系电话：__________。Agent(hereinafterreferredtoas"PartyB"):UnifiedSocialCreditCode/IDNumber:__________,Registered/ResidentialAddress:__________,LegalRepresentative/ResponsiblePerson/NaturalPerson:__________,ContactNumber:__________.双方本着平等互利、诚实信用的原则，经友好协商，就甲方委托乙方代理出口货物事宜达成如下协议：Bothparties,adheringtotheprinciplesofequality,mutualbenefitandgoodfaithandthroughfriendlyconsultations,herebyreachthefollowingagreementonPartyA'sentrustmentofPartyBasagentforexportofgoods:1.甲方委托乙方作为【独家/非独家】出口代理，为甲方代理出口其合法所有、符合中华人民共和国及出口目的地国家/地区法律法规的货物（以下简称“代理货物”，具体清单及技术参数详见附件一）至境外买方；乙方应严格按照甲方出具的书面指示办理出口报关、海运/空运/陆运订舱、货运安排、货物保险及其他相关出口手续。1.PartyAherebyappointsPartyBasthe[exclusive/non-exclusive]exportagenttohandletheexportofgoodslegallyownedbyPartyAandcompliantwiththelawsandregulationsofthePeople'sRepublicofChinaandthecountries/regionsofexportdestination(hereinafterreferredtoas"AgentGoods",thespecificlistandtechnicalparametersaredetailedinAppendix1)tooverseasbuyers;PartyBshallhandleexportcustomsdeclaration,sea/air/landtransportationspacebooking,freightarrangement,cargoinsuranceandotherrelevantexportproceduresstrictlyinaccordancewiththewritteninstructionsissuedbyPartyA.2.乙方仅为甲方的出口代理，不承担甲方与境外买方之间的购销合同项下的任何权利义务，除非双方另有书面约定。2.PartyBisonlytheexportagentofPartyAandshallnotassumeanyrightsandobligationsunderthepurchaseandsalescontractbetweenPartyAandoverseasbuyers,unlessotherwiseagreedinwritingbybothparties.3.1甲方的权利与义务：3.1RightsandObligationsofPartyA:3.1.1甲方有权监督乙方的代理行为，要求乙方按照本协议约定提供代理服务，并查阅乙方与代理事务相关的文件资料；3.1.1PartyAhastherighttosupervisePartyB'sagencyacts,requirePartyBtoprovideagencyservicesinaccordancewiththisAgreement,andinspectdocumentsandmaterialsrelatedtotheagencyaffairsheldbyPartyB;3.1.2甲方应保证代理货物的质量、数量、规格、包装等符合出口国及进口国法律法规、本协议约定及境外买方的要求，承担因货物本身瑕疵、知识产权侵权、虚假申报等导致的一切法律责任及经济损失；3.1.2PartyAshallensurethatthequality,quantity,specifications,packagingandotheraspectsoftheAgentGoodscomplywiththelawsandregulationsoftheexportingandimportingcountries,theprovisionsofthisAgreementandtherequirementsofoverseasbuyers,andshallbearalllegalliabilitiesandeconomiclossescausedbythedefectsofthegoodsitself,intellectualpropertyinfringement,falsedeclarationandsoon;3.1.3甲方应在本协议约定的时限内，向乙方提供办理出口业务所需的全部真实、完整、有效的资料，包括但不限于商业发票、装箱单、购销合同、原产地证书、产品检验检疫证明等；3.1.3PartyAshallprovidePartyBwithalltrue,completeandvalidmaterialsrequiredforhandlingexportbusinesswithinthetimelimitagreedinthisAgreement,includingbutnotlimitedtocommercialinvoices,packinglists,purchaseandsalescontracts,certificateoforigin,productinspectionandquarantinecertificatesandsoon;3.1.4甲方应按照本协议约定及时足额向乙方支付代理报酬及相关垫付费用；3.1.4PartyAshallpayPartyBtheagencyremunerationandrelevantadvancedfeestimelyandinfullinaccordancewiththisAgreement;3.1.5甲方应配合乙方办理代理出口相关的其他事宜。3.1.5PartyAshallcooperatewithPartyBinhandlingothermattersrelatedtoagencyexport.3.2乙方的权利与义务：3.2RightsandObligationsofPartyB:3.2.1乙方有权按照本协议约定收取代理报酬及为办理代理事务垫付的合理费用；3.2.1PartyBhastherighttocollecttheagencyremunerationandreasonableadvancedfeesforhandlingagencyaffairsinaccordancewiththisAgreement;3.2.2乙方应勤勉尽责地办理代理出口事宜，及时向甲方汇报代理进度，如实披露代理过程中的重要信息，不得隐瞒与代理事务相关的重大情况；3.2.2PartyBshallhandletheagencyexportaffairswithduecare,promptlyreporttheagencyprogresstoPartyA,truthfullydiscloseimportantinformationduringtheagencyprocess,andshallnotconcealmajormattersrelatedtotheagencyaffairs;3.2.3乙方应严格按照甲方的书面指示处理代理事务，未经甲方事先书面同意，不得擅自变更出口目的地、境外买方信息、代理货物种类或数量等核心内容；3.2.3PartyBshallstrictlyhandletheagencyaffairsinaccordancewiththewritteninstructionsofPartyA,andshallnotarbitrarilychangethecorecontentssuchasexportdestination,overseasbuyerinformation,typeorquantityofAgentGoodswithoutpriorwrittenconsentofPartyA;3.2.4乙方应妥善保管甲方提供的所有资料及代理过程中产生的文件，未经甲方书面同意，不得向任何第三方泄露甲方的商业秘密、技术信息及经营信息，法律法规另有规定或司法/行政机关依法要求披露的除外；3.2.4PartyBshallproperlykeepallmaterialsprovidedbyPartyAanddocumentsgeneratedduringtheagencyprocess,andshallnotdisclosePartyA'stradesecrets,technicalinformationandbusinessinformationtoanythirdpartywithoutwrittenconsentofPartyA,exceptasotherwiserequiredbylawsandregulationsordisclosedbyjudicial/administrativeorgansaccordingtolaw;3.2.5乙方应协助甲方办理出口退税、外汇核销等相关手续，提供必要的证明文件；3.2.5PartyBshallassistPartyAinhandlingrelevantproceduressuchasexporttaxrebateandforeignexchangeverification,andprovidenecessarysupportingdocuments;3.2.6乙方不得利用代理身份为自身或第三方谋取不正当利益，不得与境外买方或其他第三方串通损害甲方利益。3.2.6PartyBshallnotusetheagencyidentitytoseekunjustbenefitsforitselforathirdparty,andshallnotcolludewithoverseasbuyersorotherthirdpartiestodamagetheinterestsofPartyA.4.1代理报酬：甲方应按照代理货物实际出口FOB金额的______%向乙方支付代理报酬，该报酬应在乙方完成本协议项下全部代理义务且甲方收到境外买方支付的全部货款后______个工作日内一次性支付；若双方约定其他结算方式，应另行书面确认。4.1AgencyRemuneration:PartyAshallpayPartyBtheagencyremunerationatarateof______%oftheactualFOBexportamountoftheAgentGoods.Suchremunerationshallbepaidinonelumpsumwithin______workingdaysafterPartyBcompletesallagencyobligationsunderthisAgreementandPartyAreceivesallpaymentsfromoverseasbuyers;ifbothpartiesagreeonothersettlementmethods,itshallbeconfirmedinwritingseparately.4.2垫付费用：乙方为办理代理出口事宜垫付的报关费、港杂费、运费、保险费、检验检疫费等实际发生的合理费用，甲方应在收到乙方提供的合法有效费用凭证后______个工作日内予以报销支付。4.2AdvancedFees:FortheactuallyincurredreasonablefeesadvancedbyPartyBforhandlingagencyexportaffairs,includingbutnotlimitedtocustomsdeclarationfees,portsurcharges,freight,insurancepremiums,inspectionandquarantinefeesandsoon,PartyAshallreimburseandpaythemwithin______workingdaysafterreceivingthelegallyvalidexpensevouchersprovidedbyPartyB.4.3结算账户：甲方应将所有应付款项支付至乙方指定的以下银行账户：账户名称：__________，开户银行：__________，银行账号：__________。4.3SettlementAccount:PartyAshallpayallpayablefundstothefollowingbankaccountdesignatedbyPartyB:AccountName:__________,OpeningBank:__________,BankAccountNumber:__________.5.1若甲方未按照本协议约定支付代理报酬或垫付费用，每逾期一日，应按照逾期支付金额的______‰向乙方支付违约金；逾期超过______日的，乙方有权解除本协议，并要求甲方支付全部未付款项、违约金及乙方因此遭受的其他损失。5.1IfPartyAfailstopaytheagencyremunerationoradvancedfeesinaccordancewiththisAgreement,itshallpayPartyBaliquidateddamagesatarateof______‰oftheoverdueamountperdayofdelay;ifthedelayexceeds______days,PartyBhastherighttoterminatethisAgreementandrequirePartyAtopayallunpaidfunds,liquidateddamagesandotherlossessufferedbyPartyBasaresult.5.2若乙方未勤勉尽责办理代理事务，或擅自变更甲方指示的代理事项，导致甲方遭受损失的，乙方应全额赔偿甲方的直接经济损失；若乙方因故意或重大过失导致代理货物被海关扣押、没收或遭受其他重大损失的，乙方应承担相应的赔偿责任。5.2IfPartyBfailstohandletheagencyaffairswithduecare,orarbitrarilychangestheagencymattersinstructedbyPartyA,resultinginlossessufferedbyPartyA,PartyBshallfullycompensatePartyA'sdirecteconomiclosses;ifPartyBcausestheAgentGoodstobedetained,confiscatedbythecustomsorsufferedothermajorlossesduetointentionalactorgrossnegligence,PartyBshallbearcorrespondingliabilityforcompensation.5.3若因甲方提供的资料虚假、无效或不符合要求，导致乙方遭受损失的，甲方应承担相应的赔偿责任。5.3IfPartyBsufferslossesduetofalse,invalidornon-compliantmaterialsprovidedbyPartyA,PartyAshallbearcorrespondingliabilityforcompensation.6.1双方应对本协议的内容、合作过程中获悉的对方的商业秘密、技术信息、经营信息、客户资料等承担保密义务，未经对方书面同意，不得向任何第三方泄露；本保密义务在本协议终止后______年内持续有效。6.1BothpartiesshallbeartheobligationofconfidentialityforthecontentsofthisAgreementandthetradesecrets,technicalinformation,businessinformation,customerinformationandothercontentsoftheotherpartyobtainedduringthecooperation,andshallnotdisclosethemtoanythirdpartywithoutwrittenconsentoftheotherparty;thisconfidentialityobligationshallremainvalidfor______yearsaftertheterminationofthisAgreement.6.2本条款不因本协议的终止而失效。6.2ThisclauseshallnotexpirewiththeterminationofthisAgreement.7.1本协议的任何变更、补充或修改，须经双方协商一致并签署书面文件后方可生效。7.1Anyamendment,supplementormodificationtothisAgreementshallcomeintoeffectonlyafterbothpartiesreachaconsensusthroughconsultationandsignawrittendocument.7.2出现下列情形之一的，任何一方均有权书面通知对方解除本协议：（1）一方严重违反本协议约定，经对方书面催告后______日内仍未履行的；（2）因不可抗力导致本协议无法履行超过______日的；（3）另一方进入破产、清算程序或丧失合法经营资格的。7.2EitherpartyhastherighttonotifytheotherpartyinwritingtoterminatethisAgreementunderanyofthefollowingcircumstances:(1)OnepartyseriouslyviolatestheprovisionsofthisAgreementandfailstoperformwithin______daysafterreceivingawrittenreminderfromtheotherparty;(2)ThisAgreementcannotbeperformedformorethan______daysduetoforcemajeure;(3)Theotherpartyentersbankruptcy,liquidationproceedingsorloseslegalbusinessqualification.7.3本协议解除后，双方应按照本协议约定清理已完成的代理事务，甲方应支付乙方已完成代理事项对应的代理报酬及垫付费用。7.3AftertheterminationofthisAgreement,bothpartiesshallsettlethecompletedagencyaffairsinaccordancewiththeprovisionsofthisAgreement,andPartyAshallpayPartyBthecorrespondingagencyremunerationandadvancedfeesforthecompletedagencymatters.8.1本协议所称“不可抗力”是指不能预见、不能避免且不能克服的客观情况，包括但不限于自然灾害、战争、暴乱、政府管制、疫情、港口拥堵、物流中断等。8.1"ForceMajeure"asmentionedinthisAgreementreferstoobjectivecircumstancesthatcannotbeforeseen,avoidedandovercome,includingbutnotlimitedtonaturaldisasters,wars,riots,governmentregulations,epidemics,portcongestion,logisticsinterruptionandsoon.8.2若发生不可抗力事件，遭受不可抗力的一方应立即通知对方，并在______日内提供相关证明文件；双方应协商延期履行本协议或解除本协议，因不可抗力导致的损失互不承担责任，但遭受不可抗力的一方应尽最大努力减少损失。8.2Ifaforcemajeureeventoccurs,thepartysufferingfromforcemajeureshallnotifytheotherpartyimmediatelyandproviderelevantsupportingdocumentswithin______days;bothpartiesshallnegotiatetodelaytheperformanceofthisAgreementorterminatethisAgreement,andneitherpartyshallbearliabilityforlossescausedbyforcemajeure,butthepartysufferingfromforcemajeureshallmakeutmosteffortstoreducelosses.9.1因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交至【中国国际经济贸易仲裁委员会/______人民法院】，按照该机构届时有效的仲裁规则/诉讼程序进行审理，仲裁裁决/法院判决为终局裁决，对双方均具有约束力。9.1AnydisputearisingfromorrelatedtothisAgreementshallfirstberesolvedthroughfriendlyconsultationbetweenthetwoparties;iftheconsultationfails,eitherpartyhastherighttosubmitthedisputeto[ChinaInternationalEconomicandTradeArbitrationCommission/______People'sCourt]forhearinginaccordancewiththethenvalidarbitrationrules/judicialproceduresofthatinstitution.Thearbitrationaward/courtjudgmentshallbefinalandbindingonbothparties.10.1本协议自双方签字盖章之日起生效，有效期至______年______月______日；期满前______日双方均未提出书面异议的，本协议自动延续______年，延续次数不限。10.1ThisAgreementshallcomeintoeffectonthedatewhenbothpartiessignanda
