workingdaysuponthesignatureofthiscontract.6.2货物装运发货前，代理进口商在收到买方相应货款后，在5个工作日内向卖方支付货款的70%相应外汇;Beforethedeliverydate,theImportAgentshall,rightafterreceivestherespondingmoneyfromtheBuyer,release70%contractvaluetotheSellerwithin5workingdays.6.3卖方银行资料如下BankInformationoftheSeller：UnicreditSpaPiazzadelPozzetto,956100PisaItaliaIBAN:IT08U0200814006000003700796Swift:UNCRITMMLVE7代理进口商责任、代理服务费及其他各项进口费用的承担：由买方及代理进口商另行约定ImportchargeandtheothercostoccurringintheimportprocedureshallbestipulatedintheotheragreementbetweenBuyerandtheImportAgent.8装运通知:卖方应在合同货物装船后的3个工作日内用传真通知进口代理商合同号、货物名、发票金额、毛重、包装尺寸和预计到达时间ShippingAdvice:TheSellershall,3workingdaysaftershipmentiseffected,advisebyfaxtheBuyerandImportAgentofthecontractnumber,commodities,quantity,invoicedvalue,grossweight,measurementofpacking,andestimatedarriveddate.9技术资料：由卖方与买方及最终用户另行约定。TechnicalInstructionManualandtheothermaterials:AgreedintheotherAgreementbetweenSeller，Buyerandtheenduser.10质量保证：由卖方与买方及最终用户另行规定。QualityWarrantyshallbestipulatedintheotherAgreementbetweenSeller,Buyerandtheenduser.11安装培训：由卖方与买方及最终用户另行约定。InstallationandtrainingshallbestipulatedintheotherAgreementbetweenSeller,Buyerandtheenduser.12.检验和索赔:.Inspection&Claim:12.1买方应在货物到达到货口岸后，应申请属地中华人民共和国出入境检验检疫局（以下称CCIQ商检局）就货物检验，并由买方、卖方及CCIQ商检局人员联合开箱。如发现货物的品质及/或数量与合同或发票不符，除应由保险公司或货运公司负责的外，买方有权在到货口岸卸货后60天内凭商检局出具之检验证书向卖方索赔。TheBuyershallapplytolocalEntry-ExitInspectionandQuarantineBureauP.R.China(hereinaftercalledtheCCIQBureau)forinspectionafterarrivalofthegoodsatportofdestination;thegoodsshallbeunpackedwiththepresenceofthestaffsoftheBuyer,thesellerandtheCCIQ.Shouldthequalityand/orquantitybefoundnotinconformitywiththecontractorinvoice,exceptthoseforwhichtheInsuranceCompanyortheShippingCompanyareliable,thebuyershall,onthestrengthoftheInspectionCertificateissuedbyCCIQ,havetherighttolodgeclaimswiththeseller,within60daysafterdischargeofthegoodsattheportofdestination.12.2在规定的质保期内，若合同货物在运行时因为其本身不良的质量、工艺或材料而发生损坏，买方应立即书面通知卖方，并有权凭CCIQ出具的检验证书向卖方提出索赔。WithintheguaranteeperiodstipulatedinClause13hereof,shoulddamagesoccurinthecourseofoperationbyreasonofinferiorqualityorbadworkmanshiportheuseofinferiormaterials,theBuyershallimmediatelynotifytheSellerinwritingandputforwardaclaimsupportedbyanInspectionCertificateissuedbyCCIQ.12.3索赔应以CCIQ出具的检验证书为依据。卖方收到买方上述索赔通知后，如果在一个月内不予答复，则视为卖方同意买方提出的一切索赔要求。TheCertificatesoissuedhallbeacceptedasthebaseofaclaim.IftheSellerfailstoanswertheBuyerwithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSeller.13不可抗力：在制造、运输或装卸过程中由于发生不可抗力事故，使卖方不能在合同规定的期限内交货或不能交货，责任不在卖方，但卖方必须立即将事故通知买方，并在事故发生后14天内将事故发生地官方或商会出具的证书空邮寄交买方为证。如不可抗力持续十周以上，买方有权以书面形式撤销合同。ForceMajeure:IncaseofForceMajeure,whichmightoccurintheprocessofmanufacturingorinthecourseofloadingortransit,theSellershallnotbeheldresponsibleforlatedeliveryornon-deliveryofthegoodsbutshalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithin14daysthereafter,delivertotheBuyerbyairmailacertificateissuedbythecompetentgovernmentauthoritiesorChamberofCommercewheretheaccidentoccursasevidencethereof.Incasetheaccidentlastsformorethan10weeks,theBuyershallhavetherighttocancelthisContractinwritten.14卖方的违约责任：除本合同14条款规定的不可抗力事故外，如卖方不能在合同规定的期限内交货，买方将在卖方同意支付罚金的条件下同意延迟交货。但罚金总额不得超过迟交货物总价值的1%，罚款比率按每天迟交货物总价值的0.05%计算。如卖方延迟交货超过合同规定时间十周，则买方有权撤销合同，但卖方仍需支付以上罚金，不得推诿或迟延。TheSellersLiabilityforbreachofcontract:ShalltheSellerfailtoeffectdeliveryontimeasstipulatedinthiscontract,withexceptionofForceMajeurestipulatedinClause15ofthisContract,andthentheBuyershallagreetopostponethedeliveryonconditionthattheSelleragreestopayapenalty.Thepenalty,however,shallnotexceed1%ofthetotalvalueofthegoodsinvolvedinlatedelivery.Thepenaltyshallbecalculatedatarateof0.05%ofthetotalvalueofthegoodsinvolvedinlatedeliveryperday.IncasetheSellerfailtomakedeliverytenweekslaterthanstipulatedinthisContract,theBuyershallhavetherighttocancelthiscontractandtheSeller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerwithoutdelay.15买方的违约责任：若买方未按合同约定的期限支付价款，应向卖方支付迟付款项的利息，利息按每天迟付款项的0.05%计算。TheBuyersLiabilityforbreachofcontract:ShouldtheBuyerfailtomakepaymentontimeasstipulatedinthiscontract,theBuyershallagreetopaythedelayinteresttotheSelleratarateof0.05%oftheoverduepaymentperday.16.卖方应承担因进口货物夹带、少报、瞒报、走私、货物估价、产品侵犯中国知识产权等原因致使海关追加税款、追究责任、处以罚款等后果。TheSellershouldtaketheresponsibilityforthepunishmentfromthecustoms,becauseoftheentrainment,lessdeclaration,cheating,smuggling,anythingviolatingthelaw17仲裁：一切因执行本合同或与本合同有关的争议，应由双方通过友好协商的方式解决。如经协商仍未能达成协议，则应提交中国国际经济贸易仲裁委员会广州分会在广州或上海分会在上海（由申诉人选择），按该会的仲裁规则和程序进行仲裁。仲裁裁决是终局的，对双方均有约束力，任何一方不得上诉法院或其他机构申请更改。仲裁费除仲裁委员会另有裁决外，由败诉一方承担。Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thecaseunderdisputeshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationinaccordancewiththearbitrationrulesandproceduresofthesaidArbitrationCommission.ThearbitrationshallbeconductedbyitsGuangzhouSub-CommissioninGuangzhouorbyitsShanghaiSub-CommissioninShan
