上海三和办公设备有限公司 租赁合同a1.1版 合同编号: contract no. .请盖骑缝章设备租赁服务合同machine rental contract签订日期: 年 月 日 date:甲方： 上海直通国际物流有限公司 乙方：上海三和办公设备有限公司公司地址: 公司地址: 上海市长宁路353号 电话/传真： 66590876 电话/传真：62263535/62263131经办人： 经办人： 倪 斌 邮政编码 ： 邮政编码：200050 开户银行: 开户银行: 上海银行曹家渡支行 账号： 账 号： 31639500007002783.请盖骑缝章 双方经协商签订租赁服务合同如下:based on the negotiation, the service agreement on the rented machine is tabulated as follows:租赁机型号及配置:machine model:京瓷km-5035（网打+扫描）：2台；施乐dc400st：2台；施乐dc400dc：1台；使用地址：address:待定租赁期限period of lease叁年（从安装之日起）租赁押金depositrmb 36000.00元（5台） yuan每月基本租金monthly rentalrmb 6000.00元/月（5台） yuan/month每月免费印量free print numbermonthly（5台）75000印(a4) page(a4)超量收费excessive imprintrmb 0.08元/印（a4） yuan /page(a4)每次抄数日期counter reading date首期收费合计subtotal of the initial paymentrmb 54000.00元 yuan结算期周期与方式method of settlement cycle-time1. 叁个月2. 先付后用方式 备注 ：首期付费6个月，可免收押金；一、 租赁机产权和使用权：the property and using right of the rented machine： 1.乙方拥有租赁机及其所有附件,租赁机使用的消耗材料及维修过程中所更换下的零配件之所有权。party b owns the property of the rented machine, the accessory, and all the parts replaced during maintenance.请盖骑缝章 2.租赁机在租赁期间的使用权属于甲方，甲方有义务保持租赁机及其附件的完好。party a owns the using right of the lease machine during the lease time. and he must ensure the completeness of the copy machine and its accessories.3.如因甲方私自维修、违章操作、疏忽大意等原因引起租赁机发生全部或部分损毁，甲方应按乙方所作的损毁鉴定对损毁部分做出赔偿。具体价格参照生产厂家成本价格，双方协商解决。if there is any damage of the rented machine caused by self. maintenance, improper operation and negligence of party a, he should compensate the damaged part to party b according to party bs inspection. detailed prices shall refer to the prices provided by a factory owner. it can be solved through consultation by two parts.4.未经乙方事先书面许可，甲方不得将租赁机转租给任何第三方。without party bs prior written approval, party a should not transfer the lease to any other third party.二、乙方根据甲方的要求,在乙方工作时间内免费提供如下服务：party b, at his normal working time, should provide the following full service onto party as request： 1.提供维修劳务,更换零配件,以确保租赁机的正常运转。 to fix the rented machine and replace the parts to ensure the good working conditions of the copy machine. 2.提供租赁机运转必须的消耗材料,包括硒鼓、黑色显影剂和墨粉,但不包括复印纸及其他可作复印输出的材料。 to provide any consumable materials (drum, developing chemicals and toner) necessary for the rented machine, excluding the copy paper.3.保养服务maintenance service (including a service on request of bp call):（1） 普通租赁机（33cpm）每使用完两瓶粉保养一次 (包括维修呼叫时保养) ，或根据计数器读数每壹万印张。at lease once two bottles toner used for normal speed machine, or 10,000,copies of counter reading.（2） 高速租赁机（33cpm）每使用完一瓶粉保养一次(包括维修呼叫时保养)，或根据计数器读数每伍万印张。 at lease once one bottle toner used for high-speed machine, or 50,000 copies of counter readying.4.工作时间（working hour）：（1）乙方工作时间为每星期一至星期五8：30至17：30（国定、节假日除外）。party bs working hour is from 8:30 a.m. to 17:30 p.m.during monday to friday.(excluded public holidays and weekends.)（2）乙方应急值班维修时间为：party bs on the emergency duty hour: 星期一至星期五17：30-20：30（国定、节假日除外）。from 17:30 p.m.to 20:30 p.m.(excluded public holidays and weekends) 星期六至星期日 8：30-17：30 （含国定、节假日）。from 8:30 a.m.to 17:30 p.m.(involved public holidays and weekends) 5. 甲方如要求乙方在工作及应急值班维修时间以外进行维修，应按乙方维修收费标准另行支付乙方rmb 0 元/次。 if party a requires party b to work outside of party bs normal working hour, extra service fee shall be charged based on party bs repair fee list. the defail service fees are enacted。三 服务保障(service ensure)：请盖骑缝章 1.乙方接到甲方要求服务呼叫后(包括补充消耗材料)，应在下述承诺的时间内到达现场：in response to party as request (including replacement of consumables ), party b guaranteed to arrive on site within the following promised time to offer service:市区不超过6小时，市郊不超过8小时。（8小时一个工作日）within 6 hours in downtown and within 8 hours in countryside for normal speed machine.2. 如故障不能排除，为不影响甲方使用，甲方有权要求乙方一天内提供功能相近的周转机给甲方使用，直到租赁机修复为止（该周转机的复印量计入租赁机的复印量中）。 if party b is not able to fix the rented machine on site, party b should replace another back-up rented machine for party a until the rented machine has been properly repaired and undertake all the transportation fee. (the counter reading of the back-up rented machine shall be accumulated to the original rented machine)四、租赁服务费用结算方法(settlement of service contract charges)：1. 付款方式依据复印张数，甲方每一个结算周期付款，乙方根据本次记录租赁机计数器读数，减去上次记录的计数器读数，再减去每一个结算周期的免费印张，即为本次复印张数；以此为基础，乙方开出发票，自发票开出之日起12个工作日内，甲方应按发票列明的款项支付到乙方指定的银行账户。逾期付款，乙方有权向甲方收取所欠款项0.01%天的滞纳金。the contract charge depends on the amount of copies. a copy amount is calculated by the current counter record deducting last record. a free-copy also should be deducted from this amount. so the difference is a real copy amount to be paid. party b invoices in the basis of this difference and party a must pay the money to an assigned bank account within twelve working days. otherwise, an additional 0.05% of late fee will be charged per day. 2. 租赁合同期内，甲方有义务配合乙方完成抄租赁机计数器读数（包括电话联系抄数）。 in the period of machine leasing, party a has an obligation to cooperate with party b for readingsrecord(including telephone contact). 五、押金( deposit)：1. 甲方支付给乙方的押金用以保证在整个租赁期间完全遵守本合同条款中的义务。在整个合同期间，乙方将无息保留押金。 party a shall pay as deposit to party b to ensure his fulfill ness of obligations in this contract. during the term of this contract, part bshall keep the deposit with no interest.2. 甲方应在合同终止时付清所欠的所有款项。乙方经验收后，收回租赁机，及其它配套物品，同时退还租赁机的押金。 party a shall pay all owed expenses upon termination of this contract. party b shall return the deposit to party a after inspection of the rented machine together with all its accessories.六、乙方将负责由于乙方的疏忽而造成的甲方租赁机的直接物质损失，但不负责由此引起的，由于延迟或无法提供服务而造成的甲方任何业务、收益或其它间接损失。party b will undertake direct lose caused by the rented machine because of negligence. however, party b will not undertake the party as indirect lose because delay or unable service of party b.七、合同的终止(termination of contract)：请盖骑缝章 1. 甲方在使用租赁机过程中, 如变更地址, 必须立即通知乙方；如甲方的地址移出上海市，甲方在付清合同期应付的费用及合同期甲方尚未履行的所有基本月租金，同时乙方经验收后，收回租赁机，及其它配套物品，同时退还租赁机的押金，本合同终止。 if party a moves the office, party a should notify the new address to party b immediately. if party a moves the office outside of shanghai, the contract between both parts will be terminated upon party a has paid all owed payment. 2. 如甲方有下列行为，乙方有权选择额外收取费用或提前终止合同，并从押金中扣除合同期应付的费用及合同期甲方尚未履行的所有基本月租金，如押金不足以支付乙方合同期损失的，甲方应另行支付不足部分，同时乙方保留要求赔偿的权利。 party b has the right to ask for extra charge or to terminate the contract, and deduct expense from the deposit and remains the right to ask for compensation, if party a has one of the following behaviors”a. 违反本合同中任一条款；default any item of this contract.b. 改变计数器读数或故意造成计数器故障；change the counter reading or break it on purpose.c. 把租赁机上的零配件和乙方提供的消耗材料挪作他用；to use the parts and the materials provided by party b for other purpose.d. 私自维修。to repair the rented machine themselves.e. 不按时支付费用。do not pay the service charges in time.f. 乙方服务人员在合理的工作时间内到达甲方处，甲方无理拒绝乙方人员检查租赁机的计数器读数和租赁机使用情况。party a, with no reasonable excuse, refuses service engineer to check the rented machine and its copy reading at any time of his routine working time.3. 如因甲方单方面原因提前终止合同，甲方应提前七天书面通知乙方，同时，乙方有权收取合同期之尚未履行的所有基本月租金。 party a shall unilaterally terminate this contract with 7 days prior written notice to party b. in this case party b shall have the right to deduct necessary rentals from the deposit。4. 在本合同有效期内，如因乙方原因违反本合同条款，甲方有权提前终止合同，但必须提前七天通知乙方，同时甲方必须付清合同期已履行部分的费用，乙方经验收后，收回租赁机，及其它配套物品，同时退还租赁机的押金，本合同终止。 in party b violates the contract in the period of its valid, party a has the right to terminate the service contract with 7 days prior notice. 八、其他(other)：1. 本合同以中文陈述为准，一式肆份。甲、乙双方各执两份，经双方授权代表签字和单位盖章后生效。the language to be used in such proceeding shall be chinese. this contract comes into effect
