allbebornebytheSellerTheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithindaysaftertheSellerreceivedtheBuyersclaim20（LatedeliveryandPenalty）:ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiationTherateofpenaltyischargedatforeverydays,odddayslessthandaysshouldbecountedasdaysButthepenalty,however,shallnotexceedofthetotalvalueofthegoodsinvolvedinthedelayeddeliveryIncasetheSellerfailtomakedeliverydayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelayThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany21（ForceMajeure）：TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransitTheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithindaysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereofUndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoodsIncasetheaccidentlastsformorethandaystheBuyershallhavetherighttocanceltheContract22Arbitration:AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiationIncasenosettlementisreached,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionCIETAC,ShenzhenCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitrationThearbitralawardisfinalandbindingu
