方：_签订日期：_年_月_日ThisAgreementismadeandenteredintobyandbetweenthegovernmentofhereinaftercalledBrepresentedbyhereinaftercalledAandCorporation,acompanydulyorganizedandexistingunderthelawsofthePeoplesRepublicofChinawithitsprincipalofficeathereinaftercalledCWhereas,AandCconcludedtheMemorandumConcerningProjectontheandChadbeengivenExclusiveRightfromBtocarryoutinvestigationandimplementProjecthereinaftercalledtheProjectbywayofjointfinancingbetweenCandBsocalledBOTWhereas,theloanagreement,guaranteeagreement,letterofguarantee,etcshallconstituteintegralcomponentsofthisAgreementTheProjectsinstalledcapacityisNowtherefore,thepartiesherebyagreeasfollows:1DefinitionandInterpretationProjectmeanstheplanning,feasibilitystudy,designandengineering,construction,equipping,completion,testing,commissioningandoperationoftheinfrastructureprojectProjectCostmeansthecostspecifiedinClause3OperationPeriodmeanstheperiodspecifiedinClause101fromthestartingdateofcommercialoperationoftheinfrastructureprojectCompletionDatemeansthedayuponwhichCcertifiesthattheinfrastructureprojecthassuccessfullycompleteditstestingandcanstartOperationPeriodForceMajeureshallhavethemeaningspecifiedinClause16ProjectScopemeansthescopeofsupplyandservicesofCinconnectionwiththeexecutionoftheProjectasdescribedinAnnex2Sitemeansthesitefortheinfrastructureprojectincluding,specialroads,andotherareasforconstructionasspecifiedinAnnex2TransferDatemeansthedayfollowingthelastdayoftheOperationPeriodNewCompanymeanstheCompanytobeestablishedbetweenCandentityasspecifiedinClause5InvestmentAgreementmeanstheAgreementonMutualEncouragementandProtectionofInvestmentbetweentheGovernmentofthePeoplesRepublicofChinaandtheGovernmentoftheExclusiveRightmeansthespecialpowergrantedtoCorNewCompanyintheMemorandum,AgreementanditsannexDaymeansthesolarcalendarday2TheProject21TheProjectshallbenamedas22TheinfrastructureprojectisintendedtobelocatedatTheexactlocationoftheinfrastructureprojectmaybeadjustedatthestageofdetaileddesigninconsiderationofthesitecondition23TheProjectshallbeimplementedonBuilding,OperationandTransferBasis24TheProjectshallbecomposedof,thedetailsofwhichshallbeasattachedAnnex2-ScopeoftheProject25ThefinalfeasibilitystudyreportanddetaileddesignafteracceptanceofBandCshallformbasisforthedevelopmentandcompletionoftheProject3TheProjectCost31Theprojectcostis$,interestoftheconstructionperiodis$,thetotalprojectcostis$,andthedetailsofwhichareshowninAnnex3-ProjectCost32ThetotalprojectcostshallcomprisebutnotlimitedtothefollowingcostsandthedetailsoftheprojectcostshallbeasattachedAnnex3-ProjectCost:1Costforfeasibilitystudy,designandengineeringandotherconsultingservices;2Costforconstructionandinstallation;3Costforpurchasingequipmentandmaterials;4Costforadministrationincludingoverseasexpenses;5Overheadandmiscellaneousexpenses;6Contingencies;7Interestduringtheconstructionperiodperannumplusbankcommission;8Premiumforconstructioninsuranceandexportcreditinsurance33TheProjectCostshallbebasedonthefeasibilitystudyreportandincaseofasubstantialvariationininvestmentarisingfromgeologicreasons,theadditionalparttotheProjectCostshallbeapprovedbyBAnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC4ResponsibilitiesforProjectExecution41CshallberesponsibleforthefollowingprovidedthatifandafterNewCompanyisestablished,responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany:1thedesignandengineering,procurement,constructionandcommissioningoftheProject;2allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding;3operationoftheinfrastructureproject;4transferoftheinfrastructureprojecttoBontheTransferDate;42Bshallberesponsiblefor:1thearrangementof:theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforCorNewCompanytogetherwiththefulfillmentofessentialrequirementssuchascompanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;theprovisionofallnecessaryordesirableaidsforCtoobtaintheloan;obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject;obtainingofallnecessarypermitsandapprovalsfromtherelevantauthoritiesforCorNewCompanytorepatriatecapitalanddividendsinUSDollarsfrom;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompanyspersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheirdirectrelativesincludingthetravelin;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincreaseproductionifCorNewCompanyintendstodoso;theprovisionofallnecessarysecuritymeasuresforconstructionandoperationpersonnelandProjectfacilitiestilltheTransferDate;theprovisionofcommunicationsandtransportfacilitiesoftheProjectconstructionandtheoperationoftheinfrastructureproject;2theassistanceintheoperationoftheinfrastructureproject3providingCand/orNewCompanywithfreeuseoftheSite,includingbutnotlimitedtotheareaofconstructionsite,accessroad,transmissionlinerightofway,andetc4thenegotiationandconclusionofserviceagreementwithGovernmentorothercountriesgovernmentsjointlywithCornewCompany,thePeoplesInsuranceCompanyofChinarepresentatives,whosepresenceinthenegotiationBshallensure,andwhoseapprovalBShallobtain;5theexportationofpercentofproducedbytheinfrastructureprojecttooranythirdcountry;6theassignmentofitsrepresentativesatSiteandtotheNewCompanytoassistCorNewCompanyandmakenecessarycoordinationbetweenBandCorNewCompany43BensuresthattheOperationPeriodoftheProjectshallbenotlessthanyearsHoweverifIRRInterRateofReturndoesnotreachpercent,bothpartieswilldiscusstheproperextensionoftheOperationPerioduntiltheyearIRRreaches44ConditionsPrecedentBshallberesponsiblefortheprovisionofthefollowingdocumentsforCtomakeavailableanypartofthisAgreementwithinmonthsfromthedateofsigningthisAgreementandsuchdocumentsshallbevalidandeffectivetoNewCompany:1apowerguaranteeissuedbyparliamentacceptabletoCintheformdefinedinAnnex7,whichshallbereturnedtoBontheTransferDate;2warrantytobeissuedandloanagreementtobeconcludedwiththeproposalmadebyBforbearingpercentoftheProjectCost,theBankofastheloaneeandFinanceMinistryastheguarantorandacceptabletotheBankofChinaandthePeoplesInsuranceCompanyofChina,andaletterofcreditorletterofguaranteetobeissuedasrequiredbytheBankofChinaprovidedthatthelengthofmaturityisyearsincludingayearconstructionperiodandloaninterestispercentperannum;Bmaymakeearlierreimbursement;3loanguaranteeandwarrantyforCssharingoftheProjectCostincludinginterestoftheconstructionperiodtobeissuedbytheBankofandFinanceMinistryrespectively,acceptabletothePeoplesInsuranceCompanyofChinaandtheLendingBankandvaliduntiltotheTransferDate,providingallnecessaryassistanceinenablingCtoobtaintheloanfrominternationalprimebanks;4thelegalcertificateissuedbyPresidentofSupremeCourtandthelegalcertificateissuedbyProcuratorGeneral,certifyingthatthisAgreementshallbevalidandenforceableunderthelawsofineveryrespectintheformdefinedinAnnex8;thecertificateofapprovalissuedbytheGovernmentof,certifyingthattheProjectislawfulandlegitimate;5Bshallpermittheconstructionmachinery,materialandequipmentnecessaryfortheProjecttobetransportedintoviabysea,and/orbyroadthroughasWellasbyair,ensuringfacilitiesfromthebordercontrolandcustomsauthorities45BwarrantsandundertakesthatBshallnotchangeorpermitotherstochangetheenvironmentoftheSitewhichadverselyaffectstheconstructionoroperationoftheProjectSuchchangeshallinclude,butnotlimitedto,46BuyersCreditforBssharingoftheProjectCostshallbeprovidedbytheChineseside,paymenttermsofwhichtoCareasfollows:1ofthecreditshallbepaidwithindaysafterthedateoftheconclusionofthisAgreement;2ofthecreditshallbepaidby;3ofthecreditshallbepaidby;47ThepartiesshallprovideeachothersufficientinformationthatenableseachpartytohaveaclearunderstandingoftheprincipalissuesthataffectmattersassociatedwiththeProject48ThepartiesheretoshallmutuallycollaboratewitheachotherinordertoachievetheobjectivesofthisAgreementandtheperformancebyeachpartyoftheirrespectiveobligations5NewCompany51ThepartiesagreetoestablishaNewCompanyatthetimewhenthemembersofNewCompanyarereadytoinvesttheirportions,butbeforethecompletionoftheProjectandforthispurposeBshallrecommendanddesignateaentitywhichwillbeamemberofNewCompanyChavingpercentofequity,shallbetheleadingcompanyandshallappointchairmanofNewCompanyTheremainingportionofequityshallbesharedbyentity52DesignandConstructionoftheProjectshallbeexecutedbyCAtmonthlyintervalsuntildaysubjecttopostponementincaseofofeachmonth,CshallexecuteastatementofaclaimforprogresspaymentbasedonthepricesfortheconstructionworksdoneintheprecedingmonthtoBandsuchstatementshallbetheconclusiveevidenceprovingfairnessofsuchclaimexceptmanifestcalculationerror53BshallmakeitsefforttoassistinregisteringNewCompanyatauthorityconcernedinandtoobtainallrequiredpermitsorapprovalsfromtherelatingauthoritiesin54NewCompanyshallbegrantedthesameprivilegedrightsasthosegrantedtoCspecifiedinClause92andCsobligationsandresponsibilitiesspecifiedinthisAgreementshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompanyThemembersofNewCompanyshalldescribetheprovisionsontheirrightsandresponsibilitiesinthearticlesofincorporationtobemadeonthebasisoftheprovisionsinthisAgreementatthetimeoftheestablishmentofNewCompany55IfmembersofNewCompanydonotreachanagreementaboutanymattersinrelationwiththeProject,theopinionanddecisionofthemajorshareholdershallbefinalandbindingupontheothermembersofNewCompany6Constructionoftheinfrastructureproject61Inpursuanceofitsobligationsinrelationwiththeconstructionoftheinfrastructureprojectunderclause41,CshalldofollowingswithitsfullrightinconsultationwithB:1topreparedetaileddesignandengineeringinconformitywiththenationalstandardsofPRChinainforce;2toappointconsultantsandprofessionaladvisers;3topurchaseequipmentandmaterialsincludingconstructionequipment,thespecificationofwhichandinstallationandtestingshallmeetthenationalstandardsofPRChinainforce;4toappoint,organizeanddirectstaff;manageandsupervisetheProject;5toenterintocontractsforthesupplyofequipmentandmaterialsandservices;6todoallotherthinsnecessaryordesirableforthecompletionoftheinfrastructureprojectinaccordancewiththeengineeringstandards;7toselectsubcontractors;62BshallbeentitledatitsowncosttomonitortheprogressandqualityoftheconstructionandinstallationworkandforthispurposeCshall:1ensurethatBandanyexpertsappointedbyBinconnectionwiththeProjectareaffordedreasonableaccesstotheSiteprovidedthatsuchaccessdoesnotmateriallyinterferewiththeworks;2makeavailablecopiesofplansanddesignsforinspectionattheSite;3aftermonthsofthecompletionoftheProject,supplyBwithsetsofcopiesofasbuiltdrawingsandotherdocuments63Bshallensurethatallinfrastructurerequirementsandutilitiesnecessaryforthecompletionoftheinfrastructureprojectaremadeavailableinatimelyfashionandaccordinglyshallatitsowncost,interalia:1givefreepossessionoftheSitetoCduringtheconstructionperiod;2ensurethatcustomclearancesystemisavailabletoCtoimportequipmentandmaterialsfortheProjectwithoutanydelayandinterference;3ensurethatCwilluseelectricityforconstructionandcommunicationfacilitiesin,thecostoftheutilizationofwhichshallbeforCsaccountatcurrentrateandshallbeincludedintheProjectCostascostforconstructionorcostforadministrationasstipulatedinClause32;Cshallpaychargetoauthorityeveryothermonthsduringtheconstructionperiod;4ensurethatCwillbuildtransmissionlinefromoranotherstillnearerplacetotheSitefortheuseofinconstruction,whichwillbeusedtotransmitfromtheinfrastructureprojectafterthecompletionoftheProject;5jointlywithCnegotiatewithorothercountriesgovernmentstotakenecessaryactionsforthetobeconnected,receivedandsuppliedinthosecountriesthroughthepropertransmissionlinewithoutanyinterferenceatthetimeofcompletionoftheProject64BshallensurethatduringconstructionperiodCshallbegrantedtheexemptionof1customsduties,governmenttaxesandlocalleviesrelatingtotheimportationofallkindsofequipmentandmaterialssuchasgeneratingequipment,constructionequipment,vehiclesincludingcars,jeeps,etc,tools,constructionmaterialsandothergoodsfortheconstructionoftheinfrastructureprojectaswellasaccommodationfacilities;2companysalestax,incometaxandsoontobeimposedonCconstructionactivitiesfortheProjectinbytheauthorities7ProjectSchedule71ThepartiesshallworktogetherinordertoendeavourtoachievethetimelycompletionoftheProjectinaccordancewiththeProjectScheduleasAnnex4accordingtowhichtheconstructionperiodshallbeyearsfromthecommencementdateHowever,CmayextendtheconstructionperiodupontheagreementofB72ThecommencementdateshallbethedayaftermonthsfromtheEffectiveDateofthisAgreementprovidedthatCcanstartworkforaccessroad,survey,investigation,clean-upworkaroundthesite,etcbeforethecommencementdateHowever,ifCcommencesconstructionworkinaccordancewiththeprovisionofClause91,thecommencementdateshallbethedatewhereCmateriallystartstheconstructionwork,whichshallbenotifiedtoBbyC73Uponsubstantialcompletionoftheinfrastructureproject,CmayrequesttoNewCompanyoritsrepresentativethattheinfrastructureprojecthassuccessfullycompleteditstestingandthataccordinglytheCompletionDatehasoccurred74IfthereisavariationtotheProjectandsuchvariationaffectstheconstructiontimeoftheinfrastructureproject,thenCshallgettheapprovalofBtoextendtheconstructionperiod,Bshallnotunreasonablywithholditsapproval8Testing81ThepartiesshallmeetandagreeproceduresandaprogrammeforthetestingoftheinfrastructureprojectinaccordancewiththeChinesestandards82CshallgivetoBdaysnoticeofitsintentiontocommenceanytesting83Band/oritsexpertsshallbeentitledtobepresentattestingwhichisagreeduponbytheparties84Forthwithuponthecompletionofanytesting,CshallrequesttoNewCompanyoritsrepresentativewhetherornottheinfrastructureprojecthassatisfiedsuchtestandshallprovideBwithacopyofsuchcertificate9EffectiveDateandPrivilegedRight91ThisAgreementshallbecomeinfullforceandeffectasofthedateofsigningthisAgreementprovidedthatChastherightofreservingthefulfillmentofitsobligationsuntilthefulfillmentofthefollowingconditions:1HandingovertheSitetoCfreefromrentalchargeandissuingbyBofthelettertothateffectvalidtilltheexpirationofBOT;2FulfillmentoftheprovisionsofClause44UponexecutionandsigningofthisAgreement,BsrighttoterminatetheExclusiveRightprovidedintheMemorandummentionedinthepreambleofthisAgreementshallLapse92CshallbegivenfollowingprivilegedrightsinwrittendocumentfromtheauthoritiesconcernedbythearrangementofBthereofandthesameprivilegedrightsshallbetransferredtoorenjoyedconcurrentlybyNewCompanyasthecasemaybe,whenitisestablished1ApprovedbytheBankoftheandtheFinanceMinistryfor:therepatriationofCsinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollars2TheGovernmentofapprovaloftheemploymentofforeignnationalsinsupervisory,technicalandadvisorypositionsandforthepositionsofchairman,treasurerandgeneralmanagerortheirequivalentuntiltheTransferDate3OthernationalandlocalapprovalsasmaybenecessarytoproceedwiththeProject4Approvaloftaxexemptionasbelowbytheauthoritiesconcernedin:FullexemptionofcustomsdutiesandotherleviesifanythroughoutBOTperiodfortheimportationofequipment,materials,constructionmachineryandothergoodsfortheProject;percentexemptionofprofittax,additionaltax,localtax,andbusinesstaxforyearsstartingfromthefirstprofit-makingyearandpercentprofittaxexemptionforthesubsequentyears5Freeremittanceofinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollarsand/orreceiptofpaymentsorsalesproceedsinUSDollars,withoutwithholdingtax,remittancetaxoranyothertaxesleviableunderlaws6TheapprovalbytherelevantGovernmentagenciesfortheimmediateimportationintoofallequipmentfortheProject7CshallregisteritssubsidiaryoraffiliatedorassociatedcompaniesinAcertificateofRegistrationissuedbytheBinrelationtotheProject,confirmingthatCincludingitssubsidiaryoraffiliatedorassociatedcompaniesisaregisteredenterpriseundertheLawonForeignInvestmentinthe8FreeremittanceabroadoftheremunerationinUSDollarswithexemptionfromindividualincometax,remittancetaxoranyothertaxesthereon10Operationoftheinfrastructureproject101NewCompanyshallberesponsibleforthemanagement,operation,maintenance,repairandoverhauloftheinfrastructureprojectduringtheOperationPeriod,namelyyearsfromthestartingdateofcommercialoperationoftheinfrastructureprojectandshalluseitsbestendeavourstoensuretheinfrastructureprojectisingoodconditionandcapableofproducinginasafeandstablemannerTheextensionoftheabovementionedOperationPeriodshallbediscussedbybothpartiesifthepercentIRRisnotaccomplishedwithinyearsOperationPeriod102Inordertoundertakenecessaryoverhaul,maintenance,inspectionandrepair,NewCompanyshallperformdowntimeeachyearfromtheCompletionDate103InpursuanceofitsobligationunderClause101,Newcompanyshallhavefullrightto:1enterintocontractsforthesupplyofmaterialandservicesincludingpurchaseofreplacementequipmentandparticipateinnegotiationsonoperationandserviceagreementconclusion;2appoint,organizeanddirectstaff;manageandsupervisetheinfrastructureproject;3establishandmaintainregularinspection,maintenanceandoverhaulprocedures;4doallotherthingsnecessaryordesirablefortheoperationoftheinfrastructureproject;104BandNewCompanyshall,fromtimeto
