方：_签订日期：_年_月_日Agreementmadethisdayof,betweenhereinaftercalledLicensor,andhereinaftercalledLicensee:WITNESSETHWhereasLicensorownscertainvaluableregisteredtrademarksandservicemarks,andownsandhasmerchandisingrightstovariousotherLicensorpropertiesasdefinedinparagraph1oftheRiderattachedheretoandherebymadeaparthereofhereinaftercalledName,saidNamehavingbeenusedoverthefacilitiesofnumerousstationsinradioand/ortelevisionbroadcastinginalliedfields,andinpromotionalandadvertisingmaterialindifferentbusinessesandbeingwellKnownandrecognizedbythegeneralpublicandassociatedinthepublicmindwithLicensor,andWhereasLicenseedesirestoutilizetheNameuponandinconnectionwiththemanufacture,saleanddistributionofarticleshereinafterdescribed,Now,Therefore,inconsiderationofthemutualpromiseshereincontained,itisherebyagreed:1GrantofLicenseaArticlesUponthetermsandconditionshereinaftersetforth,LicensorherebygrantstoLicenseeasarelatedcompany,andLicenseeherebyacceptstheright,licenseandprivilegeofutilizingtheNamesolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionofthefollowingarticlesinsertdescriptionbTerritoryThelicenseherebygrantedextendsonlytoLicenseeagreesthatitwillnotmake,orauthorize,anyuse,directorindirect,oftheNameinanyotherarea,andthatitwillnotknowinglysellarticlescoveredbythisagreementtopersonswhointendorarelikelytoreselltheminanyotherareacTermThetermofthelicenseherebygrantedshallbeeffectiveonthedayofandshallcontinueuntilthedayof,unlesssoonerterminatedinaccordancewiththeprovisionshereofThetermofthislicensemaybeautomaticallyrenewedfromyeartoyearuponallthetermsandconditionscontainedherein,withthefinalrenewaltoexpireonDecember31st,Attheendofeachterm,beginningwithDecember31st,thislicenseshallbeautomaticallyrenewedforaoneyeartermexpiringDecember31stofthefollowingyear,unlesseitherpartyheretoshallbegivenwrittennoticetothecontraryatleastthirty30dayspriortotheexpirationdate2TermsofPaymentaRateLicenseeagreestopaytoLicensorasroyaltyasumequaltopercentofallnetsalesbyLicenseeoranyofitsaffiliated,associatedorsubsidiarycompaniesofthearticlescoveredbythisagreementThetermnetsalesshallmeangrosssaleslessquantitydiscountsandreturns,butnodeductionshallbemadeforcashorotherdiscountsoruncollectibleaccountsNocostsincurredinthemanufacture,sale,distributionorexploitationofthearticlesshallbedeductedfromanyroyaltypayablebyLicenseeLicenseeagreesthatintheeventitshouldpayanyotherLicensorahigherroyaltyorlicensingrateorcommissionthanthatprovidedhereinfortheuseoftheName,thansaidhigherrateshallautomaticallyandimmediatelyapplytothiscontractbMinimumRoyaltiesLicenseeagreestopaytoLicensoraminimumroyaltyofDollars$asaminimumguaranteeagainstroyaltiestobepaidtoLicensorduringthefirstcontractterm,saidminimumroyaltytobepaidonorbeforethelastdayoftheinitialtermhereofTheadvancesumofdollars$paidonthesigninghereofshallbeappliedagainstsuchguaranteeNopartofsuchminimumroyaltyshallinanyeventberepayabletoLicenseecPeriodicStatementsWithindaysaftertheinitialshipmentofthearticlescoveredbythisagreement,andpromptlyontheofeachcalendarthereafter,LicenseeshallfurnishtoLicensorcompleteandaccuratestatementscertifiedtobeaccuratebyLicenseeshowingthenumber,descriptionandgrosssalesprice,itemizeddeductionsfromgrosssalespriceandnetsalespriceofthearticlescoveredbythisagreementdistributedand/orsoldbyLicenseeduringtheprecedingcalendar,togetherwithanyreturnsmadeduringtheprecedingcalendarForthispurpose,Licenseeshallusethestatementformattachedhereto,copiesofwhichformmaybeobtainedbyLicenseefromLicensorSuchstatementsshallbefurnishedtoLicensorwhetherornotanyofthearticleshavebeensoldduringtheprecedingcalendardRoyaltypaymentsRoyaltiesinexcessoftheaforementionedminimumroyaltyshallbedueonthedayofthefollowingthecalendarinwhichearned,andpaymentshallaccompanythestatementsfurnishedasrequiredaboveThereceiptoracceptancebyLicensorofanyofthestatementsfurnishedpursuanttothisagreementorofanyroyaltiespaidhereunderorthecashingofanyroyaltycheckspaidhereundershallnotprecludeLicensorfromquestioningthecorrectnessthereofatanytime,andintheeventthatanyinconsistenciesormistakesarediscoveredinsuchstatementsorpayments,theyshallimmediatelyberectifiedandtheappropriatepaymentmadebyLicenseePaymentshallbeinDomestictaxespayableinthelicensedterritoryshallbepayablebyLicensee3ExclusivityaNothinginthisagreementshallbeconstruedtopreventLicensorfromgrantinganyotherlicensesfortheuseoftheNameorfromutilizingtheNameinanymannerwhatsoever,exceptthatLicensoragreesthatexceptasprovidedhereinitwillgrantnootherlicensesfortheterritorytowhichthislicenseextendseffectiveduringthetermofthisagreement,fortheuseoftheNameinconnectionwiththesaleofthearticlesdescribedinparagraph1bItisagreedthatifLicensorshouldconveyanoffertoLicenseetopurchaseanyofthearticleslistedinparagraph1,inconnectionwithapremium,giveawayorotherpromotionalarrangement,LicenseeshallhavedayswithinwhichtoacceptorrejectsuchanofferIntheeventthatLicenseefailstoacceptsuchofferwithinthespecifieddays,Licensorshallhavetherighttoenterintotheproposedpremium,giveawayorpromotionalarrangementusingtheservicesofanothermanufacturer,provided,however,thatinsucheventLicenseeshallhaveathree3dayperiodwithinwhichtomeetthebestofferofsuchmanufacturerfortheproductionofsucharticlesifthepriceofsuchmanufacturerishigherthanthepriceofferedtoLicenseebyLicensorLicenseeagreesthatitshallnot,withoutthepriorwrittenconsentofLicensor,iofferthearticlesasapremiuminconnectionwithanyotherproductorservice,oriisellordistributethearticlesinconnectionwithanotherproductorservicewhichproductorserviceisapremium4GoodWillLicenseerecognizesthegreatvalueofthegoodwillassociatedwiththeName,andacknowledgesthattheNameandallrightsthereinandgoodwillpertainingtheretobelongexclusivelytoLicensor,andthattheNamehasasecondarymeaninginthemindofthepublic5LicensorsTitleandProtectionofLicensorsRightsaLicenseeagreesthatitwillnotduringthetermofthisagreement,orthereafter,attackthetitleoranyrightsofLicensorinandtotheNameorattackthevalidityofthislicenseLicensorherebyindemnifiesLicenseeandundertakestoholditharmlessagainstanyclaimsorsuitsarisingsolelyoutoftheusebyLicenseeoftheNameasauthorizedinthisagreement,providedthatpromptnoticeisgiventoLicensorofanysuchclaimorsuitandprovided,further,thatLicensorshallhavetheoptiontoundertakeandconductthedefenseofanysuitsobroughtandnosettlementofanysuchclaimorsuitismadewithoutthepriorwrittenconsentofLicensorbLicenseeagreestoassistLicensortotheextentnecessaryintheprocurementofanyprotectionortoprotectanyofLicensorsrightstotheName,andLicensor,ifitsodesiresmaycommenceorprosecuteanyclaimsorsuitsinitsownnameorinthenameoflicenseeorjoinLicenseeasapartytheretoLicenseeshallnotifyLicensorinwritingofanyinfringementsorimitationsbyothersintheNameonarticlesthesameasorsimilartothosecoveredbythisagreementwhichmaycometoLicenseesattention,andLicensorshallhavethesolerighttodeterminewhetherornotanyactionshallbetakenonaccountofanysuchinfringementsorimitationsLicenseeshallnotinstituteanysuitortakeanyactiononaccountofanysuchinfringementsorimitationswithoutfirstobtainingthewrittenconsentoftheLicensorsotodo6IndemnificationbyLicenseeandProductLiabilityInsuranceLicenseeherebyindemnifiesLicensorandundertakestodefendLicenseeand/orLicensoragainstandholdLicensorharmlessfromanyclaims,suits,lossanddamagearisingoutofanyallegedlyunauthorizeduseofanytrademark,patent,process,idea,methodordevicebyLicenseeinconnectionwiththearticlescoveredbythisagreementoranyotherallegedactionbyLicenseeandalsofromanyclaims,suits,lossanddamagearisingoutofallegeddefectsinthearticlesLicenseeagreesthatitwillobtain,atitsownexpense,productliabilityinsurancefromarecognizedinsurancecompanywhichhasqualifiedtodobusinessin,providingadequateprotectionatleastintheamountofforLicensoraswellforLicenseeagainstanyclaims,suits,lossordamagearisingoutofanyallegeddefectsinthearticlesAsproofofsuchinsurance,afullypaidcertificateofinsurancenamingLicensorasaninsuredpartywillbesubmittedtoLicensorbyLicenseeforLicensorspriorapprovalbeforeanyarticleisdistributedorsold,andatthelatestwithindaysafterthedatefirstwrittenabove;anyproposedchangeincertificatesofinsuranceshallbesubmittedtoLicensorforitspriorapprovalLicensorshallbeentitledtoacopyofthethenprevailingcertificateofinsurance,whichshallbefurnishedLicensorbyLicenseeAsUsedinthefirst2sentencesofthisparagraph6,Licensorshallalsoincludetheofficers,directors,agents,andemployeesoftheLicensor,oranyofitssubsidiariesoraffiliates,anypersonstheuseofwhosenamemaybelicensedhereunder,thepackageproducerandthecastoftheradioand/ortelevisionprogramwhosenamemaybelicensedhereunder,thestationsoverwhichtheprogramsaretransmitted,anysponsorofsaidprogramsanditsadvertisingagency,andtheirrespectiveofficers,directors,agentsandemployees7QualityofMerchandiseLicenseeagreesthatthearticlescoveredbythisagreementshallbeofhighstandardandofsuchstyle,appearanceandqualityastobeadequateandsuitedtotheirexploitationtothebestadvantageandtotheprotectionandenhancementoftheNameandthegoodwillpertainingthereto,thatsucharticleswillbemanufactured,soldanddistributedinaccordancewithallapplicableFederal,Stateandlocallaws,andthatthesameshallnotreflectadverselyuponthegoodnameofLicensororanyofitsprogramsortheNameTothisendLicenseeshall,beforesellingordistributinganyofthearticles,furnishtoLicensorfreeofcost,foritswrittenapproval,areasonablenumberofsamplesofeacharticle,itscartons,containersandpackingandwrappingmaterialThequalityanstyleofsucharticlesaswellasofanycarton,containerorpackingorwrappingmaterialshallbesubjecttotheapprovalofLicensorAnyitemsubmittedtoLicensorshallnotbedeemedapprovedunlessanduntilthesameshallbeaprovedbyLicensorinwritingAftersampleshavebeenapprovedpursuanttothisparagraph,LicenseeshallnotdeparttherefrominanymaterialrespectwithoutLicensorspriorwrittenconsent,andLicensorshallnotwithdrawitsapprovaloftheapprovedsamplesexceptondayspriorwrittennoticetoLicenseeFromtimetotimeafterLicenseehascommencedsellingthearticlesanduponLicensorswrittenrequest,LicenseeshallfurnishwithoutcosttoLicensornotmorethanadditionalrandomsamplesofeacharticlebeingmanufacturedandsoldbyLicenseehereunder,togetherwithanycartons,containersandpackingandwrappingmaterialusedinconnectiontherewith8LabelingaLicenseeagreesthatitwillcausetoappearonorwithineacharticlesoldbyitunderthislicenseandonorwithinalladvertising,promotionalordisplaymaterialbearingtheNamethenoticeCopyrightcyearinconnectionwithNamepropertieseandfinRider,paragraph1,andanyothernoticedesiredbyLicensorand,wheresucharticleoradvertising,promotionalordisplaymaterialbearsatrademarkorservicemark,appropriatestatutorynoticeofregistrationorapplicationforregistrationthereofIntheeventthatanyarticleismarketedinacarton,containerand/orpackingorwrappingmaterialbearingtheName,suchnoticeshallalsoappearuponthesaidcarton,containerand/orpackingorwrappingmaterialEachandeverytag,label,imprintorotherdevicecontaininganysuchnoticeandalladvertising,promotionalordisplaymaterialbearingtheNameshallbesubmittedbyLicensorforitswrittenapprovalpriortousebyLicenseeApprovalbyLicensorshallnotconstituteiverofLicensorsrightsorLicenseesdutiesunderanyprovisionofthisagreementbLicenseeagreestocooperatefullyandingoodfaithwithLicensorforthepurposeofsecuringandpreservingLicensorsoranygrantorofLicensorsrightsinandtotheNameIntheeventtherehasbeennopreviousregistrationoftheNameand/orarticlesand/oranymaterialrelatingthereto,Licenseeshall,atLicensorsrequestandexpense,registersuchacopyright,trademarkand/orservicemarkintheappropriateclassinthenameofLicensoror,ifLicensorsorequests,inLicenseesownnameHowever,itisagreedthatnothingcontainedinthisagreementshallbeconstruedasanassignmentorgranttotheLicenseeofanyright,titleorinterestinortotheName,itbeingunderstoodthatallrightsrelatingtheretoarereservedbyLicensor,exceptforthelicensehereundertoLicenseeoftherighttouseandutilizetheNameonlyasspecificallyandexpresslyprovidedinthisagreementLicenseeherebyagreesthatattheterminationorexpirationofthisagreementLicenseewillbedeemedtohaveasigned,transferredandconveyedtoLicensoranyrights,equities,goodwill,titlesorotherrightsinandtotheNamewhichmayhavebeenobtainedbyLicenseeorwhichmayhavevestedinLicenseeinpursuanceofanyendeavorscoveredhereby,andthatLicenseewillexecuteanyinstrumentsrequestedbyLicensortoaccomplishorconfirmtheforegoingAnysuchassignment,transferorconveyanceshallbewithoutotherconsiderationthanthemutualcovenantsandconsiderationsofthisagreementcLicenseeherebyagreesthatitseveryuseofsuchnameshallinuretothebenefitofLicensorandthatLicenseeshallnotatanytimeacquireanyrightsinsuchnamebyvirtueofanyuseitmaymakeofsuchname9PromotionalMaterialaInallcaseswhereLicenseedesiresartworkinvolvingarticleswhicharethesubjectofthislicensetobeexecuted,thecostofsuchartworkandthetimefortheproductionthereofshallbebornebyLicenseeAllartworkanddesignsinvolvingtheName,oranyreproductionthereof,shall,notwithstandingtheirinventionorusebyLicensee,beandremainthepropertyofLicensorandLicensorshallbeentitledtousethesameandtolicensetheuseofthesamebyothersbLicensorshallhavetheright,butshallnotbeunderanyobligation,tousetheNameand/orthenameofLicenseesoastogivetheName,Licensee,Licensorand/orLicensorsprogramsfullandfavorableprominenceandpublicityLicensorshallnotbeunderanyobligationwhatsoevertocontinuebroadcastinganyradioortelevisionprogramorusetheNameoranyperson,character,symbol,designorlikenessorvisualrepresentationthereofinanyradioortelevisionprogramcLicenseeagreesnottoofferforsaleoradvertiseorpublicizeanyofthearticleslicensedhereunderonradioortelevisionwithoutthepriorwrittenapprovalofLicensor,whichapprovalLicensormaygrantorwithholdinitsunfettereddiscretion10DistributionaLicenseeagreesthatduringthetermofthislicenseitwilldiligentlyandcontinuouslymanufacture,distributeandsellthearticlescoveredbythisagreementandthatitwillmakeandmaintainadequatearrangementforthedistributionofthearticlesbLicenseeshallnot,withoutpriorwrittenconsentofLicensor,sellordistributesucharticlestojobbers,wholesalers,distributors,retailstoresormerchantswhosesalesordistributionareorwillbemadeforpublicityorpromotionaltie-inpurposes,combinationsales,premiums,giveaways,orsimilarmethodsofmerchandising,orwhosebusinessmethodsarequestionablecLicenseeagreestoselltoLicensorsuchquantitiesofthearticlesataslowarateandonasgoodtermsasLicenseesellssimilarquantitiesofthearticlestothegeneraltrade11RecordsLicenseeagreestokeepaccuratebooksofaccountandrecordscoveringalltransactionsrelatingtothelicenseherebygranted,andLicensoranditsdulyauthorizedrepresentativesshallhavetherightatallreasonablehoursofthedaytoanexaminationofsaidbooksofaccountandrecordsandofallotherdocumentsandmaterialsinthepossessionorunderthecontrolofLicenseewithrespecttothesubjectmatterandtermsofthisagreement,andshallhavefreeandfullaccesstheretoforsaidpurposesandforthepurposeofmakingextractstherefromUpondemandofLicensor,LicenseeshallatitsownexpensefurnishtoLicensoradetailedstatementbyanindependentcertifiedpublicaccountantshowingthenumber,description,grosssalesprice,itemizeddeductionsfromgrosssalespriceandnetsalepriceofthearticlescoveredbythisagreementdistributedand/orsoldbyLicenseetothedateofLicensorsdemandAllbooksofaccountandrecordsshallbekeptavailableforatleastyearsaftrtheterminationofthislicense12Bankruptcy,Violation,etcaIfLicenseeshallnothavecommencedingoodfaithtomanufactureanddistributeinsubstantialquantitiesallthearticleslistedinparagraph1withinmonthsafterthedateofthisagreementorifatanytimethereafterinanycalendarmonthLicenseefailstosellanyofthearticlesoranyclassorcategoryofthearticles,Licensorinadditiontoallotherremediesavailabletoithereundermayterminatethislicensewithrespecttoanyarticlesorclassorcategorythereofwhichhavenotbeenmanufacturedanddistributedduringsuchmonth,bygivingwrittennoticeofterminationtoLicenseeSuchnoticeshallbeeffectivewhenmailedbyLicensorbIfLicenseefilesapetitioninbankruptcyorisadjudicatedabankruptorifapetitioninbankruptcyisfiledagainstLicenseeorifitbecomesinsolvent,ormakesanassignmentforthebenefitofitscreditorsoranarrangementpursuanttoanybankruptcylaw,orifLicenseediscontinuesitsbusinessorifareceiverisappointedforitoritsbusiness,thelicenseherebygrantedshallautomaticallyterminateforthwithwithoutanynoticewhatsoeverbeingnecessaryIntheeventthislicenseissoterminated,Licensee,itsreceivers,representatives,trustees,agents,administrator,successorsand/orassignsshallhavenorighttosell,exploitorinanywaydealwithorinanyarticlescoveredbythisagreementoranycarton,container,packingorwrappingmaterial,advertising,promotionalordisplaymaterialpertainingthereto,exceptwithandunderthespecialconsentandinstructionsofLicensorinwriting,whichtheyshallbeobligatedtofollowcIfLicenseeshallviolateanyofitsotherobligationsunderthetermsofthisagreement,Licensorshallhavetherighttoterminatethelicenseherebygrantedupondaysnoticeinwriting,andsuchnoticeofterminationshallbecomeeffectiveunlessLicenseeshallcompletelyremedytheviolationwithinthedayperiodandsatisfyLicensorthatsuchviolationhasbeenremedieddTerminationofthelicenseundertheprovisionsofparagraph12shallbewithoutprejudicetoanyrightswhichLicensormayotherwisehaveagainstLicenseeUpontheterminationofthislicense,notwithstandinganythingtothecontraryherein,allroyaltiesonsalestheretoforemadeshallbecomeimmediatelydueandpayableandnominimumroyaltiesshallberepayableoravoidable13SponsorshipbyCompetitiveProductIntheeventthatanyofthearticleslistedinparagraph1conflictswithanyproductofapresentorfuturesponsorofaprogramonwhichtheNameappearsorisused,orwithanyproductofasubsidiaryoraffiliateofsuchsponsor,thenLicensorshallhavetherighttoterminatethisagreementastosucharticleorarticlesbywrittennoticetoLicenseeIntheeventofsuchtermination,Licenseeshallhavedaysaftertheeffectivedateofsuchterminationtodisposeofallofsucharticlesonhandorinprocessofmanufactureprior
