妙文翻译公司翻译样稿经甲乙双方友好协商，甲方享有对乙方和乙方作品的独家代理和代表权，并且鉴于此，乙方希望甲方根据以下条款进行代理。双方在平等互利基础上同意签定如下合同：1. 代理： 甲方将享有对乙方作品在中国的销售和展览的独家代理和代表权。 代理期间若有国际知名画廊有意向在国际更多地区代理乙方，双方均认为对本合同的甲乙方双方有利，届时可以根据实际发生情况修订变更本合同。2. 期限： 本协议期限为 3年，始于2008年 月 日，终止于2011 年 月 日。协议到期之前60天书面通知另一方协议是否续约，由合同双方签署新的续期期限。在协议期间，如果发现一方不能遵守协议条款，严重违约，任何一方可以提前60天书面通知另一方，终止协议。3. 展览：甲方同意在协议的每一年，甲方为乙方举办一次个人展。甲方可以在任何时间选择乙方的作品参加甲方的集体展览，并且，作为乙方的独家代理和代表，甲方尽最大努力为乙方争取参加其他地区的个人展，和其他画廊、美术馆、博物馆和另类空间的集体展，还有中国的和甲方认为适当的国际艺术博览会、画廊博览会。4. 销售：乙方在协议期间每年将_幅作品交给甲方销售，并且甲方根据双方共同选择，同意接受某些作品的销售。甲方出具书面销售交接单，并详细说明各项销售作品的名称、媒介、尺寸、日期和协定销售价格，以及销售期限。如果销售交接单中未说明销售期限，甲方则可以将作品保留1年，除非本协议终止，在终止以后，乙方的作品按规定返还。5. 佣金：甲方将对每件售出作品收取售出价格的50%作为佣金。折扣将仅针对博物馆、基金会、馆长、甲方、私人经销商和甲方的可靠客户。其他任何折扣需要获得乙方的书面同意。乙方无甲方的书面同意，不得赠与礼物、捐赠或与其他艺术家的作品进行交换。Through the friendly negotiation between Party A and Party B, Party A holds the exclusive agency and power of representation of Party B and its works, so Party B expects that Party A shall conduct the agency according to the following clauses. The other party shall be notified about whether to extend the agreement 60 days ahead of expiration, and both parties of the contract sign the new time limit for renewal. During the time limit of the agreement, if any one party cannot abide by the clauses of the agreement and seriously breach the contract, the other party may notify the breaching party in writing of terminating the agreement 60 days in advance.3. Exhibition: Party A agrees to hold one exhibition of individual works for Party B every year under the agreement. Party A may select works of Party B at any time for Party As collective exhibition, and as the exclusive agency and representative of Party B, Party A shall strive for opportunities for Party B to take part in individual exhibitions in other regions, other collective exhibitions of galleries, art galleries, museums and distinct spaces, and art expos and gallery expos in China and in the world which Party A considers appropriate.4. Sale: During the period of this agreement, Party B shall hand up works to Party A for sale every year, and Party A agrees to accept some works for sale according to the choices of both parties. Party A shall show the written Sales Interchange Receipt and detailedly explicate names, mediums, dimensions, dates, concerted sale prices and sales periods of all works for sale. If the sales periods are not given in Sales Interchange Receipt, Party A can retain the works for one year unless this agreement terminates, and after the termination, the works of Party B shall be returned according to the provisions.5. Commission: Party A shall take 50% of sale price of each works sold as commission. Only museums, foundations, curators, Party A, private distributors and reliable clients of Party A can enjoy discounts.
