CIF 以及 CFR 的区别： CIF 术语要由卖方办理保险，支付保险费，并向买方转让保险单； CFR 术语则由买方自行办理投保并支付保险费，保险也容易引起争议问题。因为按照 CIF 术语，卖方虽然负责投保并支付保险费，但货物在装运港越过船舷起，风险就由卖方转移到买方承担，卖方对运输中的货物已经不再拥有可保权益，卖方实际上是为了买方的利益而投保。因此投保什么险别如何确定保险金额，应事先在合同中约定，否则容易在货物遭受损失时而得不到应有得赔偿而引起纠纷。 运费付至 本术语英文为“ Carriage Paid to ”，即“运费付至”。本术语系指卖方支付货物运至指定目的地的运费。关于货物灭失或损坏的风险以及货物交至承运人后发生事件所产生的任何额外费用，自货物已交付给承运人照管之时起，从卖方转由买方承担。另外，卖方须办理货物出口的结关手续。本术语适用于各种运输方式，包括多式联运。 【注】5 / 23 CPT 以及 CFR 的区别： CPT 是卖方负责安排把货物运至指定目的地的运输，并付运费，但货物在 运输途中灭失或者损坏的风险以及货物交给第一承运人后发生的任何额外费用，均由买方承担。但在 CFR术语下，卖方完成交货时在约定的装运港越过船舷时，不是将货物交给第一承运人。 CPT 术语可适用于任何运输方式，而 CFR 术语仅适用于海洋和内河运输。 运费及保险费付至 本术语英文为“ Carriage and Insurance Paid to”，即“运费及保险费付至。”它指卖方除负有与“运费付至”术语相同的义务外，卖方还须办理货物在运输途中应由买方承担的货物灭失或损坏风险的海运保险并 支付保险费。本术语适用于任何运输方式。 D 组：到达 边境交货 本术语的英文为“ Delivered at Frontier ”，即“边境交货”。它指卖方承担如下义务，将备妥的货物运至边境上的指定地点，办理货物出口结关手续，在毗邻国家海关关境前交 货，本术语主要适用于通过铁路或公路运输的货物，也可用于其他运输方式。 6 / 23 目的港船上交货 本术语的英文为“ Delivered Ex Ship ”，即“目的港船上交货”。它系指卖方履行如下义务，把备妥的 货物，在指定目的港的船甲板上不办理货物进口结关手续的情况下，交给买方，故卖方须承担包括货物运至指定目的港的所有费用与风险。本术语适用于水上运输方式及最后一程为水上运输的多式联运方式。 目的港码头交货 本术语的英文为：“ Delivered Ex Quay ”，即“目的港码头交货”。卖方义务如下：支付运费，在规定时间内将货物运至目的港，承担卸货的责任和费用，并在目的港码头将货物置于买方处置之下，承担在目的港码头将货物置于买方处置下之前的风险和费用。办理货物进口报关的责任、费用、风险由买方 承担。本术语适用于水上运输和多式联运。 未完税交货 本术语的英文为“ Delivered Duty Unpaid ”，即“未完税交货”。它指卖方将备好的货物，在进口国指定的地点交付，而且须承担货物运至指定地点的一切费用和风险 .另外买方须承担办理海关手续的费用和风险。买方须承担因未能及时办理货物进口结关而引起的额外费用和风险。本术语适用于各种运输方式。 完税后交货 7 / 23 本术语的英文为“ Delivered Duty Paid”，即“完税后交货”。它是指卖方将备好的货物在 进口国指定地点交付，而且承担将货物运至指定地点的一切费用和风险，并办理进口结关。本术语可适用于各种运输方式。 使用 FCA 贸易术语，需要注意风险转移、责任和费用以及卖方交货义务的问题。 1、风险转移问题 FCA 贸易术语与装运港交货的 3 种贸易术语不同，风险转移不是以船舷为界，而是以货交承运人为界，这不仅是在海运以外的其他运输方式下 如此，即使在海洋运输方式下，卖方也是在将货物交给海运承运人时即算完成交货，风险就此转移。但是，由于在 FCA 贸易术语条件下，由买方负责订立运输契 约，并将承运人名称及有关事项及时通知卖方，卖方才能如期完成交货义务，并实现风险的转移。如果买方未能及时通知卖方，或由于买方的责任，使卖方无法按时完成交 货，其后的风险是否仍由卖方承担？按通则2000的解释，如发生上述情况，则自规定的交付货物的约定日期或期限届满之日起，买方要承担货物灭失或损坏的一切风险。可见，对于 FCA 贸易术语下，风险转移的界限问题不能简单化理解。一般情况下，是在承运人控制货物后，风险由卖方转移给买方，但是如果由于买方的 责任，使卖方无法按时完成交货义务，只要“该项货物已正式划归合同项8 / 23 下 ”，那么风险转移的时间可以前移。 2、卖方交货义务问题 通则 2000对 FCA 贸易术语下卖方的交货义务做了如下规定：若指定的地点是卖方所在地，则当货物被装上买方指定的承运人或 代表买方的其他人提供的运输工具时；若指定的地点不是，而是其他任何地点，则当货物在卖方的运输工具上，尚未卸货而交给买方指定的承运人或其 他人或由卖方按照 A3 选定的承运人或其他人处置时。同时又具体规定：若在指定的地点没有约定具体交货点，且有几个具体交货点可供选择时，卖方可以在指定的 地点选择最适合其目的的交货 点；若买方没有明确指示，则卖方可以根据运输方式 /或货物的数量和 /或性质将货物交付运输。 3、责任和费用问题 FCA 贸易术语适用于包括多式联运在内的各种运输方式。卖方的交货地点因采用的运输方式的不同而不同。有时须在出口国的内陆办理交货，如车站、机场或内河港口。不论在何处交货，根据通则 2000的解释，卖方都要自负风险和费用，取得出口许可证或其他官方批准证件，并办理货物出口所需 的一切海关手续。随着我国对外贸易的发展，内地省份的出口货物有一些不一定在装运港交货，而采取就地交货和交单 结汇的做法会越来越多，为适应这一需要， FCA贸易术语的使用将逐渐增多。 9 / 23 按照 FCA 贸易术语成交，一般是由买方自行订立从指定的地点承运货物的合同，但是，如果买方有要求，并由买方承担风险和费用的情况下，卖方也可代替买方指定承运人并订立运输合同。当然，卖方也可以拒绝订立运输合同，如果拒绝应立即通知买方，以便买方另行安排。 按照 FCA 贸易术语成交，买卖双方承担费用的划分也是以货交承运人为界，即卖方负担货物交给承运人控制之前的有关费用，买方负担货 交承运人之后所发生的各项费用。但是买方委托 卖方代办一些属于自己义务范围内的事项所产生的费用，以及由于买方的过失所引起的额外费用，均应由买方负担。 Free Carrier 货交承运人 FCA Incoterms 2016 货交承运人 GUIDANCE NOTE序言 This rule may be used irrespective of the mode of transport selected and may also be used where more than one mode of transport is employed. “ Free Carrier” means that the seller delivers the goods to the carrier or another person nominated by the buyer at the sellers premises or another named place. The parties are well advised to specify as clearly as possible the point within the named place of delivery, as the risk passes 10 / 23 to the buyer at that point. If the parties intend to deliver the goods at the seller s premises, they should identify the address of those premises as the named place of delivery. If, on the other hand, the parties intend the goods to be delivered at another place, they must identify a different specific place of delivery. FCA requires the seller to clear the goods for export, where applicable. However, the seller has no obligation to clear the goods for import, pay any import duty or carry out any import customs formalities. 该术语适用于所选择的任一运输方式，也可被用于多式联运。“ Free Carrier”是指卖方只要将货物在其所在地或指定交货地点交给买方指定的承运人，即完成交货。当事人应尽可能精准地指定交付地点，因为到达指定地点后风险由买方承担。如果当事人计划在卖方所在地交货，则应指明卖方所在地的地址为指定的交付地点。如果当事人计划在另一地点交货，则应指明另一明确的交货地点。 FCA 要求在需要办理海关手续时由卖方负责货物出口清关。然而，卖方并没有义务办理货物进口清关、负担任何进口关税或办理任何进口海关手续。 A THE SELLER OBLIGATIONS 卖方义务 11 / 23 A1 General obligations of the seller 卖方基本义务 The seller must provide the goods and the commercial invoice in conformity with the contract of sale and any other evidence of conformity that may be required by the contract. Any document referred to in A1-A10 may be an equivalent electronic record or procedure if agreed between the parties or customary. 卖方必须提供符合销售合同规定的货物和商业发票以及按照合同约定必需的有同等作用的其他任何凭证。以及经当事人同意或根据交易习惯在 A1-A10 中提到的任何有同等作用的电子记录或程序的凭证。 A2 Licences, authorizations, security clearances and other formalities 许可，授权，安全许可和其他正式手续 Where applicable, the seller must obtain, at its own risk and expense, any export licence or other official authorization and carry out all customs formalities necessary for the export of the goods.在需要办理清关手续时，卖方必须承担风险和费用获得任何出口许可或其他官方授权，办理货物出口所需的一切海关手续。 12 / 23 A3 Contracts of carriage and insurance 运输合同和保险合同 a) Contract of carriage 运输合同 The seller has no obligation to the buyer to make a contract of carriage. However, if requested by the buyer or if it is commercial practice and the buyer does not give an instruction to the contrary in due time, the seller may contract for carriage on usual terms at the buyers risk and expense. In either case, the seller may decline to make the contract of carriage and, if it does, shall promptly notify the buyer. 卖方没有义务为买方订立运输合同。但若买方要求，或者如果是商业惯例而买方未适时给予卖方相反指示，则卖方可按照通常条件订立运输合同，费用和风险由买方承担。在任何一种情况下，卖方都可以拒绝订立此合同；如果拒绝，则应立即通知买方。 b) Contract of insurance 保险合同 The seller has no obligation to the buyer to make a contract of insurance. However, the seller must provide the buyer, at the buyer s request, risk, and expense , with information that the buyer needs for obtaining insurance. 卖方没有义务为买方订立保险合同。但应买方要求13 / 23 并由其承担风险和费用，卖方必须提供给买方办理保险所需的相关信息。 A4 Delivery 交货 The seller must deliver the goods to the carrier or another person nominated by the buyer at the agreed point, if any, at the named place on the agreed date or within the agreed period. 卖方必须在指定的交货地点，在约定的交货日期或期限内，将货物交付给买方指定的承运人或其他人。 Delivery is completed: 交货在以下时候完成： a) If the named place is the seller s premises, when the goods have been loaded on the means of transport provided by the buyer. 若指定的地点是卖方所在地，则当货物被装上买方提供的运输工具时； b) In any other case, when the goods are placed at the disposal of the carrier or another person nominated by the buyer on the seller s means of transport ready for unloading. The seller must provide assistance to the buyer, at the buyers request, risk and expense, in obtaining a transport document. 卖方 必须自付费用向买方提供证明按照 A4规定交货的通常单据。应买方要求并由其承担风险和费用，卖方必须16 / 23 给予买方协助以取得运输单据。 A9 Checking packaging marking 查对、包装、标记 The seller must pay the costs of those checking operations that are necessary for the purpose of delivering the goods in accordance with A4, as well as the costs of any pre-shipment inspection mandated by the authority of the country of export. The seller must, at its own expense, package the goods, unless it is usual for the particular trade to transport the type of goods sold unpackaged. The seller may package the goods in the manner appropriate for their transport, unless the buyer has notified the seller of specific packaging requirements before the contract of sale is concluded.
