养殖用地租赁合同协议 甲方：PartyA: 乙方：PartyB: 甲方在取得相关承包农户的认同及书面土地流转委托书及后依照国家法律法规和有关土地政策本着自愿平等的原则经与乙方充分友好协商就乙方租用甲方所辖用地筹建事宜达成以下协议： AfterPartyAgainedtheconsentandwrittenlettersofauthorizationforlandcirculationfromtheassociatedcontractholdingfarmhouseholdsandandbasedonprinciplesoffreewillandequalityaswellasthenationallaws,regulationsandlandpolicies,PartyAandPartyBhavereachedagreement,throughfriendlynegotiations,onPartyAsleasinglandplannedtoPartyBforthepurposetobuildasfollows, 一、租赁范围：LeaseScope 二、租赁期限：LeaseDuration (1).乙方租赁甲方土地的年限为年个月(不得超过甲方农户的土地承包年限)自年月日至年月日(“租赁期限”)年月日租赁起始日 PartyAwillleasetheLeaseLandtoPartyBforyearsandmonthsstartingfromto(theleasedurationshouldbewithinthelandcontractperiodofthecontractholdingfarmhouseholdcontract)(hereinafterreferredtoas“LeaseDuration”).istheleasingmencementdate. (2).租赁期限期满后如乙方需继续租赁则须在租赁期限期满前个月通知甲方协商在同等条件下乙方对该租赁土地有优先承租权 IncasePartyBwantstocontinueleasingthelandupontheexpirationoftheLeaseDuration,PartyBshouldinformPartyAfornegotiationmonthspriortotheexpirationoftheLeaseDuration.Underthesameconditions,PartyBhastherightoffirstrefusalforrentingtheLeaseLand. 三、租赁费用：LeasePrice (1).双方一致同意该租赁土地的第一租约年年租金为每亩人民币元以租赁起始日起至次年的同期前一日为第一个租约年以后每12个月的期间为一个租约年 ThepartiesagreethattheannualrentfortheLeaseLandforthefirstleaseyearisRMBforeachmu.Thefirstleaseyearreferstotheperiodstartingfromtheleasingmencementdatetothedateimmediatelyprecedingthesamedateofthefollowingyearand,thereafter,thetimeofeach12monthperiodconstitutesoneleaseyear. (2).每个租约年的租金由乙方于每年前向甲方一次性支付如因乙方的原因逾期未付则乙方每逾期一日按逾期欠付租金金额的承担逾期付款滞纳金但是逾期付款滞纳金的总额不得超过当年租金的% PartyBshallpaytheannualrentforeachleaseyeartoPartyAinlumpsumbytheendofeachMaywithoutdelay.ShouldtherentpaymentbedelayedduetoPartyBssake,PartyBshallpayalatepaymentfeecalculatedatadailyoftheunpaidrentpriceforeachdaydelayedinpayment,provided,however,thatthetotalsumofthelatepaymentfeeshallnotbehigherthan%oftheannualrent. (3).甲方需在乙方支付租金之前日就应付租金向乙方出具合法有效的相关发票若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付租金的乙方不承担逾期付款的责任 PartyAshallprovidePartyBwiththerelevantlegalandvalidinvoices20daysbeforePartyBmakestherentpayment.ShouldPartyBfailtomaketimelypaymentoftherentduetoPartyAsfailuretotimelyprovidetherelevantlegalandvalidinvoices,PartyBshallnotincuranyliabilityforthedelayedpayment. (4).对于因甲方原因导致乙方不能如期支付租金的乙方不承担逾期付款违约责任 PartyBshallnotincurliabilitiesfordelayedpaymentofrentifsuchPartyBsdelayinpaymentofrentiscausedbyPartyA. (5).甲方在收到乙方的每笔租金后必须按照各承包农户的土地面积及上述约定的租金标准及时按比例向相关农户进行发放如果因甲方原因而引发承包农户与乙方之间的矛盾甲方必须承担全部责任如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的甲方应赔偿乙方因此而遭受的全部损失(如适用) AfterreceivingthepaymentofrentfromPartyB,PartyAshallpromptlypaysuchrentpaymenttothecontractholdingfarmhouseholdsinproportiontothelandareaofeachofthecontractholdingfarmhouseholdsaccordingtotherentstandardagreedabove.ShouldanydisputesoccurbetweenPartyBandthecontractholdingfarmhouseholdsduetoPartyAscause,PartyAshalltakefullresponsibilityforsuchdisputes.ShouldPartyBincuranylossescausedbydisputesbetweenPartyBandthecontractholdingfarmhouseholds,PartyAshallpensatePartyBforallthelossessosufferedbyPartyB(ifapplicable). 四、其他约定：Miscellaneousterms (1).乙方在租赁期限内必须遵守国家的法律法规保护当地环境做好环评并搞好卫生防疫工作因乙方的养鸡污染而造成的直接损失由乙方负责承担 PartyBshallplywithalltherelatedlawsandregulationsofthestateandprotectthelocalenvironment,fulfillenvironmentassessmentworkaswellasperformhygieneandquarantineduties.IncaseanydirectdamagecausedbythepollutionfromPartyBsbroilerbreedingfarm,PartyBshouldberesponsiblefortherelatedpensation. (2).乙方租用甲方所辖土地在签订本土地租赁协议书后应向甲方一次性支付农作物补偿费元/亩其他费用：元甲方需在乙方支付补偿费之前日就前述补偿费向乙方出具合法有效的相关发票若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付前述补偿费的乙方不承担逾期付款的责任对于因甲方原因导致乙方不能如期支付补偿费的乙方不承担逾期付款违约责任 UpontheexecutionofthisLandLeaseAgreement,PartyBshallpaytoPartyAthelumpsumpriceofcroppensationallowancebasedontherateofRMB/muandotherpensationallowancetotally:forthelandleasedbyPartyBfromPartyA.PartyAshallprovidePartyBwiththerelevantlegalandvalidinvoicesdaysbeforePartyBpaysthepensationallowance.ShouldPartyBfailtomaketimelypaymentofthepensationallowanceduetoPartyAsfailuretotimelyprovidetherelevantlegalandvalidinvoices,PartyBshallnotincuranyliabilityforthedelayedpayment. (3).甲方收到补偿费后须根据各承包农户的土地面积及所种作物品种及上述约定的补偿费标准按比例向承包农户支付如果因甲方原因而引发承包农户与乙方之间的矛盾甲方必须承担全部责任如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的甲方应赔偿乙方因此而遭受的全部损失 PartyBshallnotincurliabilitiesfordelayedpaymentofpensationallowanceifsuchPartyBsdelayinpaymentofpensationallowanceiscausedbyPartyA.PartyAshall,uponreceivingsuchpensationallowancefromPartyB,paythepensationallowancetothecontractholdingfarmhouseholdsaccordingtothelandareaandthetypeofthecroporplantofeachofthecontractholdingfarmhouseholdsandaccordingtothepensationallowancestandardsagreedabove.ShouldanydisputesoccursbetweenPartyBandthecontractholdingfarmhouseholdsduetoPartyAscause,PartyAshalltakefullresponsibilityforsuchdisputes.ShouldPartyBincuranylossescausedbydisputesbetweenPartyBandthecontractholdingfarmhouseholds,PartyAshallpensatePartyBforallthelossessosufferedbyPartyB. (4).本租赁协议终止或期满后乙方须做好租赁土地的清理复垦工作然后将租赁土地退还给甲方;如果清理复垦工作由甲方完成的话则乙方须合理承担相关的复垦费用该相关复垦费用复垦期间的土地租金由双方在复垦工作开始时协商并书面确认 AftertheterminationorexpirationofthisLeaseAgreement,PartyBisrequiredtorecovertheLeaseLandforrecultivationpurposeandthenreturntheLeaseLandtoPartyA;ifthelandrecultivationrecoveryworkisperformedbyPartyA,thenPartyBshouldberesponsiblefortherelatedexpensesoftherecultivationrecoverywork.SuchrelatedexpensesoftherecultivationrecoveryworkandtherentduringthelandrecultivationrecoveryperiodshallbenegotiatedbythePartiesandconfirmedinwritingatthetimewhentherecultivationrecoveryworkbegins. (5).甲方有责任协调乙方与本协议涉及的承包农户以及当地其他居民间的关系乙方在项目建设和生产过程中因承包户、当地居民(包括周边群众)等人为因素迫使乙方停工、停产或减产的,甲方必须全力配合乙方,及时协调解决若在天内未能协调解决由此给乙方造成损失的甲方必须赔偿乙方的全部损失在问题协调解决并且乙方恢复正常建设工作或正常经营活动前乙方有权缓付租金并且不承担逾期付款违约责任;如果问题未能在天之内解决则乙方有权从任何应付租金中扣除问题未解决期间天数的相应租金金额;如果因甲方未能及时协调解决前述问题导致本协议无法履行或本协议目的不能实现乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失包括本协议无法履行或本协议目的不能实现所遭受的预期利润损失 PartyAhastheobligationtocoordinatetherelationshipbetweenPartyBandallcontractholdingfarmhouseholdsandotherlocalresidents.If,duringtheconstructionperiodorproductionperiodoftheProject,PartyBsconstructionandproductionprocessissuspendedorPartyBsproductionisreducedduetoreasonsofthecontractholdingfarmhouseholdsorlocalresidents(includingsurroundingresidents),PartyAshallfullycooperatewithPartyBtopromptlysolvetheproblems.IftheproblemsarenotsolvedwithindayscausinglossestoPartyB,PartyAshallpensatePartyBforallthelossessosufferedbyPartyB.BeforetheproblemsaresolvedandPartyBsnormalconstructionworkornormaloperationisresumed,PartyBhastherighttowithholdrentpaymentwithoutanyliabilitiesforlatepayment;Iftheproblemshavenotbeenresolvedwithindays,thenPartyBshallhavetherighttodeductfromanypayablerenttheamountofthecorrespondingrentforthedaysoftheperiodforwhichtheproblemshavenotbeenresolved;IfthisLeaseAgreementcannotbeperformedorthepurposeofthisLeaseAgreementcannotbeachievedduetoPartyAsfailuretocoordinateandsolvetheaforesaidproblems,PartyBshallhavetherighttoterminatethisLeaseAgreementbygivingPartyAawrittennoticeandtorequestPartyAtopensatePartyBforalllossessufferedbyPartyB,includingtheexpectedprofitslostduetothenonperformanceofthisLeaseAgreementorthefailureofthepurposeofthisLeaseAgreement. (6).在乙方租赁期内甲方承诺并负责监督、协调下述事宜：在本村区域内距乙方租赁土地的饲养场公里范围内甲方不得自建或把所辖土地租赁给他人建办养禽场以防疫病的相互感染进而影响乙方的生产但是截至本协议签订之日已存在的养禽场除外;在租赁期限内甲方确保在乙方租赁土地的场周围公里且属于本村区域的范围内不得再建造影响乙方生产和防疫的其他任何建筑设施如果因甲方违反前述承诺给乙方造成损失的甲方必须赔偿乙方的全部损失如果因甲方违反前述承诺导致本协议无法履行或本协议目的不能实现乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失包括本协议无法履行或本协议目的不能实现所遭受的预期利润损失 DuringtheLeaseDuration,PartyAmitsandundertakestosuperviseandcoordinatethefollowingmatters:exceptforthechickenfarmsexistingontheexecutiondateofthisAgreement,forthesakeofdiseasecontroltoavoidthreadstounderminePartyBsproduction,PartyAshouldnotbuildorleasethelandunderitscontroltoanythirdpartytobuildfarmswithintheareaofkilometerradiusfromPartyBsfarmontheLeaseLandwithinthevillage;DuringtheLeaseDuration,PartyAshallensurethatnostructureorbuildingthataffectsPartyBsproductionandquarantinebebuiltwithinthearea,whichbelongstothevillageofPartyAandwhichiswithinkilometerradiusfromPartyBsfarmontheLeaseLand.IfPartyAbreachestheaforesaidmitmentscausinglossestoPartyB,PartyAshallpensatePartyBforallthelossessosufferedbyPartyB.IfthisLeaseAgreementcannotbeperformedorthepurposeofthisLeaseAgreementcannotbeachievedduetoPartyAsbreachoftheaforesaidmitments,PartyBshallhavetherighttoterminatethisLeaseAgreementbygivingPartyAawrittennoticeandtorequestPartyAtopensatePartyBforalllossessufferedbyPartyB,includingtheexpectedprofitslostduetothefailureoftheperformanceofthisLeaseAgreementorthefailureofthepurposeofthisLeaseAgreement. (7).在租赁期限内如遇国家土地征用或市政府对土地的规划性调整情形双方应予以服从和配合此种情况下任何一方均不得追究对方的违约责任有关部门因此而支付的土地补偿费归甲方支配和发放但乙方在租赁土地上投资的建筑物、设施和设备所获的补偿费应归乙方所有甲方有义务再为乙方协调落实新的租赁土地以供乙方的搬迁使用 DuringtheLeaseDuration,ifthereisgovernmentlandexpropriationorrezoning,bothpartiesshouldplywithsuchexpropriationandrezoningandcooperate.NoPartyshallclaimanybreachliabilityagainsttheotherundersuchcircumstance.ThelandpensationpaidbytherelevantgovernmentagenciesforsucheventshallbelongtoPartyAwhilethepensationforallthestructures,facilitiesandequipmentofPartyBontheLeaseLandshallbelongtoPartyB.PartyAshallhavetheobligationtocoordinatetoseeklandforleaseforPartyBtorelocatePartyBsproperties. 五、甲、乙双方应共同遵守本协议各条款如有任何一方违约违约方必须赔偿对方因此所遭受的全部损失 BothPartyAandPartyBshallfollowthetermsofthisLeaseAgreement.ShouldanypartymitanybreachofthisLeaseAgreement,thebreachingpartyshallpensatetheotherPartyforalllossessosuffered. 六、本委任协议由中、英文两种文编订如果任何内容发生歧义时应以中文为准 ThisAgreementisinbothChineseandEnglish.Intheeventofanydiscrepanciesbetweenthetwolanguages,theChineseversionshallprevail. 七、本协议未尽事宜可由双方通过协商达成补充协议(补充协议与本协议具有同等法律效力)发生争议应先由双方协商解决如果协商不成任何一方均可依法向人民法院提起诉讼 Formattersnotcoveredbythisagreement,thePartiesmayreachsupplementalagreementthroughnegotiation(supplementalagreementshallhaveequallegaleffectasthisagreement).DisputesshouldfirstberesolvedbythePartiesthroughnegotiation.Incasethenegotiationfails,eitherPartymaybringlawsuitsbeforethecourt. 八、本协议经甲乙双方盖章签字经有关部门鉴证且建设项目经省发改委批准立项、省商务主管部门批准、乡(镇)人民政府同意并通过县级畜牧主管部门审核备案及县级国土部门备案后生效本协议一式六份甲、乙双方各执二份甲方主管部门一份备案一份 8.ThisAgreementwillbeeeffectiveaftertheAgreementissignedandaffixedwiththecorporatesealsbybothPartiesandauthenticatedbytherelatedgovernmentdepartmentsaswellasaftertheprojectisapprovedbytheprovincialdevelopmentandreformmissionofProvinceforprojectlistingandapprovedbytheprovincialdepartmentofmerceofProvinceandconsentedtobythepeoplesgovernmentofthetownship(town),approvedbyandfiledwiththepetentstockbreedingauthorityofthecountyandfiledwiththedepartmentofstateownedlandandnaturalresourcesofthecounty.ThisAgreementwillhavesixoriginalswitheachpartyholdingtwooriginals,PartyAssuperioragencyholdingoneoriginal,andholdingoneforfilingpurpose. 甲方：(公章)PartyA:(chop)乙方：(公章)PartyB:(chop) 代表：Representative:代表：Representative: 年月日Date:年月日Date: 附件：土地租赁补充协议LandLeaseSupplementAgreement 年月日经甲方所辖农户认同和授权甲乙双方签订了土地租赁协议书现双方同意就反腐败事项特签订本土地租赁补充协议如下： WiththeconsensusandauthorizationofthefarmerswithintheorganizationofPartyA,PartyAandPartyBhavesigned“LandLeaseAgreement”on.NowbothpartiesagreetosignthisLandLeaseSupplementAgreementonanticorruptionmattersasfollows: 甲乙双方承诺在根据土地租赁协议书和服务协议书进行活动的过程中及其与土地租赁协议书和服务协议书下的任何资产或财物有关的事项中双方将严格遵守中国反腐败和反贿赂的所有法律和规定甲方特此承诺：甲方向乙方出租土地和提供服务期间甲方不会： PartyAandPartyBmittostrictlyabidebyallChineselawsandregulationsofanticorruptionandantibriberyinthecourseofactivitiesundertheLandLeaseAgreementandtheServiceAgreementandindealingwithanyassetsorpropertyrelatedmattersrelatingtoLandLeaseAgreementandServiceAgreement.PartyAherebyspeciallymits:inthecourseofleasinglandtoPartyBandprovidingPartyBwithservices,PartyAwillnot (1)使用任何资金进行与政治活动相关的任何非法捐献、馈赠、款待或者其他非法支付或使用任何资金来影响政府机构的行为;(2)向任何外国的或国内的政府官员或者政府员工(不论全职工还是合同工)做出任何直接或间接的非法支付;(3)支付或者收取任何贿赂、好处费、影响性支付、回扣或其他不适当的款项;或(4)向任何政府官员或者政府员工做出可被视为贿赂或非法的任何其他类似的付款、馈赠或给予具有价值的任何物品 (i)useanyfundsforanyunlawfulcontribution,gift,entertainmentorotherunlawfulexpensesrelatingtopoliticalactivityortoinfluenceofficialaction;(ii)makeanydirectorindirectunlawfulpaymenttoanyforeignordomesticgovernmentofficialoremployee(whetherfulltimeorcontract);(iii)makeorreceiveanybribe,payoff,influencepayment,kickbackorotherimproperpayment;or(iv)makeanyothersimilartypepaymentsorgiftsorgiveanythingofvaluetoanygovernmentofficialoremployeethatcouldbedeemedabribeorunlawful. 此外甲方进一步承诺：甲方不将任何款项(包括但不限于甲方在土地租赁协议书和服务协议书项下所收取的包括服务费在内的任何款项)的任何部分用于违反中国法律的目的和行为不用于贿赂或者商业贿赂;在向乙方出租土地和提供服务的过程中甲方不得有任何违反中国法律的目的和行为不得存在贿赂或者商业贿赂或其他违反中国法律的行为 Inaddition,PartyAfurthermits:anypartofanyfund(includingbutnotlimitedtoanyfunds,servicefeeincluded,thatPartyAreceivesundertheLandLeaseAgreementandtheServiceAgreement)shouldnotbeusedforpurposeoractsofviolationoftheChineselaw,norshoulditbeusedforbriberyormercialbribery;inthecourseofleasinglandtoPartyBandprovidingPartyBwithservice,PartyAshouldnothaveanypurposeandactsofviolationofChineselawandshouldnothaveactsofbribery,mercialbriberyoranyotherviolationsofChineselaw. 乙方有权在土地租赁协议书约定的租赁期限内的任何时候以及该租赁期限终止或期满后的二年内的任何时候以提前二天通知甲方后检查和审计甲方的所有财务记录以确保本条款的要求得到执行如果甲方违反本条款的任何规定或存在贿赂或者商业贿赂或其他违反中国法律的行为不论本协议中有何相反规定
