摘要 自改革丌放以来，中国的经济改革的难度在逐步加深，时至今日，剩下的都 是最难啃的骨头。国有经济问题是我们所面临的最大的难题之一。由于国有经济 在中国国民经济中占据着极其重要的地位，其运行状况的好坏直接决定着或影响 着q 一闯经济的发展前景，而国有企业经营状况的好坏又与百姓生活休戚相关，因 此无论是政府要员还是平民百姓都十分关心这个问题。 i , t 划经济体制下，国有经济一统天f ，其运行状况并不理想。现在，我国正 致力j 二向社会土义i 场经济体制转变，国有经济体制上的弊端与缺陷更是显露无 疑。为了遁心i r 场经济的要求，国有经济面临重大的调整。理论界必须加强对国 有经济相关理论的研究。本文的大部分篇幅从理论层次讨论中国经济的重要组成 部分，也是最具有中国特色的国有经济。这样做并不是重理论、轻实践，而是因 为理论不仅是实践的总结和升华，而且可以服务于实践，有助于在经济转轨时期 尽可能减少实践工作的失误，是为了在目前纷繁复杂的理论争议面前，帮助人们 理清自己的思路。 国有经济需要研究的课题很多，本文仅仅是从国有资本进退战略的角度来展 开讨论。冈为恰恰是长期以来， i _ i 于对国有经济定位的失误，造成了国有经济无 所不包、无所不管，该管的没管好、不该管的管的太多。要搞好整个国有经济， 实现国有资产的保值增值，关键是要把国有资本从不需要它控制占领的领域中解 脱 n 来，投入到真币需要国有资本支持的领域中去。 本文依据公共财政理论和国家相关政策，界定了政府在经济领域的活动范围， 进而讨论了国有经济需要控制占领的领域，为国有资本的进退范围奠定理论基石。 在l i e 丛础i ：小文深入研究了国有资本的进退的方式和定价思路以及其他与国有 资本进退相关的系统。应该说，本文探讨的许多问题都是当前的热点，中国的经 济学家们在这些方面进行了细致的研究，并已经在有些观点上已趋于一致，但由 于国有经济调整和国有企业改革是开创性的工作，在很多问题上尚无定论、存在 分歧也是在所难免的。 本文共分四个部分，具体如下： 本文第部分是“导言”，在这里阐述了本文的写作意图、研究范围的界定、 国内外研究现状和研究方法。 本文第二部分是“微观层次的国有企业改革”，回顾了国有企业改革的历史进 程及改革思路、拙述了国有企业改革的现状以及前进道路上需要面临的困难。 本文第三部分是“宏观层次的国有经济的战略调整”，明确了国有经济在市场 经济中的定位。认为哪晕能发挥作用就应在哪里搞，哪里不能发挥作用或妨碍其 他更能发挥作用的经济形式发展就不要搞，只有这样才能真正有利于国有经济的 发展。为了实现这种定位，要从战略上调整国有经济布局和改组国有企业，推进 国有资产的合理流动和重组，坚持有进有退，有所为有所不为，而“有进有退” 的前提是幽仃经济的基本存在形式从国有企业转变为国有资本。 本文第叫部分是“国有资本进退的战略思想”，明确提出：国有资本的进退都 应该遵循一定的原则，即“市场无能到什么程度，政府和公共财政就应主动地相 应进到什么程度( 进入准则) ”和“市场能够成长到什么程度，政府和公共财政就 应主动地退到什么程度( 退出准则) ”。按照“国有经济要有进有退，有所为有所 不为”这一原则，从国有企业的实际出发，国有经济有进有退，当前主要以退为 主：国有经济有所为有所不为，当前主要是有所不为。但是国有资本从一般竞争 性和生产性领域退出来只能是“逐步”进行。国有资本的进退是一个系统工程。 首先国有资本进退需要一个重新构造的国有资产经营体系，即新的国资委，为了 避免既足裁判员又足运动员的现象出现，它应该设在全国人大之下，剥经营性国 有资产和北经营性国有资产进行统一管理，但对于性质不同的国有资产要区别对 待，要建立起不同的评价体系。其次尽快完善资本市场和产权交易市场，解决国 有资本退出过程中的“寻找交易者”、“定价”、“变现”、“转让”等问题。以资本 市场为舞台，以上市公司为核心，是实现国有资产战略性重组的重要方式，但对绝 大多数处。j ：改制阶段的国有企业来说，产权交易市场似乎更为重要。再其次，本 文建议在国有资本进退的过程中，应该充分发挥投资银行的作用。国内外的经验 表明，投资银行日益成为企业结构重组、产业结构调整的专家，它可以在国有资 本进退的过程中扮演着重要的角色。最后，在国有资本进退的过程中，必须面临 一个根本性问题：国有企业与职工的关系。由于国有职工不能流动，使国有资本 很难流动，而国有职工不愿意流动的根本原因就是社会保障问题。为此，必须尽 快建立起社会化、覆盖面要广、在经济上要可持续、低水平的社会保障体系。 本文第五部分是“国有资本进退的战略实施”，国有资本进退的方式值得探讨， 尤其是国有资本退出时，必然会涉及到将国有资产转让给谁的问题，事实上国有 资本转让刘象的选择是一件因企业、具体情况而异的事情，没有一个绝对的哪个 更优越哪个不优越的问题，但与职工、管理层、外商相比，相对而言民营企业 更合适。国有资本退出时的最大的难点之一，同时也是技术性的关键就是定价问 题。如何寻找出各方能接受的定价原则和具体定价方法是解决国有资本退出问题 的关键所在。如果价格过低，国有资产流失，损害全国人民的利益；如果价格过 高，则影响国有资本退出的速度，甚至根本无法退出。因此，在转让方与承受方 之间必然存在讨价还价。本文创新之一就是试图用博弈分析的方法，预测均衡结 果。并由此判断迟早还会恢复通过国内证券市场减持国有股，只不过是目前时机 不成熟，因为国有股减持方案存在子博弈精练纳什均衡解，政府与股民之间将可 以达成坍议，即能找到双方都接受的国有股减持方案。 关键词：国有经济国有企业国有资本进退战略 a b s t r a c t s i n c er e f o r ma n do p e n ，d i f f i c u l t yo ft h ee c o n o m i cr e f o r mo fc h i n ad e e p e n s g r a d u a l l y a tt h ep r e s e n td a y ，r e m a i n sa r e h a r dn u tt oc r a c k t h ep r o b l e mo f s t a t e o w n e de c o n o m yi so n eo ft h eh a r d e s td i f f i c u l t yt h a tw ea r ec o n f r o n t e dw i t h s i n c et h es t a t e o w n e de c o n o m yo c c u p i e st h em o s ts i g n i f i c a n tp o s i t i o no ft h ec h i n e s e n a t i o n a le c o n o m y ，t h a ti tr u n si nag o o do rb a ds t a t ee f f e c t sd i r e c t l yt h ed e v e l o p m e n t f o r e g r o u n do fn a t i o n a le c o n o m y t h eo p e r a t i o ns t a t eo ft h es t a t e -
