RESEARCHAGREEMENT theresearchfoundationofstateuniversityofnewyorkandsponsorr.f.account madebyandbetweentheresearchfoundationofstateuniversityofnewyork,anonprofit,educationalcorporationorganizedandexistingunderthelawsofthestateofnewyork,withitsprincipalofficeslocatedat35statestreet,albany,newyork12207(mailingaddress:postofficebox9,albany,newyork122010009),hereinafterreferredtoasthefoundation,actingonbehalfofthestateuniversityofnewyorkat,hereinafterreferredtoasuniversity,and,acorporationorganizedandexistingunderthelawsofthestateof,withitsprincipalofficelocatedat,hereinafterreferredtoassponsor. witnesseth: whereas,sponsorandfoundationhaveamutualinterestinpromotingresearchrelatedto,hereinafterreferredtoasthefield;and whereas,ofthestateuniversityofnewyorkat?hasdevelopedexpertiserelatingtothefield;and whereas,sponsorhasapprovedfundingtosupportaresearchprojectentitled,hereinafterreferredtoastheprojectwhichwillbecarriedoutby; now,thereforeinconsiderationofthepremisesandthemutualcovenantshereinaftercontained,thepartiesagreeasfollows: 1.scopeofwork thefoundationagreestouseitsbesteffortstoconductandcarryouttheprojectdescribedinthescopeofwork,exhibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement. 2.reports duringthetermofthisresearchagreement,foundationshallprovidewrittenreportstosponsorasspecifiedinexhibita. 3.pensation fixedprice a)inconsiderationofresearchservicestobeperformedpursuanttothisresearchagreement,sponsorshallmakefixedpaymentsinthetotalamountoffeedollars.?thisamountshallbepaidtofoundationuponsubmissionofinvoicesaccordingtothefollowingschedule: onexecutionofthisresearchagreement b)?aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinfortyfive(45)daysoftheinvoicedate. costreimbursable a)?infullandpleteconsiderationoffoundationsperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinaccordancewiththetermsofthisagreement,uptodollars,whichshallbespentinaccordancewiththebudgetsetforthinexhibita,attachedhereto.?reimbursementshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelow.foundationwillsubmitmonthly;quarterlyaninvoiceorvoucherofcostsincurredbythefoundationintheperformanceofthisagreementandclaimedtoconstituteallowablecosts.?promptlyafterreceiptofeachinvoiceorvoucher,sponsorshallmakepaymentthereon.page b)?aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinfortyfive(45)daysoftheinvoicedate. 4.term thisagreementshallbeeffectiveonandshallcontinuethroughunlessterminatedsoonerorextendedashereinafterprovided. 5.termination eithersponsororfoundationmayterminatethisresearchagreementatanytimebygivingthirty(30)heeventoftermination,sponsorshallreimbursefoundationforcontractualmitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchtermination,ifsuchfinancialobligationsorcontractualmitmentscannotbecanceledbythefoundation. itisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofitsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortoterminatetheagreement.?suchterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromfoundation.?foundationshallalsobeentitledtopursueanyrightsorremedieswhichfoundationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesmaybedetermined. 6.changeinprojectdirector ifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearchagreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchproject.?however,ifanotherprincipalinvestigatorsatisfactorytosponsorcannotbeagreedupon,sponsormayterminatethisresearchagreement.?intheeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisresearchagreementwhicharisefrommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthemitmentscannotbeterminatedbythefoundation. 7.proprietaryinformation itisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformation.thepartiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthoseindividualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement.page 8.publications thefoundationprojectdirectorand/orfoundationsprojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearchagreement.? 9.inventionsandlicenses a)?foundationshallholdtitletoallinventions(includingknowhow)whicharediscoveredduringtheconductofworkunderthisresearchagreementutilizingfoundationorstateuniversityofnewyorkfacilities.?saidinventionsarehereinafterreferredtoasfoundationinventions. b)?nolicenseorotherrightsinfoundationinventionsaregiventoorreceivedbysponsorexceptasspecificallyprovidedforherein. c)?foundationherebygrantstosponsoradayoptiontoacquireanexclusivelicensetofoundationinventions.thedayperiodoftheoptionshallmenceonthedateofdisclosureoffoundationinventionstosponsorbyfoundation.?shouldsponsorexerciseitsoptionunderthisparagraph,thepartiesshallnegotiateamutuallyacceptablelicenseagreement. d)?sponsoragreestoreimbursefoundationforalldirectcostsofpatentingnewtechnologydevelopedunderthisresearchagreementifsponsoracquiresrightsinsaidtechnology. e)?ifbothsponsorfacilitiesandfoundationand/orstateuniversityofnewyorkfacilitiesareusedincarryingoutworkwhichleadstoaninventionunderthisresearchagreement,thesponsorandfoundationshallholdjointtitletosaidinvention.?sponsorshallbeentitledtoexercisetheoptionandlicensingrightssetforthabovewithrespecttofoundationsinterestinsaidjointinventions. f)?inventionsmadeusingsponsorfacilitiesexclusivelyshallbelongtosponsor.? 10.assignment a)?neitherpartymayassignorotherwisetransferthisresearchagreementandtherightsacquiredhereunderwithoutthewrittenconsentoftheotherparty;thisconsentshallnotbeunreasonablywithheld.?however,sponsormayassignortransferitsinterestinthisresearchagreementaslongassuchassignmentortransferisacpaniedbyasaleorothertransferofsponsorsentirebusinessorotherbusinesstowhichthisresearchagreementrelates.apartydesiringtoassignortransferthisresearchagreementshallgivetheotherpartythirty(30)dayspriornoticeofsuchassignmentortransfer.?ifnoreasonableobjectionsareraised,thentheassignmentortransfershallbedeemedtohavebeenapproved.?however,anassignmentortransfershallnotbedeemedtobeapprovedunlessthepartytowhichthisagreementisassignedagreesinwritingtobeboundbythetermsandconditionsofthisresearchagreement.page b)?thisagreementshallaccruetothebenefitofandbebindinguponthesuccessors,assigns,heirs,andpersonalrepresentativesofthepartieshereto. 11.notice allnotices,demands,andothermunicationshereunder,exceptexchangesoftechnicalinformation,shallbedeliveredpersonallytothepartytowhichitisaddressed,ormailedtosuchpartybyregisteredorcertifiedmail,returnreceiptrequested,withpostagethereonfullyprepaid.saidnoticesshallbedeliveredtothefollowingaddresses,unlessnoticeofchangeofaddressisprovidedinwritingtotheotherparty: iftosponsor: address iftofoundation: theresearchfoundationofstateuniversityofnewyork officeofsponsoredprogramservices postofficebox9 albany,newyork?122010009 attention:?contractandgrantspecialist anynotices,demands,andothermunicationssomailedshallbedeemedtohavebeenreceivedbytheaddresseeseven(7)daysafterthetimeanddateofitsbeingsomailed. 12.bindingeffect thisagreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsorassigns. 13.governinglaw thisresearchagreementshallbeconstrued,governed,interpreted,andappliedinaccordancewiththelawsofthestateofnewyork,u.s.a.,exceptthatquestionsaffectingtheconstructionandeffectofanypatentshallbedeterminedbythelawofthecountryinwhichthepatentwasgranted. 14.modifications thisagreementmaybechanged,amended,modifiedorextendedonlybyawritingdulyexecutedbytherespectivepartieshereto. 15.severability theprovisionsofthisresearchagreementareseparable,andintheeventanyprovisionsofthisresearchagreementaredeterminedtobeinvalidorunenforceableunderanycontrollingbodyoflaw,suchinvalidityorunenforceabilityshallnotinanywayaffectthevalidityorenforceabilityoftheremainingprovisionshereof. 16.indemnification sponsorherebyagreestoindemnifyfoundationforanyclaimsoractionsthatarebroughtagainstfoundationbythirdpartiesbecauseofsponsorsuseormisuseofthereportsortechnologywhichareprovidedtospons
