A “Wet Metric Ton “means a metric ton determined on a dry basis. (FOB马来西亚主要港口，离岸价，美元信用证支付。）4.2 Unit Price (单价) : 22USD / DMT on basis of 38.00%-42.00%.（美元/干吨）4.3 Total value（总值）：2230000=660000USD4.4 Price Adjustment 价格调整The report/certificate by CIQ at unloading port on weight and quality issued at the unloading port shall be used as basis for weight and price adjustment for final payment settlement. All price adjustment will be based see below formula.最终结算将依据卸港CIQ出具的重量及质量证明，作为重量及质量单价最终结算的依据。所有价格的调整如下：1) The base price shall be increased by USD1.00/DMT for each 1pct Fe above 42% , fraction pro rata.如铁含量在42%（干燥情况下）以上，每吨基准价格将增加1美元/干吨度作为基价2）Should Fe content is below38%; buyer have the right to reject the cargo or negotiate a price which can be accepted by both parties to accept the cargo.若铁含量低于38 %，买方有权拒收或商议一双方能接受之价钱接收货品3）For Impurities因杂质If the chemical composition of the goods except Fe does not conform to the specifications mentioned. The base price shall be adjusted pursuant to the follows as final determination.基准价格将按照下列方法作为最终依据,若铁含量以外的其他化学成分未达到标准。A）If Phosphorous (P) is above 0.08%, the base price will decrease by USD0.2 /MT for each 0.01%, fractions pro rata. If phosphorous is above 0.1%, will negotiation a price to accept by both parties or buyer have the right to reject the cargo.若磷含量超过0.08%，含量每多0.01%每吨基准价格将降低0.2美元，若含量高于0.10 %,双方商议一个双方能接受之价钱或买方有权拒收。B） If Sulfur（S）is above 0.4%, the base price will decrease by USD0.2 /MT for each 0.01%, fractions pro rata. If Sulfur (S)I s above 0.5%, will negotiation a price to accept by both parties or buyer have the right to reject the cargo.若硫含量超过0.40%，含量每多0.01%每吨基准价格将降低0.2美元，若含量高于0.5 %,双方商议一个双方能接受之价钱或买方有权拒收。C）If SiO2 is above 5.50% upto 8.00%,the base price will be decrease by USD0.2 /MT for each 1%, fractions pro rata，If SiO2 is above 8.00%, will renegotiate for a price can be accepted by both parties or buyer has the right to reject the cargo.若二氧化硅含量超过5.50%直到8.00%，含量每多1%每吨基准价格将降低0.2美元，若含量高于8.00%,双方商议一双方能接受之价钱或买方有权拒收。D ) If Al2O3 is above 1.00% upto4.50%, the base price will decrease by USD0.2 /MT for each 1%, fractions pro rata，If Al2O3 is above 4.50%, will renegotiate for a price can be accepted by both parties or buyer has the right to reject the cargo. 若三氧化二铝含量超过1.00%直到4.50%，含量每多1%每吨基准价格将降低0.2美元，若含量高于4.50 %,双方商议一双方能接受之价钱或买方有权拒收。CLAUSE 05: PAYMENT TERMS 付款条款5.1 After signing the contract, buyer issued a 100% irrevocable, transferable letter of credit at sight to the seller. After the cargo arrived in discharge port, the seller provides all of payment documents for telex release to the buyers bank (documents showed in the term9.1-9.6). After receiving the documents，the buyers bank must pay the total value of the goods according to the qualified inspection results of China CIQ within 3 day. If the settlement value is higher than the amount of L/C for payment, buyer will pay the balance by T/T at the same day.在合同签订后，买方开据100%不可撤销可转让的即期信用证给卖方。货物到港后，卖方提供全部解付文件电放至买方银行（条款9.1-9.5所述文件），买方银行收到单据后，根据中国CIQ的检验结果在3天内（条款9.6）解付100%货款。若结算货值高于信用证解付金额则于当日以T/T方式支付余款。CLAUSE 06: PERFORMANCE BOND GUARANTEE 履约保函6.1 The Seller opened 2% performance bond guarantee of total value of goods to the Buyer within 3 days after receipting application list of L/C from Buyer. Activation of the L/C within three days after the buyer received the 2% PB. 卖方在收到买方开具信用证申请的3日内，支付货物总值2%的履约保证金给买方。买方收到保函后的3日内激活信用证CLAUSE 07: WEIGHTING 重量测定7.1 At loading port, the Seller shall, at Sellers expenses, appoint MALAYSIA local authoritative inspection institution to determine the weight of shipment cargo by draft survey in accordance with latest ISO standards at the same time. 在装货港，卖方应承担委任马来西亚当地国际权威检测机构的费用，根据最新ISO标准初步检测来确定货运重量。7.2 At discharging port, the Buyer shall, at Buyers expenses apply the China Inspection Company for weighing. The weight thus determined by CIQ in China shall be final. 在卸货港，买方应承担中国检测机构提供重量检测的费用。以中国检测机构CIQ检测的重量做为最终结算依据。CLAUSE 08: SAMPLING AND INSPECTION 抽样和检验8.1At loading port, seller shall is required to provide a quality inspection report as a basis of preliminary reference for quality of the goods.在装货港，卖方须出示一份品质检测报告作为货物品质的初步参考依据。8.2 At discharge port, the Buyer shall, at Buyers expenses; China CIQ does a sampling for determined the actual quality and the result of China CIQ as a final settlement basis. 在卸货港，由中国CIQ取样检测（费用买方承担），该检测结果作为最终结算依据。8.3 Whether in the port of loading or port of discharge, if the inspection report shows that the samples containing moisture; final settlement should be deducted the content of water; settle on a dry basis. 不论在装货港或是卸货港，若检测报告中显示样品含水分；则最终结算须扣除水分，以干基结算。CLAUSE 9: SHIPPING DOCUMENTS FOR PAYMENT 支付所需提交的装运单据9.1 Commercial Invoice in 3 Originals and 3 copies indicating Contract number, L/C number, B/L number, unit price.商业发票正副本各3份，注明合同号，信用证号，提单号，单价。9.2 Full set (3/3) of clean shipped on-board Ocean Bill in 3 Originals and 3 copies signed by seller. 卖方签发的整套（3/3）清洁可装船海运提单正副本各3份。9.3 Certificates of Quality, Quantity, issued by local inspection organization at loading port in1 original and 2 copies. 由装货港当地检测机构签发的数量和质量证书正本各一份，副本各两份9.4 Certificate of Origin in 1 original and 2 copies原产地证书原件一份，副本二份。9.5 Packing List, showing Total Weight, Containers No., Contract Number and L/C Number in 1 Originals and 3 copies. 装箱单，注明总重量、箱号、合同号和信用证号，原件一份，副本三份。9.6 Certificates of Quality issued by Chinese Inspection Organization of CIQ.中国CIQ颁发的品质合格检测证书正副本各1份。CLAUSE 10装运条款（Terms of Shipment）10.1The Seller shall, 30days before the contracted date of shipment, advise the Buyer by cable or letter of the contract number, name of commodity, quality, value, gross weight and date of readiness at the port of shipment for the Buyer to book shipping space. The Seller shall be liable for any dead freight or demurrage, should it happen that they have failed to have the commodity ready for loading after the carrying vessel has arrived at the port of shipment on time. The Seller shall bear all expenses and risks before the commodity passes over the vessels rail and is released from the tackle. After it has passed over the vessels rail and is released from the tackle, all expenses and risks shall be in Buyers account.卖方于合同规定的装运日期前30天，用电汇或信件将合同号、品名、数量、价值、毛重、和货物抵装运港日期通知买方，以便买方租船订舱。如承运船如期抵达装运港，卖方因备货未妥而影响装船，则空舱费和滞期费均由卖方承担。货物超过船舷并从吊钩卸下前，一切费用和风险由卖方承担；货物超过船舷并从吊钩卸下，一切费用和风险由买方承担。10.2The Buyers shipping agent (China Ocean Shipping Agency) shall send to the Seller notice indicating the name of vessel, estimated date of loading and contract number for the Seller to arrange shipment 10 (ten) days before the estimated date of arrival of the vessel at the loading port. The Seller is requested to get in close contract with the shipping agent. When it becomes necessary to change the carrying vessel or to advance or delay the arrival date, the Buyer or the shipping agent shall advise the Seller in time.买方船运代理（中国外轮代理公司）预计船抵达装运港10天之前，将船名、预计装货日期、合同号等通知卖方，以便卖方安排装运。要求卖方与船运代理保持密切联系。当需要更换承运船只及船只提前、推迟抵达时，买方或其船运代理应及时通知卖方。10.3 The buyer dispatch vessel arrived in MALAYSIA port of loading, the seller must have a spare berth for port when the vessel reaching the anchorage, otherwise caused by the vessel demurrage charges by the seller. The seller shipped the goods described in the agreement from the loading yard to loading yard, he is responsible for arranging workers to operate cabin lifting equipment and implement loading procedures, until the goods into the cargo cabins effectively.买方派船抵达马来西亚 港装货，卖方必须确定船只到达锚地时有空余的泊位可靠港，否则所造成船只的滞期费由卖方承担。船只靠港后的12小时内开始装货。由卖方将合同所述货物从堆场运抵装货码头实施装货，并负责安排工人操作船舱起吊设备、直至货物顺利进入船舱，完成装货程序。10.4 Loading Rate: 8000 tons per sunny working day, including Sundays and holidays. 装货率：8000吨每晴天工作日，包括星期天和节假日。CLAUSE11: FORCE MAJEURE 不可抗力11.1 The Force Majeure Clause of the ICC Standard shall apply to this Contract. 国际贸易标准中的不可抗力条款应适用于本合同。11.2 If and any time during the existence of this contract either party is unable to perform whole or in part any obligation under this contract because of war, hostility, military operation of any character, civil commotions, sabotage, quarantine restriction, acts of Government, fire, floods, explosions, epidemics, strikes or other labor trouble, embargoes, then the date of fulfillment of any obligation shall be postponed during the time when such circumstances are operative. 如果在任何时间，本合同存在的任何一方不能履行合同条款是用于以下因素引起的，如：战争，敌对，军事行动，民间骚乱，破坏，检疫限制，政府行为，火灾，水灾，爆炸，疫症，罢工或其他劳工麻烦，禁运，履行义务的日期应推迟直到这样的情况被解决。11.3 Any waiver / extension of time in respect of the delivery of any installment or part of the goods shall not be deemed to be waiver / extension of time in respect of the remaining deliveries. If operation of such circumstances exceed one and half month, either party will have the right to refuse further performance of the contract in which case neither party shall have the right to claim eventual damages. The party which is unable to fulfill its obligations under the present contract within 15 days of occurrence of any the causes mentioned in this clause shall inform the other party of the existence of termination of the circumstances preventing the performance of the contract. Certificate issued by a Chamber of Commerce or any other competent authority connected with the cause in the country of the seller or the buyer shall be sufficient proof of the existence of the above circumstances and their duration. Non-availability of material and non-availability of export license will not be an excuse to Seller for not performing his obligations under this contract. 任何在剩余交付方面的豁免/任何分期或部分货物交付时间延长不得被视为放弃/时间的延长。如果这样的情况下运作超过一个半月，任何一方都有权拒绝继续履行合同，在这种情况下，任何一方有权要求最终损害。根据本合同无法履行其义务的一方必须在发生在本条款中提到的任何原因所照成终止履行合同的情况的15天内告知对方。由商务部或任何其他当局在卖方或买方国颁发的证书，应足以证明存在上述情况及其持续时间。无效材料和非出口许可证不作为不履行本合同项下义务的借口。11.4 Buyer shall be responsible for obtaining any import license and / or quotas required at final destination and failure to obtain such license and / or quotas shall not constitute force majeure. 买方应负责取得在最终目的地的任何进口许可证和/或配额，未能获得此类许可证和/或配额应不构成不可抗力。CLAUSE 12: Claim and Late delivery and Penalty索赔及迟交货与罚款12.1 The buyer shall make a claim against the Seller（including replacement of the goods）by the further inspection certificate and all the expenses incurred therefore shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within15days after the Seller received the Buyers claim.买方凭其委托的检验机构出具的检验证明书向卖方提出索赔（包括换货），由此引起的全部费用应由卖方负担。若卖方收到上述索赔后15天未予答复，则认为卖方已接受买方索赔。12.2 Should the Seller fail to make delivery on time as stipulated in the Contract，with the exception of Force Majeure causes specified in Clause 11 of this Contract，the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at 0.1% for every 3 days，odd days less than 3 days should be counted as 3 days. But the penalty，however，shall not exceed 5% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery 30 days later than the time of shipment stipulated in the Contract，the Buyer shall have the right to cancel the Contract and the Seller，in spite of the cancellation，shall nevertheless pay the aforesaid penalty to the Buyer without delay.The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any. 除合同第11条不可抗力原因外，如卖方不能按合同规定的时间交货，买方应同意在卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每3天收0.1%，不足3天时以3天计算。但罚款不得超过迟交 货物总价的5 %.如卖方延期交货超过合同规定30天时，买方有权撤销合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。买方有权对因此遭受的其它损失向卖方提出索赔。CLAUSE 13: ARBITRATION 仲裁13.1 Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached，the dispute shall be submitted to China International Economic and Trade Arbitration Commission（CIETAC），SHANGHAI Commission，for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.凡因本合同引起的或与本合同有关的任何争议应协商解决。若协商不成，应提交中国国际经济贸易仲裁委员会上海分会，按照申请时该会当时施行的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。CLAUSE 14: CONFIDENTIALITY保密14.1 The terms of this Contract and the cargo details and results are confidential except as agreed between the parties which consent shall not be unreasonably withheld.
