DIRECTOR AGREEMENTThis agreement (the “Agreement”) entered into on _(Agreement Date), together with all attached schedules and exhibits, shall constitute the terms and conditions of the agreement between Independent Film Partners LTD (the “Company”) and _(the “Director”), an independent contractor.1.Service.Company hereby engages Director to rendering directing and editing services to Company during the Term hereof. Director will render such services when, where and as reasonably agreed upon by both the company and the Director. The services to be rendered by Director hereunder include directing, and editing and any other services agreed upon by both parties.1.AAny services required of the director from the company must be negotiated with one weeks notice prior to expected date of delivery. 2. Term:(a) Initial Term: This Agreement will commence on _and will terminate _(“Initial Term”), unless sooner terminated, suspended or extended in accordance with the terms provided for herein.(b) Extended Term: Company will give notice to the Producer in writing if the services of the Producer are extended. The Initial Term and the Extended Term, to the extend exercised and in effect, are collectively referred to herein as the “Term.”3. Exclusivity: During the Term, the Director agrees to render his/her services for the purposes of the Series Pilot entitled “Dare 2 Challenge”. However it is understood by the company and the director that if the director shall receive other directing opportunities during the term of this agreement, then both parties will co-ordinate an acceptable schedule to complete the series pilot “Dare 2 Challenge”.4. Compensation:(a) For the purpose of the Pilot, the director shall receive ownership stock in a corporation set up to own the said Pilot in a reasonable amount that equals to _for the compensation of script writing, directing and post editing. The Director shall receive no other compensation other than that stated above. Compensation:Director will be entitled to receive additional compensation if he or she agrees to further involve in any other episodes. (b) The director requires from the company a progress report in writing to determine the success or failure of the pilot named “Dare 2 Challenge”.(c) The director shall be entitled to compensation agreed upon by both parties in the event that the company dissolves its current business name and registers a new corporation, partnership or proprietorship in Canada, USA or any other country.(d) Compensation for any future episodes shall be paid to the director in cash,In the amount agreed upon by both parties, the producer and director, before any services are rendered.5. Credit: Subject to Companys right as s set forth in this Agreement, in the event of Directors death, disability, default or an event of force majeure, Company will accord Director an on-screen credit as Director, as the case may be. If Director creates a story for an episode, subject tot he requirements of the Writers Guild of America Basic Agreement, Director will receive “Story by” credit on such episode. All other matters with respect to such credits will be within Company sole discretion. No casual or inadvertent failure to comply with the provisions of this Paragraph 6, nor any failure by their parties to comply with their agreement with Company, will constitute a breach of this Agreement by Company.6.Name and Likeness:Company and its successors, licensees and assigns will have the non-exclusive and perpetual right, but not the obligation, to use and license the use of Producers name, photograph, approved likeness and biographical data (“Name and likeness”) for the following: (a) in billing and credits with respect to any series produced during the Term: (b) in publicizing Directors services hereunder or the results and proceeds of all Directors services hereunder in connection with any series produced running the Term, which right may be exercised by Company or any distributor, network, sponsor, advertising agency or licensee of exhibition rights in the series; (c) in connection with the publication or other exploitation of ancillary products derived from any series produced hereunder, and (d) in connection with all publicity related to the series and the general business of Company. Producer will give prior notice to and coordinate with Company any and all publicity and interviews in connection with Producers services he
