A business contract is an agreement, enforceable by law, by which two parties _mutually_ promise to buy or sell some particular thing, or to do certain work.2. There is the _implied_ contract, the terms of which are not fully expressed, but are according to the law and fully understood by both parties.3. Detailed contracts are those _formal_ written contracts with all the necessary details concerned name of commodity, stipulations, packing and shipping marks, etc.4. Documents required under a letter of credit usually include _a bill of lading_ insurance policy or certificate and commercial invoice.9. An irrevocable cannot be amended or canceled without the _consent_ of the beneficiary, the issuing bank and the confirming bank (if any).10. The most commonly used type of credit is the _sight credit_.11. Under a _deferred payment credit_ the beneficiary does not receive payment when he presents the documents, but at a later date specified in the credit.12. Standby credits are used _ principally _ in the US, where they take the place of guarantees which under the laws of most US states may not be issued by banks.13. A transferable credit enables a _minddleman_ who is receiving payment from a buyer under a documentary credit to transfer his claim under that credit to his own supplier.14. Assignment under a credit requires a relationship of _trust_ between the supplier and the middleman.15. Goods travelling to another country must be insured against loss or damage at each stage of their journey, so that whatever mode of transport is being used, neither the exporter nor the customer suffers any _loss_.16. Under a CIF contract, the exporter takes out ocean insurance even though his ownership and responsibility for loss or damage ends when the goods have been placed on the vessel_.17. Insurance can be arranged by an insurance _broker_ or an insurance company.18. An insurance policy defines its coverage in terms of the nature and _extent_ of the loss or damage, and the collections under which it occurs.19. While, in principle, the FPA coverage is for total loss of the insured cargo only, in certain specified circumstances partial loss or damage is likewise_ answerable by the insurer.20. All insurance policies also carry the implied conditions that the assured must follow the generally established trade usages for the particular product, and that he will not _contribute to _ the loss through willful fault or negligence.22. Payment may not be _forthcoming_ until the voyage is completed, so the exporter may cover the shipment with his own contingency insurance and then claim if there is a loss.23. The exporter is under the obligation to observe the contract stipulations and _carry out_ an inspection of the export goods as required.24. The guarantor is liable to the beneficiary only in accordance with the terms and conditions specified in the guarantee and these Rules and up to an amount not _exceeding_ that stated in the guarantee.18. _In the case of _ a repayment guarantee, the last date is deemed to be six months from the date specified in the contract for delivery or completion or any extension thereof.19. If no claim has been received the guarantor on or before the expiry date or if any claim arising under the guarantee has been settled in full satisfaction of all the rights of the beneficiary thereunder, the guarantee ceases to be _valid_.20. A tender guarantee also ceases to be valid in the event of the beneficiary expressly declaring that he does not _intend_ to place a contract.21. A claim under a guarantee shall be made in writing or by cable or telegram or telex to be received by the guarantor not later than the expiry date _specified_ in the guarantee or provided by the Rules.22.
