DANDY FUTURES TECH LLCTRADING AGREEMENT AND APPLICATIONDFTT客户交易协议书TERMS AND CONDITIONS FOR THE SERVICES交易条款和条件DFTTtech llc (hereinafter called “DFTT”) will offer services strictly under the following terms and conditions, which are non-negotiable and will be amended only with proper notice to counterparty (hereinafter called Client) by DFTT alone and under the provisions of Term 10 below. DFTT金融集团（以下简称“DFTT” ）将严格按照以下条款和条件提供的服务。这些条款和条件是不可转让的。只有在妥善通知对方（以下简称“客户” ）的情况下，由DFTT按照以下第10条规定进行修改。Client has read, understood and accepted all information on the DFTTs website www. (hereinafter called the main website) clearly and publicly stated, available to all Clients including the Legal Information. DFTT reserves the right to register and operate other relevant websites for marketing and promotional purposes to specific countries which contain information and disclosures to clients and prospective clients in any language other the English language. Client accepts and understands that DFTTs official language is the English language and should always read and refer to the main website for all information and disclosures about DFTT and its activities. By signing the following terms and conditions, Client enters into a legal and binding agreement with DFTT.客户已阅读，理解并接受所有在DFTT的网站（以下简称“主要网站” ）的资料。这些资料都是明确和公开，提供给所有客户，并且包括法律信息。DFTT保留根据在特定国家的营销和促销需求而注册不同于英语语言的网站的权利。客户接受和理解，DFTT的官方语言是英语和应始终阅读和参考主要网站的所有披露有关DFTT及其活动的信息。签署了以下条款和条件，客户与DFTT订立有法律约束力的协议。1. Provision of Services服务范围规定1.1 The Investment Services to be provided by DFTT to Client are the following: DFTT提供客户投资的服务如下：A. Execution of Orders in relation to transactions having as an object one or more of the following financial instruments:A.执行涉及以下金融商品交易的订单：Contracts for Differences (CFD) on Spot FOREX, equities, precious metals, future contracts and any other trading tools. 外汇，美国股票，黄金白银，期货等商品的差价合同。DFTT reserves the right to offer the Financial Instruments on any underlying security it considers appropriate. DFTTs main website will be the primary means of presenting the underlying security on which DFTT will offer the Financial Instrument of CFD and the Contract Specification for all and each of them. DFTT reserves the right to modify the main website at any time upon written notice given to the client on these modification s and Client agrees to continue to be bound by this agreement and the modified Contract Specifications. DFTT有权利提供与证券或者投资商品有关的，有升值潜力的衍生性金融投资产品。DFTT主要通过网站提供关于证券或者投资商品以及于它们有关的差价合同的所有信息，包括投资种类和特征。DFTT有权在任何时候修改主要网站以及投资产品类型，对这些修改以书面形式通知客户，而且同意并接受修改后的投资产品交易受本协议约束。B. Foreign Exchange Service provided these are connected with the provision of Investment Services.B.外汇交易服务属于投资服务的范围。1.2 Client acknowledges that the Services do not include the provision of investment advice. Any investment information as may be announced by DFTT to the Client does not constitute investment advice but aims merely to assist him in his investment decision making. No information provided by DFTT shall be deemed as an assurance or guarantee on the expected results of any transaction. Client agrees and acknowledges that he is solely responsible for any investment strategy, transaction or investment, composition of any account and taxation consequences and he shall not rely, for this purpose on DFTT. It is also understood and accepted that DFTT shall bear absolutely no responsibility, regardless of the circumstances, for any such investment strategy, transaction, investment or information. 客户理解投资建议不属于DFTT的服务范围。DFTT提供给客户的投资信息并不是帮客户作出投资决定的建议。DFTT提供的任何信息不保证任何投资结果。客户同意并理解他本人对所有投资策略，投资交易或者相关的税务事宜全部负责，DFTT不承担任何责任。客户理解并接受，无论任何情况，DFTT对客户的投资策略，投资交易和信息不负任何责任。2. Assurances, Guarantees and Coverage安全协议 Client states, affirms and guarantees that: 客户声明，确认和保证：A) Whatever money handed over to DFTT belongs exclusively to the Client, free of any lien, charge, pledge and any other encumbrance, being no direct or proceeds of any illegal act or omission or product of any criminal activity.A)客户转入DFTT交易平台的交易所资金属于客户本人，不需要任何留置权、抵押、质押和其他形式作为担保。但这些资金不能属于任何非法行为交易的直接或者间接性收益。B) He acts for himself and not as a representative or a trustee of any third person, unless he has produced, to the satisfaction of DFTT, a document and/or powers of attorney enabling him to act as representative and/or trustee of any third person; 除非有DFTT认可的书面证明或者授权书，客户不能充当第三方代表或者委托人。客户只能代表自己本人。 Client agrees and understands that DFTT reserves the right to refund/send back to the remitter(or beneficial owner) any amounts received under sections A) and B) of this paragraph, having sufficient proof that these amounts are direct or indirect proceeds of any illegal act or omission or product of any criminal activity and/or belong to a third party and the Client has not produced sufficient excuse for that, and consents that DFTT may reserves any or all types of previous transactions performed by the Client in any of his trading accounts and terminate the agreement under paragraph 11.4. DFTT reserves the right to take any legal action against the Client to cover itself upon such an event and claim any damages caused to DFTT by the Client as a result of such event.客户同意和理解，当有足够证据证明款项是任何非法行为或不良行为或产品的直接或间接性收益，和/或属于第三方，而客户没足够的理由解释，DFTT保留权利退款/送回汇款人（或客户本人）所收到的在A）和B）中任何款项。客户同意DFTT可保留任何或所有客户在交易账户里执行的所有交易记录并且根据条款11。4，终止本协议。DFTT有权采取任何法律行动解决以上事件，并且要求客户支付因这些事件造成DFTT的所有损失。 Client understands and accepts that all transaction in relation to trade in any of the Financial Instruments in paragraph 1.1, above, will be performed only through the Trading Platform provided by DFTT and the Financial instruments are not transferable to other Trading Platform whatsoever.客户了解并接受，所有交易的商品只能是交易平台上所提供的商品（详见第1.1段）并且只能通过DFTT提供的交易平台交易。Client guarantees the authenticity and validity of any document handed over by the Client to DFTT.为了确保客户的真实和有效性，客户必须交给DFTT带相片的身份证或其他有法律确认的相关文件，3. Electronic Trading电子交易By signing this Agreement, Client is entitled to apply for access codes, within DFTTs electronic system, in order to be able to give orders for the purchase or sale of Financial Instruments with DFTT, through a compatible personal computer of Client, connected to the internet.通过签署这个协议，客户有资格申请交易帐号。客户只需通过兼容的个人电脑的客户端连接到互联网在DFTT平台的交易系统内进行商品交易买卖。Client acknowledges and understands that DFTT reserves the right, at its discretion, to terminate Clients access to DFTTs electronic systems or part of them in order to ensure the effective and efficient operation of its systems and protect the interests of all its Clients and its own. In such case, DFTT may close any or all trading accounts of Client under paragraph 11.3.客户承认并且理解，为了保证DFTT系统的有效性和高效率的操作以及保护所有其它客户的利益，DFTT有权利终止客户登陆部分或者全部电子系统。在这种情况下，DFTT可能根据条款11.3关闭客户任一或所有交易账户。Client agrees and states that he will keep in a safe place the access codes and not reveal them to any other person. He will not proceed and avoid proceeding in any action that could probably allow the irregular or unauthorized access or use the Electronic System. Client will make all necessary efforts to keep his access codes secret and known only to him. Also, Client will be liable for all orders given through and under his access codes and any such orders received by DFTT will be considered as received by Client. In case where a third person is assigned as an authorized representative to act on behalf of Client, Client will be responsible for all orders given through and under the representatives access codes. Client undertakes to notify DFTT immediately if it comes to his attention that his access codes are being used unauthorized. 客户同意并且声明，他将保存登陆密码在一个安全的地方和不会透露给其他人，且避免不规则登陆或使用交易系统的行为。客户将尽一切努力保护自己的帐号秘密。此外，客户将承担所有通过登陆进入电子系统而卖买的订单。在第三人被指定作为一个授权代表对客户帐号进行交易的情况下，客户将负责授权代表买卖的所有交易订单。如果客户发现他的交易密码未经授权正在使用，他应立即通知DFTT。Client acknowledges that DFTT bears no responsibility if unauthorized third persons have access to information, including electronic addresses, electronic communication and person data, when the above are transmitted between Client and DFTT or any other party, using the internet or other network communication facilities, telephone, or any other electronic means.客户理解，在客户于DFTT利用互联网或其他网络通讯设备，电话等任何其他电子手段进行沟通的过程中，如果未授权第三方进入系统窃取包括个人电邮地址、电子通讯等信息，DFTT不负任何责任。Client acknowledge that DFTT will not take action based on orders transmitted to DFTT using electronic means other than those orders transmitted to DFTT using the predetermined electronic means. Client agrees to use software program developed by third parties including but not limited to the generality of those mentioned above, browser software that supports Data Security compatible with protocols used by DFTT. Moreover, Client agrees to follow the access procedure (login) of DFTT for Electronic Services that support such protocols.客户理解，除了使用指定的电子系统执行交易，DFTT将不会使用其它电子系统执行交易。客户同意如果使用由第三方设计的软件程序，必须经得DFTT的同意并且支持DFTT数据安全系统。客户同意遵照DFTT的电子登陆操作使用以上软件程序。DFTT is not an Internet Service Provider nor is responsible for any electricity failures that prevents the use of the system and cannot be responsible for not fulfilling any obligations under this agreement because of the internet connection or electricity failure. DFTT不是一个互联网服务供应商，对因电力故障而造成不能使用该系统不负任何责任。也不对因为互联网连接或电力故障而未履行或者完成本协议规定义务负任何责任。4. Orders订单4.1 DFTT will reserves the right, at its discretion, to confirm in any manner the instruction and/or Orders and/ or communications sent through the Communication System. Client accepts the risk of misinterpretation and/or mistakes in the instructions and/or Orders sent through the Communication System, regardless of how they have been caused, including technical and/ or mechanical damage. Client has the right to authorize a third person to give instructions and/or orders to DFTT or to handle any other matters related to this agreement, provided that Client has notified DFTT in writing, of exercising such a right and that this person is approved by DFTT fulfilling all of DFTTs specifications for this. Unless DFTT receives a written notification from Client for the termination of the said persons authorization, DFTT will continue accepting instructions and/or orders given by this person on behalf of Client and the Client will recognize such order as valid and committing. The above written notification for the termination of the authorization to a third party has to be received by DFTT with at least two days notice. Once Clients instructions or Orders are given to DFTT, they cannot be revoked. Only in exceptional circumstances DFTT may allow Client to revoke or amend the relevant instruction or Order. DFTT has the right to proceed to a partial execution of Clients Orders.DFTT对通过交易系统的以任何方式的指示/或下单/或信函的确认保留其自裁权。不论导致误解和错误的原因，包括技术上或是机械上的原因，客户接收通过交易系统发出的指示下单有误解或错误的风险。客户以书面形式通知DFTT并经得DFTT同意，客户有权授权第三人发出指示/或交易的订单或处理任何本协议规定的其他相关事项。除非DFTT收到客户书面通知终止该人的授权，否则DFTT将继续接受此人代表客户给予指示/或订单，并将承认这种秩序是客户确认有效和承诺。DFTT得到上述书面终止授权给第三方的通知，至少二个工作日后生效。DFTT一旦接受客户指示或下单，他们不能被撤销。只有在特殊情况下DFTT才允许客户撤销或修订有关指示或下单。DFTT有权部分执行客户的订单。4.2 The transaction (opening or closing a position) is executed at the Bid/Ask prices offered to Client. Client chooses desirable operation and makes a request for the transaction confirmation by DFTT. The transaction is executed at the price Client can see on the screen. Due to the high volatility of the markets during the confirmation process the price may change, and DFTT has the right to offer Client a new price. In the event DFTT offers Client a new price the Client can either accept the new price and execute the transaction or refuse the new price, thus cancel the execution of the transaction. 交易（开仓或平仓的状态）是按照为客户提供的“买入” / “卖出”价格执行。客户选择理想的操作时机下单并要求DFTT提供交易确认。客户可在屏幕上看到该交易实现的价格。由于市场波动性大，在确认过程中价格可能会有少许改变，DFTT有权提供客户新的价格。客户可以选择接受DFTT提供的新价格和执行交易，或者选择拒绝新的价格，并取消执行交易。4.3 Client, using electronic access, can give only the following orders of trading character:客户通过交易平台，可以采取以下方式进行交易：A) Open-to open a position;开仓-开仓的状态 ;B) Close-to close an open position;平仓-平仓状态C) To add, remove, edit orders for Stop Loss, Take Profit, Buy limit, Buy Stop, Sell limit, Sell stop. 添加、删除、修改订单、止损，获利，购买限制，停止购买，销售限价，销售停止。Anyother orders are unavailable and are automatically rejected. The confirmed open or closed position cannot be cancelled by Client. Orders can be placed, executed, changed or removed only within the operating (trading) time. Clients order shall be valid in accordance with the type and time of the given Order, as specified if the time of validity of the order is not specified, it shall be valid for an indefinite period.不存在其他的交易形式并且会自动拒绝。客户不能取消已经确认的开仓或平仓。订单只能在操作（交易）的时间内可以买卖、生效、变更或删除。客户的订单应根据相应的类型和时间生效，如指定订单没有指定的有效时间，它无限期地有效。4.4 DFTT shall not be held responsible in the case of delays or other errors caused during the transmission of orders and/or messages via computer, as well as for damage which may be caused by the non validity of securities, or a mistake in the bank account balance of Client. DFTT shall not be held responsible for information received via computer or for any loss which Client may incur in case this information is inaccurate.DFTT将不负责订单或邮件由于电脑传输过程中导致的拖延或其它错误以及因证券非有效性造成的损失，客户银行帐户余额的错误。DFTT不负责因通过互联网收到的信息不准确而造成的损失。4.5 DFTT reserves the right to change the opening/closing price and/or size and/or number of the related transaction (and/or the level and size of any Sell Limit, Sell Stop, Buy Stop order) incase of any underlying asset of the CFD becomes subjectto possible adjustment as the result of any event set out in Clause 4.7 below (hereinafter called a Corporate Event).在与差价合同相关的投资资产因条款4。7的因素（以下称为“企业事件“）需要调整时，DFTT有权更改开仓/平仓/或仓量/或相关的交易数量（或数量和规模的出售限价，停止销售，限制订单）。4.6 While a Client has any open positions on the ex-dividend day for any of underlying asset of the CFD, DFTT reserves the right to close such positions at last price of the previous trading day and open the equivalent volume of the underlying security at first available price on the ex-dividend day. In this case DFTT has to inform Client by internal mail in trading terminal about the possibility of such actions not later than the closing of the trading session prior to the ex-dividend day.如果客户持有与证券有关的差价合同，而且证券有分红，DFTT有权以分红前一天的交易价格平仓。然后在分红当天以最早的价格重新入同样数量的仓。如果这种情况发生，DFTT需要交易系统通知客户分红前一天需要平仓的可能性。4.7 Corporate Event are the declarations by the issuer of the underlying asset of the CFD of the terms of any of the following but not limited to:“企业事件”是由跟差价合同有关的投资产品的发行人宣布的以下事件：A) a subdivision, consolidation or reclassification of shares, a share buy-back or cancellation, or a free distribution of shares to existing shareholders by way of a bonus, capitalization or similar issue;机构分支，合并或股票重新分类，股票回购或取消，或免费向现有股东股份的发放红利，资本或类似的发放。B) a distribution to existing holders of the underlying shares of additional shares, other share capital or securities granting the right to payment of dividends and/or proceeds of liquidation of the issuer equally proportionately with such payments to holders of the underlying shares, rights or warrants granting the right to a distribution of shares or to purchase, subscribe or receive share, in any case for payment ( in cash or otherwise) at less than the prevailing market price per share as determined by DFTT;分配给现有股东的基本股额外股份，其他股份或证券的权利给予支付红利/或清算收益发行同样与这种付款比例持有的股份，权益或认股权证的权利给予分配股份或购买，订阅或接收份额，在任何情况下，DFTT确定将支付（现金或其他方式）低于市场的每股价. C) any other event in respect of the shares analogous to any of the above events or otherwise having a diluting or concentrating effect on the market value of the shares.任何其他关于股份并且类似上述任何事件或其他具有增加或者减少股票分配额的时件。4.8 Orders: Stop Loss, Take Profit, Buy Limit, Buy Stop, Sell Limit, Sell Stop on CFD contracts are executed at the declared by Client price on the first current price touch. DFTT reserves the right not to execute the order, or to change the opening (closing) price of the transaction in case of the technical failure of the trading platform, reflected financial tools quotes feed, and also in case of other technical failures.订单：差价合约的止损，获利，购买限价，停止购买，销售限价等价格是以客户最先要求的价格执。如果交易平台在出现技术错误包括报价系统出错或者其它技术性错误，DFTT有权不执行客户的交易指令，或者修改仓位的指示。4.9 Under certain trading conditions it may be impossible to execute orders (Stop Loss, Take Profit, Buy limit, Buy Stop, Sell Limit, Sell Stop) on any CFD contract at the declared price. In this case, DFTT has the right to execute the order or change the opening (closing) price of the transaction at a first available price. This may occur, for example, at times of rapid price movement if the price rises or falls in one trading session to such an extent that under the rules of the relevant exchange, trading is suspended or restricted. Or this may occur in the trading session start moment. So as a result, placing a stop-loss order will not necessarily limit your losses to the intended amounts, because market conditions may make it impossible to execute such an order at the stipulated price. 在某些条件下，无法按要求的价格执行差价合同交易指示（止损，获利，购买限制，停止购买，销售限价，销售停止）。在这种情况下，DFTT有权按最先有效的价格执行或更改交易指示。影响以上情况发生的因素有：有时价格快速变动，在一些交易市场，由于价格快速变化，交易会被暂停或限制；交易市场刚开始开市交易时。因此，止损挂单不一定会控制预期的损失金额。因为市场情况不允许按设置的价格执行交易指示。4.10 Client may submit to DFTT in writing about his objection to the execution or the non execution or the mode of execution of a transaction and/or Order concluded on his behalf within two working days from the conclusion of the transaction. Otherwise the transaction will be considered valid and binding for Client.客户可以在两个工作日内书面形式向DFTT表示对已执行指示或不执行的交易指示或是指示执行的方式有异议。否则客户的交易将被视为有效和有约束力订单。4.11 Client agrees and realizes that all conversations/ communications between Client and DFTT can be recorded on magnetic, electronic and other carriers. Client further agrees that DFTT has the right to use these records as evidence in case any dispute arises
