Thecertificatesshallformanintegralpartofthecommoditydelivered.However,thecertificatesshallnotbeconsideredasfinalinrespectofquality,pecification,performanceandquantity/weight.在交货之前，卖方应对产品的质量规格、性能和数量重量进行精确和全面的检查，并出具证明产品与本协议规定相符的证明书，此证明书构成交货不可分割的一部分，但不得作为产品的质量、规格、性能和数量、重量的最终检验依据。7.2Afterdischargingofthegoodsattheportofdestination.BuyershallapplytoEntry-ExitinspectionandQuarantineBureau.Chinaforapreliminaryinspectioninrespectofspecifications,quantity/weightandpackingconditionsoftheAgreementProductsandaSurveyReportshallbeissuedtherefore,immediatelyafterreceivingsuchSurveyReport,BuyershallprovideSellerwiththem.IntheeventBuyerfailstoprovideSellerwithsuchReportofInspectionwithin()workingdaysafterissuancethereof,SellersAgreementProductsshallbedeemedtomeettheinspectionbyEntry-ExitInspectionandQuarantineBureau,China.目的港卸货后，买方向中国出入境检验检疫局申请对协议产品的产品规格、数量重量和包装情况进行初步检验并出具商检报告，在收到商检报告后，买方应立即将报告提供给卖方，如买方不能出具报告后的个工作日内向卖方提供上述报告，则视为协议产品已通过中国出入境检验检疫局的商检。7.3IntheeventthatBuyerfoundthatthespecificationsand/orqualityand/orquantityand/orconditionofthecommoditieswerenotinconformitywiththisAgreementduetoareasonforwhichSellerisliable,BuyerwouldhaverighttoclaimtoSellerwithindaysafterthearrivaloftheAgreementProductatthedestination.如果买方发现协议产品的规格、质量、数量以及状态与协议的规定不符，而原因是可归责于卖方，买方有权在货物到达目的地后的天内向卖方提出索赔。7.4BuyersclaimshallbeonthebasisoftheCertificateofInspectionissuedbyEntry-ExitinspectionandQuarantineBureauChinaImmediatelyuponthereceiptofBuyersclaim.SellershalltakeallnecessaryandappropriatestepstoremedyBuyersclaim.买方的索赔应以中国出入境检验检疫局出具的商检证书为依据，卖方在收到买方的索赔要求后，应采取必要的、恰当的措施去赔偿买方。7.5SellershallhavetheresponsibilitiestosatisfyBuyersrequirements,suchasreplacingtheinferiormaterialsaccordingtoAttacehment2IQCInspectionSpecificationagreedbyBuyerandSeller.卖方有义务满足买方索赔的要求，如根据附件2“IQC验收规格”更换不合格部件。7.6IntheeventthatSellerfailedtoanswerBuyersclaimwithindays,BuyersclaimwouldberegardedashavingbeenacceptedbySeller.如果卖方在天内没有对买方的索赔做出回复，则买方的索赔认定已经被卖方接受。7.7SellershallonlyuseBuyerstrademarkintheAgreementProductsinaccordancewithBuyersinstructionsBuyershallindemnifySelleragainstallthirdpartyclaimsfromusingofBuyerstrademarkunderthisAgreement.TheBuyershallberesponsibletodefendagainstallsuchclaims.卖方将只按买方的指示在协议产品上使用买方的商标。买方应保障卖方免于承担任何第三方对在本协议下使用买方商标引起有关的侵权索赔。买方应负责对此类索赔进行辩护。8LateDeliveryandPenalty/迟交和罚款IfSellerfailstodeliveranySubscriberKnockdownKitsonorbeforetheagreeddeliverydate,duetothereasonssolelyattributableforseller,SellershallpaytoBuyerliquidateddamagesattherateof(onetenthofonepercent)ofthepurchasepriceforthedelayedquantitiesundersuchpurchaseorderperday,however,ifduetothereasonssolelyattributableforbuyer,SellershallnotpaytheBuyerdelayedcharges.SellershallnotpaytoBuyertheliquidateddamagesfor()daysofeachdelays.IncasetheSellerfailtomakedelivery()weekslaterthanthetimeofshipmentstipulatedinthepurchaseorder,duetothereasonssolelyattributableforSeller,BuyerhavetherighttocancelthePurchaseOrderwhichisBuyersexclusiveremediesforSellersshipmentdelayed如由于卖方原因而不近按协议规定准时交货，卖方应赔偿买方的损失，赔偿率为每天迟交货物的总值，但是，如由于买方的原因而导致的不按协议规定准时交货的，卖方不赔偿因延迟装运的损失，卖方不需支付头天的违约金。如由于卖方的原因，迟交货物时间超过协议规定的交货期星期以上，买方有权撤销采购订单，这是卖方因延迟交货对买方的赔偿。9InspectionoftheAgreementProduct/协议产品的验收9.1InspectionoftheAgreementProductshallbeperformedbyBuyeratBuyersfactory,AttachmentofthisAgreement.协议产品的验收在由买方在买方工厂履行所有的验收应按本协议的附件2执行。10WarrantyandTraining/质量保证与培训10.1SellershallprovideSKDhandsetunitsoftotalquantitypurchasedbySellerforfreeofchargeandshallnotberesponsibleforotherthanofwarrantyserviceunits.10.2卖方将免费提供总订单数的SKD手机套件，以外的不会免费提供。SparepartsforaftersalesserviceotherthanofwarrantyserviceunitsarepurchasedbyBuyersowncostregardingsparepartspriceofferedfromseller.以外的售后服务备件，买方根据卖方的报价自费购买。10.3SellerwarrantytheAgreementProductagainstdefectsinworkmanshipormaterialsundernormaluseforaperiodof()year(butincaseofthebatteriesandaccessorymonths)fromthedateofdeliverytoBuyer.Butsuch(handset)periodsshallnotbelongerthan18monthsformshipmentofsuchAgreementProduct.卖方对协议产品(在正常使用情况下)的因生产和材料造成的故障给予年的保证期(电池和配件个月)，以装运期限为准，但此保证期限不应超过个月。10.4Shouldthesamefailureoccurin%ormoreoftheitemsdeliveredinanyparticularshipmentofSellertoP.R.China(EpidemicFlaw)thewholeshipmentorthewholemodelsupplied,asthecasemaybe,willbeplacedwithindaysafterSellerreceivesthenoticefromBuyertothateffect.如果同批货物或模具中同一故障率等于或超过(不可修改的质量问题)，卖方应在收到买方的有关通知后，在天内对故障品给予换新。10.5SellershalltrainA/SengineersofBuyerinfreeofchargebeforethefirstdelivery.SellerisundertheobligationtoinformtherepairexperienceandskillstoBuyerforsupportingtheaftersalesservicetoBuyer.11卖方应在首次发货前在免费对买方的位售工程师进行培训并有义务向买方介绍有关维修的技巧和经验.IPR/知识产权11.1SellershalldefendanysuitbroughtagainstBuyerinsofarassuchsuitisbasedonaclaimthatproductsmanufacturedandsuppliedbySellertoBuyer,constituteaninfringementofanydulyissuedpatent,utilitymodel,copyrightandotherintellectualpropertyrightexceptfortrademark;Sellershallpayanydamagesandcostsfinallyawardedinsuchsuit.售货合同（中英文）ality/Quantity/Weight/Packing/Sanitationissuedby_ofChinashallberegardedasevidenceoftheSellersdeliver.(11)装运唛头:ShippingMarks:其他条款:OTHERTERMS:1.
