房地产居间合同编号Contract No.:ZY_(承租斡旋)BROKERAGE CONTRACTFOR THE LEASE OF REAL ESTATE委托人(承租方): (以下简称“甲方”)居间人 :上海XX房地产经纪有限公司 (以下简称“乙方”)Principal (Lessee): (Hereinafter “Party A”)Broker: Shanghai SunWay Real Estate Brokers Co., Ltd. (Hereinafter “Party B”)甲、乙双方,就甲方委托乙方居间承租_市_区(县)_路_弄_号_室共计_套房地产事宜,达成如下协议。甲方签署本合同之前,已实地视察过该房地产,并对该房地产情况已作充分了解,该房地产目前抵押情况: 有 无Hereby the Parties enter into the following agreement concerning the lease of _ Suite located at _ of _ Alley, _Avenue _District (County), _ City (totally as _ suites, hereinafter as “Real Estate”) by Party B on behalf of Party A as follows: Prior to the signature of this Contract, Party A has made inspection on such real estate for full understanding of its conditions and is fully aware of that any third party has or hasnt mortgage right on such real estate. 第一条:承租条件1. EARNEST MONEY 甲方为表示承租该房地产的诚意,同意于签订本合同时,支付诚意金人民币大写_元至乙方。1、若甲方出价未能得到出租方认可,则诚意金由乙方无息返还甲方。2、若出租方接受甲方提出的租赁条件,则甲方同意以下列方式处分诚意金: 转为租赁合同的定金,由乙方无息转交出租方; 转为租赁合同的租金,由乙方无息转交出租方; 转为乙方之服务报酬的一部分。3、赔偿金:若甲方出价在合同有效期内已得到出租方认可,而甲方反悔不租,或未于约定日期至乙方处签订房屋租赁合同,致无法完成租赁事宜,则甲方无权要求出租方或乙方退还该诚意金,以作为甲方的赔偿金。For the purpose of guaranteeing its acts hereunder, Party A agrees that it shall pay CNY _ to Party B on this contract date. 1) If the price offered by Party A fails to satisfy the requirements of Lessor, such earnest money shall be refunded to Party A without interests. 2) If price offered by Party A satisfies the requirements of Lessor, such earnest money shall be converted to the deposit of Lease Agreement and paid to Lessor directly by Party B without interest; converted to the rent of Lease Agreement and paid to Lessor directly by Party B without interest; or paid to Party B as part of its service charges. 3) Damages. If price offered by Party A has been accepted by Lessor within term hereof and Party A refuses to take the real estate of Lessor, or fails to sign Tenancy Contract at the office of Party B on the date agreed which render the frustration of transaction hereunder, Party A may not require Lessee or Party B to refund such earnest money paid, which shall constitute the damages paid by Party A. 第三条:合同有效期3. TERM OF CONTRACT 本合同自双方签署之日起生效至乙方完成居间事项时止,但自甲方签署之时起,至_年_月_日_时止,本合同甲方所列条件未能得到出租方认可,甲方所支付之诚意金由乙方无息返还甲方, 本合同终止。This Contract shall come into effect upon signatures of the Parties have been made thereon until the completion of brokerage services by Party B, provided, however, if price offered by Party A fails to be accepted by any lessor within the time period calculated from this contract date to _, earnest money paid by Party A shall be refunded to Party B without interest and this Contract shall be terminated. 第四条:租赁合同之签订4. CONCLUSION OF TENANCY CONTRACT 在合同之有效期内,出租方同意依甲方欲租价格与付款方式出租,租赁双方即应于达成一致意向之日起3日内,依乙方之安排,或于甲方与出租方在本合同中另行约定的时间,至乙方处,由乙方代书签订房屋租赁合同,完成委托居间事项。Within the term hereof, if the price, terms and conditions offered by Party A have been accepted by Lessor, Party A and such Lessor shall, within 3 days upon the mutual consents have been reached by them or within other time period agreed by them herein, enter into tenancy contract prepared by Party B with the arrangement of and at the place of Party B. thereafter, it shall constitute the completion of brokerage service by Party B. 第五条:甲方权利5. RIGHTS OF PARTY A甲方出价后,乙方应善尽中介义务,努力向出租方协调斡旋。Party B shall do its best efforts to make negotiation with lessor as an diligent broker upon price is offered by Party A.第六条:甲方注意事项6. MATERIAL RULES TO PARTY A (一) 若甲方未按约定,前来签订租赁合同,则本合同所述房地产不予保留,出租方即可出租予第三人。(二) 若出租方未按约定前来签订租赁合同,则乙方所收诚意金立即无息返还甲方,本合同自动终止, 特别提示:尊敬的客户,为了维护您的权益,当您按本合同支付任何一笔款项时,务必要求您的业务人员提供盖有本公司章的临时收款证明或本公司发票专用章的发票,否则,您有权拒付任何一笔款项,并请电告本公司。Note: for the purpose of protecting your rights and interests, you may require the related personnel to provide interim receipt or invoice stamped with common seal of our company; otherwise you should refuse any payment and notify the same to our company. 甲、乙双方互不承担责任。(三) 租赁合同签订后,甲方应依法自行缴纳相关税、费。1) If Party A refuses to enter into tenancy contract with potential lessor on the time and in the manner as agreed, such potential lessor may lease the real estate concerned to any third party without any liabilities. 2) If any potential lessor refuses to enter into tenancy contract with Party A on the time and in the manner as agreed, any earnest money received by Party B from such potential lessor shall be granted to Party A without interest and this Contract shall be terminated automatically. In such event, neither Party A nor Party B shall be liable to the other Party. 3) Upon the signature of tenancy contract, Party A shall be responsible for the payment of any and all taxes and duties due and payable by it.第七条:服务报酬7. SERVICE CHARGE 乙方完成甲方的委托事项时,即甲方与乙方所介绍的出租方签订房屋租赁合同时,甲方应按实际月租金的 %向乙方支付服务报酬。Party A shall pay service charge as 35% of the monthly rent paid by it to Party B upon the completion of brokerage service hereunder by Party B, i.e., tenancy contract has been signed by and between Party A and lessor introduced by Party B.第八条:争议解决8. DISPUTE SETTLEMENT 本合同若有未尽事宜,双方应友好协商,若协商不成,甲、乙双方同意以房地产所在地法院为合同争议的管辖法院。Any disputes unmentioned herein shall be settled by the Parties through amiable negotiation, if fails, the Parties hereto agree that the local court in place where this real estate is located shall have competent jurisdiction on such disputes.第九条:违约责任9. LIABILITY FOR BREACH (一)甲方不得私下与乙方介绍的出租方进行本委托事项的交易,否则甲方应按本合同第一条月租金的70(居住用房),或月租金的100(非居住用房)向乙方支付违约金。(二)甲方在本合同中所列上述承租条件得到出租方确认后,反悔不租,或未至乙方处签订房屋租赁合同,致乙方无法完成居间事项,则甲方应按本合同第一条月租金的70(居住用房),或月租金的100(非居住用房)向乙方支付违约金。1) Party A may not make any backroom deals with any potential lessor introduced by Party B concerning the transaction hereunder, otherwise damages as 70% of monthly rent as detailed in Article 1 hereof (Residential Property) or 100 of such monthly rent (Non-residential Property) shall be paid to Party B by Party A, as the case may be. 2) If price, terms and conditions offered by Party A as mentioned above have been accepted by Lessor and Party A refuses to take the real estate of Lessor, or fails to sign Tenancy Contract which render the frustration of transaction hereunder, damages as 70% of monthly rent as detailed in Article 1 hereof (Residential Property) or 100 of such monthly rent (Non-residential Property) shall be paid to Party B by Party A, as the case may be.第十条:本合同自甲、乙双方签署后即生效,出租方签署后,本合同对出租方具有约束力。10. This Contract shall come into effect upon the signatures of Party A and Party B have been made thereon.
