EQUIPMENT RENTAL AGREEMENT设备租赁协议THIS EQUIPMENT RENTAL AGREEMENT (this “Agreement”) is made this day of AUGUST, 2007, by and between：本设备租赁协议（以下称“协议”） 于2007年 8月 日由以下各方签订：GENSION & WALTON DIGITAL VIDEO SYSTEM COMPANY LIMITED and known in Chinese as 北京正兴华泰数码影视技术有限公司 (hereinafter the “Supplier”) a limited liability company incorporated in China and having its legal address at No. 302, Tower A, Industry and Commerce Union Building, No. 4 Fufeng Street, Science Park, Fengtai District, Beijing 100070, Peoples Republic of China (“China”)/ 北京市丰台区科学城富丰路4号工商联科技大厦A座302 of the one part, and;北京正兴华泰数码影视技术有限公司（以下简称“供应方”），一家在中国设立的有限责任公司，法定地址位于中华人民共和国（“中国”）北京市丰台区科学城富丰路4号工商联科技大厦A座302号，为本协议的一方当事人。BEIJING OLYMPIC BROADCASTING CO., LTD. and known in Chinese as 北京奥林匹克转播有限公司(hereinafter “BOB”), a limited liability Sino-foreign joint venture company incorporated in China and having its legal address at Tsinghua Science Park, Yuquan Garden, Building No. 15, 3 Minzhuang Road, Haidian District, Beijing 100097, China, of the other part.北京奥林匹克转播有限公司（以下简称“BOB”），一家在中国设立的中外合资有限责任公司，法定地址位于中国北京市海淀区闵庄路3号清华科技园玉泉园15楼，邮政编码：100097，为本协议的另一方当事人。A.Whereas, BOB, a Sino-foreign Cooperative Joint Venture between BOCOG and Olympic Broadcasting Services S.A. (“OBS”), has been entrusted with the responsibility of producing the television and radio coverage of Games of the XXIX Olympiad (the “Games”).A鉴于：BOB，作为为北京奥组委和奥林匹克广播服务公司（以下简称“OBS”）之间成立的一个中外合作企业，已接受委托负责制作第29届奥运会比赛（以下简称“奥运会”）的广播电视节目。B.Whereas, BOCOG, an institutional legal person entity with limited liability, serves as the organizing committee for the Games and has acceded to all obligations concerning the organization and staging of the Games according to the Host City Contract among and International Olympic Committee (“IOC”), the City of Beijing and COC.B.鉴于：北京奥组委（一家有限责任的事业单位法人）作为奥运会的组织委员会，根据国际奥林匹克委员会（以下简称“国际奥委会”）、北京市和中国奥委会之间签订的主办城市协议，承担了与奥运会的组织和进行相关的所有义务。C.Whereas, for the purposes of producing the television and radio coverage of the Olympic events to be held at Beijing and elsewhere in China during the Games (“Intended Purpose”), BOB requires the installation and use of certain broadcasting elevator camera cranes as set forth at Appendix A hereto, and each satisfying the specifications also set forth at Appendix A (the “Specifications”). Supplier is a high-tech enterprise engaged in providing and developing system integration, engineering design and engineering installation of digital video systems, audio systems and satellite transmission systems in the broadcasting, film and television field. Suppliers product range includes track/elevator camera cranes suitable for the mounting of broadcasting cameras and ancillaries for use in the broadcasting of major public events including major sporting events such as the Olympics. Supplier is in the market for leasing the Equipment and accordingly, the Parties have agreed that, for the consideration herein, Supplier shall lease the Equipment to BOB and provide the Technical Support throughout the Term subject to the terms and conditions set forth in this Agreement.C.鉴于：为在奥运会期间制作将在北京和中国其它地方举办的奥林匹克比赛项目的电视和广播节目（“预期目的”），BOB需要安装和使用本协议附件A中规定的某些转播升降摄像机摇臂，每个转播升降摄像机摇臂还应符合附件A中规定的规格（“规格”）。供应方是一家在广播、电影和电视领域中提供和开发数字视频系统、音频系统和卫星传送系统的系统开发、工程设计和工程安装的高技术企业，供应方的产品范围包括适于架设转播摄像机及其附属设备的跟踪/升降摄像机摇臂，用于转播重大公开事件包括重大体育比赛事件，例如奥运会。供应方有意租赁设备，因此，双方已同意：根据本协议的对价，在本协议期间内，供应方将按照本协议规定的条款和条件向BOB出租设备并提供技术支持。D.After friendly consultations, the Parties hereby, based on the principles of equality, mutual benefits, fairness and justice, enter into this Agreement as follows:D.双方根据平等、互利、公平和公正的原则，经友好协商，特此按如下规定签订本协议：SECTION 1.DEFINITIONS第1条定义1.1Definitions. As used in this Agreement, the following terms have the following meanings:1.1定义。在本协议中所使用的下述词语具有如下含义：“BOCOG means the Beijing Organizing Committee for the Games of the XXIX Olympiad.“北京奥组委”，是指第29届奥林匹克运动会北京组织委员会。“COC” means the Chinese Olympic Committee.“中国奥委会”，是指中国奥林匹克委员会。“Confidential Information” means all information concerning any Olympic Authority, BOB, the Games and the Paralympic Games, in whatever form embodied and however obtained, whether before or after the date of this Agreement, including, without limitation: (a) the content of this Agreement, (b) all information relating to the business, affairs, operations, activities and plans of the Olympic Authorities and BOB, (c) all information concerning the officials, officers, directors, trustees, members, employees, personnel, consultants, advisors, agents, representatives and volunteers of the Olympic Authorities and BOB, (d) all information concerning any Olympic Supporters, and (e) all trade secrets, know-how, Specifications, techniques, processes, methods, strategies and projects of the Olympic Authorities, OBS and BOB. Confidential Information does not include (i) information that is in the public domain, (ii) information that becomes generally available to the public other than as a result of a disclosure by a Party hereto or by a third party acting under the authority of or for the benefit of or on behalf of the Supplier, in violation of this Agreement, and (iii) information that was verifiably known by a Party or in its possession prior to disclosure by the other Party.“保密信息”，是指涉及奥林匹克组织、BOB、奥运会和残奥会的所有信息，无论其表现形式如何，无论通过何种方式取得，也不论是在本协议之前或之后取得，包括但不限于：（a） 本协议内容；（b）与奥林匹克组织和BOB的业务、事务、运作、活动和计划相关的所有信息；（c）与奥林匹克组织和BOB的官员、高级职员、董事、理事、成员、雇员、人员、顾问、代理人、代表和志愿者相关的所有信息；（d）与奥林匹克支持者相关的所有信息；以及（e）奥林匹克组织、OBS和BOB的所有商业秘密、专有技术、规格、工艺、流程、方法、战略和项目。保密信息不包括：（i）已进入公共领域的信息；（ii）非因本协议一方或第三方代表供应方并为供应方的利益违反本协议进行披露而为公众普遍知悉的信息；以及（iii）可以证实是一方在另一方披露前而知悉或占有的信息。“Force Majeure” means an event or circumstance which, from an objective viewpoint, is unforeseeable, unavoidable and is beyond the control of the Party that is affected by its occurrence (the “Affected Party”), which (event or circumstance) is unavoidable even if the affected Party exercised the utmost diligence, and prevents the affected party from performing a distinct part or all of its obligations and/or from exercising any of its rights arising under this Agreement, including but not limited to floods, riots, explosions, pandemics or epidemics, wars, acts of terrorism or hostilities that are beyond the control of either party, but excluding fires in the facilities of the Affected Party and any strikes or other industrial action against the Affected Party and also excluding any financial problems of the Affected Party.“不可抗力”，是指从客观上看，受影响的一方（“受影响方”）对其发生不能预见、不能避免并不可控制，即便尽最大努力履行本协议项下的义务也无法避免的、阻碍受影响方履行特定部分或全部义务和/或阻碍受影响方行使本协议项下规定的权利的事件或客观情况，包括但不限于：任何一方均无法控制的洪水、暴动、爆炸、流行病或传染病、战争、恐怖行为和敌对行为；但不包括任何受影响方设备火灾、针对受影响方的罢工和行业活动，以及受影响方的任何财务问题。“Games” means 29th Olympic Games to be held principally in Beijing currently proposed to take place from August 8, 2008 to August 24, 2008 and the 13th Paralympic Games proposed to take place in Beijing principally from September 6 to 17, 2008.“奥运会”，是指当前拟于2008年8月8日至8月24日主要在北京举行的第29届奥林匹克运动会以及拟于2008年9月6日至9月17日主要在北京举行的第13届残奥会。“Games Sites” means any locations as reasonably specified by BOB (including the IBC).“比赛场地”， 是指BOB（包括国际广播中心IBC）合理规定的任何地点。“IBC” means the International Broadcast Center to be established by BOB as a radio and television production complex at which BOB will receive, produce and distribute the International Television, Video, and Radio signals (“ITVR”) generated at the Games Sites.“IBC”，是指BOB拟设立的国际广播中心，是作为BOB接收、制作和发送在比赛场地生成的国际电视、录像和广播信号（以下简称“国际广播电视信号”）的广播电视制作综合性设施。“IOC” means the International Olympic Committee.“IOC”， 是指国际奥林匹克委员会。“OBS” means Olympic Broadcasting Services S.A.“OBS”，是指奥林匹克广播服务公司。“OLYMPIC AUTHORITIES” is the collective term for BOCOG, the IOC, the IPC and the COC.“奥林匹克组织”，是指北京奥组委、国际奥委会、国际残奥委和中国奥委会的统称。“OLYMPIC MARKS” means all trademarks, service marks, trade names, mottoes, logos and other means of identification belonging to any party that are based upon, related to, integrate or otherwise embody any combination of the Olympic Symbol, the words “Olympic”, “Olympiad” or “Citius Altius Fortius” and/or any other intellectual property of any OLYMPIC AUTHORITY, including, but not limited to, all marks provided for in the Olympic Charter or the Host City Contract or protected by the Olympic Marks Regulations.“奥林匹克标志”，是指任何基于、涉及、组成或以其他方式包含了奥林匹克五环标志、和“奥林匹克”、“奥林匹亚”以及“更高、更快、更强”等字眼和/或任何奥林匹克组织的任何其他知识产权的属于任何一方的所有商标、服务标志、商号、格言、图案和其它识别标志，包括但不限于奥林匹克宪章或主办城市合同所规定的标志，以及奥林匹克标志条例所保护的标志。 “OLYMPIC SUPPORTERS” means any third party authorized to use Olympic Marks to indicate or connote a partnership, sponsorship, relationship with the Supplier and licensees or any other relationship with (a) any Olympic Authority and/or (b) the Games or the Paralympic Games.“奥林匹克支持者”，是指任何被授权使用奥林匹克标志以表明或暗示其与供应方和被许可人之间存在合作伙伴、赞助关系，或与（a）任何奥林匹克组织；和/或(b)奥运会或残奥会之间存在其他关系的第三方。“Specifications” means the specifications relating to the Equipment as set forth at Appendix A attached hereto.“规格”，是指与本协议所附的附件A中规定的设备相关的规格。“Technical Support” means technical support provided by Supplier to BOB relating to the installation, use and positioning of the Equipment.“技术支持”，是指供应方向BOB提供的与设备的安装、使用和定位相关的技术支持。“Venue(s)” means the official sites and locations where the physical competitions of the Games are to be held, including associated stadiums and other spectator viewing areas.“场馆”，是指奥运会体育竞赛举行的正式场地和场所，包括相关的体育场和其它观众观看区域。* CONTRACT SPECIFIC DEFINED TERMS *合同特别定义词语*“Equipment Unit Rental Rates” refers to the per unit equipment rental prices, for the rental period as defined herein, for the Equipment set forth at Appendix B hereto.“设备单位租金率”，是指在本协议确定的租赁期间，本协议附件B中规定的设备的每单位设备租金价格。“Equipment” is the collective term for the Specifications compliant broadcasting elevator cranes appropriate for the mounting of broadcasting cameras and related broadcasting equipment to be leased by BOB from Supplier; a preliminary list of the Equipment requirements is set forth at Appendix A.“设备”，是指适于架设BOB从供应方所租赁的转播摄像机和相关转播设备的合规转播升降摇臂的统称，设备的初步清单及要求在附件A中列出。“Fieldshop” means BOBs warehouse and fieldshop located at No.15 Shunchang Avenue, Airport Logistics Park, Shunyi District, Beijing (北京市顺义区空港物流基地顺畅大道15号楼).“工作现场”，是指位于北京市顺义区空港物流基地顺畅大道15号楼的BOB的仓库和工作现场。“Rental Period” means the period of time during which the Equipment shall be leased by BOB and shall commence on the day that the Equipment is delivered by Supplier at the Fieldshop until the day the Equipment is returned by BOB to the Fieldshop for pick-up by Supplier following completion of the Games or upon the earlier termination of this Agreement.“租赁期间”，是指BOB租赁设备的期间，应从供应方在工作现场交付设备之日开始至奥运会结束后或本协议提前终止时BOB将设备返还至工作现场由供应方取走。SECTION 2: RENTAL OF EQUIPMENT第2条设备租金2.1Subject to the terms and conditions of this Agreement, and in consideration of the rental amount (the “Rental Price”) Supplier agrees (a) to lease to BOB, for use by BOB, the quantities of Equipment to be ordered by BOB pursuant to lease orders and otherwise in accordance with the terms and conditions herein, and (b) to provide the Technical Support to BOB in accordance with Article 4.12 herein. The Equipment Unit Rental Rates are inclusive of the professional fees payable to Supplier for any Technical Support rendered by Supplier to BOB during the Term of this Agreement.2.1根据本协议的条款和条件，并考虑到租金数额（“租金价格”），供应方同意：（a）按照租赁订单或根据本协议的条款和条件向BOB出租并供BOB使用BOB拟订购数量的设备；并（b）根据本协议第4.12条的规定向BOB提供技术支持。设备单位租金率包括在本协议期间对供应方向BOB提供的任何技术支持而应付给供应方的专业费用。2.2The Rental Price shall be calculated in accordance with the Equipment Unit Rental Rates set forth at Appendix B hereto. Equipment Unit Rental Rates are inclusive of business taxes and all other taxes. Supplier warrants that under no circumstances shall the Equipment Unit Rental Rates be amended for the duration of the Term of this Agreement.2.2租金价格将按照本协议附件B中规定的设备单位租金率进行计算。设备单位租金率包括营业税和所有其它税费。供应方保证在本协议存续期间，在任何情况下均不得修改设备单位租金率。 SECTION 3.COORDINATION TEAM OF BOB & SUPPLIER第3条BOB和供应方之间的协调组3.1The Supplier shall appoint one Project Manager to deal with daily affairs relating to the lease of the Equipment and in order to properly deal with various issues which may arise during the leasing of the Equipment. It is thereby understood and agreed by the Supplier that the Project Manager shall be English speaking, experienced professional in the cranes, dedicated to the scope of this Agreement, shall be available for contact on a 24/7 basis and shall have the authority to give directions and orders to the Suppliers Technical Crew. The Suppliers Project Manager shall be Zhang Yu（张雨）. The contact department appointed by BOB shall be the Department of Finance and Administration, with the contact administrator being Mr. Kostas Karvelas. The BOB contract administrator will be responsible for coordinating with Supplier the performance of Suppliers obligations hereunder and for determining for BOB the adequacy, acceptability and fitness of the Equipment and any Technical Support furnished hereunder. Supplier shall be entitled to rely upon approvals or directions made in writing by the BOB contract administrator on BOBs behalf.3.1供应方应当指定一名项目经理处理与设备租赁有关的日常事务以便正确处理在设备租赁期间可能引起的各种问题。供应方在此理解并同意项目经理应为能说英语并在升降摇臂领域具有经验的专业人士，致力于服务本协议的范围，应当在每周（7天）24小时内待命，其应有权向供应方的技术工作组发出指示和命令。供应方的项目经理为：张雨先生。BOB指定的联络部门应为财务和行政管理部，联络管理人为科斯塔斯?卡瓦拉斯（Kostas Karvelas）先生。BOB的合同管理人应对供应方履行其在本协议下的义务与供应方协调，并负责为BOB确定本协议下所提供的设备和任何技术支持的充分性、可接受性和适当性。供应方应有权依赖BOB的合同管理人代表BOB以书面形式做出的批准和指示。3.2Equipment Selection. In order to facilitate Suppliers planning and manufacturing requirements, on or before May 1, 2008, BOB shall attend at Suppliers premises for the purpose of reviewing the size, dimensions, quantities, and model types of Suppliers broadcasting elevator camera cranes and for identifying the specific Equipment to be leased by BOB prior to and during the Games. BOB shall draft a preliminary list of Equipment requirements for the Games together with details of preliminary Equipment delivery dates. BOB will confirm the final delivery dates in the orders for the Equipment.3.2 设备选择。为给供应方的规划和制造要求提供便利，BOB将于2008年5月1日或之前到供应方的工厂，目的是审查供应方的转播升降摄像机摇臂的尺寸、规格、数量和型号，并确定在奥运会之前和奥运会期间BOB拟租赁的具体设备。BOB应当起草一份奥运会设备要求的初步清单，以及设备最初交付日期的具体规定。BOB将在设备订单中确定最终交货日期。3.3 Changes in Scope. BOB and Supplier shall direct any matters pertaining to this Agreement, including, without limitation, any changes to the scope of work to be performed by Supplier hereunder, to the BOB contract administrator by mail. Any changes to the scope of work to be performed by Supplier hereunder, and/or the pricing for such work, and/or the assumption of any obligation by BOB, which may have any financial implication, will require the written authorization by the BOB contract administrator prior to the implementation of such changes by Supplier or the assumption of any obligation (other than as specifically provided for herein) by BOB.3.3范围变更。BOB和供应方应对与本协议相关的任何事务进行指导，包括但不限于：通过邮件向BOB的合同管理人指示供应方拟履行的本协议下工作范围的变更。供应方拟履行的本协议下工作范围的任何变更，和/或该工作的定价，和/或由BOB承担任何义务，其中可能涉及经费问题，将需要由BOB的合同管理人在供应方执行该等变更或BOB承担义务之前进行书面授权（不包括本协议中特别规定的内容）。SECTION 4.ORDERS & DELIVERY第4条订购和交付4.1First Order. BOB shall place a first order for certain items of the Equipment on of before October 31, 2007 (the “First Order”). The First Order shall reflect BOBs good faith estimates of up to 80%, or thereabouts, of the total Equipment to be leased and is subject to minor good faith adjustments.4.1首次订购。BOB将在2007年10月31日或之前首次订购某些设备项目（“首次订购”）。首次订购将反映BOB对拟租赁的总设备中高达80%的设备的诚意估价或大约估价，并须经些微的诚意调整。4.2Second Order. BOB shall place a second order for certain items of the Equipment on or before April 30, 2008 (the “Second Order”). The Second Order shall reflect BOBs good faith estimates of the totality of the Equipment to be leased and may be subject to minor good faith adjustments.4.2第二次订购。BOB应在2008年4月30日或之前第二次订购某些设备项目（“第二次订购”）。第二次订购应当反映BOB对拟租赁的全部设备的诚意估价并可经些微的诚意调整。4.3In addition to the Equipment ordered pursuant to Articles 4.1 and 4.2 herein, Supplier shall additionally include all necessary spare parts, tools, machinery and technical equipment required by BOB in order to unpack, install, commission, test and ensure the full functionality, servicing and maintenance of the Equipment.4.3除了根据本协议第4.1条和第4.2条订购的设备外，供应方还应当将BOB所需的所有必要的备件、工具、机械和技术设备包括在设备内以便拆包、安装、调试、检测并确保设备的充分功能、检修和维护。4.4Additional Equipment Requirements. In the event that BOB orders any additional quantities of Equipment after April 30, 2008, Supplier shall use its best efforts, to satisfy such additional order by BOB by the agreed delivery date and shall provide updates to BOB regarding progress made in meeting the additional order. Supplier shall keep BOB appraised of the development and availability of any new features that may be installed on Equipment. In the event that Supplier develops any such new equipment features, BOB shall have the right to modify any outstanding order and/or to place an additional order for any of such new features by May 15, 2008 and Supplier shall be under the obligation to supply to BOB such new features as may be ordered by BOB pursuant to the provisions of this Article 4.5.4.5设备修改。供应方应使BOB对设备中可能安装的任何新特性的开发及有效性进行评估。如果供应方开发了任何新的设备特性，BOB应有权在2008年5月15日前对任何未结算的订单进行修改和/或下额外的订单购买该新特性；并且，供应方应当有义务根据本第4.5条的规定向BOB供应BOB可能订购的任何此等新特性。4.6Delivery.
