SELLER shall supplythe CRANE with ABS third party inspection certificates,and allother relevantdocuments andcertificates.2.Manufacturer/Country ofOrigin:Same asthe SELLER.Contract No.:SCM-HG-110111Page2of63.Shipment andTransportation Shipmentand transportation to the Place of Delivery(see Clause13below)shall becovered andarranged by the SELLERat the SELLERs owncosts and expenses,which shallinclude butnot restrictedto taxes,customs duties,port dues,state feesand allother relatedexpenses.4.Packing:To bepacked instrong woodencases,suitable forlong distantocean freighttransportation andclimate change,well protectedagainst moisture,shocks andrough handling.The SELLERshall beliable for any damageof the CRANE andexpenses incurredon aountof improperpacking andforanyrust attributableto inadequateor improperprotective measurestaken by the SELLERwith regardto thepacking.Two copies of PackingList in detail shall be enclosedin thecase(s).5.Shiping Mark:The SELLERshall markon thefour adjacentsides ofeach packagewith fadelesspainting thepackage number,gross weight, weight,measurement,Contract No.,port ofdestination and the wordings:KEEP AWAYFROM SELLERshall immediatelyupon thepletion of the loadingof the CRANE,advise by fax the BUYER of the Contract No,goods,quantity,invoiced value,gross weight,name ofvessel anddate ofsailing etc.8.Insurance:Insurance forshipping andtransportationto the Place of Deliveryshall beeffected by the SELLERfor100%or moreof theContract Priceof the CRANE againstall risksat the SELLERs owncosts.9.Payment Terms:9.1Instalments:i.First Payment:USD45,000.00being10%of theContract Priceto bepaid viatelegraphic transferwithin10days afterthe date of this CONTRACT;ii.Second Payment:USD90,000.00being20%of theContract Priceto bepaid viatelegraphic transferupon steelcutting,and within10days afterreceipt of the SELLERs invoice;iii.Third Payment:USD225,000.00being50%of failsto remitthe First Payment in aordance withsub-Clause9.1(i)above.9.4Except for the FirstPayment,the SELLERshall supporteach invoiceor demandfor paymentwith validcertificate(s)and/or approvalby relevantauthorities,ABS or other approvedthird party,and writtenverification by the BUYERs representativeof the applicable workdone.10.Inspection The SELLERshall,upon writtenrequest from the BUYER,arrange for the BUYERs representative(s)to havereasonable aessto theappropriate premisesin orderto examihe CRANEor towitness theFactory AeptanceTest.11.Installation andCommissioning:Installation andmissioning of theCRANE onboard the VESSEL shall be carried out atthe shipyard,Nanjing EastStar ShipbuildingCo.Ltd,located atIndustrial Park,Wujiang Town,Nanjing,China(the“Shipyard”).i.Installation Installationshall becarried outby the BUYER orthe BUYERs vesselbuilding contractor(Shipyard).ii.Commissioning Commissioningshall becarriedoutby the SELLER.Hydraulic oiland fuelshall beprepared by the SELLERbefore missioning.The BUYERshall providethe vesselelectric powerrequired for the test.The SELLERshall bearall costsfor theirengineers and/or personnelrequired for missioning,including butnot restrictedto transportation,food andaommodation.Time requiredformissioningshall beabout7days.12.Time ofDelivery:Crane pedestal:31Mayxxor3monthsEXW from the dateof the FirstPayment,whichever ourslater.The restof theCRANE:15Julyxxor5months EXWfrom thedateoftheFirstPayment,whichever ourslater.13.PlaceofDelivery:The Shipyard.Any changesshall beadvised bythe BUYERwithin reasonabletime andatthePlaceofDelivery whenand onlywhen theCRANE hasbeen installedonboard theVESSEL,has achievedsuessful missioningand testingwith validcertificates beingissued andis inclean andorderly condition,ready forservice.15.Documents:The SELLERshall presentthe followingdocuments to the BUYER:i.Invoice signedin5originals indicatingContract No.,made outindetailas perthe relativecontract;ii.2copiesofCertificate(s)of Quality and Quantityissued bythe manufacturer;iii.Certificate ofOrigin in1original and2copies;iv.Approval ofDrawings andTechnical Documentation.Within8weeks aftersigning of this CONTRACT,the SELLERshall submitdrawings andtechnical documentsaording to the SELLERs standardpractices to the BUYER for approval.Within14days afterreceipt ofthe drawings and/or documentsfor approvalsent bythe SELLER,the BUYERshall checkand reviewif such drawings and/or documents are infull conformitywith thetechnical specificationsand shalleither returnone copyto the SELLER endorsedwith itsapproval ornotify the SELLER ofany mentsor queriesit mayhave.If the BUYER failsto respondhereof within14days,suchdrawingsand documents shall bedeemed tohave beenapproved bythe BUYER.The SELLERshall notifythe BUYERwhen thedrawingsanddocumentsaresent outbyfaxor e-mail;v.Declaration ofWarranty bytheSELLERthat theCRANE isfree andclear ofany liens,claims,charges,mortgages andother encumbrances;vi.Manufacturer Certificates;vii.ABSthird partyinspectioncertificates;viii.Test report;ix.Load ChartsapprovedbyABS indicatingthe Man-riding capacity;x.Main PartsList;xi.Other relevantdocuments.Upon delivery oftheCRANE,all certificates,technical documentsand deliverydocumentsshall be orhave beenhanded overtothe BUYER.16.Title andRisk:The CRANEwitheverythingbelonging toher shall be attheSELLERs riskandexpenseuntil the same hasbeen deliveredtothe BUYER in aordance withClause14above,but subject totheprovisions of this CONTRACTtheCRANEshallbe delivered inaordance with the Specifications,with validcertificates andfree ofall liens,charges,mortgages andother encumbrances.17.Guarantee ofQualityandService:17.1The SELLERguarantees that theCRANEis madeofthebest materialswith firstclass workmanship,brand newand unused,plies inall respectswith thequality andspecification stipulatedin this CONTRACT,and aredesigned andmanufactured aordingto APISpecification2C(xxedition)and certifiedbythethirdpartyABS.ContractNo.:SCM-HG-110111Page5of617.2The Guarantee Period shallbe12months countingfromthedate andtime ofsuessful missioningoftheCRANEonboardtheVESSEL.Defects discoveredduring theGuarantee Periodshallberemedied bytheSELLERas promptlyas reasonablypracticable sothattheVESSELs operationor workingschedule isnot impaired.17.3Should any defects ourwithin theGuarantee Periodand foundto bedue totheSELLERs fault,whether ornot overseas technical support and servicesfortheCRANE arerequired,theSELLERshall bearall coststo arrangeto makegood suchdefective partsor items,including butnot limitedto transportationfrom maincity tooffshore site,aommodations,meals,medical serviceat offshorefortheSELLERs engineers.17.4Should anydefects ourwithin theGuarantee Periodand foundto bedue totheBUYERs ownfault andoverseastechnicalsupportandservices arerequired,theBUYERshall payfor costsof replacementparts,all costsfortheSELLERs engineerssuch asmobilization anddemobilization,salary,aommodation,meals andmedical serviceat offshore,etc.17.5The SELLERwill rectifyanydefectswhich areoutside theGuaranteePeriodon mutuallyagreed pricesand termsand conditions.18.Force Majeure:The SELLERshall notbe heldresponsible forthe delayin shipmentor non-delivery oftheCRANEdue toForce Majeuresuch aswar,serious fire,flood,typhoon andearthquakes orother eventsagreed uponby bothparties hereto,which mightour duringthe processof manufacturingor inthe courseof loadingor transit.The SELLERshall advisetheBUYERimmediately ofthe ourrencementioned aboveand within14days thereafter,theSELLERshall byfax and/or e-mail sendtotheBUYERfortheir aeptancea certificateofthe Force Majeure event issuedbythepetent GovernmentAuthorities wherethe ForceMajeure eventours asevidence thereof.Under suchcircumstances theSELLER,however,is stillunder theobligation totake all necessary measuresto expeditethe deliveryoftheCRANE.In casetheForceMajeureeventlasts formore than8weeks,theBUYERshall have the rightto cancelthis CONTRACT.In theevent theBUYER electsto cancelthis CONTRACT,all monies paid bytheBUYER together with interest earnedshall immediatelybe released totheBUYER withoutdelay.19.Liquidated Damages:Should theSELLER failto makedeliveryoftheCRANEon timeas stipulatedin this CONTRACT,with exceptionof ForceMajeure causesspecified in Clause18of this CONTRACT,theBUYERshall agreeto postpohe deliverysubjecttoa latedelivery penaltyagainsttheSELLER.The rateof penaltyis chargedat0.06%oftheContract Pricefor everyday ofdelay,which shallbe deductedfromtheContract Price.The totalpenalty however,shall notexceed5%oftheContractPrice.Should theSELLER failto makedelivery formore than60days beyondtheapplicabletime ofdelivery stipulatedinClause12of thisCONTRACT,theBUYERshall havethe rightto cancelthisCONTRACT,whereupon allmoniespaidbytheBUYERtogetherwithinterestearned andany penaltyprovided inthis ClauseshallbereleasedtotheBUYERimmediately.20.Signatories CapacityThe parties hereto representand warrantthat theyhavethefull rights,powers andcapacity toexecute,deliver andperform theterms ofthisCONTRACTandthematters contemplatedhereby andhave takenallnecessarycorporate andother actionsto authorisethe execution,delivery andperformance ofthesame.This CONTRACTwhen executedwill constitutethe legal,valid and binding obligationson theparties heretoinaordancewith theterms hereof.21.Entire AgreementThis CONTRACTconstitutes theentire agreementbetween theparties hereto,and supersedesall priornegotiations,representations and/or agreementsin connectionwith thesubject matterhereof,whether in writing orverbal.Any variation,supplement,novation,restatement
