此文档收集于网络，如有侵权，请联系网站删除*项目装修方案以及软装设计合同委托方： （以下简称“甲方” ） *管理（北京）有限公司 设计方： （以下简称“乙方” ） *筑设计咨询（上海）有限公司 The Client: .The Designer: 签订日期： 2017 年04月10日Signing date: April 10, 2017甲方委托乙方承担_*_项目（以下简称“本项目” ）装修方案设计以及软装设计工作，经双方协商一致，签订本项目设计合同。Party A commission Party B to provide interior schematic design and FF&E design consultancy service to *mutual agreement both parties sign this contract.1 设计依据 Design Basis1、国家规范和地方标准National regulation and local standard2、其余见设计要求和设计任务书。The others refer to design requirements and brief2 项目概况Project Information序号指标名称Item描述或要求Description/requirements 1、建设地点Location*Road2、总建筑名称Project Name*3、其它other占地面积为 * m2 总建筑面积为 *m2 Land area* m2, gross building area * m2 3. 服务范围 Scope of Services设计师就本项目提供的全部服务包括8个设计阶段，具体详见附件一：The entire scope of services to be rendered by the Designer for this Project consists of 8 separate design phases as follows bellow and each of them described in detail in Appendix 1设计阶段Design phases阶段一： 总平面概念设计完善Phase 1: Masterplan Refurbishment Concept Design 阶段二：建筑概念设计完善Phase 2: Refurbishment Architectural Concept Design阶段三：室内概念设计Phase 3: Interior Concept Design阶段四：室内方案设计Phase 4: Interior Schematic Design阶段五：软装设计Phase 5: FF&E design阶段六: 软装供应商图纸审核及摆放建议Phase 6: FF&E review of vendor and supplier list, placement suggestions阶段七：扩初图纸和施工图纸审核Phase 7: DD & CD Drawings review阶段八： 施工阶段配合 Phase 8: Construction Phase Assistance合同签订后三日之后，支付定金前三日内，乙方应向甲方提供三种符合甲方设计要求、风格的图片，包括：酒店大堂、客房，公寓样板间，外墙、景观等。Within 3 days after signing the contract and before the down payment, Party B shall provide some reference image based on the project nature and requirement which include hotel lobby, guestroom, apartment, facade and landscape.合同签订后七日之内，支付定金前三日内，乙方应对项目的供电、供热、燃气、弱电等专业系统提出建设性的咨询意见，并提供外立面及隔墙等材料样板和参考意见。Within 7 days after signed contract and 3 days before the down payment, Party B shall provide constructive suggestions on the project overall electricity, heat, gas and low voltage system as well as faade and partition wall material board and reference image.（须提供此项咨询服务）4. 设计成果Design Standards4.1 对设计成果的要求Requirements本项目各阶段设计成果均应同时满足下述要求：Design deliverables of each phase must meet the following requirements:（1） 本合同、各阶段设计任务书、设计过程中由双方确认的会议纪要、邮件及传真、函件要求。Minutes of meetings and fax confirmed by both parties.（2）设计成果须满足附件一中的甲方设计任务书、中国建筑工程设计文件编制深度规定（2016年版）、中国建筑标准设计研究院出版民用建筑工程建筑施工图设计深度图样的标准及北京市法规及相关规范、标准的要求。Design deliverables must meet the requirements of 1.Party As design brief stated in appendix 1,. Construction design document requirements 2016, 3.Civil building engineering construction drawingsstandard and Beijing regulation and relevant rules and standard.（3） 方案设计及装修设计应满足政府部门相关规定和要求。Design scheme shall meet government requirements.（4） 各阶段设计成果（含阶段性交流成果）如果为英文表示或表达，提交设计成果时，应同时提供中文版本。Design work shall be bilingual.（5） 设计成果中的建筑材料、建筑构配件和设备、家具、灯具、电器等，应当注明其规格、型号、性能等技术指标。Indicate the standard, model for building material, architectural components。4.2 设计成果的类别与数量Category and Quantity设计成果的类别与数量：Category and quantity of the deliverables阶段设计成果Phases数量（套）Quantity (Sets of books)阶段一：总平面概念设计完善Phase 1: Masterplan Refurbishment Concept Design两份A3文本2 A3 books阶段二：建筑概念设计完善Phase 2:Refurbishment Architectural Concept Design两份A3文本2 A3 books阶段三：室内概念设计Phase 3: Interior Concept Design两份A3文本2 A3 books阶段四：室内方案设计Phase 4: Interior Schematic Design两份A3文本2 A3 books阶段五：软装设计Phase 5: FF&E design两份A3文本2 A3 books阶段六: 软装供应商图纸审核及摆放建议Phase 6: FF&E review of vendor and supplier list, placement suggestionsPDF格式的审核意见comments in PDF format阶段七：扩初图纸和施工图纸审核Phase 7: DD & CD Drawings reviewPDF格式的审核意见comments in PDF format阶段八：施工阶段配合 Phase 8: Construction Phase AssistancePDF格式的审核意见comments in PDF format工程概算清单 project cost estimate list两份A4文本4.3 设计成果的交付方式Way of delivery regarding deliverables设计工作由甲、乙双方的负责人和联络人进行衔接，设计成果由甲方项目负责人和乙方总负责人共同确认。乙方应按照本合同和设计任务书要求，按时向甲方项目负责人或项目专员交付各阶段设计成果，并履行签收手续。具体要求如下：The design work will be coordinated by the chief person from each party and the design deliverables will be mutually confirmed by the project directors from both parties. Party B shall follow the contract and design brief to provide design deliverables at each phase to the project director or project manager of Party A and Party A shall sign the delivery acknowledgement letter. The detailed requirements are as follows:（1） 乙方派员将设计成果的交付到甲方指定的地点，如甲方无特殊要求，则为甲方项目部办公地点。Party B shall deliver the design work to Party As appointed address, which is Party As project office if no special requirement.（2） 合同条款中约定的所有设计成果，甲方的收图单位均为甲方公司项目部，所有文件签收以签收的记录为准；All design work shall be delivered to Party As project department, and confirmed by signed receipts.（3） 正式提交设计成果时应按照合同约定一次性供足套数，如发生不能一次提交足够数量的情况，分开提交次数累计最多不超过两次；Party B must submit design work in strict accordance with the agreement; if Party B cannot submit enough design work in once, then can submit separately in twice.（4） 图纸类电子文档提交标准为：Standard for CAD drawings electronic documents： 采用AUTOCAD软件绘制，版本统一为_autocad R14_版；AUTOCAD drawings, and version is autocad R14 各类专业图纸需要分不同文件夹提交，电子文档与图纸一一对应。Different file folders for hotel, apartment drawings.（5） 概念、规划设计阶段均需将PDF文件作为设计成果，同时提交CAD文件。Concept and planning phase design work shall be provided in PDF format and 3 days ahead of the hard copy submission. CAD files will be provided after received payment.5. 设计进度Design Schedule设计阶段Design phases工作日Working Days阶段一：总平面概念设计完善Phase 1: Masterplan Refurbishment Concept Design15阶段二：建筑概念设计完善Phase 2:Refurbishment Architectural Concept Design10阶段三：室内概念设计Phase 3: Interior Concept Design10阶段四：室内方案设计Phase 4: Interior Schematic Design20阶段五：软装设计Phase 5: FF&E design20阶段六: 软装供应商图纸审核及摆放建议Phase 6: FF&E review of vendor and supplier list, placement suggestions连续咨询服务Continuous consulting阶段七：扩初图纸和施工图纸审核Phase 7:DD & CD Drawings review 连续咨询服务Continuous consulting阶段八：施工阶段配合 Phase 8: Construction Phase Assistance有限次数的咨询Limited consulting6. 设计费用及付款Design Fee and Payment Terms6.1 设计费用Design fee6.1.1合同价格形式：总价合同。Contract price: Lump sum fee contract本合同中项目设计费的合同计量货币和结算货币的币种均为人民币。 Contract currency is RMB.6.1.2 设计费用合同金额为（大写）： *万元整 （ * 元整）Design Fee is RMB * (*)除非发生合同第6.2条所指事项，本合同金额不作任何调整。Contract price shall not be changed, unless clause 6.2 happens6.1.3设计费用的支付范围payment该费用包含乙方的设计费和所有税金。The Design Fee includes Party Bs design fee and all taxes.6.2 设计费的变更Change of Design Fees6.2.1 超出本合同约定次数之外的设计汇报和甲方认为确需发生的施工现场服务费；Extra presentation and site service.对于本合同约定的次数内的设计汇报和现场服务，甲方不承担额外费用。如果甲方要求乙方的次数超过本合同约定的次数，双方协商约定费用，该费于双方结清最后一笔款项时结清。If Party A needs Party B to execute extra presentation trips and site service, both parties shall discuss the fee and settle the payment at the last payment.6.2.2在每个设计阶段，当甲方对乙方发出书面的设计确认批复后。 如甲方对乙方设计成果提出重大修改（如设计范围重大调整、楼层变化、经营业态变化），应支付相应修改费用。 After Party A sends written design approval to Party B at the end of each design phase, any significant change in the services of Party B shall be mutually agreed (scope of design alteration, fee and time) in writing by both parties. After such agreement, Party A shall make an adjustment in payment to Party B. 6.3 设计费的支付Payment Terms6.3.1 支付时间Payment time在乙方提交正式发票且甲方确认乙方满足该阶段付款条件后，甲方应在7个工作日内向乙方支付阶段设计费；Party A will pay within 7 working days after receiving the Fapiao from Party B.本合同下的计价、支付和结算均以人民币为计价货币The payment will be made in Chinese RMB.6.3.2 付款方式Type of Payment乙方须向甲方提供正式发票原件，发票中注明乙方下列信息：（1）公司名称；（2）银行账号；（3）开户银行；（4）开户银行所在地；（5）收款事项及完成工作证明。（如乙方为境外公司，以上信息必须中英文对照）Party B shall issue official invoice, which indicate following information: company name, bank account, deposit bank, bank address, payment item and certificate of phase completion.合同签约单位名称、发票出具单位名称、收款银行帐号所属单位的名称三者必须一致。Contract name shall be the same on the Fapiao and bank account.乙方未能提交符合合同约定的设计成果，或乙方在请求付款时，未按前述约定提交相关票据或设计成果的，甲方有权拒绝付款且不承担违约责任。若因乙方资料不全或自身错误造成甲方不能及时付款，由此产生的滞纳金、手续费以及由此引起的法律后果由乙方承担。If Party B cannot provide the design deliverables according to the contract or Party B is not able to provide Fapiao, Party A has the right not to pay. Any delayed payment or process due to this reason, Party B shall bear the loss itself.6.3.3 付款额度及时间节点Payment Schedule付款项目Phase付款额度Percentage时间节点Timeline定金Down payment5%合同签订后7个工作日内Within 7 working days upon signing the contract阶段一：总平面概念设计完善Phase 1: Masterplan Refurbishment Concept Design5%此阶段甲方确认后七个工作日内Within 7 working days upon clients approval of this phase阶段二：建筑概念设计完善Phase 2:Refurbishment Architectural Concept Design5%此阶段甲方确认后七个工作日内Within 7 working days upon clients approval of this phase阶段三：室内概念设计Phase 3: Interior Concept Design10%此阶段甲方确认后七个工作日内Within 7 working days upon clients approval of this phase阶段四：室内方案设计Phase 4: Interior Schematic Design30%此阶段甲方确认后七个工作日内Within 7 working days upon clients approval of this phase阶段五：软装设计Phase 5: FF&E design20%软装设计成果确认后七个工作日内Within 7 working days upon clients approval of this phase阶段六: 软装供应商图纸审核及摆放建议Phase 6: FF&E review of vendor and supplier list, placement suggestions5%此阶段甲方确认后七个工作日内Within 7 working days upon clients approval of this phase阶段七：扩初图纸和施工图纸审核Phase 7: DD & CD Drawings review5%此阶段甲方确认后七个工作日内Within 7 working days upon client approval of this phase阶段八：施工阶段配合 Phase 8: Construction Phase Assistance15%施工验收完成后七个工作日内，不晚于2018年12月31日。within 7 days after acceptance and completion of the project construction, but not later than 2018-12-316.4纳税Tax6.4.1甲方每次付款前，乙方应提供相应金额的发票，否则甲方有权不予支付设计费。Party B must issue invoice, otherwise Party A can refuse to pay.6.4.2发票抬头应为甲方公司名称。Invoice title must be the Party A company name.7. 双方义务Liability7.1 甲方义务Party As Liability7.1.1 向乙方提供基础资料及文件Provide Initial Documents甲方向乙方提交基础资料及文件，甲方不得要求乙方违反国家相关标准进行设计。Party A shall provide initial documents to Party B, and cannot request Party B to design in violation of relevant national standards.7.1.2 对甲方提供的基础资料负责Party A shall be responsible for provided initial documents.设计及施工过程中，甲方应确保向乙方提供的设计资料的完整性、准确性与及时性。甲方变更委托设计项目、规模、条件或因提交的资料错误，或所提交资料作颠覆性修改，以致造成乙方设计返工时，甲方应按经甲方确认的乙方所耗工作量向乙方增付设计费。乙方应对甲方提供的资料进行核实，并应在核实无误后开始设计工作。Party A shall make sure all the project related information and documents provided to Party B are correct, integral and in time. If Party A changes the design information or the material is wrong which leads to significant changes to design then Party A shall compensate Party B to increase the design fee. Party B shall rectify the material first and resume the design work.7.1.3 工作条件 working condition甲方应向乙方提供必要的办公或汇报工作地点，在乙方人员进入施工现场进行工作时，甲方应向乙方人员提供必要的工作条件。Party A shall provide necessary working and presentation space for Party B when accessing into the project site.7.1.4 设计审批Design Approval甲方应及时办理各设计阶段的设计文件审批和政府报批工作。Party A shall handle design work approval and government approval timely.某阶段设计同时满足以下条件时，该阶段设计结束： 设计成果获得甲方认可； 符合国家、北京市相关法律法规。The design phase will be deemed completed when: Party A confirms the designThe design meets relevant regulations of Beijing municipality 7.2 乙方义务Party Bs liability7.2.1 提交设计成果Submission乙方应按国家和北京市相关法律、法规和合同约定的技术规范、标准进行设计，须满足本合同（包括：各阶段设计要求、设计过程中双方确认的会议纪要及传真函件）约定的设计内容、设计成果、设计深度及时间计划要求，乙方按本合同规定的内容、时间及份数向甲方交付设计成果文件，并对提交的设计文件的质量负责。同时，乙方应按照甲方品质要求，考虑整体相对合理的工程造价。Party B shall provide design content, deliverable according the national technical regulations and standards, contract design brief and meeting minutes agreed by both parties. The design deliverables shall be quality design and submitted to Party A on time. Meanwhile, the design shall take reasonable construction cost into consideration.7.2.2 提供选材样板和选购信息 Provide material board and selection information乙方在方案设计阶段应向甲方提供选材清单及样板3套，并提供相关材料厂家信息。In SD stage, Party B shall provide Party A material schedule and 3 boards with relevant manufacturer information. 乙方应提供工程主要物料、家具、及室内摆设物品的厂家信息，并协助甲方在境内外的选购。并应提供项目拟布置艺术品的种类和意义。Party B shall provide the manufacturer information of the main material, furniture and indoor decoration accessories. 软装的配饰饰品必须从国外进口，要有报关单，所有的饰品全部是进口的，进场之前，需要由取得甲方的美国酒店管理团队书面确认。乙方应提供配饰饰品的规格、生产厂家、联系方式等。The FF&E shall be imported from overseas countries and with Customs Declaration Forms. Party As hotel operation team will need to approve before mobilization of these material on site. Party B will not be responsible for bidding, tendering, procurement and shipping.7.2.3 形成并确认室内布置氛围 Indoor Atmosphere乙方应进行家具及室内饰品的摆放,须对装修效果以及室内布置氛围进行确认。Party B shall help the placement of the furniture and indoor decoration accessories to make sure it reflects the design intent.7.2.4 提供胜任的设计团队Provide qualified design team乙方应就本项目组织专门的设计工作组，指定双方认可的设计总负责人和设计人员，在合同签订前提供经双方确认的工作组成员名单及联系方式。在设计过程中，应保证设计工作的连续性，未经甲方书面许可，乙方不得随意更换项目设计总负责人和设计人员。如果合作过程中出现设计人员不能准确理解甲方意图、不能按时保质提交设计成果、设计方案多次调整不能满足甲方要求等情况，甲方有权要求乙方更换设计人员。Party B shall arrange qualified designers for this project and appoint chief designer which are confirmed by both parties. Party B shall provide design team list confirmed by both parties before signing the contract. Without Party As approval in writing, Party B shall not change chief designer. If the design work cannot meet Party As requirement, Party A can request Party B to change designer; if Party Bs designer cannot understand Party As intention, fail to provide design work in time, Party A can request Party B to change designer.乙方项目设计组名单及简历附后。Party B shall provide design team and resumes as attachment.7.2.5 设计修改 Design Revision乙方负责对设计文件出现的遗漏或错误进行修正。乙方不对其它第三方设计成果负责修改。Party B shall be responsible for rectification of the errors and omissions in the design documents. Party B is not responsible for the work of 3rd parties.乙方在各阶段设计定案前做出的修改以及根据政府审查意见在设计全过程中所做的修改，属于本合同约定的正常设计工作，对甲方修改意见的响应时间不超过24小时，乙方不得另行收费；Before client approval on each phase, Party B shall be responsible to make revisions on the design work and has to respond the Party A within 24 hours with no addition cost to Party A.7.2.6 提供服务Service7.2.6.1 参加设计交底与工程验收 Join design workshop and project acceptance meeting乙方按合同规定时限交付设计资料及文件，负责向施工图设计单位进行设计交底、提供施工现场服务，配合相关专业验收及竣工验收。Party B shall submit design material and documents, explain design to LDI & Construction Company, make construction site observation visits at appropriate stages of the work, attend final construction review meeting of project.7.2.6.2 参加政府报批Attend the Government submission meeting乙方交付设计资料及文件后，如有需要，须配合甲方参与政府有关部门组织的设计审查。Party B shall cooperate with Party A for government review if needed.7.2.6.3 设计汇报Design Presentation乙方派项目负责人及主要设计师在设计各阶段到甲方所在地向甲方进行交流和汇报。并应保证每次出差完成本阶段的工作任务。Party B shall arrange project leader and chief designer to present to Party A by phases as described below.设计阶段Phase合同中包含的差旅次数Day trips included in this contract阶段一：总平面概念设计完善Phase 1: Masterplan Refurbishment Concept Design一次差旅，总监和首席设计师共3人1 Trip with 2 Designers阶段二：建筑概念设计完善Phase 2:Refurbishment Architectural Concept Design一次差旅，2名设计师1 Trip with 2 Designers阶段三：室内概念设计Phase 3: Interior Concept Design一次差旅，总监和首席设计师共3人1 Trip with 2 Designers阶段四：室内方案设计Phase 4: Interior Schematic Design一次差旅，2名设计师1 Trip with 2 Designers阶段五：软装设计Phase 5: FF&E design一次差旅，2名设计师1 Trip with 2 Designers阶段六: 软装供应商图纸审核及摆放建议Phase 6: FF&E review of vendor and supplier list, placement suggestions一次差旅，2名设计师1 Trip with 2 Designers阶段七：扩初图纸和施工图纸审核Phase 7: DD & CD Drawings review一次差旅，2名设计师1 Trip with 2 Designers阶段八：施工阶段配合 Phase 8: Construction Phase Assistance三次差旅，每次2名设计师3 Trip with 2 Designers差旅总次数Trips in Total:十次差旅，每次2名设计师10 Trips with 2 Designers each额外差旅交通和住宿费用由甲方实报实销。Additional travel and accommodation expenses are excluded from the service fees and shall be borne by Party A separately.乙方额外差旅将由甲方按照如下费率报销：For additional trips Party B shall be compensated by Party A as bellow:项目角色Project Role每日费率(人民币)Daily Rate (RMB)总监Director项目经理Project Manager建筑师Architect制图者/设计师 Junior Designer ￥9,000￥5,000￥3,000￥2,0008. 著作权保护Copyrights甲、乙双方应对本项目相关的设计合同、设计任务书及相关附件、设计成果及相关技术经济资料（以下简称“本项目资料”）的著作权进行保护。Both Parties shall protect the copyright of the related design contract, design brief, attachment, design deliverables and relevant design economic and technical data of this project.本项目资料的设计著作权在甲方支付了所有费用以后属于甲方所有。乙方保留对外宣传资料时可拥有展示权和署名权。The copyrights shall belong to Party A after all payments have been paid to Party B. Party B keeps the marketing right and name right on the project.如乙方将本项目资料用于非本项目所属的其它项目建设之用，必须取得甲方的书面同意证明，并为此向甲方支付费用，具体费用双方另行协商。未经甲方书面同意，乙方不得将本项目设计成果或类似设计产品使用于其他项目。Party B shall have written consent from Party A and compensate Party A if Party B want to use the design deliverables of this project on to other projects. The compensation amount shall be discussed by both parties. Without Party As written confirmation, Party B will not be allowed to use the design on other projects. 9. 违约责任 Liability9.1 甲方违约责任 Party As liability9.1.1 甲方延迟支付 Overdue payment by Party A甲方应按本合同规定的金额和时间向乙方支付设计费，每逾期一天，应支付当阶段应付款千分之一/天的逾期违约金。As for the overdue payment, Party A shall pay 0.1% of the current design phase payment as penalty for each overdue day to Party B.9.2 乙方违约责任 Party Bs liability9.2.1 设计成果或服务质量不合要求 Non-conformity of design work and quality由于乙方设计深度、设计质量、设计配合等达不到本合同及各设计任务书的要求，乙方应无条件按甲方要求修改设计。由于乙方沟通、理解及其它原因，造成设计方向和设计质量无法满足甲方要求，甲方有权在任何设计阶段单方终止本合同。Party B shall revise the design based on P
