businesson termsand conditionsmutually agreedupon asfollows:本协议于_(日期)在中国的江苏徐州由有关双方(徐工和XXX)在平等互利的基础上达成,按双方同意的下列条件发展业务关系1.The PartiesConcerned协议双方Party A:Xuzhou ConstructionMachinery GroupImp.&Exp co.,Ltd甲方徐州工程机械集团进出口有限公司Add:No.1Industry District,Xuzhou EconomicDevelopment Zone,Jiangsu,China221004地址中国.江苏徐州经济开发区工业一区邮编221004Party B:乙方Add:地址2.Appointment andAuthorizations2.1Party Ahereby appointsParty Bas itsone Dealerto solicitorders for the Productsstipulate in Article3from customersin the Territory stipulatedinArticle4.甲方指定乙方为其经销商,负责在以下区域以下产品的销售订单。 2.2Party Bhereby aeptsXCMGs appointment,as XCMGs dealerof productsto personswithin theTerritory.乙方接受甲方的委托,作为徐工产品在该地区的经销商。 3.Products“Products”shall meanconstruction machinerymanufactured byXCMG,including_经销产品产品即徐工集团生产的工程机械产品,产品范围为4.Territory区域.“Territory”shall meanthe followinggeographical areas:_(hereinafter referredto as“Territory”).区域就是指某一个地理区域。 5.Sales Targets销售目标Minimum turnover最低业务量Aording tonegotiation byboth parties,Party Bshall undertaketo ordersfortheabove productsfrom customersin theabove territoryduring theeffective periodof this agreement fornot lessthan USD_,not lessthan total_units.经双方协商,乙方同意,在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于_美元。 6.Price andterms ofPayment价格及付款方式Aording topany rulesand regulations,Party Ais obligatedto offera resellersales priceto Party B to the utmost.甲方将根据公司规章制度,提供给乙方产品的经销商价格。 Terms ofpayment isnegotiated byboth parties,generally,Party Bshall paywithin theshortest termpossible.Then Party A arrangesto manufacturethe Goods.付款方式经双方协商决定,通常情况下,乙方须及时付款,不得拖延。 收到付款之后,甲方及时安排货品生产。 7.Obligations of Party B乙方职责Party Bshall devoteits bestefforts forthe adequatepromotion,exploitation anddevelopment of the salesof Productsin theTerritory.乙方应不遗余力的在上述经销区域内搞好产品宣传、开拓市场、发展业务。 Party Bshall gainall permits,licenses andauthorizations necessaryto sell the productsin theabove territory,and payall importingrights andtaxes aswell asany otherexpenses imposedby currentlaws andregulations.乙方应获得为在本国内销售产品所需的许可证,批准件和任何其他必要的官方证件,并支付所有进口关税和其他税赋。 Party Bshall providelocal techniciansand staffsto satisfythe management,operation andtraining ofafter-sale service,and provideworkshop,warehouse,office andother facilitiesto supporta sustainedafter-sale service.乙方提供当地的技术人员和职工来负责产品的管理、操作和培训;并提供工厂、仓库,办公地点以及其他相关设备以满足长期的售后服务。 In orderto keepParty Awell informedof theprevailing marketconditions,Party Bshould undertaketo supplyParty A,at leastonce aquarter orat anytime whennecessary,with marketreports concerningchanges of the localregulations in connection with the importand salesof themodity coveredby this agreement,local markettendency and the buyers mentson quality,packing,price,etc.of thegoods suppliedby Party A underthis agreement.Party Bshall alsosupply partyA withquotations andadvertising materialson similarproducts ofother suppliers.为使甲方充分了解现行市场情况,乙方承担至少每季度一次或在必要时随时向甲方提供市场报告,内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。 乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。 Party Bis prohibitedto sellthe productsto otherTerritory whichis notauthorized by Party A.Should anyCross RegionalSales befound,Party Bshall promptlynotify andassist Party A totake stepsto protectsale rightsin Territory.乙方不得跨区域销售,如发现本地区有跨区域销售行为可及时通知甲方采取措施保护本地区销售权。 8.Obligations ofParty A甲方职责Any ordersare subjectto theaeptance ofXCMG inwritten.Party A shall acknowledgeany orderinquiries withoutdelay foraeptance orreject inwritten afterreceipt orderinquiry fromParty B.甲方如收到上述经销区域内的询价单应毫不延迟地向乙方做出书面回复Party Ashall supplyparty Bthe necessary,technical andscientific information/documents andleaflets/catalogues thatare deemsnecessary formarketing theProducts.甲方需向乙方提供技术参数及文件以及使用说明书维修手册,以备拓展市场。 Party Ashall offerall necessarysupport toParty Bfor advertisingand publicityinconnection with themodity inquestion overseaswithin the validity of this agreement,such asall audioand videomaterials intendedfor advertisingfor priorapproval.本协议有效期内甲方有义务提供给经销商为产品做广告宣传的一切必要支持,如广告的声像资料。 Party Ashall sendthe techniciansbased onthe reasonablerequirement byParty Bto provide the sufficienttraining forthe usersin Territoryin theguarantee period.PartyAshall selland supplythe necessaryspare partsto theTerritory fora sustainedafter-sale PartyAshallprovidethequality warrantiesas describedin hisguarantee bookto theusers whileselling Products.在质保期内,甲方需向乙方派出技术人员对上述代理区域最终用户进行产品相关技术培训。 并提供相关备件以备售后服务。 在协议期内,甲方需按照质保证书所订立向乙方提供优质的质保服务9.Intellectual PropertyRights知识产权Party Bmay usethe trade-marks ownedbyPartyA forthe saleof theProducts coveredherein within thevalidity of this agreement,and shallacknowledge thatall patents,trademarks,copy rightsor any other industrialproperty rightsused orembodied inthe WashingMachines shall remain to be thesole propertiesofPartyA.Should anyinfringement befound,Party Bshall promptlynotify andassist PartyA totake stepsto protectthe latters rights.在本协议有效期内,为销售有关产品,乙方可以使用甲方拥有的商标,并承认使用于或包含于有关产品中的任何专利商标、版权或其他工业产权为甲方独家拥有。 一旦发现侵权,乙方应立即通知甲方并协助甲方采取措施保护甲方权益。 10.Applicable Laws适用法律This Agreementshall begoverned by,and construedin aordancewith,the lawsof theP.R.China.If not,the agreementshall bein aordancewith theUNITED NATIONSCONVENTION ONCONTRACTS OFINTERNATIONAL SALESOF GOODS,INTERNATIONAL TRADERCUSTOMS,or INTERNATIONALRULES FORTHE INTERPERTATIONOF TRADERTERMS.此协议在遵守中华人民共和国法律基础上订立。 如不选择中国法律,应遵守联合国国际货物销售合同公约、国际贸易惯例、或者国际贸易术语解释通则。 11.CONFIDENTIALITY保密性Party Bshall treatas confidentialall informationreceived fromPartyAor anyother sourceduring theexecution ofthis Agreement,including this agreement,Party Bshall notreveal itto the third party.Party Bshall,therefore,limit thediffusion ofinformation intheTerritoryaording tohis needsintheexecution ofthis Agreement.This limitconcerns boththe contentandthedestination ofthe informationdisclosed.乙方在协议有效期内或协议终止后,不得泄露制造商的商业机密(包括协议本身的内容,不得透露给任何第三方),也不得将该机密超越协议范围使用。 12.Validity ofAgreement协议有效期This agreement,when dulysigned by the both parties concerned,shallremaineffect for_years from_(date)to_(date),and it shall berenewed ifparty Bfulfils toselltheproducts USD_,and retains_percent increaseannually.Otherwise theagreement willbe termination.本协议经有关双方如期签署后生效,有效期为_年,从2_年_月_日至2_年_月_日。 如乙方完成最低销售收入并每年保持百分之增长,协议则可自动顺延。 反之,协议自动终止。 13.Termination协议的终止During thevalidityofthis agreement,if eitherofthetwo partiesis foundto haveviolated thestipulations herein,the other party has the rightto terminatethisagreement.在本协议有效期内,如果一方被发现违背协议条款,另一方有权终止协议。 14.Force Majeure不可抗力Either partyshall notbe responsiblefor failureor delayto performall orany partofthisagreement dueto flood,fire,earthquake,draught,war oranyotherevents whichcould notbe predicted,controlled,avoided orovere bythe relativeparty.However,the partyaffected bythe eventof ForceMajeure shallinform theother partiesof its ourrence inwriting assoon aspossible andthereafter senda certificateoftheevent issuedbytherelevant authoritiestotheotherpartywithin15days afteritsourrence.由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议,该方不负责任。 但是,受不可抗力事件影响的一方须尽快将发生的事件通知另一方,并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。 15.Arbitration仲裁Any disputearising fromor inconnectionwiththisagreementshall besettled throughfriendly negotiation.If nosettlement,the caseshall besubmitted tothe ChinaInternational Economicand TradeArbitration Commission(Beijing orShanghai)for arbitration,which shallbe conductedin aordancewiththeCommissions arbitrationrules ineffect atthe timeof applyingfor arbitration.The arbitralaward isfinal andbinding uponboth part
